DEPUTY MD’s MESSAGE The Evolution of Dijaya The Malaysian property sector remains positive, especially with selected locations poised to experience rapid growth. The most in-demand are tourism-related properties in places such as Johor Bahru, Sabah, Sarawak, Melaka, Langkawi and Penang as well as globalised properties such as Bukit Bintang and KLCC. The growth is further strengthened by massive infrastructural projects such as the Mass Rapid Transit (MRT) in Kuala Lumpur, the Electrified Double Tracking Railway Project that connects Southern and Northern Malaysia, plus seven new highways connecting various parts of Peninsular Malaysia. These infrastructural projects are also part of the Government’s efforts to spur growth and entrench Malaysia’s position on the radar of global investors. This initiative will directly and indirectly help boost the property sector in Malaysia. Growth Plans and Strategies At Dijaya, we recognise that with the globalisation of the real estate market combined with various opportunities and challenges in the current market scenario, we need to evolve to become larger and more inclusive. In the past two years, Dijaya Group has diversified geographically by acquiring premium land bank across Malaysia. We have also explored new frontiers by venturing into retail and office spaces, hospitality and education sectors. In March 2012, YBhg Tan Sri Dato’ Danny Tan, Group Chief Executive Officer of Dijaya, executed an Amalgamation Exercise Agreement to streamline and rationalise majority of the lands and properties held privately into Dijaya. With the completion of the amalgamation exercise in the 4th Quarter of 2012, we now have a total land bank of 913 acres in prime areas with an estimated Gross Development Value (GDV) of RM38 billion. We will be focusing on our growth and sustainability within these hot spots for the next 10 to 15 years. With this Amalgamation Exercise, we have further strengthened our balance sheet and earnings potential and also engaged in the repositioning of Dijaya’s capital structure through a combination of equity and debt fund raising. Deputy MD’s Message 04 Projects and Prospects The Group is also fast expanding its geographical reach with new developments and special projects in Selangor, Kuala Lumpur, Penang, Johor and Sabah. Selangor Tropicana Grande, Tropicana Avenue and Casa Tropicana (Block E) at Tropicana Golf & Country Resort continue to progress as planned. Our series of luxury-villa developments, namely Grand Villas, Golf Villas, Pool Villas and Link Villas, at Tropicana Indah Resort Homes are well underway and on track for its targeted completion. Jan - June 2013 Meanwhile, Tropicana Gardens in Kota Damansara with a Gross Development Value (GDV) of RM1.8 billion, has just been launched, garnering very positive response from the public. Tropicana Metropark in Subang, with a total GDV of RM6.3 billion, is expected to launch soon. Kuala Lumpur In Kuala Lumpur, our developments consist of W Kuala Lumpur Hotel and The Residences by Tropicana and Tropicana Cheras. Tropicana Heights in Kajang is still in the planning stage. Penang and Johor In Penang, the Group has a joint venture agreement with Ivory Properties Group Berhad to develop a mixed development project worth a GDV of RM10 billion in Penang World City. In Johor, Tropez Residences, which is part of the Tropicana Danga Bay development, has been successfully launched since last December, attracting strong interest and registering impressive sales. The Tropicana Danga Cove mixed development will be launched in 2013 while another mixed development located at Senibong, Johor, is in the planning stage. Sabah We have another upcoming development, known as Tropicana Landmark. The details of this residential project will be finalised and is expected to launch soon. Giving Back Dijaya has always strived to build and embrace an organisational culture that is amenable to social good. In 2012, Dijaya Tropicana Foundation contributed more than RM1.1 million to various charitable bodies, from schools to local and international charitable organisations. Through our efforts and contributions, we hope to improve the lives of the underprivileged and at the same time, encourage a more compassionate and supportive community. She said, “Any corporate exercise, so long as it is implemented fairly and without detrimental effect to the interest of minority shareholders, should not be discriminated against, even if it is RPT in nature. This exercise YBhg Tan Sri Dato’ Danny Tan Chee Sing, Group Chief Executive Officer of Dijaya, avowed, “With a more streamlined and diversified portfolio of assets post-amalgamation, Dijaya will have the required parameters to become a big league developer, with potential for future merger and acquisition exercises when the opportunity arises.” Corporate News Volume #12 02 The proceeds from the CP / MTN Programme will be substantially utilised as working capital for Dijaya and its subsidiaries and also to fund development costs of new land banks injected post-amalgamation. Already Jan - June 2013 in the pipeline for development next year are projects at prime locations with a Gross Development Value (GDV) of approximately RM2 billion. 07 Dickson Tan, Deputy Managing Director of Dijaya, said, “This CP / MTN Programme enables Dijaya to raise funds at a competitive rate and puts the company in a strong financial position for future growth. With this facility agreement, we are poised to take the company to the next level and establish Dijaya as a leading property developer in Malaysia.” Corporate News Following the completion of the Amalgamation Exercise was the signing of RM500 million bankguaranteed Commercial Paper (CP) / Medium Term Notes (MTN) Programme. Dijaya executed the Programme Agreement and Guarantee Facility Agreement in relation to this seven-year programme, to be guaranteed by RHB Bank Berhad (RHB Bank) and AmBank (M) Berhad (AmBank) for up to RM300 million and RM200 million respectively. These strategic land banks will be developed over the next 10 to 15 years. The lettable areas of investment properties will also increase to approximately 1.4 million square feet from the current 550,000 square feet. The additional investment properties to be acquired are estimated to generate a more stable and recurring income for Dijaya. Meanwhile, Dijaya continues to record good sales performance from its current developments. Within Tropicana Golf & Country Resort, there are Tropicana Grande luxurious condominium, Tropicana Avenue and Casa Tropicana (Block E). Within Tropicana Indah Resort Homes, there are Grand Villas, Golf Villas, Pool Villas and Link Villas. Dijaya also has other on-going projects in the Central region, which include Tropicana Cheras, W Kuala Lumpur Hotel and The Residences by Tropicana, Tropicana Gardens, Tropicana Bayou, Tropicana Hills and Tropicana Heights. Corporate News 08 Bay continues to receive good sales and much interest. In Penang, Aston Villa and 10 Island Resort is nearing completion. Moreover, there are plans for a mixed development within Bayan Mutiara under a joint venture with Ivory Group Properties Berhad. In the second quarter, ended 31 June 2012, Dijaya posted an improved revenue of RM117.1 million – an increase of 66% over previous year’s corresponding quarter revenue of RM70.7 million – due to higher recognition of progress billings from its ongoing development projects and new projects launched in the Klang Valley and Johor Bahru. Profit after tax and minority interests (PATMI) was RM107.2 million compared to RM20.8 million adjusted PATMI in the corresponding second quarter of the previous year – an improvement of 417% over previous year’s corresponding quarter – due to the fair value adjustment on investment properties and contributions from developments such as Tropicana Grande, Tropicana Avenue and Tropez Residences. In Johor, Tropez Residences within Tropicana Danga Jan - June 2013 Corporate News Volume #12 Early Retirement of Dijaya Corporation Berhad’s MD Announcement of the early retirement of Dato’ Tong Kien Onn, Managing Director of Dijaya Corporation Berhad January 2013: Dijaya Corporation Berhad announces the early retirement of Dato’ Tong Kien Onn as the Managing Director of Dijaya. His last serving date in Dijaya is 19 January 2013. Today, Dijaya is now acknowledged as one of the top property developers in Malaysia with a market capitalisation of more than RM816 million as of 28 November 2012. For more than 29 years, Dato’ Tong has served the organisation with integrity and dedication. He joined the private company of YBhg Tan Sri Dato’ Danny Tan in 1983 before embarking on his career in Dijaya from 1991. YBhg Tan Sri Dato’ Danny Tan, Group Chief Executive Officer of Dijaya, recognises Dato’ Tong’s distinguished achievement and congratulates him on the start of a new chapter. Jan - June 2013 Corporate News 09 Corporate News Directions DIJAYA’S NEXT PHASE 01 An injection of buildings and land will give Dijaya Corporation Berhad a lift as it intends to compete with the big boys in the industry Article extracted from The Star There are moments in a company that its direction and fortunes take a turn for the better. For YBhg Tan Sri Danny Tan Chee Sing and Dijaya Corporation Berhad, its first metamorphosis took place over two decades ago. Tan, a budding developer with his company Dijaya back then, had the good fortune to come across the opportunity to buy 1,000 acres of rubber land on the fringes of the upmarket Bandar Utama for a meagre RM2 per sq ft. The nondescript land was slowly landscaped into undulating slopes with sprawling mansions called ‘Tropicana Golf & Country Resort’, creating a desirable address in Klang Valley that can rival the more famous and older Kenny Hills and Damansara Heights. “I always believe in being flexible. With the Tropicana Golf & Country Resort, I tell my people to always be flexible and try to understand our housebuyers’ needs. They spent so much money building their houses here. Let them build their three- and fourstorey houses. If we can do something for them, let us do it,” says Tan, the Group CEO of Dijaya. In the process of having exclusive homes that are manned by help most consider a luxury, the value of the once rubber estate has grown dramatically. Today, the land is said to be worth RM350 per sq ft. Corporate News 10 But things are about to change. Dijaya will undergo another metamorphosis as it is set to seal an Amalgamation Exercise with Tan’s private property assets mooted in April 2012. Once completed, Dijaya will add more heft in the property developers’ league table and improve its size and fortunes. Through this exercise, Tan hopes Dijaya will be catapulted to rank among the 10 largest property companies in Malaysia by market capitalisation with a size of approximately RM1 billion. Its current market capitalisation is about RM566 million but it will get a lift from the injection of cash and assets from the Amalgamation Exercise. In August 2012, shareholders gave their approval to Dijaya’s Proposed Amalgamation Exercise to streamline and rationalise the majority of the lands and properties held privately by Tan for RM943 million. The deal will see Dijaya acquire some 73 properties comprising of 49 parcels of lands and 16 buildings, valued at some RM1.1 billion into Dijaya. This exercise is expected to be completed by the fourth quarter of 2012. “In those days, nobody wanted the Tropicana Golf & Country Resort land. I bought it for RM2 per sq ft and today it is worth RM350 per sq ft. I should have kept it for myself!” laughs Tan. The exercise will also see Dijaya getting rental income of RM42.7 million or a yield of 8% per year, whichever is higher, over the next nine years. But like most land that reaches that sort of valuation, it is a signal of maturity. Meanwhile, the new land Dijaya will acquire from Tan will have a potential GDV of RM6.1 billion. What is left of the 1,000 acres is just 36 acres but the profit that Dijaya has made from selling and developing the land has helped it expand throughout Peninsular Malaysia, having acquired new land in the Klang Valley, Johor Baru, Penang and Sabah. Upon completion of this exercise, Dijaya will have a total landbank of 913 acres in the Klang Valley, Johor, Penang and Sabah with an estimated GDV of RM38 billion to be developed over the next 10 to 15 years. Dijaya’s other landmark development in about the Klang Valley is Tropicana City Mall in Petaling Jaya, which is today a bustling enclave of activity surrounded by office blocks and condos. The mall has an occupancy rate of some 95%. Jan - June 2013 Dijaya has 22 projects throughout Malaysia with a total gross development value (GDV) of RM31.9 billion which makes it among the top 10 property developers in the country. As of the second quarter of 2012, Dijaya has unbilled sales of RM636 million, which is a record high. The investment properties are tenanted out, offering an average yield of 8%. Needless to say, the exercise is a game changer for Dijaya. Says Deputy Managing Director Dickson Tan, Volume #12 01 YBhg Tan Sri Dato’ Danny Tan shared his expansive plan with TV3 during the Proposed Amalgamation Exercise 02 02 the eldest son of Danny and also architect of the Amalgamation Exercise: “I want to make Dijaya one of the leading property developers in Malaysia. This Amalgamation Exercise will now see Dijaya’s market capitalisation increase to the RM1 billion mark. The next level, and we hope to do this within three years, is to increase the market cap to RM2 billion to RM3 billion.” Diversity Sdn Bhd. “My father is not taking a single sen out of the company. In fact, he is subscribing for the entire portion of his rights issue, which adds up to RM250 million,” says Dickson. When asked how Dijaya plans to achieve that, Dickson says that the company is open to mergers and acquisitions with other entrepreneurially-run property companies. Under the deal, the Proposed Amalgamation Exercise will be satisfied by RM250 million cash and the balance via the issuance of a 10-year 2% coupon redeemable convertible unsecured loan stocks (RCULS), with a staggered conversion price range of RM1.30 to RM2.50 over a 10-year period. “First things first, though. Our launch plan for our new land will start early 2013 and this will keep us busy over the next eight to 10 years. We have the development order for some RM2 billion of the new land under the Amalgamation Exercise. We are already prepping for developments to start in 2013,” says Dickson. There will also be a renounceable rights issue of up to 491.3 million new shares of RM1 each, which Danny has committed to take up at least RM250 million, which is also the minimum scenario of the proposed exercise. Related Party Transactions Interestingly, it was Dickson who persuaded his father to go ahead with the Amalgamation Exercise, and it took a lot of convincing for a number of reasons. The assets held by Danny that are going to be injected into Dijaya are receiving a healthy rental yield of 8%. Secondly, Danny is receiving less than the market value of his private assets, a necessary loss some might say to overcome the stigma of related party transactions (RPTs) that have been a blight on companies for years. The chances of Danny triggering a general offer threshold is remote as there are clauses which limit the quantity of RCULS to be converted depending on profits made by Dijaya over the next 10 years. While Dickson admits that it is one of the largest RPTs in Malaysia, he feels that so long as it is implemented fairly and without detrimental effect to the interest of minority shareholders, investors should not discriminate against the transaction. Astramina Advisory Managing Director Wong Muh Rong, who is also the advisor for the deal, says it is unfair for people to always view RPT as a crime. “RPTs done in a fair and transparent manner should in fact, be encouraged. Only the owner of a company is able to sacrifice for his own company. The market may be scared of RPTs because of previous bad deals,” says Wong. Presently, Danny owns 66.4% of Dijaya. He directly owns 30.4%, and indirectly owns 17.8% through Impeccable Ace Sdn Bhd and 18.2% through Golden “However, it is only with this sort of RPTs, that good and prime land can be injected into public companies, and they become bigger. Right now, by going through this Amalgamation Exercise, the major shareholder has to hire advisers and go through so many complications. There is so much effort and resources spent to execute this deal, when he could Jan - June 2013 Corporate News 11 Corporate News “When Dickson first told me about the Amalgamation Exercise, I was unsure. First of all, everyone thinks RPTs are bad deals. I didn’t want to go through so much effort, only for people to have a bad perception of the company. I also know that my private assets are valuable, and by injecting it into the company, it would not only significantly increase the value of my company, but we would get access to bigger funding facilities. We need big working capital for the big projects. That’s how the company grows,” says Danny. She adds that if RPTs continued to be viewed negatively, in future, property developers with good land bank may think twice before injecting those assets into a company, and this could hinder the growth of a company. “If not for this RPT, Dijaya shareholders will not have the opportunity to have exposure to all the prime development land and investment properties, which provide diversification in earnings stream as opposed to concentrated earnings from property development pre-amalgamation,” says Dickson. “I have no regrets about the Amalgamation Exercise. I am proud of Dickson for doing something so impactful for the company. Right now, I own more than 60% of the company. I don’t mind paring down a lot more of my stake if it means bringing in a new partner or embarking in an exercise where my company can go to the next level,” says Danny. “Even if I halve my stake to the 30% level, do you think it is so easy to kick me out of the board?” laughs Danny. Growth Strategy “If my children are going to eventually run my company, I only want the best for Dijaya. That’s one reason why I want Dijaya to grow big. I do it for my children,” says Danny. His hint of a succession plan follows in the footsteps of Danny’s elder brother YBhg Tan Sri Dato’ Seri Vincent Tan Chee Yioun who recently took a backseat to allow his son Datuk Robin Tan to assume the positions of Chairman and CEO of Berjaya Corp Berhad. “Every company needs to have succession planning. It has always been my hope that one of my children will be able to take over the company. I have high hopes for Dickson. He has been with the company for the last seven years. I always tell him to work hard.” “There are other things in life which are important, like health and happiness. I am not as ambitious as my brother (Vincent). He gets involved in everything! If my children can successfully run my company, then I can go travelling and relax. Right now, I am still working late nights,” says Danny. Having engineered the injection of his father’s assets into Dijaya, Dickson feels that is the fastest way to bring value to shareholders. “Through the private assets, we had access to great land bank and great recurring rental income. If we were to be serious in joining the big leagues, then we had to do something drastic,” says Dickson. Having been in the company since 2004, Dickson joined the board of Dijaya at the end of 2010 as Deputy Managing Director. Dickson says there are numerous hurdles to overcome when a company is small. First up, it is almost impossible to capture the interest of institutional investors, and therefore enhancing shareholders’ value becomes difficult. Without interest from the big funds, liquidity becomes an issue. Corporate News 12 “So increasing our market capitalisation to the RM1 billion mark was the first step. Secondly, the company has been hiring new talents over the last two years, as it prepares for its bigger roadmap. This includes Koong Wai Seng, the former Chief Financial Officer of Sunway City Berhad, Edmond Kong who was previously TA Global Bhd’s Chief Operating Officer and Datuk Andy Khoo Poh Chye who previously was Managing Director of GLM Reit Management Sdn Bhd. All these new recruits now sit on Dijaya’s board. “With the Amalgamation Exercise almost complete, we now plan to ramp up our launches. We have targeted to complete RM1.1 billion worth of sales in 2012. So far, we have done 60% of that. We hope to more than double this sales figure in 2013 to RM2.3 billion and RM2.4 billion in 2014.” Dickson says Dijaya plans to diversify geographically into the Klang Valley, Penang and Johor. In addition, it has also ventured into Sabah, which is identified as the key regional development area attracting investors from South Korea, Japan and China among others. Through the Amalgamation Exercise, 24 pieces of land are slated for development and 24 buildings injected for rental income. “Our first target is to exceed the RM100 million net profit mark in financial year 2013. This is possible as the size of our investment properties will increase to 1.4 million sq ft from the current 550,000 sq ft. This also will generate recurring income of approximately RM43 million. Thus, post amalgamation, our estimated group earnings can be more than RM100 million,” explains Dickson. As Dijaya’s financial year (FY) ended in 31 December 2011, the company has recorded a 51% increase in net profit to RM65 million on the back of a 28.42% increase in revenue to RM375 million. For the second quarter, net profit jumped to RM107.2 million from RM20.8 million previously on the back of a 66% increase in revenue to RM70.7 million. The 417% increase in net profit was mainly due to the fair value adjustment on investment properties, as well as contributions from its developments. “I am personally very bullish about the growth of the Johor property market. I wished I had gone there earlier. I was invited by Tan Sri Lim Kang Hoo (Executive Chairman of Ekovest Berhad) many years back to join the Johor development projects. I didn’t. How I regret not doing so,” says Danny. “I was so surprised that my Johor units sold out faster than some of our Klang Valley units. I truly believe that once the land links between Singapore and Malaysia is sorted out, there will be a whole new dynamic to Johor property,” says Danny. Even more surprising however, was that the road was closed again that very evening. The Mall has been giving security issues its utmost attention: buggy and escort services since 2008, installation of panic buttons in the car park in May 2010, and daily joint patrolling with Sea Park police personnel during peak hours since mid-July 2012. A fire drill was also held at Tropicana City Office Tower with assistance from the Bomba unit. The exercise – 193 office workers were evacuated – simulated an actual fire emergency with ‘smoke’ billowing from Level 7 and two ‘victims’ who were given first aid treatment by the security and Bomba teams.
