(PVCT) recently received an allowance of its patent application in India covering its lead dermatology agent, PH-10, along with a number of related agents. The pending patent covers topical products for treatment of skin diseases such as psoriasis and eczema. Additionally, a range of active compounds are protected, each related to the active ingredient in PH-10. 1 January 31, 2008 page The CFO of Provectus, Peter Culpepper, told Knobias on Wednesday, “The allowances of Provectus’ patent applications in India are important for several reasons. Most importantly, this provides control over competitors that might wish to manufacture our products in India for sale in India or elsewhere in the world, including the U.S. and Europe. Since pharmaceutical manufacturing is a global business, such control is crucial. Secondly, it protects the Company’s domestic market in India, where the rapidly expanding middle class already outnumbers the population of the U.S.” “These allowances also demonstrate that Provectus is global-reaching in its strategy and is successful in executing that strategy. Such scope provides value directly to Provectus and for any potential partnerships Provectus may develop for co-development, manufacturing, sales or distribution of the covered products.” “We have been aggressively pursuing protection of our intellectual property assets in major markets worldwide, including the U.S., Mexico, Canada, the EU, India, China and Japan. Each of these markets represents an important opportunity for the Company’s products. It is likely that marketing and distribution to these markets will occur via partnership with one or more major pharmaceutical partners.” The Company is currently conducting a Phase 2 clinical trial of PH-10 for psoriasis. PH-10 is a topical gel that contains Rose Bengal, the active ingredient in PH-10. Rose Bengal is “photoactive” and reacts to light of certain wavelengths, increasing its therapeutic effects because it selectively treats diseased tissue with negligible potential for side effects in healthy tissue. In a Phase 1 study, PH-10 was applied topically to psoriatic plaques and then illuminated with green light. In the first study, a single-dose treatment yielded an average reduction in plaque thickness of 59% after 30 days, with further response noted at the final follow-up examination 90 days later. Further, no pain, significant side effects, or evidence of “rebound” (increased severity of a psoriatic plaque after the initial reduction in thickness) were observed in any treated areas. There is no known cure for psoriasis at this time. The majority of psoriasis sufferers, those with mild to moderate cases, are treated with topical steroids that can have unpleasant side effects. None of the other treatments for moderate cases of psoriasis have proven completely effective. The 25-30% of psoriasis patients who suffer from more severe cases generally are treated with more intensive drug therapies or PUVA, a light-based therapy that combines the drug Psoralen with exposure to ultraviolet A light. While PUVA is one of the more effective treatments, it increases a patient’s risk of skin cancer. PV-10, a sterile injectable form of Rose Bengal for direct injection into tumors, is retained in diseased or damaged tissue but quickly dissipates from healthy tissue. The Company believes it can develop therapies that confine treatment to cancerous tissue and reduce collateral impact on healthy tissue. Provectus expects to commence a Phase 1/2 liver cancer trial during the first half of 2008. (CKSW) was down 18.765% after the company released its Q4 earnings, which Q4 results ended December 2007 revealed revenues of $10.41M, up 11.70% versus last year, but missing consensus by 12.52%. Adjusted Q4 EPS was down 50.00% versus last year, missing consensus by 66.67%. The numbers are below the company’s plan due to large deals signed on a project basis. This means ClickSoftware will be recognizing revenues over the next twelve months rather than in one lump sum, a major reason for its record backlog of more than $20M. The company started guidance for the year with a projection of $39M, then in Q3 increased that to $41-42M. Said ceo Moshe BenBassat, “While top line figures of $40M was below guidance, record booking of $46M shows it’s just a matter of timing for revenue recognition.” The company says it will use its signifant cash growth to $24.7M in actively seeking growth in 2008. The company receives a substantial amount of repeat orders from customers who have already deployed their product, so instant revenue recognition stands at approximately 30-40%, leaving 60-70% of total revenues to rely on percentage of completion. Said BenBassat, “With growth having leveled off last three quarters from an overall industry slowdown, Q4 was productive in terms of win percentage, having won contracts from 3 majors and a number of smaller businesses. So in terms of competitiveness, we’re as strong as before, and in the 40-plus win rate percentage in market share.” Currently, the company sees no delays from projects in North America, and so far the telecom and utilities segment has not experienced a slowdown. NuCO2 Inc. (NUCO) announced that it signed a definitive merger agreement on January 29, 2008 to be acquired by an affiliate of Aurora Capital Group, in a transaction with a total enterprise value of approximately $487 million. Under the terms of the merger agreement, Aurora will acquire all of the outstanding common stock of NuCO2 for $30.00 per share in cash. The purchase price represents a premium of approximately 24.6% over NuCO2’s closing share price of $24.08 on January 29, 2008. The Board of Directors of NuCO2, by unanimous action of the independent directors, approved the merger agreement and recommends to shareholders that they vote in favor of the merger. CORPORATE SPONSOR Magal Security Systems Jumps on Turnkey Project Orders Shares of Magal Security systems (MAGS) jumped in early trading on Wednesday following the Company’s announcement of $45 million in new orders. Magal Security gained as much as 25%, reaching a high of $7.50 on increased volume after closing at $6 on Tuesday. The Company said the orders are for a turnkey project to protect critical infrastructure facilities. The $45 million total will be recognized over the next two years, but still represents a significant percentage in comparison to Magal’s currently reported TTM revenues of $74.3 million. The Company is engaged in the development, manufacturing and marketing of computerized security systems, which automatically detect, locate and identify the nature of unauthorized intrusions. Magal’s products are currently used to protect national borders, airports, correctional facilities, nuclear power stations and other sensitive facilities from terrorism, theft and other threats. China Finance Online Updates Guidance; Expects Non-Cash Charge China Finance Online (JRJC), a leading Chinese online financial information, data and analytics provider, updated its guidance on Wednesday which caused shares to rally after the opening bell. The Company noted that the fourth quarter saw solid growth in the retail sector, the Company’s core business, despite a volatile stock market in China. The Company employs a deferred revenue balance because of prepaid subscriptions. The Company expects deferred revenue for the fourth quarter of 2007 to be between US$24 million and US$25 million, which would be a record for the Company, compared to US$6.4 million in the fourth quarter of 2006. Net revenues are expected to be in the range of US$8.7 to US$9.0 million. China Finance Online expects adjusted earnings to be in the range of US$3.0 million to US$3.4 million in the fourth quarter of 2007, compared to an adjusted net loss of $149,000 in the fourth quarter of 2006. The figures exclude a non cash impairment charge against its investment in Moloon, a provider of mobile stream media technology and services. The Company estimated that by the end of 2008, there would be 22M outstanding, evident by the fact that 22M was the number outstanding used to calculate 2008 guidance. Using that number of outstanding, the Company is guiding for an adjusted EPS in the fourth quarter of 14c-16c. Ron Bellistri will replace him on an interim basis. The news follows an announcement on Tuesday that the SEC has filed a complaint against Stinger and Gruder relating to allegations of Securities fraud from Oct. 2004 to March 2005. Gruder stated in Wednesday’s press release, “I believe that the Company can be best served by moving forward without distractions and continuing to focus on its mission of striving to be the best at what we do. Therefore, in light of the case filed recently by the SEC, I will step down as CEO while that matter is pending.” Shares of Stinger recovered somewhat during the Wednesday session after losing over half their market value on Tuesday. The Company was trading at 67 cents around midday, up 8 cents from its previous close of 59 cents. SHARES UP AFTER STRONG Q2 RESULTS AND ABOVE ESTIMATES GUIDANCE: Shares of FTD Group Inc (FTD) were spiking in early intraday trading on Wednesday after the Company announced in pre-market news that it had achieved positive Q2 results and is seeing FY08 guidance above current consensus estimates. FTD reaffirmed FY08 revenue of approximately $645M, which is slightly above the consensus estimate of $643.5M and FTD also reported it was increasing FY08 EPS to $1.35 from $1.23. Current FY08 consensus estimate is $1.23. In addition, the Company reported Q2 revenues of $155.49M; up more than 2% Y/Y, and Q2 EPS was 30c; up almost 43% Y/Y. Currently, FTD shares are up $2.05, or almost 20%, on slightly above normal trading volume. CLOSES $91.2M CONTRACT: Magnum D’Or Resources, Inc. (MDOR) announces the signing and closing of a 5 year, $91,200,000.00 ($18,240,000.00 annually) contract, with National Sales & Supply for rubber buffings effective immediately. This signed agreement between Magnum and Bensalem, PA based National Sales & Supply is for rubber buffings. SUBSIDIARY RECEIVES $60M ORDER: MFRI, Inc. (MFRI) announced that its Perma-Pipe subsidiary has received an order to perform the factory insulating and jacketing services for a 600 KM long 24 inch diameter heavy crude oil pipeline. The value of Jindal’s contract is in excess of $200,000,000 USD. The insulation and jacketing work, included in Jindal’s contract, has a total value of approximately $60,000,000, which includes the value of the insulation materials to be procured by Jindal as well as other services to be provided by Perma-Pipe. CHOSEN BY U.S. DEPT OF ENERGY: Pacific Ethanol, Inc. (PEIX) announced the U.S. Department of Energy has included Pacific Ethanol in a matching award totaling $24.32 million to build the first cellulosic ethanol demonstration plant in the Northwest United States. The plant will employ a technology to produce ethanol from wheat straw, wood chips and corn stover and will be co-located at the site of Pacific Ethanol’s existing corn-based ethanol facility in Boardman, Oregon. Pacific Ethanol’s partners in winning this competitive process are, BioGasol ApS and the Joint BioEnergy Institute (Lawrence Berkley National Laboratory and Sandia National Laboratory). BioGasol ApS has developed the proprietary technology and the Joint BioEnergy Institute will be providing support and specific research and development on enzyme technology. BROADENS PORTFOLIO WITH AGREEMENT: Plexera Bioscience LLC, a wholly owned subsidiary of Lumera Corporation (LMRA), announced an option agreement with Auguron Biosciences, Inc, giving them rights to exclusive access to use Auguron’s Nucleic Acid Programmable Protein Array technology on the Plexera Kx Array Platform. The Agreement provides Plexera exclusive access for a one year period with terms for a one year extension. Plexera will test and develop NAPPA as a content source for Kx in collaboration together with Auguron and other strategic partners. At any time during the period, Plexera may exercise the option to negotiate an exclusive license to NAPPA within the field of detection by or depending upon SPR, the label free detection method used in the Kx Array platform. The fundamental terms of the license are pre-agreed in the option. Should Plexera exercise the option, the companies envision a strategic relationship where Auguron produces and supplies NAPPA enabled microchips to Plexera. The internal development teams are on track to launch the Kx5 biosensor instrument in May, 2008 to the therapeutic antibody development market. This option agreement provides protection to fully investigate and develop NAPPA and Kx into an integrated solution that will broaden product offerings.
