Black Wall Street International is allocating over 90 million dollars to the construction of a
Financial Center in the major city of the state of Illinois (BWSI Mid West Region), and over
1.57 Billion dollars in over 15 other cities across the United States through the BWS
Development Corporation and GPCS along with BWS Las Vegas as the prototype.
Black Wall Street Financial Centers can be recognized as a thriving ‘urban center’ styled
area, with black businesses, industry, and culture. A one-three square mile section of the
city that has 45% or more businesses owned by African Americans.

Organizing for Development:
Do you want to represent a City, County, or State as a BWS Sponsor or Affiliate and being
able to generate funds by signing up new BWS(Local Name)/Spiral Funding members? If
so, Contact BWSI Headquarters and sign-up by filling out an application for a BWS
Sponsorship or Affiliates, and designate your organization as a BWSI Sponsor for your
community by indicating a City, County, or State on your application. State Chapters will
be incorporated as a for-profit “BWS (State)”, with expanded local chapters being a
Chapter of their respective state organization. If the state chapter is not yet established,
your locality will be a chapter of BWSI with a pre-approved fiscal sponsorship from GPCS
our organizational partner, temporarily until the state is set up with the IRS.
Depending on the population size in the area that you choose, there will be a setup fee for
processing your territory, with the fee being payable upon getting started. If
arrangements are needed, a minimum can be submitted (TBD according to territory
population), with the remaining balance financed by BWS Development Corporation and
minimum payments coming from a portion of your spiral funding sign-up proceeds.
Included in the set-up cost is the documentation preparation for the filing of your official
entity (Articles of Corporation, Bylaws, Statement of Information, DBA’s) with local
authorities.

BWS International will be filing a for profit, non-profit or DBA business (depending on the
desires of the founding local board member) with the local authorities in your designated
area with the cost for setting up such an entity covered by your set-up fees. In short BWS
International will not only be supplying your BWS local Chapter with capital and resources
to grow your financial business district, but we will also include support, advertising
material, and access to our financial network (domestically and internationally) for
ongoing financial support.
BWSI Policy and procedure Manual will go into more detail with regard to your post as a
BWS State/Local Chapter Sponsor, as well as that of Affiliates. Do you have the support
from the business owners in the potential district? Is there any opposition? Examine how
they will be participating in group economics, and how can all of the potential vendors
participate. These will be some of the preliminary questions that you will need to answer
as you strike out to recruit board members, and generally get things set up in your local
area.
You want to start with existing local businesses! Make them all FREE members, who can
then connect to whatever resource benefits they need (Spiral Funding, Legal Services,
Accounting Services, Payroll Services, etc.,), especially from our network partners.
Your local BWS will receive a percentage of the business activity coming from your local
area. Requesting that local members pay $75.00 to $125.00 to join the national scope of
BWS International is insane. More of our people will join if the membership is free. Then
allow that member to pick and choice which products they want to participate in. Instead
of collecting $1,400.00 from 20 people joining at $75.00 annually, you can collect
$76,000.00 by singing up 4500 people in your area for free and half of the new members
choice to connect to products again such as Spiral Funding, Capital Funding, Insurance,
Jobs for Sales, CNV, Mortgages, and more…
Documentation Filings:
BWS Development Corporation will assist members with this process of establishing the
proper entities/vesting for activities. Contact Black Wall Street International’s Sponsor
Services (800) 718-7606, as a registered Sponsor for submission of the necessary
incorporating documents.
Articles of Incorporation: Create Articles of Incorporation at the state level. BWSI can
provide document templates for you to customize, and if the budget exists there are also
services that can be employed to get this portion of the work done. Then simply modify
them if/as needed as your Business Districts needs grow and/or change.
Bylaws: Create official Bylaws. Feel free to utilize and customize the template provided
by BWSI, then simply modify these as well as your district needs grow.

Set specifics of initial meeting with business owners:

Establish meeting format and agenda
Assign hospitality responsibilities including coffee/tea/sodas, name tags,
sign-in sheet.
Regular Meetings: New districts are required to meet at least twice per month to
establish a record of minutes, agendas and resolutions documentation. Evan possibly
make it a bit of a social event, radio or some from of advertising and all. Now, since this
is a ‘public entity’, you must remain multi-racially inclusive. Anyone in line with the mission
of our organization can be involved. They may or may not however, qualify for all
products, programs or benefits offered by our strategic partners, as they may be culturally
targeted partner offerings as some of them are private organizations.
Establish your Local leadership:
Summit forms BWS 4344 identifying your Local Participation (City, County, State)
Identify your Board Members, Executives, and Staff.
Identify the people to be involved:
City, county and/or state officials
Public and Private sector agencies
Community volunteers and other interested persons
After receiving your paperwork and acknowledged documents from the local authorities.
Obtain an EIN from the IRS by going online and at www.irs.gov and complete the online
application. (it’s free).
Once all this is done, establish bank accounts with as much as you can; minimum starting
deposits acceptable if necessary. The account should be for your BWS Business

Overview
The New Markets Tax Credits (NMTC) program began in 2001 as a federal initiative to generate employment and other
benefits for residents of low-income communities. The program provides income tax credits to financial institutions in
exchange for investment in a Community Development Entity (CDE). The CDE uses these funds to provide low interest rate
loans (2-2.5 percentage points below market), high loan-to-value ratios (as high as 95% of development costs), and the
potential for partial debt forgiveness to businesses or real estate projects in qualifying areas.
To date, CDEs serving Illinois have been granted a total of 58 NMTC allocations totaling $3.6 billion, or an average
allocation of $62 million per CDE. From 2004-2007, more than 80% of projects using New Markets Tax Credits financing in
Illinois were located in Chicago.
How it works:
The NMTC program involves a series of credits and
investment flows:
1.
Banks, nonprofits, private equity firms, state finance
agencies, etc. apply for Community Development Entity (CDE)
qualification and tax credit allocation.
2.
CDEs are awarded tax credits through a competitive
application process.
3.
Investors provide equity to a CDE in return for a 39% income
tax credit spanning 7 years.
4.
CDEs use the investor equity to provide financing (lowinterest or forgivable loans and/or equity) to projects in low
income communities.
NMTC Allocations and Project Highlights
In 2009, 13 allocations were made to CDEs serving the
Illinois market, including the Chicago Development Fund (CDF), a CDE established by the City of Chicago in 2005. This fall
Tim Geithner announced an additional $55 million allocation for the CDF. World Business Chicago works closely with the
CDF to provide businesses with New Market Tax Credit assistance to expand or locate operations in Chicago. The CDF

targets industrial projects, grocery-anchored developments in “food desert” areas, and community or cultural facilities.
Chicago Development Fund Project Highlights

Imperial Zinc – after a fire destroyed Imperial Zinc’s main production facility in the historic Pullman neighborhood, the CDF
provided $6 million in NMTC financing to help build a new 80,000 square foot plant.

Gary Comer College Prep – through $21.5 million in New Markets Tax Credits, the CDF is assisting Gary Comer College Prep
to expand into a new 45,000 square foot school facility adjacent to the Gary Comer Youth Center with 25 classrooms, four
science labs, and a computer lab. Construction on the new facility is anticipated to finish in August 2010.

Community Career Training & Economic Development Center – the CDF provided $9.3 million in NMTC financing for The
Greater West Town Community Career Training & Economic Development Center, a job training and placement center for
unemployed and underemployed individuals. Construction on the facility began in September 2009 and is projected to be
completed by July 2010.
