Dynamic growth and effective integration have given Frantschach the production capacity, the organisational strength and the global reach to meet the needs of our customers wherever they are. 5 3 A Statement from the CEO "The strategy of proceeding carefully and thoughtfully has served us well in the past and will continue to guide us in the future." Not just Bigger, but Better The Frantschach Group was well placed to weather the global economic downturn in 2001. Following the acquisition of 25 plants from AssiDomän in 2000, we successfully carried out a comprehensive programme of integration and organisational restructuring. Mastering such a major expansion presented many challenges, but our hard work and determination paid off. Today the Frantschach Group is much stronger than it has ever been before. In a period when throughout the paper and packaging industry machines were standing idle due to weakening demand, Frantschach's new size and structure enabled us to absorb the market weakness and finish the year with very respectable earnings. Group turnover was EUR 1,833 million and EBIT as a percentage of turnover was 8.6%. Although we made relatively few acquisitions during the year, we continued to invest heavily. Our total investments amounted to EUR 136 million. A new structure, a new product portfolio The creation of initially four and finally five divisions to ensure transparency and effective lines of responsibility was a key aspect of our efforts to meet the targets we had set for ourselves. Streamlining the product portfolio in accordance with customers’ needs was a further central task of the integration process. The recently launched "Frantschach Advantage” sack paper range is a perfect example of this. Europapier In 2001 the European paper merchanting suffered losses in volume and thus also in proceeds. Even in this difficult context Frantschach’s Europapier was once again able to maintain its strong market position, successfully increasing both its sales volume and turnover. 4 The basis of our success – the people of Frantschach Provision of increased support for our employees was a top Group priority in 2001. All of our programmes concerned with safety, health and environment (SHE) were successfully continued and intensified, with an enhanced sense of their critical importance to all concerned. For example, in Frantschach Pulp & Paper the number of lost time injuries was decreased by 37% compared to 2000. To coordinate and strengthen group-wide activities concerned with human resources a new corporate HR department was introduced. Additional investments in the Frantschach Academy were made in order to broaden the scope of its seminars, which play an important role in helping us maintain our competitive edge. In 2001 seminars were opened for the first time to customers interested in profiting from Frantschach’s know-how. The most advanced technologies – to serve our customers Frantschach is able to develop innovative solutions to meet customer requirements, thanks to both our material and our human resources. We have at our disposal the latest, most modern technologies and equipment, plus a long tradition of technical expertise. But the real keys to our success are the Group’s solid shareholder structure, consisting of the Mondi Europe and Frapag Groups, and the skill and motivation of our employees, who use our assets to directly benefit our customers. Our Internet-based e-sales system is just one of many examples of Frantschach’s ability to effectively use new technology. A recently created IT joint venture with Boehler-Uddeholm, called IS4O, will generate further synergies, providing added value for our customers. Outlook Foresight and timely action enabled us to end 2001 in a healthy financial state, despite the worldwide economic slump. Our new strength puts us in a position to explore possibilities of continued growth, especially in the areas of flexible packaging and coating. We will take advantage of such opportunities to the extent permitted by our organisational and human resources. Thanks are due to all of the Frantschach employees for doing a superb job in 2001. In addition, the full support our shareholders have given us in all our undertakings has been crucial to our success. Ve i t S o rg e r 5 Frantschach Acquisitions in 2001 SPRING: SUMMER: - Participation in FIP Swiecie and FIP Mielec was increased from 35% to 100%. - The PrintPac company in Sweden was acquired. - Frantschach Coating Czech was founded. - The three plants of OIP in Morocco were acquired. AUTUMN: WINTER: - Cempack in Hungary was acquired. - The acquisition of Ekovreca in Croatia was finalised. - An IT joint venture called IS40 was set up with Boehler-Uddeholm. - MOPICO in Jordan was acquired. - The former NAPIAG company was divided up and its operations were integrated into FIP Austria, FC Austria and FCB Austria. - SNPP in Lebanon was acquired. 7 1881 – The beginning The original Frantschach company was founded by Graf Henckel von Donnersmarck in 1881 in Frantschach-St. Gertraud, a small town in the southern Austrian province of Carinthia. He opened a pulp mill that produced 530 metric tons of pulp a year on the site of a former iron foundry. By 1907 three paper machines had been installed. 120 years of Frantschach 1912 – New ownership The company was leased to DeutschOesterreichische Papierfabriken AG 1920 – A single owner Wilhelm Hartmann, a board member of DeutschOesterreichische Papierfabriken AG, bought the company after the First World War. History 1938 – German control After the annexation of Austria by Germany the company was taken out of the hands of its owner and turned into a German concern. 1952 – A new start After the Second World War Frantschach Pulp & Paper AG was re-established under the leadership of Fritz Hartmann, the son of Wilhelm Hartmann. Their family still owns shares in the company today. 1988 – Reorganisation A new company structure was established in which Frantschach AG became the group holding company for its subsidiaries. In the same year the Neusiedler Group was acquired. 1990 – Expansion into packaging Frantschach expanded its packaging business with the acquisition of the Swiss Roxxo Group and its subsidiaries. Additional packaging companies were acquired in the following years. 1992 – A new partner on board Following two years of close cooperation Mondi Europe, a 100% subsidiary of Anglo American, acquired a stake of 44% in the Frantschach Group. This stake was increased to 50% in 1996 and to 70% in 2000. 2000 – A global player In 2000 Frantschach made the biggest acquisition in its history with the purchase of 25 plants from AssiDomän’s sack kraft, industrial sack and coating sections. The entire transaction was valued at EUR 560 million. This gives customers the added benefit of having clean sacks with good slip resistance. In addition, a full range of bleached and polyethylene-coated papers is offered. From the Advantage portfolio Advantage Kraft is a sack kraft paper with high stiffness und excellent runnability. It is appropriate, for example, for open mouth sacks in which high tensile strength in machine direction is needed. Advantage Semi-Extensible is, as its name indicates, a semi-extensible sack kraft paper combining high tensile energy absorption (TEA) and excellent runnability. Its versatility makes it suitable for a wide range of applications. Advantage High Strength is an extensible and very strong sack kraft paper with excellent runnability and outstanding TEA. It is the right choice for extremely demanding applications. Advantage Speed, Stabil and Select are three versions of top grade extensible sack kraft paper in which high TEA and excellent runnability are combined with high porosity that provides excellent air permeability without strengthreducing perforation. Sales in 2001 by market segment (in metric tons): Pulp 184,627 Important investments during the year included the rebuild of a paper machine, PM5, in Poland, which primarily produces lightweight kraft liners, 16 477 450 and the rebuilding of the wood yard at the Czech mill, whose improved operation has led to greater efficiency, cost savings, better productivity and higher quality pulp. The market in 2001 was not unsurprisingly characterised by ups and downs. In the second half of the year orders for sack paper fell significantly, necessitating cutbacks in production and down time for paper machines at all four plants. Despite weakening demand, sack kraft prices remained relatively stable. In the market pulp market there was a drastic reduction in prices, resulting in less favourable results than in the previous year. But in view of the difficult circumstances the performance of Frantschach Pulp & Paper was satisfactory. On a positive note, the CCM market was more stable, with sales exceeding expectations. A slight increase over the previous year was achieved, although a trend towards decreasing prices was evident from mid 2001. Emphasis will continue to be placed on keeping costs as low as possible in order to safeguard the division’s strongly competitive market position. 400 in metric tons / employee Investment plans include a rebuild of PM6 in Austria, PM3 in the Czech Republic, as well as PM3 in Poland, both to increase production capacity and to improve quality. Sack Kraft Paper 613,018 Supported by an external consulting firm, the integration project sought to increase synergies, to find ways of operating more efficiently and to reduce costs. An internal benchmarking program was carried out to determine best practices that were then implemented in other plants. Specific tasks included assessing and improving the maintenance of equipment, the procurement of raw materials, and logistics. The welcome end results of the project were an increase in productivity, despite reduction of the workforce, and greater production capacity. In fact, over the past four years the division has been able to increase overall productivity by 17.7% per year. 500 422 Corrugated Case Materials 628,907 The division’s main focus was on the integration of the two new mills, one in Sweden and one in the Czech Republic, acquired from AssiDomän in the second half of 2000 and in the consolidation of resources. The successful completion of these efforts made it possible for Frantschach Pulp & Paper to present itself to customers as a uniform, well-integrated organisation. In line with a decision made in 2001 the division plans to increase production of bleached paper in 2002 in order to complement its existing strengths in unbleached paper and to provide customers with an even more attractive product portfolio. 350 348 300 285 250 200 1998 1999 2000 2001 FPP total Thanks to Frantschach... With sales of 2.8 billion units per year, the division provides ready-made and customised packaging solutions for building materials and cement, the chemical industry, food and animal feed. 18 19 FRANTSCHACH INDUSTRIAL PACKAGING FRANTSCHACH INDUSTRIAL PACKAGING DIVISIONAL PROFILE Strength with technical sophistication PRODUCTS The Frantschach sack With more than 80 years of experience in the industry to its credit, Frantschach Industrial Packaging has a broad product portfolio, ranging from quickly fillable, air permeable, ultra-strong sacks for building materials to sophisticated sacks for the chemical, food and feed industries, which offer features such as hermetic sealing, vacuum sealing and barrier liners. The most modern production facilities combined with a commitment to meeting customers’ individual requirements enable the division to fully exploit the sack’s potential as a preferred packaging solution of the 21st century. Innovations that make a big difference LC-Inliner: What happens inside a sack is just as critical as its outside features. The secret of the LC-Inliner is a one-piece plastic tube that makes it possible to 20 completely fill a sack without leaving unused space at the bottom and dispenses with the unwieldy conventional Z-fold. Less PE material is required, there is less risk of damaging the film during the filling process and the liner can be easily separated from the outside of the sack for easy recycling. PJ-Valve: Water-soluble, explosive or heat-sensitive goods are not conducive to sack closure methods using heat, hot melt or glue. The resulting consolidation increased the productivity of the remaining plants and enhanced their competitive edge. Specialisation was stepped up, processes were simplified and the utilisation of equipment was improved. Work continued on the ISCA (Industrial Sack Competitive Advantage) project aimed at substantially improving productivity and creating a sound basis for future improvements through an optimal IT standard solution. It has a broad product portfolio of sophisticated solutions for consumer goods such as food, pet food, cleaning and personal care products, as well as for special applications in the paper and pharmaceutical industries. 24 25 FRANTSCHACH FLEXIBLE PACKAGING FRANTSCHACH FEXIBLE PACKAGING Flexibility comes from years of hard work and best practice PRODUCTS The stand-up pouch Frantschach Flexible Packaging is the leading supplier in Europe of pre-made pouches for food, pet food, liquid household products, personal care products, and chemicals. This exceptionally convenient and user-friendly packaging solution, for which Frantschach received the Austrian National Prize for Product Innovation in 2000, is extremely durable, both chemically and physically, and can be sterilised in a further production process. A wealth of structural options – such as reclosable openings, spouts, laser perforations, and a wide choice of different sizes and shapes – and impressive printing capabilities offer virtually unlimited possibilities for modern product presentations that easily attract first users and turn them into loyal customers. Printed film, paper and laminates With a production output of 255 million square metres Frantschach Flexible Packaging is one of the leading suppliers to the fast growing consumer goods industry in Central and Eastern Europe. It has a strong position in the Scandinavian market in the areas of bread wrapping and ream wrapping. Of special importance is the food packaging industry, in which non-perishability and barrier characteristics play an important role. Exceptionally high quality printing optimises the visual appearance of products. Continuing efforts to assure consistent high quality are a top priority. Further investments in technology will be needed, especially to achieve even greater speed in the detection of errors, thus reducing waste. Careful attention will also be paid to the ongoing training of the people who operate the plants’ fast-running machines. The main items on the division’s 2001 agenda were integration, restructuring of resources and important investments, all focused on the goal of being able to meet the future demands of the rapidly expanding market for flexible packaging solutions. As planned, one plant in Hungary was closed and a total of EUR 8 million was invested in the three remaining plants, primarily in production technology. The division as a whole was able to increase productivity by 20% compared to 2000. Hungary: The greatest structural change took place in Hungary, with the closing of a plant and subsequent concentration of production at one location. More than EUR 2 million were then invested in modernising production equipment and plant facilities, successfully bringing everything up to state-of-the-art technology. Two flexo printing machines were added, and a rotogravure machine was dismantled for relocation to FFP Austria. A new management team succeeded in improving performance. Thanks to extraordinary efforts on the part of the entire team, all customers were retained during the restructuring process. Poland: At FFP Poland a change in the product mix along with operational improvements led to better margins. Overall net sales rose by 20%, and 10% of the year’s net sales was achieved with new 28 customers. The investment in a new solvent laminator expanded technological capabilities, enabling the plant to produce more sophisticated laminates. Emphasis will also be placed on further streamlining of the product mix in order to boost the overall perception of Frantschach Flexible Packaging as a provider of high performance packaging solutions. Sweden: The former PrintPac company, a well-established supplier of bread wrapping, ream wrapping and other paper-based flexible packaging products to the Scandinavian market, was acquired in March 2001, renamed FFP Sweden and integrated into the Frantschach Flexible Packaging Division by the end of 2001. The company will now enhance its production technology and expand its product portfolio for the consumer goods industry. Austria: The production capacity of FFP Austria was enhanced by the construction of a new printing hall with a new ink mixing system as well as a plate mounting system. Two old printing machines, a flexo and a rotogravure, were retired and their places were taken by state-of-the-art machines that are twice as productive. An additional machine for the production of stand-up pouches was acquired to meet the strong demand across Europe for this lead product. Greater capacity and rising demand also necessitated an increase in personnel. Overall net sales grew at a rate of 18% and the number of new customers increased by 10%. Thanks to Frantschach... The division responded to this by initiating greater specialisation of production facilities in order to achieve economies of scale and instituted other measures aimed at enabling it to distinguish itself as a cost leader. A Market Review Project was carried out to analyse markets, geographical target groups, and trends, with the critical goals of maintaining a clear understanding of where the market is going and how the division can best respond to changing conditions. As part of the thrust towards greater specialisation and clearer definition of marketing objectives, Frantschach Release Liners, which produces high-tech siliconised release liners for the self-adhesive industry, was separated from Frantschach Coating in September 2001 and became Frantschach’s fifth division. At the beginning of 2002 a new divisional approach worked out in the last quarter of 2001 was put into effect. Its objectives are to identify and fulfil local and regional needs with increased effectiveness and to assure quick responses to market conditions. Working together with customers, Frantschach Coating will exert stronger efforts to heighten its presence in promising market niches. In addition, new geographical markets in Central and Eastern Europe as well as overseas will be developed. Both of these strategies promise to deliver continuous growth. Thanks to Frantschach... Packaging that makes life easier In Industrial Products, the business segment that concentrates on non-packaging solutions, sales picked up noticeably in the building and specialities markets, whereas rather stagnant developments characterised the automotive and imaging industries. A promising new project involves a gas barrier membrane for building applications. Since July, a salesperson in the USA has been energetically contributing to expansion on the North American continent. In that year the chemical department urged the company to "refine” some of its paper by coating it with plastic. This was the beginning of a tradition of coating that made a giant step forward at the plant in 1980 when the world’s first inline coating system for siliconised papers with double-sided polyethylene coating went into production. Dubbed the "Elephant from Raubling”, this oversized installation realised the idea that much could be gained if all of the steps of coating and printing could be done in one manufacturing process. Today the descendents of the Elephant at the plant are clearly creatures of the 21st century. They are four highly sophisticated tandem extruders with integrated silicone coaters solely devoted to the specialised production of top quality high-tech release liners. At the present time a substantial investment in a new plant for the production of siliconised films is under consideration. A fourth tandem extrusion line with an integrated printing lacquer station went into operation, significantly increasing the plant’s production capacity. This substantial investment strengthens the division's ability to maximise its share of the rapidly growing release liner market. As it does every year, the company reinvested 3% of its annual turnover in product optimisation and development. New working facilities were provided by the construction of a new office and laboratory building. The year was also marked by the nostalgic celebration of the company’s 50th anniversary of involvement in coating technology, now the heart of its business. Since customer satisfaction with products and services has the highest priority at Frantschach Inncoat, efforts were continued in 2001 to strengthen relationships with customers on both a technical and business level and to increase efforts to understand and meet their needs. In 2001 a new corporate Human Resources department was established to coordinate HR activities across the Group. It assists with external recruitment, team and staff development, and the effects of change and restructuring. A high HR priority in 2001 was the integration of diverse corporate cultures in different countries to form a cohesive Group with common values and goals. Frantschach intends to remain a decentralised organisation, but it is committed to setting unified corporate standards and guidelines for its personnel. The vibrant identity of the Frantschach Group is reflected in its corporate climate. Frantschach employees are highly qualified, strongly motivated and hard working. Junior staff work hand in hand with experienced colleagues, who prepare them for future leadership. The exemplary Frantschach Academy runs regular seminars providing the continual training needed to meet the demands of today’s fast-moving world. Seminars are conducted by top experts from throughout the Group and in cooperation with leading companies in various fields. Thanks to the popularity of the seminars, in 2001 the number of participants increased by 62% compared with 2000. SHE With respect to safety, health and environment (SHE), Frantschach takes its responsibilities to its employees, contractors and communities very seriously. The ultimate goal of Frantschach's ambitious "Zero Tolerance, Target Zero” programme is to eliminate potential SHE hazards completely. In a major step towards achieving the "zero" objective, in 2001 Frantschach Pulp & Paper reduced the number of lost time injuries by 37% compared with 2000. Natural resources lie at the heart of Frantschach's business. Protecting them for future generations has always been a top Group priority. This commitment is underscored by successive ISO 14001 certification of plants, based on the fulfilment of stringent environmental criteria, and by plant performance better than that required by national standards. Group-wide purchasing Frantschach’s production sites use enormous quantities of raw materials. To maximise cost savings, as well as quality and service, a purchasing network was set up in 1999 to coordinate procurement not only for Frantschach, but also for affiliated companies. In 2001 the network’s team of purchasing experts secured impressive cost advantages through master agreements, which govern actual orders. The dimensions of the supplies involved indicate the scope of the programme: 66,000 tons of starch, 40,000 tons of sodium hydroxide and 13,000 tons of hydrogen peroxide for 24 paper machines and 7,000 tons of glue and 3,000 tons of printing ink for 30 Industrial Packaging plants. In 2001 overall savings of EUR 11.2 million were achieved through the group-wide purchasing network. Since promotion of innovation is also an important goal of group-wide purchasing, the network has launched joint product development with selected suppliers.
