This year our primary marketing and business development emphasis is on increasing contacts
and networking between various practice sections within State Capital Group’s member
firms. The success of our activity over the years, resulting from the early emphasis on state
government relations work, has proven that referrals result from regular interaction between
member firm attorneys. Similarly, our bankruptcy practice section has been very active over
the last several years, which has translated into new client work between our member firms.
We hope to continue the success in these areas by engaging a wide range of practice areas
involving attorneys from all over the world.

To this end, we will be planning a series of free-standing, practice-specific seminars throughout
the year. Each seminar will be held in an easily accessible location and will be a low-cost, shorttime commitment event. These meetings will offer several sessions for which we will apply
for CLE accreditation and will provide networking sessions and opportunities to market your
firm’s practice to other members of the Group. The first in this series of seminars is expected
to focus on healthcare law and will be held in late July 2010 in Nashville, Tennessee. We will
send more information to the voting representatives about this initiative in the coming days.

You will also notice that we are arranging several networking events in the coming months that
have been scheduled in connection with other industry events. On May 24th, State Capital
Group is hosting a reception at the Hotel InterContinental in Boston for all Intellectual Property
Law attorneys attending the INTA Annual Meeting in Boston, as well as any other attorneys
in the Northeast region of North America who are planning to attend the Northeast Regional
Business Session to be held during the afternoon of May 24th at the offices of Massachusetts
member firm Keegan Werlin. On June 27th, healthcare attorneys attending the AHLA Annual
Meeting in Seattle will gather for a networking dinner at a local restaurant. We will continue
to plan these networking events in conjunction with other conferences throughout the year to
encourage regular interaction among member firm attorneys in various practice sections.

Lobbying Handbook - Updates to the 2011 Edition
The production schedule for the 2011 edition of State Capital Group’s Lobbying,
PACs and Campaign Finance: 50 State Handbook, published by Thomson/West
Group, will begin next month. Chapter authors will receive their state chapters
in June and should expect to submit revisions to their chapters by early August.
Each year State Capital Group’s Lobbying Handbook is used as reference tool by
hundreds of businesses, trade associations and law firms across the country. More

Updates Needed for 2010 Edition

State Capital Group will begin updating the Incentive for Businesses: 50 State
Handbook to be ready for publication in July 2010. Authored by the U.S. member
firm attorneys, the publication summarizes the various business incentive programs
offered by states to promote economic development and serves as an excellent
research tool for companies opening a new plant location and researching the
incentives offered by states to attract new business facilities. The publication is
available exclusively on State Capital Group’s website at www.statecapitalgroup.org/
newspublications. All chapter authors should review their chapters and send any
changes, updates, comments or questions before July 15th to State Capital Group at
publications@statecapitalgroup.org.

Ireland for 2010 International Meeting
Join us June 17th and 18th for State Capital Group’s International Meeting in the historic and
charming city of Dublin, Ireland.
Ireland’s Attorney General Paul Gallagher will welcome attendees to Dublin on Thursday,
June 17. Following his remarks, the meeting’s Opening Session will focus on strategic
planning and profitability for law firms as the global economy emerges from the latest
economic crisis. Consultant Andrew Otterburn, who has advised more than 250 law firms
on their management and profitability, will focus his remarks on the need for law firms to
adapt to the current business models and identify opportunities moving forward so they

Midwinter Meeting Focuses on Law Firm Management Issues

Joe Altonji of Hidebrandt Baker Robbins opened the 2010 U.S. Midwinter Meeting with
his comments on “Navigating the Storm in the Legal Profession: Adapting Traditional
Law Firm Business Models to Changing Market Conditions.” During the Thursday
session, Altonji shared his thoughts about how the next several years will see an extended
period of profound and fundamental change to the legal industry as a whole, as firms
are challenged to rethink how they do absolutely everything – from the purchase of basic
office supplies to how they actually practice law. Along the way, firms will be forced to
reconsider strategy, culture, governance and the fundamental relationships among the
firm’s members, and between the firm and its clients. Altonji stressed that firms prepared
to confront these challenges head-on may find their opportunities for long-term success
dramatically enhanced.
On Friday, Bob Denney of Robert Denney Associates, Inc., continued the discussion of
law firm management issues with a slightly different perspective during his presentation: “The New Management Challenges – and
How to Meet Them.” This session provided practical advice about providing leadership, and supplied tips about practice organization
and management. His comments also touched upon client audits and strategic planning in an uncertain environment. Denney had
some helpful advice about capital funding, profitability, succession planning and providing clients with value through alternative billing
strategies. He ended with suggestions for recruiting people for the present and the future and training and development of lateral
and new hires.

Power of an Effective Legal Network
During the Orlando meeting, member firm attorneys spent time discussing ways to take

Partnering with Outside Counsel – A General Counsel’s View
Mark McGuire, General Counsel of diversified power management company Eaton
Corporation, participated in the Orlando meeting to share his experience working and
“partnering” with outside counsel. His legal responsibilities span the globe and the legal
spectrum as he oversees dozens of attorneys around the world on issues including trade
regulation, litigation, corporate governance and intellectual property.
After providing the attendees with a summary of the company’s operations and its legal
department, McGuire spoke of the opportunities for member firms with companies like
Eaton. He emphasized what works and what does not and pointed out the most common
mistakes law firms make while serving large corporate clients. McGuire highlighted that
two State Capital Group member firms – Adorno & Yoss, LLP in Miami and Quarles &
Brady LLP in Wisconsin – are among its key legal providers. Last year Eaton honored both
firms for their strong commitment to diversity as part of the Eaton Law Department’s
supplier recognition program.

Healthcare Trends and Policy Initiatives
Paul Herrington, Associate General Counsel of Humana Inc., delivered his presentation to
a packed session in Orlando, providing an in-house perspective of healthcare trends and
policy initiatives.
Herrington started his presentation by providing a description of Humana Inc.’s business.
Often confused with its prior business as a hospital company, Humana’s business now
focuses on providing insurance products and management services to self-funded health
plans. Some of Humana’s products are health care coverage and specialty products, such as
dental and vision coverage. Humana is the second largest carrier in the Medicare Advantage
market, and along with its subsidiaries, operates in some form in 49 states and Puerto Rico.

Humana has about 20 in-house attorneys and most of them are in the company’s headquarters
in Louisville, Kentucky. The company utilizes a number of outside counsel. Herrington usually
hires counsel based on the attorney, not the firm. He looks for subject matter experts and
does not generally look for alternative fee arrangements when he finds one. With regard to litigation, he breaks it into three categories
– “bet the company” litigation, high dollar litigation and low dollar litigation (litigation less than $500,000). With low dollar litigation, he
believes that there are a lot of good trial lawyers who can handle the work and are willing to provide very favorable rates. With “bet the
company” litigation, he will look for premier lawyers and expects higher rates.
Herrington finished his presentation by discussing and providing insight into healthcare
reform. Vote on the reform was to take place the day after the Orlando meeting (March 21,
2010) and it passed. One feature of reform that will help Medicare members but add to cost,
will be to close the doughnut hole for prescription drugs. Currently, Medicare covers up to a
certain dollar amount and then picks up again after a certain amount is paid for by Medicare
members. The members are responsible for the amount in between - the doughnut hole.
Healthcare reform will also continue recent efforts to pay providers for quality of care, not
volume. One of the problems with these efforts is measuring quality, although there are
organizations such as NCQA and NQF that have developed guidelines. Attorneys General
have been active in investigating health plans that provide consumers with transparency
about the provider’s quality of care and cost efficiencies. For example, the New York Attorney
General has entered into an agreement with Aetna regarding physician performance
measurement reporting and tiering programs, and the Texas Attorney General has entered
into an Assurance of Voluntary Compliance with Blue Cross Blue Shield of Texas regarding
use of its risk adjustment cost index to remove providers from provider networks.

Georgia member firm Troutman Sanders LLP announced that it
has reorganized its management team. Robert W. Webb Jr., who
has been the firm’s Managing Partner for the past 17 years and
its Chairman since 2006, will retain the title of Chairman. Webb
will lead a team of four partners in top management positions
designed to match management skills with management
functions. The management team is: Stephen E. Lewis, the firm’s

Adams and Reese LLP
For the third year in a row, Louisiana law firm Adams and Reese
LLP has been named among the Top 100 Law Firms for “delivering
superior client service,” according to the BTI Client Service
A-Team 2010 report.
The firm has opened two new offices in Sarasota and St. Petersburg,
Florida. The addition of 23 attorneys in Florida increased the firm’s
size to more than 280 lawyers in 12 offices in 11 markets. John
M. Dart has been named Partner in Charge of the firm’s Sarasota
office and V. James Dickson has been named Partner in Charge of
the firm’s St. Petersburg office. The firm also opened a new Tampa
office, adding eight attorneys and a certified land planner.

Partner Gif Thornton, of the firm’s Nashville office, has been
elected Chairman of the firm’s Executive Committee, which
oversees the strategic operations of the firm and its attorneys and
staff in 12 offices.
Intellectual Property and Copyright Law attorney Casey Del
Casino received notice from the U.S. Copyright Office that his
discovery of a “significant gap” in the termination rights provisions
of the Copyright Act of 1976 will force the office to issue a ‘Notice
of Inquiry’, soliciting opinions and experiences of various authors
and stakeholders to make recommendations to Congress about
necessary amendments to the Copyright Act. The gap deals with
Section 203 and Section 304 of the Copyright Act and could affect
many songwriters and publishers in Nashville.
Partner Malcolm A. Meyer and probono nonprofit Louisiana
Appleseed Executive Director Christy Kane have teamed up
again by testifying in front of the Texas Senate Committee on
Intergovernmental Relations to try to help the state of Texas solve
similar property heirship issues.

Maupin has joined Nevada member firm Lionel Sawyer & Collins
Justice Maupin began his career in the legal field in 1971. He was
appointed as a district court judge in Clark County, Nevada in
1993, and was elected to the Nevada Supreme Court in 1996. He
retired as Chief Justice in January of 2009.
