In 2012, its roughly 306,000 associates generated sales of 52.5 billion euros. Since the beginning of 2013, its operations have been divided into four business sectors: Automotive Technology, Industrial Technology, Consumer Goods, and Energy and Building Technology. The Bosch Group comprises Robert Bosch GmbH and its roughly 360 subsidiaries and regional companies in some 50 countries. If its sales and service partners are included, then Bosch is represented in roughly 150 countries. This worldwide development, manufacturing, and sales network is the foundation for further growth. Bosch spent some 4.8 billion euros for research and development in 2012, and applied for nearly 4,800 patents worldwide. The Bosch Group’s products and services are designed to fascinate, and to improve the quality of life by providing solutions which are both innovative and beneficial. In this way, the company offers technology worldwide that is “Invented for life.” 306,000 associates 150 countries 5 The company was set up in Stuttgart in 1886 by Robert Bosch (1861–1942) as “Workshop for Precision Mechanics and Electrical Engineering.” The special ownership structure of Robert Bosch GmbH guarantees the entrepreneurial freedom of the Bosch Group, making it possible for the company to plan over the long term and to undertake significant upfront investments in the safeguarding of its future. Ninety-two percent of the share capital of Robert Bosch GmbH is held by Robert Bosch Stiftung GmbH, a charitable foundation. The majority of voting rights are held by Robert Bosch Industrietreuhand KG, an industrial trust. The entrepreneurial ownership functions are carried out by the trust. The remaining shares are held by the Bosch family and by Robert Bosch GmbH. 52.5 billion euros sales revenue 4.8 billion euros for research and development 4,784 patents in 2012 6 Bosch today 2013 Into a Connected Future Both the way people work within the Bosch Group and the world in which it does business are characterized by increasing interconnection. The number of devices and systems automatically exchanging data with each other is rising rapidly. This automatic communication is the central characteristic of the internet of things and services, which will increasingly determine how markets work. Accordingly, Bosch products and services are also being integrated into networked systems: from the drive unit and display of an e-bike, to energy-efficient office complexes, to a global manufacturing network. For Bosch, this is both a challenge and an opportunity. At Bosch, the main drivers of innovation are resourceful and highly committed engineers, a high-performance yet efficient research organization, and a historical background that is both an inspiration and an obligation, driving the company forward to further outstanding achievements. Again and again, the culture of innovation that has developed over the years has given rise to groundbreaking and beneficial technology that is “Invented for life.” In summer 2012, the Car Multimedia division launched an infotainment system, initially in North America. This system is based on Linux, and thus partially on freeware. Its characteristics include touch screen operation derived from smartphones, as 9 well as natural voice control. In the area of driver assistance systems, Bosch launched a pull-out assistance system which helps drivers to maneuver quickly and safely out of a parking space and merge into traffic. For motorcycles, an ABS with traction control was launched in 2012. The Power Tools division debuted a series of low-vibration hammer drills in 2012. In addition, it began marketing its Indego robot lawnmower and a DIY cordless drill/driver with integrated drill bits. The operations centers run by the Security Systems division now supply the first international service based on the eCall automotive emergency call system. When an emergency call is triggered automatically, these centers make contact with the vehicle and ensure that assistance is provided. 10 Bosch today 2013 Bosch Automotive Technology Automotive Technology is the largest Bosch business sector. In 2012, it generated 59 percent of total sales. Its seven main business areas are: fuel-injection systems for internal combustion engines, peripheral devices for powertrain control, alternative drive concepts, active and passive vehicle safety systems, driver-assistance and other guidance functions, incar information and communication systems, and a range of after-sales, engineering-support, and service concepts for the automotive aftermarket. 11 Sales by business sector Bosch Group 2012 Percentage figures Automotive Technology 59 Industrial Technology 15 Consumer Goods and Building Technology 1 26 Total: 52.5 billion euros 1 Including other activities Automotive Technology Gasoline Systems Diesel Systems Chassis Systems Control Electrical Drives Starter Motors and Generators Car Multimedia Automotive Electronics Automotive Aftermarket Steering Systems 2 2 ZF Lenksysteme GmbH (50 % Bosch-owned) 12 Bosch today 2013 Bosch Industrial Technology In 2012, Industrial Technology accounted for some 15 percent of total sales. Since 2013, Industrial Technology has comprised two divisions: Drive and Control Technology, a globally operating supplier for the mechanical engineering sector, with hydraulic components for mobile machinery, drive and control solutions for industrial applications, and components and systems for wind turbines. The second division, Packaging Technology, provides integrated packaging and process engineering solutions, above all for the pharmaceuticals, cosmetics, food, and confectionery industries. 13 Sales by region Bosch Group 2012 Percentage figures Europe 57 Americas 19 Asia Pacific 1 24 Total: 52.5 billion euros 1 Including other countries Industrial Technology Drive and Control Technology 2 Packaging Technology 2 Bosch Rexroth AG (100 % Bosch-owned) 14 Bosch today 2013 Bosch Consumer Goods In 2012, the Consumer Goods and Building Technology business sector was responsible for nearly 26 percent of total sales. It was made up of the Power Tools, Thermotechnology, and Security Systems divisions, as well as the joint venture Bosch und Siemens Hausgeräte GmbH. Since the start of 2013, the Consumer Goods business sector has comprised the activities of Power Tools and the 50 percent share in the Bosch und Siemens Hausgeräte GmbH joint venture, which manufactures products for cooking, baking, cleaning clothes and dishes, cooling, and freezing. 15 Headcount by business sector Bosch Group 2012 As per: January 1, 2013 Automotive Technology 177,254 Industrial Technology 48,188 Consumer Goods and Building Technology 67,291 Other 1 13,144 Total: 305,877 1 Corporate functions and research Consumer Goods Power Tools Household Appliances 2 2 BSH Bosch und Siemens Hausgeräte GmbH (50 % Bosch-owned) 16 Bosch today 2013 Bosch Energy and Building Technology Effective 2013, Bosch has a new, fourth business sector: Energy and Building Technology. It includes the Thermotechnology division, a manufacturer of resource-conserving heating products and hot-water solutions, the Security Systems division, a provider of security technology as well as communication-center and other services for companies, and Solar Energy, a provider of photovoltaics solutions. As an energy services provider for commercial customers, our subsidiary Bosch Energy and Building Solutions GmbH develops integrated solutions that are eco-friendly, energy-efficient, and economical. 17 Headcount by region Bosch Group 2012 As per: January 1, 2013 Germany 119,232 Europe 1 76,205 Americas 35,032 Asia Pacific 2 75,408 Total: 305,877 1 Without Germany 2 Including other countries Energy and Building Technology Thermotechnology Security Systems Solar Energy 18 Bosch today 2013 The Business Year 2012 Bosch Group key data Currency figures in millons of euros Sales revenue 2012 2011 52,464 51,494 percentage change from previous year +1.9 +9.0 percentage of sales revenue generated outside Germany 77 77 Research and development cost 4,787 4,190 as a percentage of sales revenue 9.1 8.1 3,151 3,226 Capital expenditure as a percentage of depreciation Associates 107 142 average for the year 306,272 295,256 as of January 1 of the following year 305,877 302,519 Total assets 56,326 54,616 Equity 26,884 26,917 48 49 2,796 2,628 5.3 5.1 2,342 1,820 88 88 as a percentage of total assets Profit before tax as a percentage of sales revenue Profit after tax Unappropriated earnings (dividend of Robert Bosch GmbH) 19 For Bosch, 2012 was a year of dynamic further development, which was also linked to adjustments to its strategic alignment. The slowdown in the global economy braked sales growth in the Bosch Group over the course of the year, resulting in an unsatisfactory development of result. The key factors in this development, in addition to low sales growth and the delayed impact of cost-cutting measures, were substantial burdens in the photovoltaics segment and upfront investments for a large number of growth projects. Nonetheless, the company continued to extend its international footprint through company acquisitions and investments in new plants, and once again spent a high amount on research and development activities. A large number of divisions are also working on products and services which make use of increasing connectivity. Bosch will continue along this path in 2013, even though it does not expect to feel any economic tailwind. Its objectives are to achieve a better increase in sales in the Bosch Group than in 2012 and to improve result significantly. Bosch corporate strategy will remain focused on the areas of energy efficiency, resource conservation, environmental protection, safety, and comfort. The company wants to extend its market position in these areas. 20 Bosch today 2013 Business developments in 2012 were especially unsatisfactory in Europe, where Bosch generates more than half its sales revenues. Sales dropped by 1.9 percent to 29.8 billion euros. With growth of 5.6 percent to 12.6 billion euros in Asia Pacific, the company was not able to continue the strong growth rates of previous years. It had to sustain considerable losses in South America, where sales dropped by 15 percent. In North America, Bosch generated a strong, 17 percent increase in sales. The biggest change in associate numbers took place in Asia Pacific. They rose there by 4,200 to 75,400. Some 3,300 of these new recruits were in existing business fields. The total workforce in Europe was 195,400, a slight decline on a year ago. Bosch employed 119,200 people in Germany, roughly equivalent to the figure in 2011. The total number of associates in the Americas (roughly 35,000) remained practically unchanged. 51,494 45,127 52,464 47,259 Sales 3,485 2,628 2,796 Profit before tax 2 2010 2011 2012 38,174 942 – 1,197 2008 2009 Up to 2003, designated income from ordinary business activities pursuant to HGB 2 22 Bosch today 2013 Bosch systematically aligns its strategy to the major megatrends. Above all, these include globalization, an aging population in many countries, and the growing demand for resource conservation and environmental protection. In addition, there is the growing connectivity of people and products as a result of the internet. To strengthen its global market position, Bosch wants to increase its sales by a long-term average of 8 percent per year. Its strategic imperative here is “Invented for life” – beneficial technology whose user-oriented functionality or design sparks enthusiasm in customers. Worldwide, it currently employs 42,800 researchers and engineers. The company applied for nearly 4,800 patents in 2012, 650 more than in the previous year. Research activities are being boosted by creating a new research center at the Renningen site, near Stuttgart. Work on construction of this research center started in 2012. In these areas, the Stiftung’s aim is to find possible solutions for socially relevant issues, and to test them in the field as models. The Stiftung finances its work from the dividend it receives as a shareholder in Robert Bosch GmbH. Each year, the Robert Bosch Stiftung approves funding for some 800 projects. On an international level, foundations help bring together people from different nations. Typical examples include international scholarship programs, exchange programs for young executives, and research grants for journalists. 2013 marks the 50th anniversary of the Elysée Treaty between France and Germany, 25 Robert Bosch Stiftung GmbH, a foundation established in 1964, carries on the charitable and social endeavors of the company’s founder in contemporary form. It pursues its specific objectives with programs and institutions of its own. It also supports external projects and initiatives if their objectives are considered compatible with those of the Stiftung. and this has inspired many projects. But the Stiftung is also working to promote international understanding in places such as the U.S., China, Japan, Russia, and India. For years now, the Stiftung has supported authors and translators, whom it regards as valuable cultural ambassadors. And in 2012, the scope of the Stiftung’s prize for young film-makers from Germany and eastern Europe was extended to include the Arab countries.
