EN V4.5 18.11.2015 PRE-CONTRACTUAL INFORMATION 1 Pre-Contractual Information PRE-CONTRACTUAL INFORMATION Please read this document carefully. It is pre-contractual information for Club Infiniti (hereafter referred to as “Infiniti” or the “Club”). If you have any questions about this document or require any further information you should contact the Developer at centralcontracts@petcheyleisure.com Infiniti includes a reservation system through which Members exchange and reserve occupancy of Accommodation included in the Infiniti brochure. Members who have ceded Accommodation to Infiniti, should be aware that the documentation governing your use of Infiniti may vary from that governing your Ceded Accommodation. In such cases, Infiniti Project Documents will govern your membership of Infiniti, whilst the use of your Ceded Accommodation will continue to be governed by the documentation provided to you at the time you acquired such Ceded Accommodation. Members who have traded Accommodation to Infiniti should be aware that this involves permanently signing over the title and occupancy rights of that Accommodation to Infiniti in return for which they will receive Club Infiniti Pure Points. After trading in their weeks to Infiniti, Members are no longer responsible for future management fees of their traded Accommodation. The terms of these General Conditions and the Project Documentation, are subject to change in accordance with the provisions therein and the Club Rules, including but not limited to fees, benefits and reservation procedures and priorities. STANDARD INFORMATION FORM FOR TIMESHARE CONTRACTS Part 1: Identity, place of residence and legal status of the trader(s) which will be party to the contract: The Developer of Club Infiniti is “Leisure Dimensions Limited”, a company registered at the Company Registration Office of Dublin, Ireland, with company number 390756, and registered office at GPS House, Church Bay Road, Crosshaven, Co. Cork, Ireland. Leisure Dimensions Limited is part of a group of companies known as “MGM Muthu Hotels”. Short description of the product (e.g. description of the immovable property): Infiniti is a multi-destination holiday Club with Accommodation in a number of resorts, those currently available are detailed in the Infiniti Resorts guide, the Resorts, apartments and facilities guide and the Infiniti web site www.leisuredimensions.com. The rights and term of membership may vary between Members i.e Points derived from weeks ceded into Club Infiniti will terminate on the termination date of the ceded week(s) whereas Pure Points are in perpetuity. Infiniti uses a grading system based on points in order to value the different Accommodation available. The Resorts in which Infiniti has Accommodation, as well as the corresponding Points Tables are detailed in the Infiniti Resorts guide and the Infiniti web site www.leisuredimensions.com. A Resorts, apartments and facilities guide, with a description of the resorts, their locations, the apartments, the facilities and amenities available on site is included in the present document. The Complete Infiniti Resort guide will be sent to you by post once your purchase is completed and registered. The Accommodation comprises specific timeshare weeks as well as whole units in resorts and is comprised both of units introduced into the Club by companies which are part of MGM Muthu Hotels, in which title is held by an independent trustee, and occupancy rights ceded into Infiniti by Members, who retain the title to such occupancy rights. In the case of timeshare weeks and whole units introduced to the Club by companies which are part of MGM Muthu Hotels the Trustee holds title to such weeks or units through the Owning Company. Infiniti also provides for the introduction of Accommodation by Members by way of ceding or deposit of suitable Accommodation into the Club. In such instances, the Member deposits, for the duration of their validity, all rights of use, occupancy and enjoyment in respect of such Accommodation. The Member retains title to the Accommodation, subject to the rights deposited with and ceded to Infiniti in accordance with the Project Documentation. The ceding or deposit of such occupancy rights into Infiniti and availability of Points to a Member does not relieve a Member from his obligation to pay maintenance fees or such other charges and fees relating to the good standing of such Accommodation, by whomsoever levied. Infiniti benefits and privileges may be suspended if a Member’s Home Resort or Home Group maintenance fee, or such similar charge have not been paid when due. 2 Pre-Contractual Information Exact nature and content of the right(s): The Club is constituted as per, and governed by, the Project Documentation, consisting of the Deed of Trust, the Club Rules, the standard Pure Point and Ceded Points Certificates, established on 1st October 2001 between the initial Developer of the Club and the Trustee, and all amendments of such documents since this date. The Trustee is Hutchinson & Co. Trust Company Limited, a private company incorporated in England and Wales with company number 2553542 and having its registered office at 5 Priory Court, Tuscam Way, Camberley, Surrey GU15 3YX, England. After receipt of the balance of the Purchase Price, the Vendor shall register the Purchaser with the Trustee as a Member; and cause to be issued a Points Certificate, which shall entitle the Member to Occupancy Rights each year as contemplated in this Agreement and the Rules. Where the context so permits and requires, the provisions of this Agreement shall remain in full force and effect notwithstanding completion of the issue of the Points Certificate to the Purchaser. The Owning Company is RMI (F&P) Title Limited whose registered office is at 5 Priory Court, Tuscam Way, Camberley, Surrey GU15 3YX, and the Company No. is 3335779. The rights are personal rights. The Club will continue in perpetuity using Accommodation held in accordance with the Deed of Trust and subject to provisions contained in the Club Rules. Your Membership will expire automatically once you no longer own any Points. The Trustee has been appointed to safeguard the Purchasers’ legal right to occupy the Accommodation during the period of their Membership. As a Member of Club Infiniti, you are a beneficiary of the trust established by the Deed of Trust. You are informed and agree that your relationship with the Trustee is limited to that between Trustee and beneficiary of trust, and you do not have a contractual relationship with the Trustee regarding the sale and purchase of your rights in the Club. The Trustee has no responsibility for either the administration or management of the Club, the Accommodation, Ceded Accommodation or the Resorts, and has no responsibility to ensure that the Resorts are/remain affiliated to any exchange organisation or that the Accommodation or Ceded Accommodation are acceptable to “deposit” within the exchange organisation system. The Trustee shall hold any part of the Purchase Price received by it from the Purchaser in escrow until the date upon which the appropriate number of Points and the number of Securities have been allocated to the Purchaser in accordance with the Deed of Trust and the Rules. The construction, validity and performance of the Deed of Trust, and the performance by the Trustee of any other service or obligation are in all respects governed by the Laws of England and submitted to the exclusive jurisdiction of the English Courts. Exact period within which the right which is the subject of the contract may be exercised and, if necessary, its duration: You have applied for membership of Club Infiniti and are acquiring Points in the Club. These Points entitle you to an annual allocation of Points that are used to exchange for the right to use Accommodation included in the Club and available for use by Members from time to time. The number of Points required for each accommodation, depending of the resort, the apartment type, the week number and the duration of the stay is indicated in the brochures and resort guides and in the Points Tables. Your Membership and Points rights are subject to the obligations set out in the Project Documentation. Date on which the consumer may start to exercise the contractual right: Upon completion of the purchase price, unless otherwise agreed in the Particular Conditions of the Purchase Agreement. If the contract concerns a specific property under construction, date when the accommodation and services/facilities will be completed/available: Unless otherwise specified in the Infiniti Resorts guide, the Resorts, apartments and facilities guide and the Infiniti web site, all construction works are complete. Price to be paid by the consumer for acquiring the right(s): The Purchase Price is as indicated in the first page of the Particular Conditions of the Purchase Agreement. Purchase Price per Pure Point: The recommended minimum purchase price for Pure Point is £480.00 / € 539.00 per 1000 Points. 3 Pre-Contractual Information Minimum price to become a Member of Infiniti: The recommended minimum price to become a Member of Club Infiniti is £8,500 / €9,750. This covers, inter alia, the fee received in connection to the associate membership of RCI, the Security established in your favour over the pool of Occupancy Rights of Accommodations within Club Infiniti. Outline of additional obligatory costs imposed under the contract; type of costs and indication of amounts (e.g. annual fees, other recurrent fees, special levies, local taxes): Each Member is required to pay the following annual fees, together with any Value Added Tax or other similar tax. Except for the first year, payments of the Membership Fee, and when applicable the Points Fee, shall be paid prior to the first of January in the year of occupation. Acquisition will not result in costs, charges or obligations other than those specified in the Purchase Agreement. Annual fees are set in Euros. To transfer the Euro amount to your local currency, you must use the current exchange rate. This will apply for future Membership Fees and Points Fees. The Developer is not responsible for exchange rate fluctuations which affect the amount payable in your local currency. Membership Fee All Infiniti Members shall pay an annual Membership Fee. The current Membership Fee is stated in the schedule attached hereto. Points Fee Pure Points Members shall, in addition to the Membership Fee, pay an annual Points Fee calculated on the number of Points owned by the Member. The current Points Fee is stated in the schedule attached hereto. The Points Fee for the first year is due and payable on the Completion Date of the Purchase Agreement, if included in the purchase price specified in the Purchase Agreement. If the Points Fee for the first year is not included in the purchase price specified in the Purchase Agreement or if the first year is the following year, the Points Fee is due and payable on receipt of a payment request from the Developer. Ceded Accommodation management charge Owners of Ceded Accommodation shall pay, and remain solely responsible for the payment of, the management charge and all other charges in respect of their Home Resort or Home Group Accommodation. Payment of such charges or fees shall be made directly to the management company of the relevant Home Resort or Home Group. Ceded Points Members will be required to pay the Membership Fee as provided in Part 3 - Section 4 hereof. Transaction fees for external reservation to non Infiniti resorts. RCI Transaction Fees for external reservations to non Infiniti resorts are the responsibility of the Member and the current Transaction Fees are stated in the Fees Schedule. A summary of key services available to the consumer (e.g. electricity, water, maintenance, refuse collection) and an indication of the amount to be paid by the consumer for such services. Communal services (lighting, water, maintenance, refuse collection) are provided in each resort and are free of charge. A summary of facilities available to the consumer (e.g. swimming pool or sauna): Facilities and amenities available at the Resorts for Members are indicated for each resort in the Infiniti Resorts guide, the Resorts, apartments and facilities guide and the Infiniti web site under the title “Facilities and Amenities – Onsite”. Telephone, access to internet, games, restaurants, café/bars, shops, baby-sitting, beauty and health treatments, car hire, excursions, golf bookings, water sport, laundry and other services which are commonly payable are subject to payment as per price lists available at the resorts. Other Facilities and amenities (swimming-pool, sauna, …) are normally free of charge for Members (they may be subject to charges for non-members). Details of conditions of use are available at reception or at MGM Muthu Hotels customer services. Facilities and amenities available near the Resorts are indicated for each resort in the Infiniti Resorts guide and the Infiniti web site www.leisuredimensions.com, under the title “Facilities and Amenities – Nearby”. The Resorts may have negotiated certain benefits for Members in accessing such facilities and amenities, however, such facilities and amenities are indicated for general information purpose only and MGM Muthu Hotels is not responsible for their operations, conditions of use and prices. 4 Pre-Contractual Information The information is modified from time to time on the Infiniti web site to reflect the modifications in respect of facilities and amenities available at the resorts. Unless specified otherwise in the Infiniti Resorts guide, the Resorts, apartments and facilities guide or the Infiniti web site, all works in respect of the communal services, facilities and amenities on site at the Resorts are completed. It should, however, be noted that management of the Resorts in which the Club has Accommodation is under the control of the individual resorts. Accordingly, the information provided is subject to change as determined by the management of the individual resorts and the accuracy of the information is similarly subject to the accuracy of the information provided by the resorts concerned. Nevertheless, Infiniti will endeavour to ensure, as far as possible, that the information provided and the standards set are of a suitable standard for Infiniti Members. Some facilities are available on a “pay as you use” basis. In addition, some resorts may charge a refundable deposit to cover damage or breakages, etc. In some countries tourist taxes are charged. Such charges are subject to change and Members wishing to holiday at a specific resort should enquire at the time of making a reservation as to what charges and payments will be applicable at the resort concerned. Are these facilities included in the costs indicated above? See above If not, specify what is included and what has to be paid for: See above. Is it possible to join an exchange scheme? Yes. The Developer has entered into an agreement with an international external exchange organisation, which is currently RCI Europe Ltd (For ease of reference, the term “RCI” is used in this and other Infiniti documentation to indicate RCI Europe Ltd or its successor as international external exchange organisation). RCI is an independent exchange service company and is not owned, operated or controlled by any developer, seller, managing entity, Club or holiday ownership plan participating in any RCI exchange programme. The Developer undertakes to use its best endeavours to ensure continued service with RCI or an alternative International External Exchange Organisation (“IEEO”). Reservations are operated by RCI on behalf of Club Infiniti, pursuant to the RCI Terms of Membership. Reservation procedures are set out in the Club Rules and the Point of Sale information that each Member receives when entering into a Purchase Agreement to acquire Points. All reservation requests are granted on a first come first served basis. Unused Points can be both carried forward to the following calendar year and also borrowed from the next calendar year for use in the current year in accordance with the provisions of the Club Rules. For reservations within Infiniti resorts, Infiniti Members will receive a 15% reduction in the number of Points which would be generally required to make a reservation through the RCI Points exchange programme Infiniti Members are also entitled to access the RCI Points and the RCI Weeks exchange systems, as external exchange systems, pursuant to the RCI Terms of Membership. For the use of the RCI Points exchange system, one Infiniti Point is equivalent to one RCI Point. Infiniti Members may also book RCI Partners benefits, subject to the terms, restrictions and limitations applicable to RCI Members generally under the RCI Points Exchange Programme. A Transaction Fee is charged to the member in respect of processing and confirming an external reservation request. An external reservation confirmation may be given to another person by way of a guest certificate on payment of the appropriate fee. All reservations are subject to space availability. RCI’s ability to confirm external reservation requests for Infiniti members is dependent upon the availability of holiday ownership interests deposited by RCI members with RCI. Neither RCI nor resort personnel may represent that specific resort choices, holiday dates and/or travel arrangements can be guaranteed through the RCI external reservation programme. All representations set forth within the brochures or other literature of RCI will remain representations of that organisation. External exchange privileges may be denied and/or a confirmed external reservation cancelled if a member’s resort management charges, membership fee or similar charges have not been paid when due. In addition, special charges, user fees, miscellaneous charges or government taxes may be charged to the member by the external resort. 5 Pre-Contractual Information If yes, specify the name of the exchange scheme: RCI (see above). In the event that the Developer decides to replace RCI with another similar international external exchange organisation (“IEEO), all references to RCI and RCI Fees in these General Conditions shall read as the IEEO and IEEO Fees. Indication of costs for membership/exchange: The Fee Schedule for services ultimately provided by RCI is updated on a yearly basis, and for the year 2015 is as follows: 2015 Call Centre Reservations Transactions Fees: external reservations to non Infiniti Points or weeks resorts: 8 nights or more * £224 / € 314* 5 to 7 nights £112 / € 157* 4 nights or less*(per night) Guest Certificate £25 / € 36* £38 / € 51* *Fees may be subject to change. Has the trader signed a code/codes of conduct and, if yes, where can it/they be found? No. Part 2: General information: - The consumer has the right to withdraw from this contract without giving any reason within 14 calendar days from the conclusion of the contract or any binding preliminary contract or receipt of those contracts if that takes place later. - During this withdrawal period, any advance payment by the consumer is prohibited. The prohibition concerns any consideration, including payment, provision of guarantees, reservation of money on accounts, explicit acknowledgement of debt etc. It includes not only payment to the trader, but also to third parties. - The consumer shall not bear any costs or obligations other than those specified in the contract. - In accordance with international private law, the contract may be governed by a law other than the law of the Member State in which the consumer is resident or is habitually domiciled and possible disputes may be referred to courts other than those of the Member State in which the consumer is resident or is habitually domiciled. Part 3: 1. INFORMATION ABOUT THE RIGHTS ACQUIRED Unless specified otherwise in the Infiniti Resorts guide, the Resorts, apartments and facilities guide or the Infiniti web site, and under the conditions of the present agreement and the Club Rules, there are no restrictions on the consumer’s ability to use any accommodation in the pool of accommodation at any time. Laws applicable. The Club is based on various accommodation units in various touristic resorts located in various Member States of the European Union, and outside the European Union. This is a situation involving a conflict of laws, to contractual obligations in civil and commercial matters, and therefore the European Regulation (EC) No 593/2008 on the law applicable to contractual obligations (Rome I) applies. The construction, validity and performance of the Club Rules and the Points Certificate, and the performance by the Developer of any service or obligations in the on-going relations after the Purchaser has been issued with a Points Certificate, are in all respects, by express choice of the parties, governed by the Laws of the Republic of Ireland. The construction, validity and performance of the Purchase Agreement are, by express choice of the parties, governed by the Laws of the Republic of Ireland, in particular Irish Law S.I. No 73/2011 - European Union (Protection of Consumers in respect of Timeshare, Long-term Holiday Product, Resale and Exchange Contracts) Regulations 2011. As per the general regulations of the European Union, the Club, constituted under the laws of Ireland, may be promoted and serviced in Member States of the European Union, other than Ireland, applying the regulations of Ireland. Such regulations are recognised and admitted by the legislation of the other Member States, including those in which the various touristic resorts are located. 6 Pre-Contractual Information All conditions established by Irish law for the constitution and conveyance of your rights have been fulfilled. The following laws of other countries, and articles of law, are overriding mandatory provisions and are applicable to certain aspects of the promotion and conveyance of the rights, if certain conditions are met, as follows: • The Timeshare. Holiday Products, Resale and Exchange Contracts Regulations 2010 of the United Kingdom if you are a consumer resident in the United Kingdom.. • As the case may be, the provisions of national laws of other Member States of the European Union , when applicable. The choice(s) of law made by the parties may not have the result of depriving the consumer of the protection afforded to him by provisions that cannot be derogated from by agreement by virtue of the law which, in absence of choice, would have been applicable on the basis of paragraph 1 of article 6 of the EU Regulation 593/2008 Choice of jurisdiction. In all cases where section 4 of EU Council Regulation 44/2001 is not applicable, the parties agree that any dispute in respect of the Club Rules and the Certificate, and the performance by the Developer of any service or obligations in the on-going relations after the Purchaser has been issued with a Points Certificate - and if you purchase your rights directly from a company which is part of MGM Muthu Hotels, also any dispute in respect of the Purchase Agreement -, shall be submitted to the exclusive jurisdiction of the courts of Dublin, Ireland. 2. The Points band that is applicable to a Member is determined by the overall number of Points owned by the Member, taking into account their Points derived from Ceded Accommodation. The Points Fee is then calculated by multiplying the total of the Member’s Pure Points by the cost per 100 Points as determined by their overall Points total. Members who own Points derived from Ceded Accommodation will be liable to pay their Home Resort management charges to their Home Resort in addition to the Membership Fee* payable to Club Infiniti. If the Points Fee for the first year is not included in the Total Purchase Price, it will be invoiced separately to the Member. Any annual fee paid for weeks/memberships being traded into Club Infiniti for the first year of use will be deducted from the Club Infiniti Points Fee payment request. Procedure for calculating future annual Membership Fees and Points Fees: Members are responsible for payment of all annual Membership Fees and Points Fees, and all maintenance and other fees payable by the Member to his Home Resort or Home Group in respect of any associated Ceded Accommodation. The total of all Points Fees shall be based on the Developer’s estimate of the total costs of the Club in respect of, inter alia, the management fees due to the Resorts and corresponding to the Accommodation available within the Club, the cost of using Alternative Accommodation. The total of all Membership Fees shall be based on the Developer’s estimate of the total cost of running, administrating, managing and supervising the Reservations operation and other services provided by it. 27 Pre-Contractual Information Individual annual Points Fees shall be calculated by reference to the number of Points rights held by a Member as a proportion of the total Points rights allocated to Members. The Developer reserves the right to vary the basis upon which individual Membership Fees or Points Fees are calculated which may inter alia include a composite fee structure including the RCI Enrolment Fee, Transaction Fee and External Exchange Fee if considered to be appropriate by the Developer. Failure to pay any fees due and outstanding to the Club or any Resort, including without limitation Home Resort or Home Group management charges and/or maintenance fees will result in suspension and eventually termination of the Purchaser’s Membership if such fees remain unpaid for the period stated in the Club Rules. 5. INFORMATION ON TERMINATION OF THE CONTRACT This Agreement is legally binding and cannot be cancelled or rescinded at any time after the cancellation period of 14 days, except by written consent of both parties or otherwise in accordance with European Directive 2008/122/EC. 6. ADDITIONAL INFORMATION Management of the Club The Developer, Leisure Dimensions Limited, manages and administers Infiniti. However, as provided in the Club Rules, the Developer may appoint a third party to carry out all or any of the management, administration or reservation services. The Developer has the option to appoint a club travel agency, to provide agency services to the Members, in any particular year with regards to: • Member’s reservations of Accommodations at the Resorts, • Use by the Members of the External Exchange Programme, • General customer services related to the above. Members can influence and participate in the decisions regarding the maintenance and repairs of the property and the administration and management of the club, by participating and voting in General Meetings of the Club, as detailed in the Club Rules. Resale of the rights You are entitled to resell your rights to a third party, under the conditions of the Club Rules. Language(s) available for communication Communications of any nature can be made in English, Portuguese and Spanish. The Developer will use its best efforts to communicate with members also in other languages. Personal data The Developer is the data controller responsible for the use and treatment of the personal data of Members. The Developer transfers such data between its various places of business and branches, located in Ireland, the United Kingdom, Spain and Portugal. The use and treatment of such personal data is regulated in each of these countries by the corresponding Data Protection Act, which transposes European Directive 95/46 into the relevant national legislation. Members agree that their data can be used for the performance of the Club Rules and Deed of Trust (and when applicable the Purchase Agreement), for providing customer services and promoting commercial, financial or complementary services related to their Membership. Members can exercise rights of access, rectification, deletion and opposition as stipulated and under the conditions of the relevant Data Protection Acts. For the purposes mentioned above, Members agree that the Developer can transfer their data to group companies and business partners located within the European Economic Area, the United States, and (if applicable) the Members’ country of residence. Miscellaneous provisions Due to the nature of the product, certain changes are expected during the lifetime of the Membership. The Developer has the right at any time, and the Purchaser consents that the Developer has the right, in respect of the present Purchase Agreement General Conditions or Pre-Contractual Information, an in respect of all existing and future Purchase Agreements General Conditions: • To implement the modifications requested by the Members through resolutions adopted in General Meetings provided that the Developer considers that such modifications would not materially prejudice the interests of the then existing Club and Members and would be economically viable. 28 Pre-Contractual Information • To modify the Information disclosed in the “Standard Information Form for Timeshare contracts” as established by European Directive 2008/122, when necessary, including but not limited to the right to modify the descriptions of the resorts, apartments, facilities & amenities, Points values and other details disclosed in the Resorts guide, to add new resorts and delete resorts, and to modify the fee schedules on a yearly basis; provided that such modifications are in accordance with and permitted by the Project Documentation. • To modify the terms of its agreement with RCI or to terminate such contract and enter into a similar or equivalent agreement with an alternative International External Exchange Organisation. • When legislation changes, to adapt the General Conditions to such new legislation. The changes will be limited to what will be required by such new legislation. The Developer will use its best efforts to comply with the terms of the Club Rules and the parties to the Purchase Agreement will use their best efforts to comply with its terms. Nevertheless if the Developer or either party to the Purchase Agreement is prevented or delayed from fulfilling its obligations under the Club Rules or under the Purchase Agreement by events beyond its control, such as fire, flood, extreme weather conditions, earthquake, civil disturbance, war, government action and labour disputes, they shall be relieved of that obligation until it can be reasonably fulfilled. If any provision of this Agreement and Disclosure Statement is held by the court to be invalid or unenforceable, this shall not affect any other of the remaining provisions which shall be construed as severable. Where the context so requires or admits, the masculine includes the feminine, the singular includes the plural, the plural includes the singular, and where two or more persons are included in the expression “the Purchaser”, the obligations expressed to be made by the Purchaser shall be deemed to be made by such persons jointly and severally.
