DENGAN INI ADALAH DIBERITAHU bahawa Mesyuarat
Agung Tahunan Ketujuh AMANAH RAYA BERHAD akan
diadakan di Bilik Mesyuarat Lembaga Pengarah Amanah
Raya Berhad, Tingkat 5, Dewan Sri Mutiara, Wisma Amanah

1. Untuk menerima Akaun yang telah diaudit bagi tahun
kewangan berakhir 31 Julai 2002 serta Laporan PengarahPengarah dan Laporan Juruaudit.

2. Untuk mengisytiharkan kadar dividen terakhir sebanyak
10% bagi tempoh 31 Julai 2002.

Ordinary Resolutions
1. To receive and adopt the Audited Accounts for the
financial year ended 31 July 2002 including the Reports of
the Directors and Auditors thereon.

2. To approve the declaration of a final dividend of 10%, less
income tax in respect of the financial year ended 31 July
2002.

3. To approve the Directors’ fees and remuneration.

4. To re-appoint PricewaterhouseCoopers as Auditors of the
Company and to authorise the Board of Directors to fix their
remuneration.

1. A member of the Company entitled to attend and vote at this
meeting is entitled to appoint a proxy to attend and vote in his stead.
2. A proxy may but need not be a member of the Company, an
advocate, an approved Company auditor or a person approved by
the Registrar.
3. The instrument appointing a proxy shall be in writing under the
hand of the appointor or his/her attorney duly authorised in writing
or, if the appointor is a corporation, either under its common seal or
under the hand of an officer or attorney duly authorised.
4. The instrument appointing a proxy must be deposited at the
registered office of the Company not less than 48 hours before the
time appointed for holding the meeting.

JENIS-JENIS AMANAH PERIBADI
Amanah Pendidikan EDUCARE
EDUCARE menggalakkan ibu-bapa, datuk-nenek ataupun
penjaga supaya menabung wang dengan teratur untuk
membina dana pendidikan atau penjagaan untuk anak-anak
ataupun cucu-cicit. Sekiranya penderma meninggal dunia
ataupun mengalami keilatan kekal, ARB akan mencukupkan
wang untuk memastikan sasaran kewangan penderma
tercapai.
Akaun Amanah Insurans
(Untuk pelanggan bukan-Islam)
Apabila penderma melantik ARB sebagai pemegang amanah
kepada polisi-polisi insurans nyawa, suatu Amanah Insurans
diwujudkan bagi menjaga kepentingan benefisiari. Sekiranya
penderma meninggal dunia, wang polisi insuran akan
diagihkan dengan cepat, memastikan bantuan kewangan yang
berpanjangan bagi benefisiari.
Amanah Perlindungan Aset
Dengan tertubuhnya Amanah Perlindungan Aset, penderma
boleh mengasingkan aset daripada harta pusaka. Amanah ini
melindungi aset-aset dari dirampas oleh pemiutang atau
lain-lain pihak yang menuntut tertakluk kepada Seksyen 52
Akta Kebankrapan 1967.
Penulisan Wasiat
Sesuatu wasiat membolehkan anda mengawal pengagihan
aset setelah anda meninggal dunia. Wasiat ini juga akan
mempercepatkan pengagihan aset di kalangan waris anda,
kerana dapat mengatasi halangan-halangan birokratik yang
kerap berlaku sekiranya seseorang meninggal dunia tanpa
wasiat. Proses pengagihan harta tidak berwasiat memakan
masa yang sangat lama, lebih-lebih lagi apabila harta
dipertikaikan oleh pelbagai waris.
Pengagihan harta dan aset simati bukan Islam berlandaskan
Akta Pembahagian 1958. Bagi orang Islam pula,
pembahagian dibuat menurut hukum Faraid.
Berlatarbelakangkan pengalaman 80 tahun dalam
pentadbiran harta pusaka, ARB menawarkan kepakaran
profesional dalam penyediaan dan pelaksanaan wasiat anda

Dengan memberi kuasa kepada ARB sebagai Wasi atau
Pentadbir harta anda, ARB boleh:
• Memohon Geran Probet atau Surat Kuasa Mentadbir dari
Mahkamah Tinggi.
• Agihkan aset kepada benefisiari yang disebutkan dalam
wasiat. Jika anda meninggal dunia tanpa berwasiat, ARB

Pada umumnya, ARB mengawal-selia aktiviti penguruspengurus dana, melengkap dan mengemaskini rekod-rekod

pay a small price to protect the welfare of their dependants,
and ensure precious peace of mind.
Currently, ARB offers a competitive yearly dividend of 5 per
cent for monies invested in our trust accounts.
Trust Accounts
Via a trust account, donors set up a fund with ARB as the
trustee, and entrust their assets to our custody. Examples of
assets include cash and cash equivalents, stocks, life
assurance policies and property. ARB safeguards these assets
for the benefit of the beneficiaries named under the trust.
ARB can create the trust account either during the donor’s
lifetime or according to the donor’s Will upon his demise.
Thus, donors can be rest assured that their assets will be
divided according to the terms and conditions of their trust.
Creating a trust can also expedite the distribution of assets.
Since trust assets do not form part of the donor’s estate, no
Grant of Probate or Letter of Administration is needed when
the Donor passes away.
Trusts also offer valuable financial protection. Trust
beneficiaries are protected even if the donor suffers from
bankruptcy* or loss of income. Legally, creditors may not
seize trust assets in lieu of payment for debts.

TYPES OF PERSONAL TRUSTS
EDUCARE
Through a regular scheme of savings, parents, grandparents
and guardians can set aside sums of money for the education
and care of future generations. In the event of the donor’s
demise or total incapacitation, ARB will top up the targeted
savings to ensure that the Educare trust reaches the donor’s
monetary goal.
Insurance Trust
(For non-Muslims)
By assigning life assurance policies to ARB, clients can create
an Insurance Trust in favor of the beneficiaries named in the
policy. The benefit? Beneficiaries enjoy uninterrupted
financial support since the insurance monies can be swiftly
distributed upon the donor’s demise.
Asset Protection Trust
By creating an Asset Protection Trust, donors can literally
separate their assets from their estate. This protects trust
assets from creditors and other claimants, subject to Section
52 of the Bankruptcy Act 1967.
Will-writing
A Will allows you to control the distribution of your assets
after your demise. Your Will also speeds up the distribution of
assets to your beneficiaries, preempting the bureaucratic red
tape that results if you die intestate, or without leaving a Will.
For intestate cases, the distribution process can drag on for
years, particularly when assets are under dispute by potential
heirs.
For non-Muslims that die intestate, their estate will be
distributed according to the Distribution Act of 1958.

Malaysia, and the number is burgeoning due to steady
demand. Today, ARB acts as trustee to 52 unit trusts with
a combined net asset value of more than RM42 billion.
Generally, ARB monitors all transactions undertaken by
the fund managers, maintains proper and up-to-date
records, and ensures the smooth and timely distribution
of dividends to investors. As the custodian and trustee,
ARB guarantees that management acts entirely in
investors’ interests and in accordance with the terms of

The Malaysian Government established the Department of Public Trustee and
Official Administrator, which dominated the fledgling retail market for trust
and estate administration services.
Jabatan ini dilantik sebagai pemegang amanah kepada ‘Malaysian Investment
Fund’, dana saham amanah yang pertama di Malaysia dilancarkan oleh Asia
Unit Trust Berhad. Dengan membekalkan khidmat pengamanahan

The Department is appointed as trustee to Asia Unit Trust Berhad’s Malaysian

Y. BHG. DATO’ SUKRI BIN HJ.
MOHAMED, 45, Malaysian, was
first appointed Chairman of ARB on
1 September 2001.
Dato’ Sukri lends substantial
experience in law to ARB. An
advocate and solicitor, Dato’ Sukri is
a senior partner of law firm. Before
joining private practice, Dato’ Sukri
was a prominent figure in the
judiciary. He served as a Senior
Magistrate in Kota Bharu, Kelantan
from 1982 to 1985, and as
Magistrate at the Negeri Sembilan
Court from 1979 to 1982.
Apart from law, Dato’ Sukri is highly
active in government and politics at
both national and regional level.
Dato’ Sukri has served as a Member
of the Dewan Rakyat for two terms
from 1990 to 1999. Internationally,
he was a committee member of the
Asia-Pacific Members of Parliament
from 1996 – 1999 and a committee
member of the ASEAN Members of
Parliament from 1992 – 1999.
Dato’ Sukri graduated from the
University of Malaya with a law
degree in 1979.
Y. BHG. DATIN HAJJAH FAUZIAH BINTI HJ.
MOHD. RAMLY, 55, Malaysian, was first
appointed as Director of ARB on October 13 2000.
Datin Fauziah has served in government and
public administration for four decades. Since 8 July
2000, she has served as the Director-General of the
Legal Affairs Division in the Prime Minister’s
Department. Prior to that, she was Deputy
Secretary-General in the Ministry of National Unity
and Development.
Datin Fauziah graduated with a Bachelor of Arts
degree with Honours from the University of Malaya
in 1970.
ENCIK MOHAMED BAZAIN BIN HJ.
IDRIS, 52, Malaysian, was first
appointed as Director of ARB on 24
January 1996. He is the longestserving member of the present ARB
Board.
A Barrister at Law from Inner Temple,
London, Encik Mohamed has built up
a stellar law career, which culminated
in his appointment as the State
Attorney-General of Sabah in 2000.
TUAN HAJI AB GANI BIN HARON, 51, Malaysian, was
appointed as the Director of ARB with effect from 17 January
2002, representing ARB’s shareholder, the Minister of Finance
(Incorporated).
An experienced government servant, Tuan Gani holds over three
decades of experience in accounting, finance and economics.
In 2001, Tuan Gani was appointed to his present position as the
Director of the Corporate & Management Services Department in
Jabatan Akauntan Negara, Kuala Lumpur. Since 1971, he has
served as an accountant in several Ministries and state branches
of Jabatan Akauntan Negara.
Tuan Gani graduated from the University of Malaya with a
Bachelor of Economics degree with Honours.

apabila diperlukan.
Ahli-ahli Jawantankuasa Audit dan Pemeriksaan
Jawatankuasa Audit dan Pemeriksaan mempunyai ahli
seramai tiga orang. Dua orang ahli termasuk
Pengerusinya terdiri daripada Pengarah Bukan Eksekutif
Syarikat manakala seorang ahli terdiri daripada orang
luar iaitu Pengarah dan bukan pengurusan Syarikat
mana-mana Syarikat Subsidiari dan Bersekutunya,
Setiausaha Jawatankuasa ini ialah Pengurus Audit Dalam
Syarikat.
4. menyemak aktiviti dan pencapaian audit dalaman
bagi tahun lepas dan membuat perancangan bagi
tahun depan.
Objektif Penubuhan Jawatankuasa Audit dan
Pemeriksaan
Jawatankuasa Audit dan Pemeriksaan ini ditubuhkan
menurut kehendak Pekeliling Perbendaharaan Bil. 9
Tahun 1993 – Garis Panduan mengenai Penubuhan
Jawatankuasa Audit dan Pemeriksaan Bagi SyarikatSyarikat Kerajaan. Tujuannya adalah seperti berikut:1. Memelihara
kepentingan
kerajaan
sebagai
pemegang saham melalui kawalan dan pengawasan
ke atas pengurusan Syarikat.
2. Membantu Lembaga Pengarah Syarikat mengawasi
dasar dan sistem perakaunan, kawalan dalaman,
laporan kewangan dan etika perniagaan.
3. Menentukan sumber-sumber kewangan Syarikat
diuruskan dengan seberapa cekap dan efektif untuk
memenuhi objektif korporat dan sosialnya.
4. Memainkan
peranan
sebagai
mekanisma
penyemakan dan pengimbangan (check and
balance) terhadap pengurusan Syarikat.
5. Memastikan supaya peruntukan-peruntukan statutori
sepertimana yang diwajibkan oleh Akta Syarikat
1965 sentiasa dipatuhi sepenuhnya.

perbelanjaan mengurus tahunan Syarikat dan lainlain perbelanjaan yang tidak langsung untuk
memastikan kos-kos yang terlibat adalah berpatutan
dan selaras dengan fungsi organisasi.
10. mengkaji cara-cara yang sesuai untuk melindungi
harta dan mengesahkan kewujudan harta tersebut.
11. mengkaji dan membincang pelan audit luar tahun
sebelum ianya dijalankan setiap tahun.
12. mengkaji pandangan-pandangan audit luar dan
menentukan perkara-perkara berbangkit diberi
perhatian dan diambil tindakan oleh pengurusan.
6. Mengawasi semua fungsi Jabatan Audit Dalam.
13. mengkaji prestasi audit luar dan membuat cadangan
kepada Lembaga Pengarah mengenai perlantikan
semula dan yuran tahunan firma berkenaan; dan
Terma Rujukan Jawatankuasa Audit dan Pemeriksaan
Jawatankuasa Audit dan Pemeriksaan adalah
bertanggungjawab sepenuhnya kepada Lembaga
Pengarah Syarikat. Terma-terma rujukannya adalah
seperti berikut:-
14. mengkaji dan memeriksa penyata kewangan
tahunan Syarikat sama ada yang telah diaudit atau
sebaliknya, termasuk Syarikat Subsidiari dan
Bersekutu sebelum mengemukakannya kepada
Lembaga Pengarah untuk kelulusan.
1. memperakukan perlantikan dan kenaikan pangkat
Pengurus Audit Dalam dan Pegawai-pegawai Audit
Dalam untuk kelulusan Lembaga Pengarah.
Mesyuarat
1. Korum yang diwajibkan bagi jawatankuasa ini ialah
dua orang ahli (termasuk seorang ahli dari luar).
2. memberi sokongan untuk memelihara kebebasan
aktiviti audit dalaman supaya ianya dapat berjalan
dengan lancar.

and when needed
Members of the Audit and Review Committee
The Audit and Review Committee comprises 3 members.
Two of the members including the Chairman are
appointed from amongst the Non-Executive Directors of
the Company whereas the third member is appointed
from outside the Company and is neither drawn from
amongst the Directors or Management of the Company
or its subsidiary or associate companies. The secretary to
the Committee is the Internal Audit Manager of the
Company.
4. To review the previous years’ activities and
achievements of the internal audit and to formulate
plans for next year
The Objective of the Audit and Review Committee
The Audit and Review Committee is established in
accordance with the Treasury Circular Letter No. 9 Year
1993 – Guidelines on the Setting up of Audit and Review
Committees for Government Companies for the purpose
of:
1. Maintaining the interest of the Government as the
shareholder through control and monitoring of the
management of the Company
2. To assist the Board of Directors to monitor the
principles and accounting systems, internal controls,
financial reporting and business ethics
3. To determine the financial sources of the Company
are administered and managed efficiently and
effectively in accordance with corporate and social
objectives
4. To undertake the role as the review and balance
mechanism (check and balance) of the management
of the Company
5. To ensure compliance with the statutory
requirements as required under the Companies Act
1965
6. To oversee all functions of the Internal Audit
Department
Terms of Reference for the Audit and Review
Committee
The Audit and Review Committee is primarily
responsible to the Board of Directors. Their terms of
reference are as follow:
1. To endorse the appointment and promotion of the
Audit Manager and Internal Auditors for the approval
of the Board of Directors
2. To provide support in ensuring the independence of
internal audit activities so that they run smoothly
5. To study and monitor corporate planning for review
and internal control especially in the area of
management
6. To review and supervise an effective accounting
system by exercising controls in related areas so that
early warning systems about the company’s
weakness can be put in place
7. To identify flaws in the management system which
require improvement
8. To ensure that breach of policies and system
management procedures are identified quickly and
dealt with immediately
9. To review direct expenditures such as annual
operation expenditures as well as direct expenses in
order to ascertain that those costs are justifiable and
related to the functions of the organizations
10. To determine the proper measures for identifying and
protecting assets
11. To study and discuss the plan for the annual external
audit before it is carried out each year
12. To observe the opinion of external auditors and
ensure that matters arising are given due attention
and that proper action is taken by the management
of the company
13. To review the performance of the external auditor
and to propose to the Board of Directors on the reappointment and annual fee of the firm
14. To review and examine the Parent Company’s
audited as well as unaudited annual financial
statements, including that of the Subsidiaries and
Associate Companies, before its submission to the
Board of Directors for approval
Meeting
1. The quorum for the Committee shall comprise two
members (inclusive of an external member)
2. The Committee shall meet not less than three times
within a period of three months or a period
determined by the Committee Chairman.

Message from the Chairman
Ulasan Prestasi Kewangan
Prestasi bagi tahun kewangan berakhir 31 Julai 2002
sangat mantap. Jumlah pendapatan meningkat daripada
RM26.7 juta kepada RM29.5 juta hasil aktiviti pemasaran
yang intensif dan tersasar berserta kempen-kempen
pendidikan awam.
Perolehan berpunca terutama sekali dari pernigaan teras
iaitu pengurusan harta pusaka dan peramanahan bagi
pelanggan individu dan korporat.
Perkhidmatan Individu
Di ARB, perkhidmatan berpadu meliputi pembukaan dan
pengurusan akaun peramanahan, perkhidmatan menulis
wasiat dan pentadbiran harta pusaka individu.
Akaun-akaun amanah merupakan sumber pendapatan
utama. Pada tahun kewangan 2002, ARB menguruskan
37,285 akaun peramanahan bernilai RM976.6 juta
berbanding 34,416 akaun bernilai RM959.4 juta pada
tahun kewangan 2001.
Pada tahun kewangan 2002, ARB telah memperkenalkan
produk-produk amanah baru bagi mempelbagaikan
perkhidmatan kami. Pada 23 Mei 2002, Educare, suatu
produk amanah serta pelaburan yang menggalakkan ibu
bapa dan penjaga menabung bagi pendidikan generasi
muka telah dilancarkan.
Perkhidmatan Korporat
Dalam bidang korporat, perkhidmatan peramanahan dana
saham amanah merupakan sumber pendapatan utama.
Pada 31 Julai 2002, ARB menjadi penjaga dan pemegang
amanah kepada lebih 50 unit dana amanah saham yang
mempunyai nilai RM42 bilion.
Sebagai langkah mempelbagaikan perolehan, ARB berjaya
menembusi pasaran pinjaman sebagai pemegang amanah
bagi beberapa terbitan bon korporat untuk tahun
kewangan 2002. Ini termasuk terbitan bon Syarikat
Hartanah Lintasan Kedua bernilai RM2.96 bilion, terbitan
Tiong Nam Transport bernilai RM45 juta dan terbitan
Kuala Sidim Berhad bernilai RM100 juta. Bank
Pembangunan Industri dalam kapasitinya sebagai
pembiaya telah melantik ARB sebagai pemegang amanah
bagi pinjaman RM620 juta yang diberi kepada Projek KL
Monorail. Sebagai badan korporat milik kerajaan, ARB
juga mempunyai kedudukan yang kukuh dalam
perkhidmatan peramanahan bagi pinjaman kerajaan
seperti “Government Support Loan” iaitu Pinjaman
Sokongan Kerajaan yang bernilai RM300 juta dan
pinjaman RM6.4 bilion kepada Syarikat Prasarana.
Butir-butir Kewangan Utama
Produk amanah merupakan penyumbang utama kepada

penurunan keuntungan sebelum cukai kepada RM9.95
juta. Manfaat daripada pelaburan ini akan dapat dirasai
pada masa hadapan.
Sebaliknya, aset bersih bagi setiap saham meningkat
daripada RM6.96 kepada RM7.96. Sementara itu, dana
pemegang saham meningkat dari RM40.47 juta kepada
RM47.16 juta pada 31 Julai 2002.
Meningkatkan Mutu Urus Tadbir Korporat
ARB akan terus meningkatkan mutu urus tadbir korporat,
penzahiran dan ketelusan.
Walaupun ARB bukan syarikat awam tersenarai, kami
tetap akan mengamalkan peraturan-peraturan dan
pentadbiran yang ketat menurut Kod Urus Tadbir
Korporat Malaysia. Sepanjang tahun kewangan berakhir

On behalf of the Board and management of Amanah
Raya Berhad (ARB), it gives me great pleasure to
present our annual report and statutory financial
statements for the financial year ended 31 July 2002.
Financial Review
ARB turned in a consistent performance for the financial
year ended 31 July 2002. Total revenues increased to
RM29.5 million from RM26.7 million for the previous
year, thanks to intensive and targeted marketing efforts
and public education campaigns.
Revenues were derived primarily from our core
businesses of legacy management and trust
administration for both retail and corporate clients.
Personal Services
At ARB, our integrated legacy management services
consist of creating and managing trust accounts, will
services, and administration of deceased’s estates.
As a core revenue generator, ARB managed 37,285 trust
accounts valued at RM976.6 million for FY2002,
compared to 34,416 trust accounts valued at RM959.4
million for FY2001.
For FY2002, ARB also began diversifying its retail
products by introducing trust and investment hybrids that
capitalize on our skills in trust and asset management. On
May 23, 2002, we launched Educare, a trust-cuminvestment product that encourages parents and
guardians to start saving for the education of future
generations.
Corporate Services
In corporate services, trustee services for unit trusts are
ARB’s primary breadwinner. As of 31 July 2002, ARB
acted as trustee and custodian for over 50 unit trust funds
with a net asset value of RM42 billion.
To further diversify revenues, ARB successfully
penetrated the debt market as a trustee for several
corporate bond exercises in FY2002. These include the

this, ARB places great emphasis on training intellectual capital, and providing a
nourishing environment for personal and professional enhancement.
Second Link’s RM2.96 billion issue, Tiong Nam
Transport’s RM45 million issue and Kuala Sidim Berhad’s
RM100 million issue. End-financier Bank Pembangunan
Industri also appointed ARB as a trustee for the RM620
million loan awarded to the KL Monorail Project. By
virtue of its status as a government-owned corporation,
ARB also has a strong foothold in trustee services for
government debt issues, such as the RM300 million
Government Support Loan and the RM 6.4 billion loan
for Syarikat Prasarana.
Financial Highlights
Trust products are the highest revenue generator for
FY2001/2002. Heavy investments in IT equipment and
marketing as well as promotional activities have resulted
in the increase of expenses and reduction in profit before
tax to RM9.95 million. The benefits from these
investments will be realised in the future.
Commendably, net tangible assets per share grew to
RM7.96 against last year’s RM6.96. Meanwhile,
shareholders’ funds rose from RM40.47 million to
RM47.16 million as of 31 July 2002.
Enhancing Corporate Governance
ARB is committed to raising our standards of
corporate governance, disclosure and transparency.
Although ARB may not be a public-listed company yet,
we intend to apply the strictest rules of governance in
accordance with the best practices laid out in the
Malaysian Code of Corporate Governance. Throughout
the financial year ended 31 July 2002, the Board Audit
Committee and the Internal Audit Department have
striven to identify potential risks and conflicts and apply
adequate controls. The Board members have also
attended all mandatory training courses as prescribed by
the Companies Commission of Malaysia (formerly
Registrar of Companies) and the Securities Commission.
Dividends
The Board of Directors is pleased to recommend a final
dividend of 10 per cent less 28 per cent income tax. Since
corporatisation six years ago, ARB has consistently paid a
dividend of 10% to its shareholders.

Dividen
Lembaga Pengarah dengan sukacita menyarankan dividen
terakhir sebanyak 10 peratus ditolak cukai pendapatan 28
peratus. Sejak pengkorporatan enam tahun dahulu, ARB telah
dengan konsisten membayar dividen sebanyak 10% kepada
pemegang sahamnya.
Prospek
Pertumbuhan GDP diunjurkan pada 5 – 6 peratus pada tahun
hadapan. Tetapi sekiranya senario berubah disebabkan faktor
luaran seperti perang Amerika Syarikat – Iraq, krisis minyak, dan
kegiatan pengganas di sana sini, mungkin perdagangan
antarabangsa tergugat dan ekonomi terbuka Malaysia akan
terjejas. Namun demikian, ARB bersikap optimis bahawa
keamanan dan kemakmuran akan kekal di Malaysia, pasaran
utama kami.
Tinjauan Kewangan dan Strategi-Strategi Perniagaan
Kami mengharapkan pertumbuhan sederhana dalam pasaran
individu dan korporat yang sedia ada pada tahun kewangan
akan datang. ARB akan terus meningkatkan kesedaran tentang
produk-produknya, di samping membentuk produk-produk baru
dan berkembang ke segmen pasaran baru yang berpotensi.
Perkhidmatan Individu
ARB akan menekankan perkhidmatan peramanahan individu
dan pentadbiran pusaka yang mempunyai daya perkembangan
bagi tahun kewangan 2003. Buat masa kini, perkhidmatan
peramanahan individu merangkumi 33 peratus daripada
perolehan sementara pentadbiran pusaka merangkumi 36 peratus.
Kami berharap akan meningkatkan kesedaran awam tentang
produk dan servis ARB melalui pendidikan berterusan. Sebagai
negara membangun, minat terhadap peramanahan, wasiat dan
pentadbiran pusaka masih kurang, dan ARB berhasrat
mengembangkan penguasaan kami dalam pasaran runcit.
Khususnya, ARB bercita-cita menempatkan amanah, wasiat dan
pentadbiran pusaka sebagai produk-produk berpadu dan
menyeluruh yang bertujuan memupuk perpaduan keluarga.
ARB sedang menganjur usaha ke dalam pasaran perkhidmatan
pelaburan peribadi di samping menggiatkan penabungan
kebangsaan. Sebagai sebuah syarikat yang maju, kami sedang
menubuhkan beberapa produk hibrid peramanahan dan
pelaburan baru bagi beberapa ceruk pasaran.
ARB telah membentuk wasiat bagi orang Islam dan mempunyai
rancangan untuk melancarkan perkhidmatan “Hibah” atau
“pemberian.” Melalui Hibah, pelanggan boleh menghadiahkan
atau menyerahkan aset-aset kepada benefisiari semasa hayat
mereka. Aset-aset ini pula akan diuruskan oleh ARB mengikut
arahan pelanggan.
Perkhidmatan Korporat
Kami yakin bahawa industri dana saham amanah akan terus
berkembang berlatarbelakangkan ekonomi yang semakin sihat.
Kecairan masih tinggi dan institusi kewangan menggalak rakyat
Malaysia menabung melalui penubuhan dana baru. Kini, ARB
menjadi pemegang amanah kepada 52 dana saham amanah
yang mempunyai nilai terkumpul melebihi RM42 bilion,
bilangan unit melebihi 50 bilion dan merangkumi 30 peratus
dana saham amanah tempatan. ARB akan mempromosi

perkhidmatan kami dengan giat untuk menegakkan penguasaan
kami dalam bidang saham amanah. Buat masa kini,
perkhidmatan ARB kepada dana saham amanah membentuk 30
peratus perolehan.
Pada tahun kewangan 2003, ARB akan memasarkan
perkhidmatan peramanahan bagi instrumen pinjaman dan dana
persaraan dengan lebih agresif. Khidmat peramanahan semakin
kritikal kerana syarikat awam tersenarai lebih giat membuat
pelbagai terbitan sekuriti seperti ICULs (Irredeemable
Convertible Unsecured Loan Stocks), bon Islam dan aset
bersekuriti. Syarikat yang sedang membuat penyusunan semula
dan memerlukan pinjaman, seperti syarikat di bawah Nota
Amalan 4, juga merupakan calon bagi perkhidmatan amanah
ARB. Dengan penuaan penduduk Malaysia, dana persaraan
persendirian mungkin lebih popular, dan akan memerlukan
pemegang amanah.
ARB juga mensasarkan kelab golf dan rekreasi sebagai
pelanggan korporat. Seeloknya, kelab golf dan rekreasi
menggunakan khidmat pemegang amanah untuk melindungi
hak-hak ahli kelab dan mentadbir dana penjelas bagi
membaikpulih dan mengawalselia padang, kelab golf dan lainlain peralatan riadah.
Meningkatkan Penzahiran dan Urus Tadbir Korporat
ARB bertekad meningkatkan penzahiran dalam tahun kewangan
akan datang, dengan memperbaiki saluran komunikasi dengan
pemegang saham. Maklumat terbaru tentang produk,
perkhidmatan dan operasi boleh diakses di laman web ARB,
www.arb.com.my, dan e-mel boleh ditujukan ke
sales@arb.com.my. Dan ARB akan terus menerbitkan Eksklusif,
majalah dalaman ARB yang juga berfungsi sebagai alat
pemasaran dan komunikasi korporat.
Kami telah mempelbagaikan penyusunan dan kecekapan
Lembaga Pengarah dengan meramaikan ahli kepada tujuh
orang. Hasilnya, ARB kini mempunyai tiga pengarah bebas
bukan eksekutif (termasuk saya), seorang pengarah urusan, dan
tiga pengarah bukan bebas bukan eksekutif. Saya mengalualukan kehadiran rakan-rakan baru saya dan yakin bahawa
kecekapan dan pengalaman mereka akan mengukuhkan mutu
dan prestasi ARB, terutamanya dalam peningkatan perniagaan
dan urus tadbir korporat.
Penghargaan
Sekalung budi dihulurkan kepada semua pihak yang menjadi
tunggak kejayaan ARB selama ini. Saya mengucapkan ribuan
terima kasih kepada semua pemegang saham, pelangganpelanggan, pengurus-pengurus, wargakerja serta ahli-ahli
Lembaga Pengarah di atas sokongan anda.
Berkat sokongan dan dokongan anda, ARB telah berkembang
maju sebagai institusi peramanahan terulung sejak kelahirannya
lapan puluh satu tahun dahulu pada 1hb Mei 1921. Saya yakin
bahawa kedudukan ARB akan terus kukuh dan semakin maju
pada dekad-dekad akan datang.
Sebelum berakhir, saya merakamkan setinggi terima kasih kepada
Dato’ Muraly Daran, bekas Ketua Pegawai Eksekutif ARB, di atas
segala perkhidmatannya. Kini, Dato’ Muraly telah ditugaskan
membentuk subsidiari Amanah Raya Capital Sdn Bhd menjadi
sebuah entiti yang kuat dan bersasarkan jualan. Akhir kata, saya
bagi pihak Lembaga Pengarah mengalu-alukan kemasukan Encik
Izham Yusoff sebagai Pengarah Urusan dan Ketua Pegawai Eksekutif
baru. Beliau berpengalaman luas dalam bidang kewangan dan

Prospects
The upcoming year looks set to be prosperous for the nation,
with GDP growth projected at approximately 5 - 6 per cent. But
in a worst-case scenario, unsettling external events such as an
imminent US-Iraq war, a potential oil crisis, and spurts of
terrorism around the globe may hinder world trade and affect
Malaysia’s open economy. Nevertheless, ARB is sanguine that
peace and prosperity will prevail in Malaysia, our primary
market.
Financial Outlook and Business Strategies
Next financial year, we expect moderate growth in our existing
retail and corporate markets. To drive revenue and profit growth,
ARB will focus on improving the overall awareness of our
services, while devoting resources to developing potential new
products and market segments.
Personal Services
For FY2003, ARB will still emphasise the growth areas of
personal trusts and estate administration services, which
currently make up 33 per cent and 36 per cent respectively of
revenues.
Through continuing education, we hope to increase
awareness of our products and services among Malaysians at
large. As a developing nation, interest in trusts, wills and estate
administration is still tepid, and we plan to extend our
dominance in this promising retail market. In particular, ARB
wants to position trusts, wills and legacy management as a
holistic and integrated instrument for nurturing family
cohesiveness.
ARB is also expanding our reach in the growing market for
personalised investment services, while galvanizing national
savings. As a progressive company, we are developing new
hybrid trust-and-investment products for various market niches.
ARB has developed Islamic wills and is planning to launch Hibah
or “gift” services. Through Hibah, clients convey assets to the
beneficiaries of their choice during their lifetime. These assets are
then managed by ARB in accordance with the client’s
instructions.
Corporate Services
We believe unit trust funds will continue to flourish, given a
recovering economy. Liquidity remains high and financial
institutions are still tapping the Malaysian propensity to save by
creating new trusts. Currently, ARB acts as trustee to 52 unit
trusts in total, catering to about 30 per cent of local unit trusts
with a combined net asset value of more than RM 42 billion and
more than 50 billion units in total. We will continue to promote
our services aggressively in order to maintain our leadership in
the growing field of unit trusts. At present, our professional
trustee services to unit trust funds make up 30 per cent of
revenues.
In FY2003, ARB will market our trustee services for debt
instruments and pension funds with greater aggression. Trustee
services are in growing demand as local public-listed companies
introduce varied capital-raising exercises using instruments as
diverse as ICULs (Irredeemable Convertible Unsecured Loan
Stocks), Islamic bonds and securitised assets. Companies
undergoing restructuring, such as Practice Note 4 companies,
could also be fertile, albeit riskier, clients for ARB’s services as
they attempt to raise funding. Given the gradual greying of the
country’s population, private pension funds may take root, and
these too require trustees.
Elsewhere, ARB is targeting golf and country clubs. Ideally, golf
and country clubs should employ the services of trustees to
protect clubmembers’ interests and administer sinking funds for
the purposes of maintaining and repairing greens, clubhouses
and other recreational amenities.
Enhancing Disclosure and Corporate Governance
ARB intends to substantially improve disclosure in the new
financial year, by improving existing channels for
communicating with stakeholders. Up-to-date information on
products, services and operations can now be accessed at the
official ARB website, www.arb.com.my, and e-mail can be sent
to ARB at sales@arb.com.my. And ARB will continue publishing
Eksklusif, the in-house ARB magazine that functions as a
marketing and corporate communications vehicle.
We have injected extra diversity into the composition and skills
of our Board by increasing the number of directors to seven. As
a result, we now have three independent non-executive directors
(including myself), one managing director, and three nonexecutive, non-independent directors. I bid my new colleagues a
warm welcome, and believe that their combined expertise holds
tremendous potential and synergies for ARB, especially in the
areas of business development and corporate governance.
Acknowledgements
Bouquets are in order for all parties who have contributed to

Pemegang saham yang budiman,
Sebagai Pengarah Urusan baru syarikat peramanahan yang
ulung di Malaysia, dengan sukacitanya saya membentangkan
taksiran perniagaan-perniagaan teras dan operasi bagi tahun
kewangan berakhir 31 Julai 2002.
Perniagaan-Perniagaan Teras
Tahun kewangan 2002 merupakan suatu tahun yang mantap
bagi ARB. Seperti pada tahun-tahun sebelumnya, perolehan dari
perkhidmatan peramanahan perseorangan dan korporat
menyumbangkan dua-pertiga pendapatan ARB, manakala satupertiga disumbang oleh perkhidmatan pentadbiran harta pusaka.
Khidmat Peramanahan
Nilai terkumpul akaun peramanahan yang diurus oleh ARB
meningkat daripada RM959.36 juta pada 31 Julai 2001 kepada
RM976.58 juta pada 31 Julai 2002. Jumlah pelanggan juga telah
meningkat daripada 34, 416 kepada 37,285.
Semua pelabur telah dibayar dividen pada kadar kompetitif
sebanyak 5 peratus setahun bagi tahun kewangan 2002

mampu dilakukan meskipun prestasi Bursa Saham Kuala Lumpur
merosot sebahagian besar tahun 2002 mengurangkan pulangan
pelaburan ekuiti ARB. Mujurlah ARB berjaya menangkis
kerugian dengan membuat pelaburan bijak dalam bon-bon,
sekuriti pasaran kewangan dan sekuriti kerajaan.
Ketika pasaran Malaysia dibanjiri wang, pengurus-pengurus
mengambil peluang menubuhkan beberapa dana baru. ARB
dilantik sebagai pemegang amanah kepada 6 dana baru, hasil
usaha mendapatkan bahagian yang lebih besar di dalam pasaran
dan kadar fee kompetitif yang ditawarkan. Pada 31 Julai 2002,
ARB menjadi pemegang amanah saham kepada 50 dana dengan
nilai keseluruhan melebihi RM42 bilion berbanding dengan
bilangan dana sebanyak 44 buah bernilai RM42 bilion pada
tahun 2001.
Pengurusan Harta Pusaka
Jumlah harta pusaka yang diuruskan oleh ARB telah meningkat
kepada 16,296 kes bernilai RM127 juta berbanding dengan
17,164 kes bernilai RM111.67 juta pada tahun 2001. Terdapat
kepentingan untuk memastikan harta pusaka yang ditinggalkan
ditadbirkan dengan segera untuk manfaat dan
kebaikan ahli keluarga dan waris. ARB
mempromosi pengurusan harta pusaka bagi
menimbulkan kesedaran kepada orang ramai
tentang mustahaknya mereka menggunakan
perkhidmatan ARB. Promosi dijalankan melalui
edaran risalah dan iklan melalui media cetak dan
elektronik.
Pengurusan harta melibatkan beberapa instrumen
penting seperti penulisan wasiat dan pelantikan
ARB sebagai wasi ataupun Pentadbir. Ini akan
menjamin harta yang dipunyai diuruskan dengan
teratur demi kepentingan waris kita.
Taksiran Operasi
Bagi tahun kewangan 2002, ARB dapat
memantapkan perolehan dan keuntungan
sebelum cukai pada tahap sejajar dengan tahun
kewangan 2001.
Pembangunan Sumber Manusia
Wargakerja adalah nyawa kepada kejayaan
syarikat yang berorientasikan perkhidmatan.
Oleh demikian ARB menekankan kepentingan
melatih sumber intelek serta menyediakan alam
sekitar yang memperkayakan peningkatan
sumber manusia yang lebih profesional.
Sepanjang tahun ARB menjalankan seminarseminar berteraskan latihan produk mengenai
penulisan wasiat, peramanahan, pentadbiran
pusaka dan hal-hal berkaitan seperti kewangan,
pemasaran dan teknologi. Beberapa bengkel
mengenai Peramanahan, Wasiat dan Pentadbiran
Pusaka telah juga diadakan untuk manfaat
kakitangan tempatan.

Penggunaan komputer di semua cawangan telah meningkatkan produktiviti di
kalangan wargakerja ARB dan telah membantu menyediakan perkhidmatan yang
lebih efisyen dan cepat kepada pelanggan yang semakin bertambah.
Full computerization at all branch offices has resulted in a surge in productivity
among ARB staff, and helped us provide faster and more efficient services for our
growing customer base.

expeditionaly, in order to safeguard the financial welfare of
families and beneficiaries. In addition, we are actively educating
the public on the relevance and importance of ARB’s legacy
management services. Currently, we are focusing our
promotional efforts on distributing brochures, as well as
advertising in the print and electronic media.
Managing assets would require you to take important measures
such as will-writing and appointing ARB as the Executor or
Administrator of your estate. By taking these two crucial steps,
we guarantee that your estate will be professionally managed in
the best interests of your beneficiaries.
Operations Review
In FY2002, ARB successfully maintained revenues and pre-tax
profits at levels similar to FY2001.

As the new Managing Director at the helm of Malaysia’s preeminent trust company, I am pleased to present the review of
ARB’s core businesses and operations for the year ended 31 July
2002.
Developing Human Resources
People are crucial to the success of a service-oriented company.
Recognising this, ARB places great emphasis on developing
intellectual capital, and providing a nourishing environment for
personal and professional enhancement.
Core Businesses
FY2002 was a steady year for ARB. As in previous years,
personal and corporate trustee services accounted for two-thirds
of ARB’s revenues, while estate administration services made up
the remaining one-third.
Throughout the year, ARB conducted intensive product training
seminars on will writing, trusts, estate administration and related
operational functions like finance, information technology and
marketing. A series of workshops on Trusts, Wills and Estate
Administration were also held for the benefit of regional staff.
Trusts
Total trust funds under ARB’s management rose from RM959.36
billion as at 31 July 2001 to RM976.58 million as at 31 July 2002.
The number of trust accounts has also increased from 34, 416 to
37,285.
With an efficient and small workforce of 320, ARB employees are
close-knit. Here at ARB, all staff are encouraged to bond closely
with each other through work as well as special events like
Family Day and Staff Appreciation Day.
ARB rewarded accountholders with a competitive dividend rate
of 5 per cent p.a. for FY2002, outpacing the prevailing fixed
deposit rate despite the bearish mode of KLSE for much of
FY2002 which subsequently affected the returns on ARB’s equity
investments. ARB managed to mitigate negativity by prudently
investing in diverse instruments such as bonds, money market
securities and government paper.
In the area of corporate trustee services, several new unit trust
funds were launched as managers capitalised on the ample
liquidity flooding the Malaysian market. Thanks to aggressive
marketing and competitive pricing, ARB was appointed as
trustee to 6 new funds. As at 31 July 2002, ARB stood as trustee
to 50 funds with a net asset value of more than RM 42 billion. At
end-FY2001, ARB was trustee to 44 funds valued with an
approximate net asset value of RM42 billion.
Legacy Management / Estate Administration
The total value of the estates or legacies under ARB
administration rose substantially to 16,296 cases valued at
RM127 million against 17,164 cases valued at RM111.67 million

Full computerization at all branch offices has resulted in a surge

systems, which would enable us to provide personalized services
that meet the varied demands of our retail and corporate clients.
Improving Customer and Staff Satisfaction
Nurturing customer awareness and satisfaction lies at the root of
ARB’s long success.
Throughout 2003, ARB will continue to hold public
workshops and roadshows on trusts, will writing and legacy
management. We anticipate a rousing response, based on full

Warga kerja di ARB yang terdiri dari 320 orang walaupun kecil,
sungguh akrab. Di ARB, semua wargakerja digalakkan
meningkatkan rasa kekeluargaan sama ada dalam bidang tugas
atau pun pada peristiwa-peristiwa khas seperti Hari Keluarga
dan Hari Penghargaan Wargakerja.
Penghayatan ugama dan kesedaran tanggungjawab sosial
memberi manfaat kepada kebajikan wargakerja dan akan
melahirkan suasana kekeluargaan yang harmonis dan aman. Bagi
wargakerja yang majoritinya beragama Islam, sebuah bilik solat
di mana tazkirah dan ceramah-ceramah boleh dianjurkan sedang
dibina.
Matlamat Teknologi Informasi
Penggunaan komputer di semua cawangan telah meningkatkan
produktiviti di kalangan wargakerja ARB dan telah membantu
menyediakan perkhidmatan yang lebih efisyen dan cepat kepada
pelanggan yang semakin bertambah. ARB mempunyai rancangan
untuk melabur dalam Sistem Pengurusan Perhubungan
Pelanggan yang akan membolehkan kami menyediakan
perkhidmatan lebih mesra bagi melayani permintaan pelanggan
perseorangan ataupun korporat.
Peningkatan Rasa Kepuasan Pelanggan dan Warga Kerja
Menjana kesedaran dan kepuasan pelanggan merupakan teras
kejayaan ARB. Sepanjang 2003, ARB akan meneruskan usaha
mengadakan bengkel-bengkel umum dan pameran bergerak
tentang peramanahan, penulisan wasiat dan pengurusan harta
pusaka. Kami menjangka sambutan yang meriah berdasarkan
kehadiran yang menggalakkan pada kempen-kempen awal tahun
2001. Meningkatkan kesedaran melalui pendidikan merupakan
tugas asas di ARB kerana kurang 10 peratus penduduk Malaysia
dilindungi peramanahan atau wasiat.
Sayugia itu, kepuasan pelanggan adalah komponen terpenting
kejayaan kami. Rancangan mengadakan perhubungan pelanggan
dan pihak pengurusan melibatkan penubuhan pusat panggilan di
ibu pejabat di mana semua pertanyaan pelanggan akan dilayan
mengikut keutamaan. Wargakerja juga akan diberi kursus intensif
sepanjang 2003 untuk meningkatkan kecekapan dan kemesraan.
Peluang bagi pelanggan berhadapan dengan wargakerja yang
mesra merupakan tunggak kejayaan ARB selama 80 tahun ini.
Perkembangan rangkaian ke seluruh Malaysia akan
menambahkan lagi peluang bagi pelanggan berinteraksi dengan
ARB. Dua buah cawangan mini telah pun dibuka pada 1 Oktober
2002 di Bangi, Selangor dan di Temerloh, Pahang. Dua lagi
cawangan mini sedang diusahakan di Sungai Petani, Kedah dan
Kuala Krai, Kelantan untuk memenuhi keperluan komuniti di
sana.
Penutup
Sektor perkhidmatan diunjurkan menjadi bertambah penting
dalam pembangunan ekonomi Malaysia. ARB memegang
kedudukan unik sebagai pembekal terbesar dan peneraju dalam
industri peramanahan.
Pada hari muka, perkhidmatan ARB dijangka berkembang pesat
melalui pembaruan produk, pergabungan strategik, prasarana IT

At ARB, a paramount goal is to weave a blanket of financial security
for families. Through our legacy management system, we help you
plan and protect assets, write wills and create trusts to ensure that
loved ones are provided for, during and after your lifetime.
through continuing education is a key task at ARB,
since less than 10 per cent of the Malaysian population
are protected via trusts and wills.
Similarly, customer satisfaction is a crucial component
of our success. Our ongoing customer relationship
management plan entails setting up a call centre at
headquarters where customer queries will then be
prioritized according to urgency. Staff will also undergo
intensive customer service training throughout 2003 to
perfect their efficiency and human touch.
Easy face-to-face access is also fundamental to ARB’s
longevity. ARB’s human touch will expand as our
branch
network
grows,
improving
our
accessibility to clients across Malaysia. We now have
two new mini branches at Bangi in Selangor and
Temerloh in Pahang, which commenced operations on
1 October 2002. Two new mini-branches are being
readied at Sungei Petani in Kedah and Kuala Krai in
Kelantan to fulfil the needs of these niche communities.
In Conclusion
The service sector is projected to become an
increasingly important component of the Malaysian
economy as we head towards full economic
development. ARB holds a unique position as the
nation’s largest and leading service provider in the key
trust industry.
In years to come, I expect ARB to expand its range of
services trough product innovation, strategic alliances,
improved IT infrastructure and productive workforce. I
am confident that ARB will continue to chart a steady
growth in 2003 driven by the collective wisdom of the
Board and the support of each and everyone of our

The Directors have pleasure in submitting their report together with the audited financial statements of the
Group and of the Company for the financial year ended 31 July 2002.
PRINCIPAL ACTIVITIES
The principal activities of the Company consist of administering estates of deceased persons and acting as
trustee for minors, the public and unit trust schemes.
The principal activities of the subsidiary companies are set out in Note 10 to the financial statements.
There have been no significant changes in the nature of these activities during the financial year.

STATUTORY INFORMATION ON THE FINANCIAL STATEMENTS
Before the income statements and balance sheets were made out, the Directors took reasonable steps:
(a)
to ascertain that proper action had been taken in relation to the writing off of bad debts and the making
of allowance for doubtful debts and satisfied themselves that all known bad debts had been written off
and that adequate allowance had been made for doubtful debts; and
(b)
to ensure that any current assets, other than debts, which were unlikely to realise in the ordinary course
of business their values as shown in the accounting records of the Group and the Company have been
written down to an amount which they might be expected so to realise.
At the date of this report, the Directors are not aware of any circumstances:
(a)
which would render the amounts written off for bad debts or the amount of the allowance for doubtful
debts in the financial statements of the Group and the Company inadequate to any substantial extent;
or
(b)
which would render the values attributed to current assets in the financial statements of the Group and
the Company misleading; or
(c)
which have arisen which render adherence to the existing method of valuation of assets or liabilities of
the Group and the Company misleading or inappropriate.
No contingent or other liability has become enforceable or is likely to become enforceable within the period
of twelve months after the end of the financial year which, in the opinion of the Directors, will or may
substantially affect the ability of the Group and the Company to meet its obligations when they fall due.

We have audited the financial statements set out on pages 40 to 55. These financial statements are the
responsibility of the Company’s Directors. Our responsibility is to express an opinion on these financial
statements based on our audit.
We conducted our audit in accordance with approved auditing standards in Malaysia. Those standards require
that we plan and perform the audit to obtain reasonable assurance about whether the financial statements are
free of material misstatement. An audit includes examining, on a test basis, evidence supporting the amounts
and disclosures in the financial statements. An audit also includes assessing the accounting principles used
and significant estimates made by the Directors, as well as evaluating the overall financial statement
presentation. We believe that our audit provides a reasonable basis for our opinion.

GENERAL INFORMATION
The principal activities of the Company consist of administering estates of deceased persons and acting
as trustees for minors, the public and unit trust schemes.
The principal activities of the subsidiary companies are to act as nominees, agents or trustees for
beneficial owners of stocks, shares, bank debentures, loan stocks and other securities and managing
properties.
The average number of employees during the financial year amounted to 299 (2001: 288) employees
in the Group and 289 (2001: 283) employees in the Company respectively.
The Company is a public limited liability company, incorporated and domiciled in Malaysia, and not
listed on the Main Board of the Kuala Lumpur Stock Exchange.
The address of the registered office of the Company is Tingkat 10, Wisma Amanah Raya Berhad, No.
15, Jalan Sri Semantan 1, Off Jalan Semantan, 50508 Kuala Lumpur.

SUMMARY OF SIGNIFICANT ACCOUNTING POLICIES
The following accounting policies have been used consistently in dealing with items which are
considered material in relation to the financial statements.
(a)
Basis of preparation
The financial statements of the Group and of the Company have been prepared under the
historical cost convention except as disclosed in this summary of significant accounting
policies.
The financial statements comply with the applicable approved accounting standards in
Malaysia and the provisions of the Companies Act 1965.
The preparation of financial statements in conformity with the applicable approved accounting
standards in Malaysia and the provision of the Companies Act, 1965 requires the Directors to
make estimates and assumptions that affect the reported amounts of assets and liabilities and
disclosure of contingent assets and liabilities at the date of the financial statements and the
reported amounts of revenues and expenses during the reported period. Actual results could
differ from those estimates.
Trust assets held in the name of the Company and its predecessor organisation are not included
in these financial statements. The activities and assets of the various unit trusts and other funds
in which the Company is the trustee are not included in these financial statements as they are
separate entities.
(b)
Basis of consolidation
Group consolidated financial statements include the financial statements of the Company and
its subsidiary companies made up to the end of the financial year. The results of the subsidiary
companies acquired are included in the Group’s income statement from the date of its
acquisition.

Property, plant and equipment
Property, plant and equipment are stated at cost less accumulated depreciation. Property, plant
and equipment are depreciated on a straight line basis to write off the cost of property, plant
and equipment over its estimated useful life at the following annual rates of depreciation:

Subsidiary company
A subsidiary company is a company in which the Group has power to exercise control over the
financial and operating policies so as to obtain benefits from their activities.
Investments in subsidiary companies are stated at cost except where the Directors are of the
opinion that there is a permanent diminution in the value of the investment, in which case,
allowance is made for the diminution in value. Permanent diminution in the value of an
investment is recognised as an expense in the period in which diminution is identified.
(e)
Receivables
Receivables are carried at anticipated realisable values. Known bad debts are written off in the
period in which they are identified and specific allowance is made for any considered to be
doubtful of collection. An estimate is made for doubtful debts based on a review of all
outstanding amounts at the financial year end.
(f)
Cash and cash equivalents
Cash and cash equivalents comprise cash in hand and bank balances, demand deposits, bank
overdraft and short term, highly liquid investments that are readily convertible to known
amounts of cash and which are subject to an insignificant risk of changes in value.
(g)
Hire purchase payables
Assets purchased under hire purchase agreements are capitalised as property, plant and
equipment and depreciated in accordance with the policy set out in Note 2(c) above. The
corresponding obligations due under the hire purchase agreements after deducting finance
charges are included as hire purchase payables while finance charges are charged to the
income statement on a straight line basis over the term of the respective hire purchase
agreements.
(h)
Dividends
Dividends on ordinary shares are recognised as liabilities when declared.

(i)
Deferred tax
The tax expense is determined on the basis of tax effect accounting using the liability method.
Deferred tax is recognised for timing differences except when there is reasonable evidence that
such timing differences will not reverse in the foreseeable future. The tax effect on timing
difference that results in a debit balance or a debit to the deferred tax balance is not carried
forward unless there is a reasonable expectation of its realisation.
(j)
Retirement benefits
The Company has made provisions to an unapproved and unfunded retirement benefit scheme
for eligible employees.
The scheme requires amounts to be set aside into a trust fund and to a book provision. The
amounts set aside are based on past service liabilities, an actuarially determined cost that gives
employees credit for benefits for service prior to valuation date and future service liabilities, an
actuarially determined cost in respect of service after the valuation date.
The scheme was valued by an independent actuary using an attained age method, a form of
projected benefit valuation method. The latest actuarial valuation was made on 30 September
1999.
(k)
Revenue recognition
Revenue is recognised upon performance of services and net of service taxes, and after
eliminating sales within the Group.

Subject to agreement by the Inland Revenue Board, the Company has sufficient tax credits under
Section 108(6) of the Income Tax Act, 1967 to frank up to RM39,400,000 of its retained earnings at 31
July 2002, if paid out as dividends and tax exempt income of approximately RM4,560,000 due to
income tax waiver granted under Section 8 of the Income Tax (Amendment) Act 1999.
The effective tax rate of the Group and the Company for the financial year were higher than the statutory
rates because certain expenses were not deductible for tax purpose.

EARNINGS PER SHARE
The earnings per share is calculated by dividing the profit from ordinary activities after tax of the Group
amounting to RM7,220,190 (2001: RM7,409,896) by the 6,000,002 (2001: 6,000,002) shares of the
Company in issue during the financial year.

At the forthcoming Annual General Meeting on 31 December 2002, a final gross dividend in respect of
the year ended 31 July 2002 of 10 sen per share (2001: 10 sen per share) amounting to RM600,000
(2001: RM600,000) will be proposed for shareholders' approval. These financial statement do not
reflect this final dividend which will be accrued as a liability in the year ending this 31 July 2003 when
approved by shareholders. This represents a change in accounting treatment from that of prior years as
explained in Note 20.

PRIOR YEAR ADJUSTMENT
During the financial year, the Group changed its accounting policy with respect to the recognition of
liabilities in compliance with the new MASB Standard 19 "Events After the Balance Sheet Date". This
change in policy has effect on the accounting treatment as follows:
Dividends (Note 8)
In previous financial years, dividends were accrued as a liability when proposed by Directors. The
Group has now changed this accounting policy to recognise dividends in shareholders' equity in the
year in which the obligation to pay is established in accordance with MASB Standard 19. Therefore,
final dividends are now accrued as a liability after approval by shareholders at the Annual General
Meeting.
This change in accounting policy has been accounted for retrospectively.
