AUCTION TERMS & CONDITIONS
1. AUCTION SALE: United Country-Musick & Sons Auction & Real Estate Services is representing
the Sellers and conducting the Auction Sale of the real property situated Weippe, Clearwater County,
Idaho.
Lot 5 Lacey Meadows Road +/- 20.00 acres (Pending)
Lot 6 Lacey Meadows Road, Weippe, Idaho 83553 +/- 20.49 acres
(See attached Exhibit A)
2. AUCTION DATE AND LOCATION: This property will be sold via an online only public auction.
Bidding is scheduled to close on Saturday, September 28th, 2013 at 1:00 PM Mountain Time.
3. MINIMUM BIDS: The seller has established a published minimum selling price for each lot. Bids
below the minimum published bid will be subject to owner’s confirmation.
4. BIDDER REGISTRATION: All prospective buyers must register to bid at www.musickauction.com.
After registration you will be contacted by the auction staff to complete the Bidder Certification page
(page 19) and the Agency Disclosure Form (page 18). Email these completed forms to
realestate@musickauction.com or fax them to (208) 466-7408. Once these forms have been received
your registration will be approved and activated.
5. ON-SITE INSPECTION: All bidders are encouraged to personally inspect the property and
documentation relating thereto. This is bare ground. Drive by anytime to inspect.
6. BID DEPOSIT: Bids on the real estate will be accepted only from Qualified Bidders who have in
their possession their earnest money deposit. At the conclusion of bidding on the property, the
successful bidder will be required to confirm its bid amount with a non-refundable earnest money
deposit in the form of a cashier’s or certified check, personal check, or other legal tender that has
been pre-approved by the auction company in the amount of $2,500 (two thousand five hundred
dollars). The offer will not be considered authenticated until the earnest money is received and the
high bidder has signed an Auction Sale Earnest Money Contract (“Purchase Contract”).
7. BUYER’S PREMIUM: A 10% (ten percent) Buyer’s Premium shall be charged and added to the
successful bidder’s high bid in order to determine the total contract price.
8. FINANCING: Any buyer who chooses to apply for financing must notify the auctioneer of his or
her lender and a contact person for the lender within 48 hours of the auction and must obtain a
written lending commitment from the lender within 5 days after the date of the auction. The sale will
not be contingent upon obtaining financing and will not be extended for that purpose. Purchasers
who fail to qualify for that reason or any other reason will be required to release their entire deposit to
Seller as liquidated damages.
9. TITLE INSURANCE: A STANDARD COVERAGE OWNER’S POLICY will be supplied by the
Seller, at Seller’s expense, giving Buyer clear and marketable title subject to restrictions of record at
close of escrow. Closing will take place at First American Title Company located at 1428 G Street,
Lewiston, Idaho 83501. The contact number for First American Title Company is (208) 746-2323.

10. CLOSING DATE: Closing will take place no later than Wednesday, October 30th, 2013. Unless
extended by the Seller, at their option, in writing. Requests for extensions must be made at least five
days prior to the scheduled closing date. All extension requests are evaluated by the Seller on a
case-by-case basis and are solely at Seller’s discretion. Purchasers who fail to close in a timely
manner shall forfeit their deposit as liquidated damages. Seller retains the unilateral right to cancel
escrow and retain the deposit in the event buyer fails to close as per the contract.
11. WARRANTIES: The sale is not contingent upon inspection and will not be extended for that
purpose. The property is being sold in its present condition. Neither Seller, Broker nor Auctioneer
makes any warranties or representations, either expressed or implied, concerning the property.
Neither Seller, Broker nor Auctioneer shall be liable for any relief, including damages, rescission,
reformation, allowance or adjustment based on the failure of the property to conform to any specific
standard or expectation.
12. BROKER PARTICIPATION: The licensed Real Estate Broker who conforms to the Broker
Registration Form and whose prospect executes an Auction Sale Earnest Money Contract and closes
escrow on the auction property will be paid a commission, exclusive of the Buyer’s Premium, of 3% of
the final accepted auction bid. To qualify for the commission, the licensed agent must register their
client on the “Broker Registration Form” available at www.TargetIdaho.com or call (208) 466-4985)
and accompany their client to the auction. All Broker Registration Forms from Brokers must be
signed by agent, broker and prospect and be received and acknowledged by United Country-Musick
& Sons Auction & Real Estate Services on or before the published deadline. A separate broker
registration form must be submitted for each client. All registration forms must be received at United
Country-Musick & Sons Auction & Real Estate Services office located at 2024 N Elder Street, Nampa,
Idaho 83687 or faxed to (208) 466-7408. Broker Registration Forms will not be accepted past
5 pm Mountain Time on Friday, September 30th, 2013.
13. SELLER’S & AUCTIONEER’S DISCLAIMER: All announcements made by the Auctioneer shall
take precedence over any previously written material or oral statements made. Conduct of the
auction, increments of the bidding and decisions as to the high bidder will be at the direction and sole
discretion of the Auctioneer. The information contained in this Property Information Package is
subject to the verification by all parties relying on it; no guarantee, expressed or implied, is given on
the information contained in the Property Information Package. No liability for its accuracy, errors or
omissions is assumed by the seller or their agents. All square footage and dimensions are
approximate. Buyers shall rely entirely on their own judgment and inspection of the property and
records. The property will be sold subject to the seller’s confirmation of the high bid with every

14. PURCHASE CONTRACT: The highest bidder receives the right and obligation to become the
purchaser under an Auction Sale Earnest Money Contract (“Purchase Contract”), which is available
from the Auctioneer. Bidders are cautioned that they must be able to comply with the purchaser’s
representations under such Purchase Contract. Note that the purchaser under the Purchase
Contract must be able to provide evidence of financial capability and pay an earnest money deposit of
$2,500 (two thousand five hundred dollars) in the form of a cashier’s or certified check, or personal
check. Note that the amount bid is not the only consideration which must be paid by the purchaser.
In addition, the consideration includes a sharing or pro-ration of closing costs and expenses, as is
customary for similar sales of property in Clearwater County, Idaho. The highest bidder will be liable
for breach of the Purchase Contract if the bidder cannot perform.

50. How does the 10-day inspection period apply to real estate sold at auctions? Real estate
auctions take place at a set time and set place. Typically, there is a period of “due diligence” prior to
the auction when all potential buyers are permitted to view the property, ask any questions and
conduct any testing such as a termite inspection or a test of structural soundless. Would it be
permissible for the seller to give potential buyers any information of lead-based paint and allow leadbased paint inspections during this period as well?
Prior to an auction not associated with a foreclosure proceeding (which would be exempted
under the rule), there is typically a period of “due diligence” that allows all potential buyers to
view the property, as any questions and conduct any testing, such as a termite inspection or a
test of structural soundness. EPA and HUD have determined that during this due diligence
period, the seller may give potential buyers any information on lead-based paint, allow leadbased paint inspections, and otherwise comply with this rule.
