Four separate digital inputs will accept up to eight channels of PCM digital audio as well as Dolby® Digital, Dolby E, Dolby Pro Logic®, and Dolby Pro Logic II bitstreams. A separate, adjustable global audio delay is assigned to each digital input to ensure that sound and picture are perfectly synchronized. The front panel is designed for usability, with manual control and digital clock status for each digital input selection, decode mode status, and eightchannel signal presence. The New Product Limited Warranty and Software Maintenance Coverage commences on the date of purchase of the Product and will expire after the relevant Coverage Period. Prior to the expiration of the New Product Limited Warranty, the Customer will have the option to purchase additional years of coverage with the Extended Hardware Warranty. Issues in the software must be demonstrable in the currently supported release(s) of a Dolby licensed software program, running unaltered, and on the original hardware and operating system configuration, as specified in the documentation supplied with the Product(s). Software Maintenance consists of the following: •Software program updates, fixes, security alerts, critical patch updates, upgrade scripts, general maintenance releases, and documentation updates (collectively, “Software Updates”). Software Updates are provided when and if available and Dolby shall have no obligation to develop any future features or functionality for the Product under the Software Maintenance policy. Software Maintenance does not include any new software releases with additional features or options or any future software program(s) that Dolby may sell separately. DOLBY CINEMA PRODUCTS PRICE LIST 21 DOLBY PRODUCTS—2011 •Such Software Updates will be delivered by electronic download (or by physical media upon special request, if applicable). The Customer shall be responsible for downloading and installing such Software Updates. •If the Customer has not purchased Software Maintenance, then Software Updates for certain Products may be purchased separately at market rates as they become available. Extended Hardware Warranty The Extended Hardware Warranty program consists of the following: •Dolby will repair or, at its option, replace hardware components that prove to be defective in materials and/or workmanship, provided the Product is returned (with shipping costs prepaid by the Customer) to Dolby direct or via its authorized dealers or distributors in accordance with Dolby’s Repair and Exchange policy. •If applicable, in the event a hard disc drive included with the Product fails under the Extended Hardware Warranty, the Customer shall return the defective hard disc drive to Dolby at the Customer’s expense, and Dolby will ship a replacement hard disc drive at Dolby’s expense for reinstallation into the Product by the Customer. Software Maintenance is not included in the Extended Hardware Warranty and must be purchased separately. Continued Software Maintenance Coverage is required to purchase the Extended Hardware Warranty. Defects in the Product caused by modifications, physical damages, misuse, accidents, improper installation, environmental operating conditions, and connectivity (audio, network, and electrical), unauthorized Customer repairs, or any further damage caused by inadequate packaging for service return are not covered by the Extended Hardware Warranty. No on-site labor for removal, packing, or reinstallation of the Product is included in the Extended Hardware Warranty. If further assistance is required, the Customer may purchase such assistance at Dolby’s then current rates. NOTE: Failure to purchase or renew the Extended Hardware Warranty coverage for the Product prior to the expiration date of the applicable New Product Limited Warranty Coverage Period or the Extended Hardware Warranty Support Period will result in the loss of the right to purchase or renew the Extended Hardware Warranty and, as a result, the Customer’s benefits under the Extended Hardware Warranty will terminate at the end of such period and cannot be reinstated. Additional Terms Renewals of the Software Maintenance and/or Extended Hardware Warranty programs may be ordered, for each Product to be covered, through Dolby’s sales department. The Software Maintenance and the Extended Hardware Warranty programs are specific to each Product based on the serial number. The Customer shall provide the serial number(s) for the Product covered when requested in order to initiate claims against the Software Maintenance and/or Extended Hardware Warranty programs. Fees are due and payable annually in advance of a Support Period, unless otherwise stated in the relevant agreement with Dolby or a Dolby affiliate. The Customer’s commitment to pay is required to process an order with Dolby (e.g., purchase order, actual payment, or other approved method of payment). An invoice will be issued only upon receipt of the Customer’s commitment to pay, and will be sent to a single billing address as designated by the Customer. Failure to submit payment will result in the termination or loss of right to purchase Software Maintenance and/or an Extended Hardware Warranty. Support Period If the Customer purchases the Software Maintenance and/or the Extended Hardware Warranty programs prior to the expiration of the applicable New Product Limited Warranty Coverage Period or previous Software Maintenance/Extended Hardware Warranty Support Period, the effective date of the Customer’s renewal/ purchase will be the day after the expiration of the applicable New Product Limited Warranty Coverage Period or previous Software Maintenance/Extended Hardware Warranty Support Period. Once the Extended Hardware Warranty lapses, the Customer is not allowed to renew or reinstate the Extended Hardware Warranty, but may only purchase or renew Software Maintenance. For Software Maintenance purchases after the expiration of the Software Maintenance Coverage Period or previous Software Maintenance Support Period, see “Reinstatement of Dolby Software Maintenance” below. Terms, including pricing, reflect a one-year support period (the “Support Period”). Unless otherwise outlined in this Policy, all services ordered for the Support Period and the related fees are noncancelable and nonrefundable. Dolby is not obligated to provide services beyond the end of the Support Period unless the Customer’s subscription is renewed on or before the service expiration date. 22 DOLBY CINEMA PRODUCTS PRICE LIST DOLBY PRODUCTS—2011 Reinstatement of Dolby Software Maintenance In the event that Software Maintenance lapses, upon the recommencement of Software Maintenance a reinstatement and a lapsed support fee will be assessed. The reinstatement and lapsed support fee is equal to 150 percent of the support fee that would have been incurred for the period from the date the Software Maintenance lapsed to the reinstatement date. Applicable renewal adjustments are applied to the reinstatement and lapsed support fee and go-forward support fee. Unsupported Products Customers with Products that are no longer supported do not receive Software Updates, telephone assistance, or any other technical support services for those Products. Software programs purchased or downloaded for trial use, used with other supported Products, or purchased or downloaded as replacements may not be used to update any unsupported Products or software. Right to Discontinue Support It may become necessary as a part of Dolby’s product life cycle to drop certain Products or software releases from support and, therefore, Dolby reserves the right to discontinue support for certain Products or software releases without obligation; however, Dolby will use commercially reasonable efforts to give 90 days’ notice. Dolby will refund any Software Maintenance or Extended Hardware Warranty fees paid related to periods after the discontinuation of support for such Products or software that are no longer supported. New Product Limited Warranty: Equipment manufactured by Dolby is warranted against defects in materials and workmanship for a period of one year from the date of purchase. During the warranty period, at Dolby’s sole discretion, Dolby will repair or replace components that prove to be defective or, if Dolby deems that the equipment is irreparable, Dolby will provide a replacement Product with the same or equivalent model, provided the Product is returned, shipping prepaid by the Customer, to Dolby direct or via an authorized dealer. Usage of such Product must be in accordance with applicable Product documentation. Service Warranty: Dolby warrants that the Software Maintenance and Extended Hardware Warranty services will be provided in a professional manner consistent with industry standards. The Customer must notify Dolby of any support deficiencies within 90 days from performance of the defective service. The Customer and Dolby each agree to disclose only information that is required for the performance of obligations under the Customer’s order. Confidential Information shall be limited to the terms and pricing under this Agreement and the Customer’s order and all information clearly identified as confidential at the time of disclosure. A party’s Confidential Information shall not include information that: (a) is or becomes a part of the public domain through no act or omission of the other party; (b) was in the other party’s lawful possession prior to the disclosure and had not been obtained by the other party either directly or indirectly from the disclosing party; (c) is lawfully disclosed to the other party by a third party without restriction on the disclosure; (d) is independently developed by the other party; or (e) is required to be disclosed pursuant to applicable law, court, or administrative order or regulation, provided that the receiving party gives the other party reasonable advance written notice of any request or demand for such disclosure and permits such other party to contest such disclosure by seeking a protective order or the equivalent. Each party agrees to hold each other’s Confidential Information in confidence for a period of three years from the date of disclosure. Also, each party agrees to disclose Confidential Information only to those employees or agents who are required to protect it against unauthorized disclosure. Nothing shall prevent either party from disclosing the terms or pricing under the Customer’s order in any legal proceeding arising from or in connection with the Customer’s order or disclosing the Confidential Information to a federal or state governmental entity as required by law. This Nondisclosure provision is not intended to supersede any other nondisclosure provision agreed to by the parties, and the more restrictive provision shall control with respect to the Confidential Information provided under this Agreement. Transferability Unless otherwise outlined in this Policy, the Software Maintenance and Extended Hardware Warranty programs are nontransferable by the Customer and are nonrefundable. In the event that the Customer sells the Product subject to these programs, Dolby shall not be obligated to provide such services to the buyer. If the buyer desires such services, the buyer shall contact Dolby to receive additional information on any such services available. Next business day dispatch can be arranged at additional customer expense. For items with a manufacturer’s defect that are under warranty, Dolby will ship replacement items using either one or two business day shipping services within the United States. For shipments outside of the United States, either Priority or Economy shipping services will be used, depending on the urgency. If the item is under warranty, Dolby will cover shipping, duties, and taxes on the return shipment from the repair facility. If the item is out of warranty, you will be charged for all shipping, duties, and taxes to and from the repair facility for the shipping method that you choose. Important: In all cases, an RMA Asset Number must be obtained in advance before the defective item is returned to Dolby. To request an RMA Asset Number, contact your Dolby representative. Obtaining RMA Asset Numbers • When contact is made with Dolby, you will be asked to fill out a form that asks for company name, shipping address, and a detailed description of the item defect (if applicable). Upon submission of this form, you will receive the form back by email or fax with an RMA Number. This form must accompany the item(s) you are returning. • For all returns of faulty equipment: Additional information, including a full technical report describing the fault, is essential. This fault information will allow a comprehensive repair to be carried out in a timely manner. The lack of technical details related to the defect could cause a delay in turnaround time and/or impact the warranty. If multiple items are being returned, each line item must have a separate RMA Asset Number and a separate description or defect code. Multiple assets may be returned under one blanket RMA Number. 26 DOLBY CINEMA PRODUCTS PRICE LIST DOLBY PRODUCTS—2011 Note: The return address on the form you receive may vary depending on the item. The address to return your item will be indicated on your RMA form. If the unit(s) being returned are shipped to an incorrect location, this could incur extra fees on the final invoice and can extend the processing time for the returned items. 2. Displaying RMA and RMA Asset Number(s) Properly • Please make sure to write your RMA Number on the outside of each returning box and include your RMA Asset form inside of each box. This will help in routing your shipment. • Items received without the valid RMA and RMA Asset Numbers could experience significant delays in processing time. Incorrect or missing RMA information could result in the item(s) being returned to you at your expense. 3. Packaging Instructions • Dolby requires appropriate packaging to be used and the RMA Asset form to be included when returning faulty items. Appropriate packaging includes a sturdy box, proper taping, sufficient internal packing materials to cushion the contents, and the use of static-proof bags for electronic printed circuit boards (PCBs). • If damage occurs due to inappropriate packaging, Dolby reserves the right to pass all repair costs on to you. Note: If you have any questions on what sort of packaging you should use, please contact your Dolby representative. 4. Advanced Replacements—US Customers • When an Advanced Replacement is requested, normal Dolby sales procedures will apply for items that are no longer under warranty. • If you have payment terms with Dolby then you must return the defective item to Dolby within 60 days of the date the Advanced Replacement was shipped. Returns received more than 60 days after the Advanced Replacement item was shipped will be invoiced at the current list price and returned to you at your expense. • If you are a customer located in the United States and do not have payment terms with Dolby then you must return the defective item to Dolby within 30 days of the date the Advanced Replacement was shipped. Returns received more than 30 days after the Advanced Replacement item was shipped will be invoiced at the current list price and returned to you at your expense. 5. Advanced Replacements—International Customers • When an Advanced Replacement is requested, normal Dolby sales procedures will apply for items that are no longer under warranty. • You must return the defective item, freight, duties, and taxes prepaid, to Dolby within 60 days of the date the Advanced Replacement was shipped. Returns received more than 60 days after the Advanced Replacement item was shipped will be invoiced at the current list price and returned to you at your expense. 6. Replacement Coverage • Replacement items are covered for either the balance of the original warranty period remaining on the item or for 120 days from the shipment date of the replacement item, whichever is longer. • Replacements for items no longer under warranty are covered for 120 days from the shipment date of the replacement item. A defective item under the Extended Hardware Warranty will be covered for replacement until that Extended Hardware Warranty period expires. 7. Software Updates • Software Updates will only be performed on items with current Software Maintenance subscriptions in effect. • Should Software Updates not be desired, this must be clearly stated on the RMA form that is returned with the faulty item. Please note that there will be instances when a different software version is part of the repair. DOLBY CINEMA PRODUCTS PRICE LIST 27 DOLBY PRODUCTS—2011 EQUIPMENT TERMS OF SALE By placing an order and purchasing any Dolby product, Customer agrees that these Equipment Terms of Sale shall apply to such purchase. Any additional or conflicting terms or conditions contained in such order or other Customer document shall be null and void unless expressly agreed to by Dolby in writing. DISCLAIMER OF WARRANTIES: Products manufactured by Dolby are warranted against defects in materials and workmanship for a period of one year from the date of purchase. In the case of software, the media on which the software is furnished is warranted against defects in materials and workmanship for a period of 60 days from the date of purchase. ALL OTHER WARRANTIES, CONDITIONS, AND OTHER TERMS (WHETHER EXPRESS OR IMPLIED) INCLUDING BUT NOT LIMITED TO THOSE RELATING TO NONINFRINGEMENT OF THIRD-PARTY RIGHTS (INCLUDING, BUT NOT LIMITED TO, PATENT AND COPYRIGHT RIGHTS), SATISFACTORY QUALITY, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE ARE, TO THE FULLEST EXTENT PERMITTED BY LAW, EXCLUDED FROM THESE EQUIPMENT TERMS OF SALE. During the warranty period, Dolby will repair, or at its option replace, components which prove to be defective, provided the product or applicable component is returned, shipped prepaid, to Dolby direct or via an authorized dealer or distributor. Defects caused by modifications, physical damages, misuse, accidents, improper installation, environmental operating conditions or connectivity (audio, network, or electrical), unauthorized Customer repairs, or any further damage caused by inadequate packaging for service return are not covered by this warranty. RETURNS: Products may not be returned to Dolby without prior authorization. Customer must contact Dolby to obtain a Return Material Authorization (RMA) number. Any product returned to Dolby without proper authorization will be returned to Customer at Customer’s expense. LIMITATION OF PERIOD OF ACTION ON CONTRACT: No action, regardless of form, arising out of transactions under these Equipment Terms and Conditions may be brought by Customer, its successors, agents and/or assigns, more than one year from date of purchase. LIMITATION OF LIABILITY: DOLBY’S LIABILITY, WHETHER IN CONTRACT, IN TORT, UNDER ANY WARRANTY, IN NEGLIGENCE, OR OTHERWISE, SHALL NOT EXCEED THE COST OF REPAIR OR REPLACEMENT OF THE DEFECTIVE COMPONENTS OR ACCUSED INFRINGING DEVICES, AND UNDER NO CIRCUMSTANCES SHALL DOLBY BE LIABLE FOR THE COST OF SUBSTITUTE PRODUCTS, INCIDENTAL, SPECIAL, DIRECT, INDIRECT, OR CONSEQUENTIAL DAMAGES (INCLUDING BUT NOT LIMITED TO DAMAGE TO SOFTWARE OR RECORDED AUDIO OR VISUAL MATERIAL), COST OF DEFENSE, OR LOSS OF USE, REVENUE, OR PROFIT, EVEN IF DOLBY OR ITS AGENTS HAVE BEEN ADVISED, ORALLY OR IN WRITING, OF THE POSSIBILITY OF SUCH DAMAGES. NOTHING IN THIS CLAUSE SHALL OPERATE OR BE DEEMED TO OPERATE TO EXCLUDE OR LIMIT LIABILITY TO A GREATER EXTENT THAN IS PERMITTED BY LAW. Should any provision of these Equipment Terms of Sale be held to be void, invalid, or inoperative, then such provision and the other related provisions of these Equipment Terms of Sale shall be deemed automatically adjusted to conform to the requirements for validity declared at such time and to, as closely as legally permissible, reflect the original intent of Dolby and Customer. If such provision is of such a nature that it cannot be so adjusted, the provision shall be deemed deleted from these Equipment Terms of Sale as though it had never been included herein. In either case, except as set forth above, the remaining provisions of these Equipment Terms of Sale shall not be affected. EXTENDED WARRANTY AND SOFTWARE MAINTENANCE POLICIES: In addition to the Limited Warranty above, applicable Dolby products may include software maintenance with purchase as defined in the applicable Policy. For a list of products that include this software maintenance and a description of this software maintenance policy, please review the Software Maintenance and Extended Warranty Policy (for hardware products) located at www.dolby.com/warranty or Software Maintenance Policy (for Software only products) located at www.dolby.com/software. Customer may purchase additional years of software maintenance or an extended warranty in accordance with such policies. Unless otherwise set forth in such policies, all fees for software maintenance or extended warranty are nonrefundable. Dolby may annually increase any such fees for software maintenance and/or extended warranty in an amount equal to any increase in the annual unadjusted Consumer Price Index measure for all Urban Consumers (CPI-U) as published by the US Bureau of Labor Statistics. DOLBY CINEMA PRODUCTS PRICE LIST 28 DOLBY PRODUCTS—2011 DEALER AND DISTRIBUTOR RESPONSIBILITY: It is the responsibility of Customers that are dealers and distributors to inform their customers of Dolby’s warranty, disclaimer of warranties, and limitations of liability. EQUIPMENT TERMS OF SALE: Terms are net 30 days Ex Works (Incoterms 2000) Dolby’s designated facility, unless otherwise specified by Dolby. Title and risk of loss or damage shall pass to Customer upon delivery of the products by Dolby to a common carrier or, if the products are to be picked up by Customer, when the products are made available for pickup at Dolby’s facilities. If the invoice is not paid when due, interest will be payable after due date at an amount to be determined by Dolby, but no higher than allowed by law. To the extent permitted by applicable law, Dolby hereby reserves a purchase money security interest in products sold and the proceeds thereof, in the amount of its purchase price. In the event of default by Customer of any of its obligations to Dolby, Dolby shall have the right to repossess the products sold hereunder and without liability to Customer, and Customer shall assemble such products so that Dolby may repossess them without a breach of the peace. These security interests will be satisfied by payment in full. A copy of the invoice may be filed with appropriate authorities at any time as a financing statement and/or chattel mortgage, in order to perfect Dolby’s security interest. On request of Dolby, Customer will execute financing statements and other instruments Dolby shall request to perfect its security interest. GOVERNING LAW: The validity, interpretation, and performance of these Equipment Terms of Sale shall be governed by and construed in accordance with the laws, and Customer agrees to submit to the jurisdiction of the court, set forth below based on the applicable region that Customer is located: Region Governing Law Court Jurisdiction Europe England English Courts All other countries State of California, USA State or Federal Courts located in San Francisco, California All agreements will be interpreted and construed in accordance with the English language. The parties agree that the UN Convention for the International Sale of Goods will have no force or effect on these terms and conditions. COMPLIANCE WITH APPLICABLE LAWS: Customer agrees to comply with all applicable laws and regulations. Customer understands that Dolby is subject to regulation by agencies of the U.S. government, including the U.S. Department of Commerce, which prohibits export or diversion of Dolby’s products to certain countries and persons and entities listed on the US Government lists of restricted or prohibited persons, including the Bureau of Industry and Security’s List of Denied Persons and the Department of Treasury List of Specially Designated Nationals; and is also subject to the Foreign Corrupt Practices Act, which prohibits giving anything of value to any foreign government official, foreign political party, or official of a foreign political party or any candidate for foreign political office in order to influence improperly his or her judgment in the performance of official duties. Customer agrees it will not knowingly assist or participate in any such diversion or other violation of any applicable US laws and regulations will allow Dolby to audit Customer’s books and records for compliance and, at Dolby’s request, will certify to Dolby as to Customer’s compliance with these provisions. Customer warrants that it shall not sell any products in countries or to users not approved to receive such products under applicable US laws and regulations, and that it will abide by such laws and regulations. Customer shall hold harmless and indemnify Dolby for any damages, expenses and costs (including reasonable attorneys fees) arising from a breach of this section by Customer. TAXES: Prices quoted do not include sales, use, excise or similar taxes, and Customer shall pay, or reimburse Dolby for, the gross amount of all such taxes (other than taxes on Dolby’s net income), imposed by any governmental authority (collectively, “Taxes”) applicable to the sale or furnishing of any products hereunder. In lieu of a specific tax, Customer may provide Dolby with a tax exemption certificate acceptable to the applicable taxing authority. SOFTWARE LICENSE: If any product purchased includes software, such software shall be subject to the license agreement (“SLA”) accompanying such software, whether that SLA is printed or displayed upon installation or use (and to the extent there is any conflict between these Equipment Terms of Sale and such SLA, the SLA shall prevail). If there is no such SLA, Dolby grants to Customer a nonexclusive, revocable, limited, nontransferable (except in the case of a transfer by Customer of all of its rights to the software and any associated product to another entity) license to install, use, access, display, and run one copy of the software only in connection with use of the products. Otherwise, Dolby reserves all rights in the software, and no title to or ownership of any software or any parts thereof is transferred to Customer by any delivery of software to Customer hereunder. Customer shall not disassemble, decompile, modify, copy, or reverse engineer Dolby’s software or any product or otherwise attempt to derive or obtain any source code, structure, algorithms, process, technique, technology, know how, or ideas underlying or contained in the products or software. Upon request, Dolby shall provide Customer with information needed to achieve interoperability with other programs within the meaning of the European Union Directive on the Legal Protection of Computer Programs. 29 DOLBY CINEMA PRODUCTS PRICE LIST DOLBY PRODUCTS—2011 If applicable, this software is commercial computer software developed exclusively at private expense, and is provided to the U.S. Government only as commercial computer software (with “Restricted Rights,” as applicable). Use, duplication, and disclosure by civilian agencies of the U.S. Government shall be in accordance with the terms of this Agreement and FAR 52.227-19(b), or its current equivalent. Consistent with DFARS 227.7202 or its current equivalent, use, duplication, and disclosure by DOD agencies is subject solely to the terms of this Agreement. PRODUCT END OF LIFE INFORMATION: Dolby products have been designed and built to give many years of service. When such products eventually reach the end of their serviceable life, they should be disposed of in accordance with local or international legislation. It is a condition of Dolby’s fulfillment of Customer’s order that, to the extent laws and regulations in the country of destination provide for the collection, recycling, and disposal of electronic products (for example, laws implementing Directives 2002/96/EC and 2003/108/EC (Waste Electrical and Electronic Equipment)), Customer accepts responsibility for compliance with all such laws and regulations, including, but not limited to the responsibility for marking products and the management and cost of collection, recycling, treatment, and disposal of such products and agrees to indemnify and defend Dolby in respect of any liabilities and costs incurred by it as a result of any related noncompliance.
