fields in Mahan Park for the La Marque Cougars Organization.
The La Marque Cougars and the Tigers have come together to form this organization.
At the meeting of the Parks Board on June 16, 2016, it was voted unanimously to come
into an agreement with Mr. Sowell

Lessee shall provide the Public W o r k s Director a schedule o fLessees days a n dtimes o f practice
use o ffacilities a n d days a n d t i m e s o f games. D u r i n g this t i m e . Lessee shall have e x c l u s i v e u s e o f
t h e f i e l d s d u r i n g t h e s e t i m e s . W h e n [ , e s s e e i s n o t u s i n g t h e fields f o r p r a c t i c e s a n d / o r g a m e s , t h e
fields m a y be used b y t h e general public for recreational purposes. T h eLessee shall n o t sublet t h e
fields t o a n y o t h e r o r g a n i z a t i o n f o r p r a c t i c e , g a m e s o r t o u r n a m e n t s w i t h o u t t h e w r i t t e n c o n s e n t o f
the City.
S E C T I O N 5. A c t i o n s o n T e r m i n a t i o n a n d I n d e m n i t y . U p o n t e r m i n a t i o n o r e x p i r a t i o n o f t h i s
A g r e e m e n t , Lessee agrees t o peacefully give u p t h euse a n dpossession said premises t o C i t y a n d
shall r e m o v e all equipment, uniforms, a n dpersonal property. U p o n t e r m i n a t i o n o r expiration o f
this Agreement, a l lphysical i m p r o v e m e n t s placed upon the Premises b y Lessee shall r e m a i n i n
place. It is further agreed that t h e C i t y C o u n c i l ( o r their designee) shall have t h e right t o approve
all plans a n d specifications before a n y i m p r o v e m e n t s are m a d e t o the Premises b y Lessee, other

than n o r m a l maintenance. Lessee shall submit plans a n d specifications t o the Parks B o a r d for their
approval, then t o City M a n a g e r o r designee for r e v i e w a n d recommendation t o C i t y C o u n c i l .
It is expressly u n d e r s t o o d a n d agreed that Lessee shall i n d e m n i f y a n d h o l d C i t y h a r m l e s s f r o m a n y
liability for p a y m e n t o f any obligations incurred b y Lessee o r due t o a n yi m p r o v e m e n t s , etc. placed
in o r u p o n said Premises b y Lessee. Lessee shall n o tencumber, i n a n y manner, n o r p e r m i t a lien
o f any type t o be placed o n , said Premises, a n d Lessee agrees t o i n d e m n i f y a n d h o l d C i t y harmless
i n r e g a r d t o a n y s u c h financial o b l i g a t i o n s , l i e n s , o r e n c u m b r a n c e s o f a n y k i n d .
S E C T I O N 6. C o n c e s s i o n S t a n d . L i c e n s e e s h a l l b e p e r m i t t e d t o o p e r a t e a c o n c e s s i o n s t a n d l o c a t e d
n e x t t o t h e a t h l e t i c fields o n t h e P r e m i s e s a n d s h a l l b e p e r m i t t e d t o s e l l m e r c h a n d i s e a n d n o n alcoholic beverages during the period from o n e ( I ) hour i m m e d i a t e l y before a n athletic event
c o m m e n c e s until o n e ( 1 )h o u r i m m e d i a t e l y after said athletic event ends. Licensee shall p r o v i d e
adequate a n d suitable containers f o r collecting discarded cups, papers, a n d trash f r o m t h e o p e r a t i o n
o f said concession stand a n d shall be responsible f o rkeeping the entire Premises free o f all papers,
cups, a n d trash f r o m resulting f r o m operations o f said concession stand. A t n o t i m e shall Licensee
sell o r a l l o w t h e sale o f beer, w i n e o r a n y o t h e r a l c o h o l i c beverage.
S E C T I O N 7. E q u a l O p p o r t u n i t y . I t i s a g r e e d a n d u n d e r s t o o d t h a t P r e m i s e s a r e o w n e d b y t h e
C i t y are t h e subject o f this A g r e e m e n t a n d that i n the conduct o f Lessee's o p e r a t i o n thereon,
d i s c r i m i n a t i o n o n account o f race, c o l o r , sex. r e l i g i o n , age, d i s a b i l i t y , o r n a t i o n a l o r i g i n , d i r e c t l y
or indirectly, is strictly prohibited.
S E C T I O N 8.
Maintenance a n d Responsibility. Lessee shall m a i n t a i n the Premises i n good
c o n d i t i o n satisfactory t o C i t y . Lessee shall be responsible f o r t h e costs o f utility service t o t h e
P r e m i s e s as discussed i n S e c t i o n 3. Lessee m a y at their o w n cost p r o v i d e m o w i n g t o s u p p l e m e n t
that o f the C i t y . Lessee shall at their o w n expense be responsible for t h e m a i n t e n a n c e o f the
fields
f o r s a f e t y o f t h e p a r t i c i p a n t s . L e s s e e s h a l l a l s o b e r e s p o n s i b l e f o r a l l field l i n i n g a n d p r e p a r a t i o n
o f fields. A n y unusual circumstances necessitating C i t y assistance m u s t be reported i m m e d i a t e l y
to the Director o f Public W o r k s .
S E C T I O N 9. C o m m e r c i a l A d v e r t i s i n g . L e s s e e s h a l l b e a b l e t o g e n e r a t e r e v e n u e f o r t h e
o r g a n i z a t i o n w i t h t h e sale o f fence advertising. A l l a d v e r t i s i n g shall be o f g o o d taste f o r a f a m i l y
v e n u e a n d professionally created. Lessee shall be responsible f o r t h e i n s t a l l a t i o n o f fence
a d v e r t i s i n g at t h e start o f t h e season a n d t h e r e m o v a l o f a l l a d v e r t i s i n g at t h e c o n c l u s i o n o f t h e
season. Lessee shall be solely responsible for the maintenance o fall sign advertising.
S E C T I O N 10. A n n u a l R e p o r t a n d F i n a n c i a l S t a t e m e n t . I t i s a g r e e d t h a t L e s s e e s h a l l f u r n i s h t o
t h e C i t y M a n a g e r o r h e r d e s i g n e e a f i n a n c i a l s t a t e m e n t o f t h e p a s t y e a r ' s o p e r a t i o n b y September
30 o f e a c h y e a r .
S E C T I O N 11. I n s u r a n c e a n d I n d e m n i f i c a t i o n . A s a c o n d i t i o n p r e c e d e n t t o t h e e f f e c t i v e n e s s o f
the agreement hereby granted. Lessee agrees t o i n d e m n i f y a n d h o l d harmless City, its officials,
e m p l o y e e s , a n d agents f r o m a n d against a n y a n d a l l costs, c l a i m s , a n d d a m a g e s ( i n c l u d i n g
attorney's fees) that m a y be caused b y t h e use o f t h e Premises, a n d shall protect a n d i n d e m n i f y
C i t y f r o m a n y a n d a l l c l a i m s , cost, expenses, j u d g m e n t s , a n d causes o f a c t i o n a r i s i n g o u t o f o r i n
any w a yrelated t o the use o fthe Premises, and shall defend a n y litigation arising i n connection
w i t h such u s e at i t s o w n cost a n d expense. I n a d d i t i o n . Lessee agrees t o o b t a i n a n d m a i n t a i n a n
i n s u r a n c e p o l i c y n a m i n g t h e C i t y as a d d i t i o n a l l y insured. S u c h p o l i c y s h a l l b e f o r n o t less t h a n
$ 5 0 0 , 0 0 0 . 0 0 per person for b o d i l y injuries, n o t less t h a n $ 1 0 0 , 0 0 0 . 0 0 for p r o p e r t y d a m a g e , a n d a n
a g g r e g a t e l i m i t o f n o t less t h a n $ 1 , 0 0 0 , 0 0 0 . 0 0 p e r o c c u r r e n c e . P r o o f o f p a y m e n t o fp r e m i u m f o r
said p o l i c y a n d a copy o f said policy shall be delivered t o a n d kept b y the C i t y M a n a g e r o r h e r
d e s i g n e e a n d s u c h i n s u r a n c e s h a l l be m a i n t a i n e d i n full force s o l o n g as this A g r e e m e n t is i n effect.
N o t less t h a n t e n days prior t o e x p i r a t i o n o f a current insurance p o l i c y . Lessee shall p r o v i d e a c o p y
o f a n e w o r replacement insurance policy t o the City Manager o f the City inclusive o f evidence o f
the C i t y c o n t i n u i n g t o b e n a m e d as a n a d d i t i o n a l i n s u r e d u n d e r t h e p o l i c y . F a i l u r e t o p r o v i d e s u c h
p r o o f o f i n s u r a n c e as agreed u p o n s h a l l n e g a t e a n y u s e o f C i t y f a c i l i t i e s u n t i l s u c h c o m p l i a n c e h a s
been satisfied.
S E C T I O N 12. V a l i d i t y .
Each section, subsection, provision, requirement, regulation, o r
restriction established b y this A g r e e m e n t is hereby declared t o be independent, a n d t h e h o l d i n g o f
a n y p a n t o be unconstitutional, invalid, o r ineffective for a n y cause shall not affect o r render i n v a l i d
this A g r e e m e n t o r a m e n d m e n t s hereto, as a w h o l e o r a n y part thereof, except t h e particular part so
declared t o be invalid.
S E C T I O N 13. A u t h o r i t y . E a c h i n d i v i d u a l s i g n i n g t h i s A g r e e m e n t c e r t i f i e s t h a t h e o r s h e h a s
been d u l y authorized t o sign this A g r e e m e n t b y t h e party f o rw h o m h e o r she signs.
S E C T I O N 14. A p p l i c a b l e L a w , f h i s A g r e e m e n t s h a l l b e g o v e r n e d b y a n d c o n s t r u e d i n
accordance w i t h the laws o f the State o f Texas. V e n u e shall be i n Galveston C o u n t y .
S E C T I O N 15. A t t o r n e y ' s F e e s . T h e p a r t y p r e v a i l i n g i n a n y d i s p u t e u n d e r t h i s A g r e e m e n t s h a l l
be e n t i t l e d t o r e c o v e r i t s r e a s o n a b l e a t t o r n e y ' s fees a n d costs i n a d d i t i o n t o a l l o t h e r r e l i e f .
S E C T I O N 16. R i n d i n g E f f e c t . T h i s A g r e e m e n t s h a l l b e b i n d i n g u p o n a n d i n u r e t o t h e b e n e f i t o f
the parties a n d their respective heirs, personal representatives, successors a n d assigns.
N o t w i t h s t a n d i n g the foregoing. Lessee m a y n o t assign its interest under this A g r e e m e n t w i t h o u t
obtaining t h e prior consent o f the City, acting t h r o u g h itsCity C o u n c i l . I f Lessee desires t o assign
its interest under this A g r e e m e n t , Lessee m u s t s u b m i t a w r i t t e n request t o t h eC i t y M a n a g e r seeking
permission t o assign its interest a n d identify to w h o m the Lessee proposes to assign its interest a n d
the t e r m s o f a n y such assignment. T h e request f o r assignment w i l l be considered b y t h e C i t y
C o u n c i l at a regular m e e t i n g a n d t h e C i t y C o u n c i l , i n itssole discretion, m a y v o l e t o consent t ot h e
assigmnent o r vote to n o t consent to the assignment.

the soccer fields in Mahan Park since 2014.
 This Agreement expired in October of 2015
 Pete Ruiz came before the Parks Board asking for an agreement for the use of the
soccer fields in Mahan Park for the Super Ladies Soccer Organization
 At the meeting of the Parks Board on June 16, 2016, it was voted unanimously to

S E C T I O N 1 . Parties. T h i s A g r e e m e n t ( t h e " A g r e e m e n t ) is made b y a n d b e t w e e n t h e C i t y o f L a

S E C T I O N 5. Actions o n T e r m i n a t i o n and Indemnity. U p o n termination o r expiration o f this
A g r e e m e n t , Lessee agrees t o peacefully give u p the use a n d possession said premises t o C i t y a n d
shall r e m o v e all equipment, u n i f o r m s , a n d personal property. U p o n t e r m i n a t i o n o r expiration o f
t h i s A g r e e m e n t , a l l p h y s i c a l i m p r o v e m e n t s p l a c e d u p o n t h e P r e m i s e s b y L e s s e e s h a l l r e m a i n in
place. I t i s f u r t h e r agreed that t h e C i t y C o u n c i l ( o r t h e i r designee) s h a l l h a v e t h e r i g h t t o a p p r o v e
ail plans a n d specifications before a n y i m p r o v e m e n t s are made t o t h e Premises b y Lessee, other
than n o r m a l maintenance. Lessee shall submit plans a n d specifications t o t h e Parks B o a r d f o r
their approval, then t o C i t y M a n a g e r o r designee f o r r e v i e w a n d r e c o m m e n d a t i o n t o C i t y
Council.

S E C T I O N 6. E q u a l O p p o r t u n i t y . I t is a g r e e d a n d u n d e r s t o o d t h a t P r e m i s e s a r e o w n e d b y t h e
C i t y are the subject o f t h i s A g r e e m e n t a n d that i n the c o n d u c t o f Lessee's o p e r a t i o n t h e r e o n ,
d i s c r i m i n a t i o n o n a c c o u n t o f r a c e , c o l o r , sex, r e l i g i o n , a g e , d i s a b i l i t y , o r n a t i o n a l o r i g i n , d i r e c t l y
or i n d i r e c t l y , is strictly p r o h i b i t e d .
S E C T I O N 7. M a i n t e n a n c e a n d R e s p o n s i b i l i t y . L e s s e e s h a l l m a i n t a i n t h e P r e m i s e s i n g o o d
c o n d i t i o n satisfactory t o C i t y . Lessee shall be responsible f o r the costs o f u t i l i t y service t o t h e
P r e m i s e s as d i s c u s s e d i n S e c t i o n 3 . L e s s e e m a y at t h e i r o w n c o s t p r o v i d e m o w i n g t o s u p p l e m e n t
t h a t o f t h e C i t y . L e s s e e s h a l l at t h e i r o w n e x p e n s e be r e s p o n s i b l e f o r t h e m a i n t e n a n c e o f t h e
f i e l d s f o r s a f e t y o f t h e p a r t i c i p a n t s . L e s s e e s h a l l a l s o be r e s p o n s i b l e f o r a l l f i e l d l i n i n g a n d
p r e p a r a t i o n o f fields. A n y u n u s u a l c i r c u m s t a n c e s n e c e s s i t a t i n g C i t y a s s i s t a n c e m u s t b e r e p o r t e d
immediately to the Director o f Public W o r k s .
S E C T I O N 8.
C o m m e r c i a l A d v e r t i s i n t t . L e s s e e s h a l l be a b l e t o g e n e r a t e r e v e n u e f o r t h e
o r g a n i z a t i o n w i t h t h e s a l e o f f e n c e a d v e r t i s i n g . A l l a d v e r t i s i n g s h a l l be o f g o o d t a s t e f o r a f a m i l y
v e n u e a n d p r o f e s s i o n a l l y c r e a t e d . L e s s e e s h a l l be r e s p o n s i b l e f o r t h e i n s t a l l a t i o n o f f e n c e
a d v e r t i s i n g at t h e start o f t h e season a n d the r e m o v a l o f a l l a d v e r t i s i n g at the c o n c l u s i o n o f t h e
s e a s o n . L e s s e e s h a l l be s o l e l y r e s p o n s i b l e f o r t h e m a i n t e n a n c e o f a l l s i g n a d v e r t i s i n g .
S E C T I O N 9 . A n n u a l R e p o r t a n d F i n a n c i a l S t a t e m e n t . I t is a g r e e d t h a t L e s s e e s h a l l f u r n i s h t o
t h e C i t y M a n a g e r o r h e r d e s i g n e e a financial s t a t e m e n t o f t h e p a s t y e a r ' s o p e r a t i o n b y
September 30 o f e a c h y e a r .
S E C T I O N 10. Insurance and I n d e m n i f i c a t i o n . A s a c o n d i t i o n precedent to the effectiveness o f
the agreement hereby granted. Lessee agrees to i n d e m n i f y and h o l d harmless C i t y , its officials,
e m p l o y e e s , a n d agents f r o m and against a n y and a l l costs, c l a i m s , and d a m a g e s ( i n c l u d i n g
a t t o r n e y ' s f e e s ) t h a t m a y be c a u s e d b y t h e u s e o f t h e P r e m i s e s , a n d s h a l l p r o t e c t a n d i n d e m n i f y
C i t y f r o m a n y a n d a l l c l a i m s , cost, expenses, j u d g m e n t s , a n d causes o f action a r i s i n g o u t o f o r i n
any w a y related to the use o f the Premises, and shall defend a n y litigation arising i n c o n n e c t i o n
w i t h s u c h use at its o w n cost and expense. I n a d d i t i o n , Lessee agrees t o o b t a i n and m a i n t a i n a n

Lessee shall p r o v i d e a copy o f a n e w or replacement insurance p o l i c y to the C i t y M a n a g e r o f the
C i t y i n c l u s i v e o f e v i d e n c e o f t h e C i t y c o n t i n u i n g t o be n a m e d as a n a d d i t i o n a l i n s u r e d u n d e r t h e
p o l i c y . F a i l u r e t o p r o v i d e s u c h p r o o f o f i n s u r a n c e as a g r e e d u p o n s h a l l n e g a t e a n y u s e o f C i t y
facilities u n t i l such c o m p l i a n c e has been satisfied.
S E C T I O N 11.
V a l i d i t y . Each section, subsection, p r o v i s i o n , requirement, regulation, or
r e s t r i c t i o n e s t a b l i s h e d b y t h i s A g r e e m e n t is h e r e b y d e c l a r e d t o be i n d e p e n d e n t , a n d t h e h o l d i n g
o f a n y part to be u n c o n s t i t u t i o n a l , invalid, o r ineffective for a n y cause shall n o t affect o r render
i n v a l i d t h i s A g r e e m e n t o r a m e n d m e n t s h e r e t o , as a w h o l e o r a n y p a r t t h e r e o f , e x c e p t t h e
p a r t i c u l a r p a r t s o d e c l a r e d t o be i n v a l i d .
S E C T I O N 12. A u t h o r i t y . E a c h individual signing this A g r e e m e n t certifies that h e o r she has
been d u l y authorized t o sign this A g r e e m e n t b y the party f o r w h o m he o r she signs.
S E C T I O N 13. Applicable L a w . T h i s A g r e e m e n t shall be governed by a n d construed i n
accordance w i t h t h e l a w s o f the State o f T e x a s . V e n u e shall be i n G a l v e s t o n C o u n t y .
S E C T I O N 14. A t t o r n e y ' s Fees. T h e party p r e v a i l i n g i n a n y dispute under this A g r e e m e n t s h a l l
b e e n t i t l e d t o r e c o v e r i t s r e a s o n a b l e a t t o r n e y ' s fees a n d c o s t s i n a d d i t i o n t o a l l o t h e r r e l i e f .
S E C T I O N 15. B i n d i n g Effect. T h i s A g r e e m e n t shall be b i n d i n g u p o n a n d i n u r e t o t h e b e n e f i t
o f the parties and their respective heirs, personal representatives, successors a n d assigns.
N o t w i t h s t a n d i n g the foregoing, Lessee m a y n o t assign its interest under this A g r e e m e n t w i t h o u t
obtaining the prior consent o f the City, acting through its C i t y Council. I f Lessee desires t o
assign its interest under this A g r e e m e n t , Lessee m u s t s u b m i t a w r i t t e n request t o t h e C i t y
M a n a g e r s e e k i n g p e r m i s s i o n t o assign its interest a n d identify t o w h o m the Lessee proposes t o
assign its interest a n d the t e r m s o f a n y such assignment. T h e request f o r a s s i g n m e n t w i l l be
considered b y t h e C i t y C o u n c i l at a regular m e e t i n g a n d t h e C i t y C o u n c i l , i n its sole d i s c r e t i o n ,
may vote t o consent to the assignment o r vote to n o t consent t o the assignment.
S E C T I O N 16. Counterparts. T h i s A g r e e m e n t m a y be executed i n o n e o r m o r e counterparts
w h i c h , w h e n taken together, shall constitute o n e and the same document. T h i s A g r e e m e n t m a y
be executed by f a c s i m i l e signature o r b y a signature t r a n s m i t t e d b y f a c s i m i l e a n d such f a c s i m i l e
signature o r such signature t r a n s m i t t e d b y f a c s i m i l e shall be considered t h e same as a n o r i g i n a l
signature f o r a l l purposes.
