Breckenridge Grand Vacations consistently ranks at the top of
the industry and is frequently recognized with national awards,
including top honors in various categories at the annual ARDA
awards ceremony every year since 2001.
The success of Breckenridge Grand Vacations is due to the passion
and vision of the developers and founding partners, Mike and Rob
Millisor. In 1985, Mike initiated the marketing and sales of Gold
Point Resort in Breckenridge, CO. Joined in 1986 by his brother,
Rob, they sold out Gold Point Resort, and in June of 1998, they
commenced the development, marketing, sales and management
of Grand Timber Lodge. This project, situated between Peaks 8 and
9 of the world-famous Breckenridge Ski Resort and winner of the
ACE Award for Project of Excellence in 2003, generated over three
hundred million dollars of timeshare sales and is now sold out.
Breckenridge Grand Vacations broke ground in May 2007 for
the development of another top notch resort in Breckenridge.
The Grand Lodge on Peak 7 is located at the base of Peak 7 of the
Breckenridge Ski Resort and offers guests a full-service spa, an onsite restaurant, a grand lobby with spectacular views, a family game
area and more. The property features amenities such as multiple
indoor/outdoor pools, a grotto-style water feature in the spa, and
landscape-inspired hot tubs. The resort is slated for completion in
2013. In 2012, Grand Lodge on Peak 7 joined its sister property
in winning the ACE Award for Project of Excellence. As sales for
Grand Lodge on Peak 7 continue to exceed goals, the developers of
these exceptional properties are looking to the future with plans for
fourth resort on Peak 8 in Breckenridge.

While location may be everything in the resort world, for
Breckenridge Grand Vacations, it’s only part of the picture.
The dedicated staff works daily to fulfill the company’s passion
statement: “Our Family Commitment…Always Great Vacations.”
Family and community have been part of Mike’s picture of success
from the beginning. Having raised two sons — now 21 and 18 — in
Breckenridge, Mike has been consistently aware of the importance
of quality family vacations and has made that the cornerstone of
the success of this privately held family company. Mike is President
of Breckenridge Grand Vacations and one of three owners of the
company. He has been a member of ARDA since 1986, has served

lawyers in 69 offices in 30 countries throughout Asia, Europe, the

On behalf of clients in development, marketing, sales, finance,
management and structuring of timeshares, we guide clients in
establishing, and converting to, “points-based” structures, creating
timeshare condominium structures, complying with timeshare
laws and hypothecating commercial paper and notes to lenders. We
also represent clients forming timeshare entities in non-traditional
settings, such as cruise ships and recreational vehicles. We also
design models for fractional ownership plans and so-called nonequity and private residence clubs.
We also advise capital providers — both equity investors and debt
capital providers — and ensure that those clients maximize security
in the unusual collateral scenarios that timeshare transactions
present. We counsel clients about proposed laws and regulations
at the federal, state and local levels, providing advice that extends
beyond timeshare laws into privacy and data security, labor and
employment, zoning and land use, and disabled access.

years for the industry — everyone has had to dig deep to survive
the assault course of these current financial times. We have made

On Impact’s film side, we’re still creating and delivering the most
compelling sales movies in the world. Thirteen gold ARDA awards
in twenty years and at least one silver in each of those years is
testament to the effectiveness of this media.
Steve Pentland is joint CEO of Generator Systems and Group
Impact. Steve began his career in accountancy in 1973 then entered
in the IT business in 1980 and spent a decade in sales, marketing
and growing technology companies.
The financial, technical, sales and marketing experience all proved
to be a strong foundation for the success that has been built over the
last twenty years. With Pete Jones, his co-founder and fellow CEO,
Steve’s vision has been responsible for many of the innovations in
sales and marketing that our industry successfully uses today and
his willingness to challenge tradition and convention has often
led to new solutions to issues that have long affected all of our
businesses.
Steve also gives his time and business intellect to committee
positions with ARDA, and the Prince’s Trust charity foundation in

Global Exchange Development Corp. (GEDC) was founded in 2002 by Rick Sargent, a 35-year veteran of the timeshare industry. GEDC
is a timeshare development company which includes sales, marketing and management of resort properties across the country.
A timeshare vacation club known as Global Exchange Vacation Club was created by GEDC as a points-based vacation club powered by
RCI Points. The Club is described as a multi-location vacation ownership program that establishes a uniform plan for the development,
ownership use and enjoyment of specified resort accommodations for the benefit of its members.
GEDC and its experienced management staff assist HOA’s, management companies and lenders with distressed intervals by curing
delinquencies and reclaiming inventory that is eventually incorporated into the Club. This creates immediate income for the HOA from
previously non-performing inventory by the collection of new maintenance fees.

HomeAway, Inc. and its operate the world’s largest online
marketplace for the vacation rental industry. Vacation rentals are
fully furnished, privately owned residential properties, including
homes, condominiums, villas and cabins, that property owners
and managers rent to the public on a nightly, weekly or monthly
basis. Our marketplace brings together millions of travelers seeking
vacation rentals online with hundreds of thousands of owners and
managers of vacation rental properties located in 190 countries
around the world. As of December 31, 2013, we operated our
online marketplace through 35 websites in 16 languages. In 2013,
according to our internal metrics, our websites attracted over
751.9 million website visits. As of December 31, 2013, our global
marketplace included more than 890,000 paid listings of vacation
rentals.
The HomeAway portfolio includes the leading vacation rental
websites HomeAway.com, VRBO.com and VacationRentals.com
in the United States; HomeAway.co.uk and OwnersDirect.co.uk
in the United Kingdom; HomeAway.de in Germany; Abritel.fr
and Homelidays.com in France; HomeAway.es and Toprural.es in
Spain; AlugueTemporada.com.br in Brazil; HomeAway.com.au and
Stayz.com.au in Australia; and Bookabach.co.nz in New Zealand.
Asia Pacific short-term rental site, travelmob.com, is also owned
by HomeAway.
In addition, we operate BedandBreakfast.com, the most
comprehensive global site for finding bed and breakfast properties,
providing travelers with another source for unique lodging
alternatives to hotels, and HomeAway Software for Professionals
at software.HomeAway.com, to offer software solutions to property
managers and innkeepers.
Our ambition is to make every vacation rental in the world available
to every traveler in the world through our online marketplace. Our
online marketplace serves two major constituents: property owners
and managers on one side and travelers on the other. Property
owners and managers pay listing fees, which are typically annual
subscriptions, to provide detailed listings of their properties on our
websites and reach a broad audience of travelers seeking vacation
rentals. Travelers visit our marketplace at no charge and are able to
search and compare our large and detailed inventory of paid listings
to find vacation rentals meeting their requirements.
The global vacation rental industry is large and growing, but also
fragmented and inefficient. As we have grown, we have benefited
by the network effect of having both a broad selection of vacation
rental listings and a large audience of travelers. The broad selection
of vacation rental listings attracts more travelers and the large
audience of travelers in turn attracts more vacation rental listings
from property owners and managers. The broad selection of listings
helps travelers find the right vacation rental property for them and
the large audience of travelers helps owners and managers ensure
their properties are booked. The timeshare inventory is a great
complement to the existing HomeAway vacation rental offering on
HomeAway’s websites, and expands the options for travelers who
may not have previously considered the rental of full-sized vacation
homes and condominiums.

Through more than 3 decades of growth, MasterCorp has built a
reputation of trust as the leading provider of resort housekeeping
services in the vacation ownership industry. The company’s culture
of caring and cleanliness is reflected by all its leaders and mandated
throughout the organization. MasterCorp partners with hundreds
of resort managers and owner associations across the United States
and delivers on time cleans to more than 6 million guests annually.
MasterCorp maintains a consistent level of exceptional service
and cleanliness at every location through training, a system of
accountability, and a proven process. Every housekeeping manager
attends MasterCorp University, which is dedicated to developing
the best housekeeping management professionals in the industry
through a curriculum that is taught on campus, on site, and online.
MasterCorp has set new standards in resort housekeeping
support and innovation. The company has developed proprietary
computer applications that increase efficiencies and streamline the
administrative side of housekeeping management. MasterCorp’s
forecasting systems for staffing, inventory management, and linen/
terry management, are designed to provide a path for solutions
before deficiencies ever occur.

To reduce the burden of liability for resort management and
owners, the company has built a network of safeguards.
At each resort, a safe, OSHA-compliant environment for guests and
staff is maintained with safety training and universal precaution
procedures. To mollify the liability inherent with staffing,
background checks are run on all new hires to minimize risk for
guests and their possessions. MasterCorp e-verifies all new hires
nationwide, leading the way for compliance as more states adopt
e-verification laws. Substantial liability insurance and workers
compensation coverage minimize risk for the resort.
Founded on fundamental values and principles that have set
them apart from the beginning, the company continues to build a
reputation as a trustworthy provider. MasterCorp is led by a team
of executive leaders who share a confluence of values. Company
founder Alan Grindstaff serves as CEO and President. Resort
management veteran David Maier, Executive Vice President,
RRP, CHA, serves on ARDA’s Chairman’s League. CIO Jonathan
Loveday combines knowledge of the industry with an acumen for
technology. CFO Kevin Swafford provides leadership in finance
and operational support. David Goff serves as COO.
A 29-year veteran, David Goff, RRP, has overseen MasterCorp’s
resort housekeeping operations for 16 years. As Chief Operations
Officer, David provides strategic direction for national operations,
business development, and training. The company has experienced
significant growth every year since he joined the company.
A long-time friend of the resort industry, David’s genuine,
considerate manner has helped him build many lasting relationships.
Because of his down-to-earth demeanor, many are not aware that
he has a degree in law and is a Certified Public Accountant. He loves
to travel, whether for business or pleasure, and typically enjoys the
people he meets even more than the places. David is especially
adept at working with resort management to create customized
solutions that resolve their housekeeping challenges.

Resort Finance America, LLC. Centerbridge Capital Partners
L.P. (“Centerbridge”) formed Resort Finance America, LLC and

of timeshare related loans from GMAC Commercial Finance in
September 2010. In addition to asset management of the GMAC
portfolio, RFA seeks to make new debt and equity investments
across the timeshare industry.
RFA is focused on growing its presence in the shared ownership
industry through two main strategic objectives. The first is to
continue to acquire new timeshare loan portfolios, resort real
estate debt, and invest in new equity partnerships that meet its
acquisition criteria. RFA has operating partnerships with several of
the industry’s leading operators on a fee-for-service or joint venture
basis to provide marketing and sales, on-site operations, and HOA
management services. RFA and its affiliates currently own resorts in
Las Vegas, Park City, and Kapalua with significant debt investments
in consumer receivables and inventory throughout the industry.
The second main strategic objective is to expand into a distinct
specialty finance company to provide direct to the consumer,
developer hypothecation, and, as appropriate, acquisition,
development, and construction financing facilities to support
investments by RFA.

SPI SOFTWARE
SPI Orange is a modular system. Therefore different departmental
modules can be deployed independently if that need exists. Ideally,
the software can be operated as a fully integrated multi-department
or enterprise-wide solution for the greatest overall efficiency.
Investing in the Latest Technology
SPI Orange is the culmination of extensive industry knowledge of
the business requirements of vacation ownership gained over three
decades of serving many leading resort companies. SPI represents
an advanced technology platform, highly qualified development
and delivery teams and a multi-million-dollar software investment.

Vacation ownership companies rely on their IT systems to help them
compete in today’s cost-focused environment. SPI Orange software
offers a comprehensive suite of management and operations
software with the many capabilities and features resort developers,
operators and managers need. Built on the latest technology and
based on 30 years of industry know-how, SPI Software’s developers
continue to enhance the system and present new products.
Today, SPI Orange is recognized as the preferred software in the
industry and is used by leading timeshare, shared-ownership and
mixed use resort developers and operators worldwide. The reason
for this is simple: SPI Orange Software helps to improve businesses’
efficiency and productivity. The resulting benefits such as improved
accuracy, reduction in employee hours and increased customer
satisfaction can lead to substantial cost savings.
Today’s Software; Fully Capable
When compared to in-house developments or legacy applications,
SPI offers many important advantages including standardization,
faster implementation, lower costs and reduced risk.
SPI Orange is flexible enough to handle the many varied
requirements in operating a resort from marketing, sales,
maintenance fee servicing, finance, Owner CRM, points tracking,
property management, rental program management, mortgage
receivables servicing, centralized reservations, seamless owner’s
web site communications and web-based reservations capability.
Unlike other timeshare software systems running on outdated
platforms, SPI Orange is built on the most advanced technology
available today: Microsoft .NET and SQL server. Using the latest
technology enables SPI Software to deliver a robust, highly scalable
and configurable, business rules-driven platform. It was specifically
designed to be extensible and easily meet specialized requirements,
while providing a superior baseline framework.
Commitment to Progress
Furthermore, SPI is committed to maintaining the product’s
competitive advantage both from both a platform and functionality
perspective. The SPI Software development team is constantly
adding features and periodically upgrading the underlying
technology platform to ensure the product stays current and will
never become obsolete.
For example, a browser-based version that is independent of an
operating system is available so that clients can access data and
functionality on a cloud-based platform. This frees up resort staff
from the desk-bound computer so they can work from iPads or
remote locations, via the Internet.
As one of the vacation ownership resort industry’s leading
technology partners, information and transparency are vital.
SPI provides customers with access to Software Development
Methodology which includes among other features; a complete
data dictionary, which describes all tables in the system, and a
web services toolkit to aide in applications development. SPI’s
entire architecture has been designed to provide a framework for
extending applications easily.
Commitment to Excellence
Our mission is to be the best technology partner available worldwide
for resort developers and management companies. Therefore,
customer input is, and will always be, the cornerstone of our
product. SPI relies on the participation of customer management
as well as users to determine which features and advancements will
be added to the software.
The company is based in Miami, Florida and has been proudly
serving the vacation ownership industry since 1978. The company’s
management includes Founder and CEO Karl Lange, Vice President
of Sales Matt Brosious and Vice President of Customer Relations
Gordon McClendon.

SPM’s corporate philosophy has surely helped fuel this success and
growth by being focused on ensuring the timeshare owners get what
they paid for—the very best possible vacation experience. To deliver
on this promise, SPM believes it is imperative to provide accurate,
detailed financial reporting; possess integrity and accountability
to the owners; and provide the resort owners and board members
with ample communications.
The SPM Resorts team is frequently called upon by banks and
investment groups to assist in workouts and turnaround situations.
Historically, SPM reviews and assesses the resort from top to
bottom. The analysis is used to produce a written operating plan
that includes a list of procedures, a detailed budget, financial
information and projections. SPM is successful in assisting resorts
experiencing a severe decline to recover past-due collections
amounts, implement quality control, increase revenue-producing
activities and resell unwanted weeks to new owners.
SPM’s team is led by Chairman/CEO and ARDA Trustee member
Michael Schraibman and President/COO Bill Young and a

Schraibman is an ARDA Board member and Young is in the

Since 1979, SPM Resorts, Inc. has steadily expanded from
managing eight resorts to more than 30, serving approximately

What does it take to run a resort, year after year, that will consistently
deliver exceptional vacations? During SPM Resorts’ 31 years, the
company believes a fundamental key to be a commitment to higher
ethical and business standards. Under Schraibman’s and Young’s

their employers — the timeshare owners at SPM-managed resorts.
How does the company leverage SPM’s large number of resorts and

Launched in 2012, VacationOwnership.com is part of Vacation
Hotdeal Companies Inc., the timeshare industry’s proven leader
in innovative secondary market services. Through the targeted
use of its multiple brands, the company provides timeshare
resale and rental services for consumers as well as customized
resale and rental solutions to resorts, HOAs, developers, and
management companies. Initially established in 2003 under the
brand SellMyTimeshareNOW LLC, the company’s goal was to fill
an underserved need in the secondary marketplace by offering
an easily accessible, effective way for consumers to buy, rent, or
sell timeshare via by-owner advertising on the internet. In 2006,
the company expanded its services to include licensed timeshare
brokerage, establishing Timeshare Broker Services of Florida,
LLC. In 2008, Vacation Hotdeal Companies, Inc. acquired both
SellMyTimeshareNOW and Timeshare Broker Services.
After six years of self-funded operations, the company took on
investment funding. Consistent with the ongoing strategy of
Edison Venture Fund to invest in high-growth, entrepreneurial
technology organizations, Edison identified Vacation Hotdeal

In January 2009, Edison became the company’s sole institutional
investor providing $10 million in venture capital. In 2012, Edison
Venture Fund sold its equity interest through a merger transaction
with Vacation Innovations, LLC. As part of Vacation Hotdeal
