DEFINITIONS & ABBREVIATIONS
Preamble – Important reminder:
+ Immunity : not subject to attack or infection by a specified pest or pathogen.
+ Resistance : is the ability of a plant variety to restrict the growth and development of a specified pest or pathogen and/or the damage they cause when compared to susceptible plant
varieties under similar environmental conditions and pest or pathogen pressure. Resistant varieties may exhibit some disease symptoms or damage under heavy pest or pathogen
pressure. Two levels of resistance are defined :
+ High/standard resistance (HR) : plant varieties that highly restrict the growth and development of the specified pest or pathogen under normal pest or pathogen pressure when
compared to susceptible varieties. These plant varieties may, however, exhibit some symptoms or damage under heavy pest or pathogen pressure.
+ Moderate/intermediate resistance (IR) : plant varieties that restrict the growth and development of the specified pest or pathogen, but may exhibit a greater range of symptoms
or damage compared to high/standard resistant varieties. Moderately/intermediately resistant plant varieties will still show less severe symptoms or damage than susceptible
plant varieties when grown under similar environmental conditions and/or pest or pathogen pressure.
+ Susceptibility : is the inability of a plant variety to restrict the growth and development of a specified pest or pathogen.

o The gene, which controls the resistance to Nematode attacks “M”, is at the moment the only one used in our commercial varieties. This gene has an effect against the following Nematode species :
Meloïdogyne incognita - Meloïdogyne are-naria - Meloïdogyne javanica. The level of resistance of this gene is reduced, and can be completely cancelled by temperatures equal to or above 27°C, particularly in soils with a heavy infestation of Nematodes.

HM.Clause Pacific Terms and Conditions of Sale apply to the sale and
distribution of Clause, Harris Moran, Hazera and Vilmorin branded
products. These general terms and conditions of sale, complying
with the rules of the profession, national and international customary
practices, are expressly applicable, unless there are special agreements,
to all sales of vegetable, flower, medicinal and aromatic seed, including
seed delivered in bulk, and particularly to sales to horticulturists,
market gardeners, producers, vegetable producers, plant producers,
nurserymen, processors, communities, groupings, retailers, baggers,
importers whatsoever, and more generally to all experienced and
knowledgeable professionals («purchaser(s)»).
The seller guarantees to the purchaser that he will supply him with
fair, healthy and marketable goods, and this, in the present state of
technical knowledge at the production period, in compliance with the
regulations and customary practices in the seed trade. In view of the
nature of the products sold (live products subject to a large number
of external hazards when used), the results obtained do not depend
solely on the variety and the quality of the seed. Consequently, the
purchaser alone shall be responsible for determining the conditions
under which the seed is used, and, above all, must particularly ensure
the suitability of the local geographic conditions, the intended period for
the cultivation, the soil, and his resources (such as technical knowledge
and experience, cultivation techniques and operations), physical (such
as tests and control methods) and equipment and, in a more general
way, his agronomic, climatic, atmospheric, environmental and economic
context with the crops, the techniques and the variety presented.
Accordingly, the seller may be held liable, either partially or totally,
only in the case of an acknowledged and established defect or noncompliance. Seller’s liability may in no case, particularly with regard to
the authenticity or varietal purity, specific purity, germinative capacity,
compliance with resistance to strains or race of diseases recognised
to date, exceed the total value of the goods delivered, including the
documented costs for the return of the said goods.
Unless there is a special agreement with the seller, the various
varieties of seeds shall be delivered to the purchaser for sale and/
or resale exclusively under the seller’s varietal name and trademark.
Consequently, the purchaser shall formally refrain from removing the
seed from its packing and/or sachets which had been sold in the original
packaging, for the purposes of repackaging and/or processing he in any
way whatsoever (coating, film coating, treatment or other), and/or resale
in open packaging. He undertakes to have his own customers abide by
this clause. In the event that the purchaser or his own customers do
not comply with this obligation, the seller shall not be held liable in any
way whatsoever for the goods delivered by him, and the purchaser shall
accept full liability for the consequences which may arise from failure to
comply with this obligation.
The purchaser shall be informed of the approximate number of seeds
for each variety sold by the seller, for information purposes only. In fact,
this number may vary due, among other reasons, to the seed batches
concerned and seed production results.
The goods are not suitable for human or animal consumption and
are delivered by the seller for the purchaser’s own use or for his own
customers conforming to their intended use. Consequently, the seller
may in no case be held liable for a use of the said goods and its
consequences that do not comply with their intended uses. Similarly,
any multiplication, production, reproduction and/or re-export of the
goods by the purchaser or his own customers is formally prohibited.
At any time, the seller may check that the foregoing provisions are
fully respected, without prejudice to any other action by the seller. The
purchaser undertakes to ensure that his own customers comply with
this clause.
The seller may not be held liable for any damage which could result from
his packaging and conditioning whatever they may be.
either give them or pledge them, nor transfer ownership thereof as
a security. In the case where the purchaser resells them, he also
accordingly transfers to the seller, all the receivables arising from
purchaser’s profit generated by the resale to the third party purchaser.
The authorisation to resell shall be automatically withdrawn from the
buyer in case the latter becomes insolvent.
In the case of confiscation or any other action by a third party, the
purchaser shall be obliged to inform the seller immediately and to
bear the cost of the risks whatever they may be, notwithstanding the
application of this clause, including in the case of loss or destruction,
even after delivery of the goods. He shall also pay the costs of insurance.
Case of force majeure:
Orders shall not be filled in a case of force majeure.
As a non-limitative example, are considered as cases of force majeure,
atmospheric, climatic, environment disturbances, facts of war, strikes,
fires and accidents in all the enterprises participating in the production
(including cultivation accidents of any nature leading to alterations in the
quantity and quality of the seed sold) and the seed distribution.
Intellectual and Industrial Property:
Clause, Harris Moran, Hazera and Vilmorin own all the Intellectual
Property associated with their respective products.
Unless the seller authorises it in writing beforehand, the purchaser
shall refrain, both in his own name and in the name of his customers,
from filing, registering and, more generally, obtaining any protection
whatsoever on the varieties, trademarks, distinctive signs, trade names,
patents, domain names, know-how, drawings and models, copyright or,
more generally, any intellectual or industrial property right whatsoever,
which is the property of the seller or which he works or uses in his
activity.
The purchaser undertakes to inform the seller immediately, and by any
means, of any infringement of his property rights and/or intellectual or
industrial property rights and/or titles and to fully co-operate with the
seller.
These general terms and conditions of sale may not be interpreted
as granting the purchaser any intellectual or industrial right to the
seller’s goods as well as to the packaging and/or media and/or related
documents.
At any time, the seller may check that the foregoing provisions are
fully respected, without prejudice to any other action by the seller. The
purchaser undertakes to ensure that his own customers comply with
this clause.
Orders:
Once the seller has confirmed the order, it shall be filled insofar as
possible, and the goods shall be delivered, insofar as possible, on the
dates requested by the purchaser.
Furthermore, the seller recommends purchasers to give very exact
instructions for shipping. The seller declines all liability if errors occur
through lack of information.
In the case of a partial or nil crop or production, particularly caused by
a case of force majeure, a reduction shall be partially or totally granted
for the order.
Deliveries shall be made according to supplies and availabilities in
sufficient quantity and quality. In the case of partial delivery, the
products shall be invoiced in proportion to the quantities delivered.
No compensation (particularly all damages of any nature whatsoever)
may consequently be claimed, particularly for partial delivery, nondelivery or late delivery.
The seller shall only deliver seed once a germination test has been
carried out on the batch concerned. In the event that the purchaser
nevertheless asks the seller to deliver the seed before the germination
test has been completed, the purchaser shall accept full responsibility
for the consequences of the seed batch’s germination.
Risks:
The goods travel at the purchaser’s risk, including if they travel in
accordance with the purchaser’s written instructions, and even if sent
carriage paid or ex-works, and regardless of the means of transport: by
road, rail, sea, air, post, etc.
Similarly, unless there are special terms and conditions, any delay in
delivery/loss/damage caused to the goods during transport and any
consequences shall be borne exclusively by the purchaser.
The seller shall not accept, regardless of the reason, any return of
goods except if he agrees thereto in writing in advance, in which case,
all related costs and risks shall be exclusively borne by the purchaser.
The consignee shall be obliged to confirm his reserves to the haulier,
with justification by registered letter with acknowledgement for receipt
posted within three days following receipt of the goods or within any
other time limit stipulated by the applicable legislation. No action can be
taken against the haulier if these formalities are not fulfilled.
Retention of ownership clause:
Time limits for complaints:
The seller formally retains ownership of the goods delivered until full
payment thereof has been made by the purchaser.
Any complaint concerning the external appearance and specific
purity should be made within 12 days after the goods’ arrival, on
the germinative capacity within 45 days of the goods’ arrival, on the
authenticity and the varietal purity within normal time limits for sowing
and checked immediately after the delivery date. In all cases, the seller
shall not accept any complaint in the event that the seed was repackaged
by the purchaser or by his own customers.
In the meaning of this provision, drafts, or any other instrument creating
an obligation to pay, does not constitute payment. Any deposit paid shall
remain acquired by the seller, as a fixed-sum compensation, without
prejudice to any other action that the seller may take.
Within the scope of the normal operation of his establishment, the
purchaser is authorised to resell the goods delivered, but he cannot

The prices charged by the seller and given in his price lists (price lists
exclusive of GST published and distributed by the seller) are understood
to be ex-works, unless otherwise stated on the invoice. Unless there is
a special condition, the prices applicable shall be those in force on the
day the order is confirmed.
Unless there are special terms and conditions, all taxes, transport costs,
insurance, certifications, authorisations, bank charges and packaging
and conditioning charges shall appear separately on the invoice issued
by the seller.
Each order shall be subject to administrative charges as indicated in the
seller’s pricing terms.
The prices charged are generally set by the seller at the start of the
Australian fiscal year and valid for a period of 12 consecutive months,
however the seller reserves the right to modify them at any time during
this period.
Payment:
Any payment shall be considered as having been made on the date on
which the purchaser has made funds available to the seller All the seller’s
goods shall be payable at the domicile thereof.
Unless otherwise stated on the invoice, payments shall be made at 30
days from the date of the invoice. With regard to purchasers who have
had one or more payment incidents or more generally a dispute and
who cleared their account, purchasers who have been the subject of
collective proceedings, or any other similar proceedings, according
to the applicable legislation in force, and for new purchasers, orders
will only be delivered for one year against immediate payment on the
delivery date or against payment in advance, according to the seller’s
wishes, due to substantial risks of insolvency. This shall be the case
unless the seller has stipulated special terms and conditions, in
particular justified by favourable information on the purchaser’s
solvency. Furthermore, and in any case, in the event of unfavourable
information on a purchaser’s solvency, delivery shall only be made to
the latter against immediate payment on the date of delivery or against
payment in advance, according to the seller’s wishes, unless the seller
has stipulated special terms and conditions.
In the case of late payment, the seller may suspend or cancel all current
orders until full payment has been made of all sums due thereto by
the purchaser, without prejudice to any other means of action and/or
damages that the seller reserves the right to claim. The purchaser may
not take any action against the seller and/or claim any compensation
due to the said suspension or cancellation. Any sum not paid at the due
date given on the invoice shall lead to the penalties for late payment
being immediately applied, without the need for any formality, calculated
on the total amount of the invoice, including all taxes. Interest will be
charged at the Reserve Bank of Australia applicable Official interest rate
+ 500 Basis Points, and payable on the day following the payment date
given on the invoices, as well as the immediate requirement to pay all
sums due for other deliveries. These terms may be changed according
to the laws in force.
Any invoice not fully paid at the latest on its due date and collected by the
seller’s legal department, shall be increased, immediately and without
the need for any formality, by a fixed-sum indemnity of 15% of the
amount of the unpaid sums.
Applicable law – Assignment of jurisdiction:
These General Terms and Conditions of Sales are subject to the laws of
the state of Victoria (Australia) which are solely applicable.
For any dispute concerning the said general terms and conditions of
sale, the courts in the location of the seller’s domicile shall alone have
jurisdiction, even in the case of emergency interim proceedings, the
introduction of a third party or multiple defendants. In the case of an
invoice unpaid on the due date thereof, the seller shall have the right
serve a writ against him in the location of his domicile.
Data protection:
You have a right to access and rectify all your personal data. The seller
shall use the information you provide for the purpose of administrative
and commercial management. If you wish to have part of your personal
