About the company ATM S.A., a company operating in the ICT industry, is quoted on the Warsaw Stock Exchange since September 2004. Under the ATMAN brand the company provides for enterprises and other institutions telecommunications services based on its own fiber networks and data centers. Prime elements of ATM’s offer include: Internet access, broadband data transmission, colocation and hosting. The company provides telephony services and telecommunications outsourcing. Major consumers of the services are carriers, traditional media, Internet portals and enterprises from finance, manufacturing and retail market sectors. Fiber-optic network In 2010, the Company finished the investments in the fiber-optic network development. This way the Company operates metropolitan area networks which are among the largest in Poland, with almost 1,000 km of routes connecting business centers in eight of Poland’s largest cities. ATMAN has also 4,500 km of long-distance optic lines and 4,440 km of international lines. Furthermore, it is the only Polish operator present in all three of Europe’s largest Internet Exchanges: AMS-IX (Amsterdam), DE-CIX (Frankfurt), and LINX (London). ATM data centers Data centers are a key element of ATM’s investment policy in recent years, constituting the foundation for colocation and server-hosting services provided by the company. As the demand for colocation space currently exceeds supply, and ATM is the leading provider in this sector, investments in server rooms enable ATM to significantly strengthen its position on this very promising market. Presentation of the ATM S.A. capital group 2011 7 In Q4 2010, ATM started the construction of a new server building, F3, on the ATMAN-Grochowska campus, as part of the ATM Innovation Center project co-financed by the European Union from the European Regional Development Fund under the Innovative Economy Operational Programme 20072013. The building, with a total area of over 2,200 m2, will house some of the most modern server rooms in Poland, to be successively equipped for new customers. The F3 facility will be commissioned in Q3 2011. Also, next modules of the other two data centers are planned to be commissioned in 2011. With two independent data centers in Warsaw, ATM is able to offer services with additional security resulting from installation of the ICT equipment at two distant sites. In result of the investments planned for 2011, ATM will increase its server room area to 8,300 m2 gross, i.e. by more than 150% compared to the currently used area. Thanks to that, ATM will become the leader of the Polish colocation and hosting services market, as well as one of the largest enterprises in this segment in Central and Eastern Europe. 8 Financial highlights ATM S.A. grows continuously, and is able to systematically generate very good financial results despite the recent economic downturn. Together with other companies of the Group, ATM has been creating ICT solutions supporting various sectors of the economy, science, and administration for many years. Thanks to a sound policy of investing in telecommunications infrastructure, ATM S.A. is able to systematically increase its revenues from the most preferable form of sales ensuring constant, recurring sales revenue. Even in times of economic downturn, telecommunications services constitute a profitable, stable, and predictable source of revenues. ATM S.A. The first segment, gaining significance and systematically increasing its share in the Group’s revenues and profit covers telecommunications operations, which currently include operations carried out by ATM S.A. and (without the consolidation of operating results) by Linx Telecommunications BV. The second area generating an important part of revenues is the integration of ICT systems. This includes the business ran by ATM Systemy Informatyczne S.A., ATM Software Sp. z o.o., Impulsy Sp. z o.o. and Sputnik Software Sp. z o.o. The third segment of operations covers provision of mobile payment services, i.e. the operations of the subsidiaries mPay S.A. and mPay International Sp. z o.o. The most important change made at the turn of the year was the merger of ATM Systemy Informatyczne Sp. z o.o. and KLK S.A. — the two biggest subsidiaries providing ICT systems integration services. Since the beginning of 2011 the resultant company operates as ATM Systemy Informatyczne S.A. (ATM SI) and is a whollyowned subsidiary of ATM S.A. The aim of the merger was to create one of the biggest IT systems integration companies in Poland that specializes in ICT projects. ATM S.A., as the dominant company, continues to focus on telecommunications services and telecommunications-related value-added services. (ATM SI) was established in 1988. The company’s offer comprises a broad range of ICT systems integration and consulting in design of data center infrastructure (in particular guaranteed power supply systems). ATM SI provides end-to-end ICT services. Its team has wide, documented experience in designing, building, and maintaining ICT infrastructure, full range of IT security and continuous availability of information. The company also invests in developing applications that support business continuity management (BCM), service management, as well as customer service processes. Furthermore, it implements ICT Presentation of the ATM S.A. capital group 2011 15 outsourcing projects, and migrates selected, previously provided outsourcing services to the Private Cloud Computing model. The company addresses its offer to customers in all market sectors, concentrating on telecommunications and finance. Due to its high competencies and unique engineering experience, ATM SI offers a wide range of professional services defined and managed according to the ITIL® set of best practices, as well as in compliance with the relevant ISO standards. The company cooperates with many leading international IT vendors, such as Cisco, Dell, EMC, HP, IBM, Microsoft, and Oracle. Over twenty years of experience in integration combined with thorough knowledge of the network operators’ market (based both on services provided to the customers and on the own telecommunications business of the parent company, ATM S.A.) resulted not only in significant achievements in the roll-out of leading carriers’ network infrastructures but also implementations of systems for support of their operations. Having branch offices based in Katowice, Poznań and Wrocław, as well as a sales office in Kraków, the company operates effectively throughout the country. Sputnik Software Sp. z o.o. Sputnik is leading the market for sales and development of management software targeted at local governments. The company’s flagship brand, Nowoczesny Urząd (Modern Office), is an integrated system designed to help local government offices to improve their staff’s skills, develop infrastructure, and implement appropriate IT tools. The solution includes also a program of adopting by local governments 21st century standards and the e-government concepts. 16 Overview of ATM S.A. capital group Impulsy Sp. z o.o. Impulsy Sp. z o.o. provides IT solutions for medical organizations, including hospitals, outpatient clinics, and surgeries — both private and those operating under NHS contracts. The company specializes in deploying and maintaining Hospital Information Systems (HIS). Impulsy has developed and successfully deployed a proprietary medical information system, Medicus On-Line, which helps in automating the operations of medical institutions, and efficiently managing their complex structures. ATM Software Sp. z o.o. ATM Software Sp. z o.o. (formerly CBR ATM-Lab Sp. z o.o.) is a company focused on providing proprietary solutions enabling the implementation of innovative projects involving the transmission of multimedia content. Based on the developed ATM InternetTV platform, it offers the support of the entire process of multimedia broadcast in the Internet, including uploading, encoding, content annotating, sales, and viewing-report generation. Both VOD (Video On Demand) materials and live content are supported. These solutions are also used in GSM mobile networks. mPay S.A. mPay S.A., a subsidiary of ATM S.A., has created and developed a mobile payment system enabling the users to make payments and settlements via a mobile phone. It is the first company in Poland with the status of a settlement agent for mobile payments, allowing it to provide and develop such services on the domestic market. mPay’s innovative technological solution is currently patent pending in Poland and throughout the world. Services delivered by mPay S.A., especially mobile phone payments for car parking or for public transport, become increasingly popular as more and more Polish cities decide to implement the solution offered by mPay. Presentation of the ATM S.A. capital group 2011 17 Linx Telecommunications B.V. Linx Telecommunications B.V. is ATM S.A.’s first international investment. Linx Telecommunications, established in 2000 and based in Amsterdam, is one of the most dynamically developing international connectivity and data center solutions provider in Central and Eastern Europe. The company has an extremely solid and competent management team, originating from leading ICT corporations. The company has systematically been completing its financial plans and expanding successfully in the region. Linxtelecom created a unique footprint with Points of Presence in The Netherlands, Russia, Estonia, Lithuania, Latvia, Ukraine, Georgia, Hungary, Sweden, United Kingdom, Germany, Finland and Poland. Internet access ATM S.A. sets up and maintains broadband Internet lines for telecommunications providers, Internet and Application Service Providers (ISPs/ASPs) and business customers. On principle, we avoid competing against our customers, therefore we do not provide services to retail consumers. The largest media (Internet portals and television broadcasters), telecom carriers and financial institutions benefit from telecommunications services provided under the ATMAN brand. We offer over 8,300 sq m (over 89,300 sq ft) of state-of-the-art technical space in our three data centers in Poland. At present our customers have ATMAN Data Center and Thinx Poland (formerly Telehouse.Poland), both in Warsaw, and Altus Data Center in Katowice at their disposal. In each of the ATM’s facilities we have well-equipped and secured rooms for colocation (renting space for hardware with guaranteed power, environmental conditions, physical security and appropriate network connection) and hosting services (renting our servers, e.g. for Web services). In Warsaw, in the Silesia region, and in six other urban clusters, the broadband data transmission services are provided with no bandwidth limits using our own optical networks. One manner of providing the telecommunications outsourcing services includes 24-hour monitoring of the customer’s ICT infrastructure from our Network Operation Center. The service includes IT environment audit, computer hardware and productivity software delivery, connection to the Internet, VoIP telephony, secure data storage, consulting, and Microsoft and VMware technology deployment. The outsourcing solutions are offered to both large enterprises or institutions and small and mediumsized businesses. During personalization of the employee ID card, a specific digital identity is assigned to enable optimizing usermanagement and privilege-management processes on all levels. More info: www.nowoczesnyurzad.pl Presentation of the ATM S.A. capital group 2011 27 Application solutions SMaCS SMaCS (Service Management and Charging System) is ATM’s proprietary solution for service management in IP networks, designed for providers offering Internet services via access networks based on various technologies (such as mobile, CATV, DSL). For telecommunications providers, including traditional telephone network, cable TV network, and mobile network operators the system ensures revenue from digital data transmission services (file download, video on demand, and other value-added services) delivered to subscribers. The solution guarantees that the services can only be used by authorized users, and that each user is billed according to the rules set by the provider. We also offer another solution, based on a similar technology, dedicated to telecommunications carriers and used to support lawful traffic interception on order of competent authorities. More info: www.atm-si.com.pl Atmeus — business continuity protection Atmeus is an ATM SI’s proprietary solution supporting Business Continuity Planning (BCP). The system provides comprehensive support for security policies in terms of information access control and can be tailored to customer’s specific organization structure, documentation format requirements, or change management expectations. The client-side portion of the system utilizes Web technologies, and enables access to data via a standard Web interface. The application logics is based on the BCP methodology developed by Disaster Recovery Institute International, and helps the enterprise to comply with one of the key security requirements for financial institutions: mitigating the operational risk in line with the Basel II (New Capital Accord) recommendations of Basel Committee on Banking Supervision. More info: www.nowoczesnyurzad.pl Medicus On-Line Medicus On-Line is an end-to-end IT system supporting management of public or private hospitals and clinics, as well as settlements with the NFZ (National Health Fund) and other partners. The system covers all functional areas, including administration, medical treatment, laboratory analytics, and diagnostic imaging. Unlike most systems on the Polish market, it may be accessed using any Web browser from any place, which is a particularly important feature for doctors working in the field. The system supports such processes as: comprehensive patient service, appointment scheduling, patient flow management, contract definition and report generation for all NFZ branches, drug inventory management, identifying cost centers and estimating their values. More info: www.impulsy.pl Presentation of the ATM S.A. capital group 2011 29 Multimedia solutions and services ATM InternetTV is a set of services allowing efficient delivery of innovative multimedia projects. The platform takes over the responsibility for content management, storage and distribution. It supports the entire process of publishing multimedia in the Internet, including uploading, transcoding, content annotating, sales, and viewing-report generation. Both VOD (Video On Demand) materials and live content are supported. We can tailor the scope of the provided solution to the needs of a specific deployment. Also, we can integrate our solution with other existing systems operating in the customer’s environment. Additionally, ATM offers multimedia content distribution services. Those may include full-scope technical support for distribution (e.g. complete delivery of live TV or VOD services) or only a certain scope selected by the customer, e.g. only adapting recording formats, or storing and hosting the encoded content. It enables simple settlements of all types of transactions. A customer pays for the purchased goods or services from their mobile phone, and the payment confirmation is immediately sent to the vendor. The mPay system leverages in full the benefits of combining a payment instrument with a mobile phone: → Multiple payment accounts may be used from a single phone → The service is very safe: transactions are secure, and the need to carry cash is reduced, improving personal safety of the user → The transactions are convenient, quick, and as simple as making a regular phone call → The transactions may be performed remotely from any place throughout the country or abroad The system is available in all mobile networks in Poland. It supports the following payments: → Parking fees in Warsaw, Łódź, Kraków, Bydgoszcz and a few other cities → Public communication tickets in Warsaw, Kraków, Lublin and Białystok → Top-ups in the MixPlus, SimPlus, and 36.6 mobile networks → Purchases in online stores supporting the Dotpay and PayMaker payment systems → Purchasing products and services in a wide variety of shops Also, the system supports direct transfers between accounts of system users.
