MAJOR MILESTONES,
FROM EARLY
CONSTRUCTION PROJECTS
TO LARGE-SCALE RETAIL
DEVELOPMENTS
CDS Holding is an Italian company
founded in 1993 that focuses on the
design,
construction
and
development of retail assets for
itself, third party investors and
retailers.
CDS has completed more than 60
projects in less than 20 years with
an overall surface area of 610,000
square meters. As a result, CDS
has become a leader in Italian retail
real estate.
3
Fast-paced growth, based on three
key concepts: reliability, efficiency
and partnership. These principals
allow CDS to bring projects to
completion on time and in budget,
adopt
a
flexible
operational
approach to projects, and to
establish
long-term
repeat
partnerships with industry leaders
and customers in the retail sector.
CDS
assists
its
customers
throughout
the
development
process
(site
selection,
administration,
planning,
and
construction).
The founding shareholders of CDS
continue to be directly involved in
the company as owners and
managers together with Captiva
Capital Partners III LP, which
acquired a 49.9% share in 2008.
Since 2005, CDS Holding has
partnered with Multi Corporation, a
leading European group in the
development of major shopping
centers and urban requalification
projects,
with
whom
CDS
constituted a joint venture that
operates in the Italian market.
The strategic alliance with Multi
Corporation
and
the
capital
investment of Captiva Capital
Partners III LP have helped to
consolidate the group‟s growth.

A SINGLE OBJECTIVE: Partnering with large-scale retail operators
and investors seeking to expand in Italy
CDS‟ track record spanning nearly
20 years has been build on local
market knowledge and expertise,
operational agility and a customer
led approach. CDS sees demand in
commercial real estate being driven
by retailers and investors seeking
innovative solutions to their real
estate occupational and investment
needs.
As such, CDS‟ current role is
focused on providing its customers
(retailers and investors) with what
they want – either in the form of
reconversions of urban areas,
restructuring/expanding
existing
shopping
centers
or
identifying/developing new retail
sites.
CDS has responded to the evolution
of the market by moving in two
directions.
It has gradually extended the scope
of its activities, integrating and
honing its areas of expertise to
create a group capable of covering
the entire real estate development
process: site selection, consulting,
planning, managing relations with
public administrations, construction,
and asset management.
CDS has also devised an
organizational model that provides
an efficient balance between the
need to expand its expertise and
conserve maximum operational
agility. This chosen path reflects
CDS‟s strategy: to be the real estate
partner of choice for large-scale
retail operators and investors
seeking to expand in Italy.
This objective, has led to the
creation of long-term partnerships
with some of Europe‟s most
recognized retailers and investors.

CDS Holding, a Group of Companies operating in three Main
Areas
Construction
CDS is one of the leading general
contractors in Italy in the retail real estate
market. CDS also constructs multifunctional
projects
and
urban
infrastructure. In the area of environmental
protection, CDS builds water purification
plants, biogas recovery facilities and waste
disposal sites.
CDS Costruzioni has established its
reputation by focusing on delivering
projects on time, within budget, quality
workmanship and operational flexibility to
meet customer needs. The effectiveness of
the model has been put to the test in
numerous projects, often in complex
situations, such as restructuring and/or
expanding shopping centers without
interrupting operations.
CDS Costruzioni is equipped to manage
every phase of a project – this is driven by
the needs of the client: turnkey, margin
plus cost, planning and construction,
construction management, guaranteed
maximum price, performance agreement.
10
CDS Holding, a Group of Companies operating in three Main
Areas
Development
This is the area that focuses on the
development of highly innovative
multi-functional
retail
projects.
Activities conducted for the Group
and outside investors, include:
feasibility studies and analysis;
management of relations with local
administrations for licenses and
permits; development of innovative
planning solutions; optimization and
planning (costs, timeframes, quality,
safety); financing (through banks
and capital participation); long-term
guarantees; promotion; marketing;
project management.
Developments of the group tend to
be significantly pre-let as sites are
identified by CDS customers.
11
CDS Holding, a Group of Companies operating in three Main
Areas
Investments
Alongside its role as a constructor
and developer, CDS has expanded
its role as an investor in recent
years. The aim as an investor is to
maximize the value of each
investment either via holding for the
medium to long-term or by selling
projects where the group believes it
can no longer add value. CDS also
has
a
number
of
minority
investments that are actively
managed.
12
An integrated Organization for creating Value in every phase of
the retail real estate Cycle
The organization of CDS reflects its
areas of specialization. CDS uses
an integrated model that generates
synergies through the various
phases of real estate development
lifecycle and allows CDS to add
value in each phase.
The operational divisions are
supported by a Corporate Service
unit that centralizes the legal,
financial, treasury, administration,
risk management and human
resources functions of the business.
The company is run day to day by
its founding partners.
The Board of Directors is headed by
Enzo Danesi and includes Enrico
Biffi (Development and Operations)
and Dario Danesi (Construction).
13
A Professionalism put to test more than 60 times in just under
20 years
Since it was founded in 1993, CDS
has built or restructured more than
60 commercial projects. It has also
built multi-functional centers, urban
infrastructures and environmental
protection facilities.
CDS has worked for the foremost
operators in the retail market and
for
well-known
institutional
investors.
CDS has built or restructured a total
of 610,000 square meters in a wide
range of projects that vary in their
cutting
edge
architectural
complexity
and
operating
conditions. Some of CDS‟s projects
are the first of their kind, whether in
terms of features or building
methods.
14
As a constructor developer for
international retailers and institutional
investors, CDS has been at the
forefront of these trends in the retail
real estate sector in Italy.
Commitment to sustainability
CDS takes its commitment to
sustainability
and
the
local
community very seriously. Growing
public awareness of environmental
protection issues, the adoption of
urbanistic norms, policies and a
focus on energy efficiency are now
part
of
the
day
to
day
considerations of real estate users
and investors.
CDS‟ commitment to sustainability
translates into projects with low
environmental impact (new buildings
or requalification) in keeping with the
highest
international standards
regarding energy efficiency and
sustainability for the local community,
which also translates economic
savings to retail operators in lower
service charges.
