An Ordinance authorizing and approving a contract between the City
of Pasadena, Texas and AshBritt, Inc., through the H-GAC Disaster
Debris Clearance and Removal Services Program, for emergency debris
collection and removal services on an as-needed basis for the City
of Pasadena for a period of two years.
WHEREAS, the City of Pasadena, Texas has previously by
Ordinance No. 91-13 entered into an interlocal agreement with the
Houston-Galveston Area Council (HGAC) for the purchase of certain
items
as
needed
by
the
City
of
Pasadena
through
the
HGAC's
cooperati ve purchasing program HGACBuy administered pursuant to
Chapter 271 of the Texas Local Government Code; NOW, THEREFORE,
BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF PASADENA:
SECTION 1.
That that certain contract,

Background & Experience Overview
Ash Britt, Inc. is a Florida based rapid-response disaster recovery and special environmental services contractor. Since
our inception in 1992, we have managed and executed over ninety (90) disaster projects and over twenty-eight (28)
special environmental projects, successfully serving more than eighty (80) clients. We have been directly involved in
the debris recovery efforts of thirty federally declared major disasters in twelve states, beginning with Hurricane
Andrew. Each of these recoveries was conducted under the authority arid oversight of the Federal Emergency
Management Agency (FEMA), positioning us as one of the foremost experts in federally funded and monitored disasterdebris recovery missions.
This extensive experience over the past decade and a half has created an abundance of knowledge and expertise for our
principals, managers. and personnel. OUf senior management and technical consultants at present have more than 150
years of combined disaster-debris management experience, and are intimately acquainted with all facets of disaster
recovery, including debris removal, management, reduction, processing, recycling. and disposal, as well as emergency
planning, damage mitigation and risk abatement. Most importantly, they are widely conversant with the Robert T.
Stafford Act and 44 C.F .R., the resultant FEMA debris management policies, and the federal Public Assistance Program
procedures and guidelines. As such, our team is able to manage recovery projects to fully maximize state and federal
reimbursements.

We pride ourselves on our full-service, client-focused approach to disaster recovery, as we offer adept and. balanced
operational and administrative support-a factor often neglected and paid I'lip service" in our indushy. We fully
appreciate the exigent nature, pressing schedules, and exacting demands of recovery efforts, and we have proven
through our capabilities and wherewithal to be a professional, reliable and competent contracting partner. We have
witnessed first hand the economic strain and demands that communities face in the aftennath of major disasters. State
and federal funding to support immediate local recovery efforts often lags significantly. To ensure a cleanup proceeds
and remains on track for our clients. we have always be~n willing and able to delay receipt of payments and offer
financial support to sustain a project. Our careful management and sound financial capacity allows us to see even the
largest of recovery projects through.
Our expertise, capabilities and financial strength were recently highlighted by our ,unprecedented accomplishments as
the Prime Contractor for the U.S. Army Corps of Engineers' (USACE) recovery mission for Hurricane Katrina in
Mississippi. The Katrina MS recovery project was the largest and most varied debris mission by a single company in
U.S. history. The lessons learned from this project as well as from our other diverse past projects have allowed us to
expand and fortify our technical and production abilities, making us the forerunner in the disaster recovery industry.
This is further validated by our recent selection. after rigorous evaluation of our experience and capabilities, as the
USACE Prime ACI Contractor for Regions 2b (NC, SC, and GA), 5 (CA, NY, VT, AZ, and NM) and 6a (HI), as well
as the Reach Back (secondary) Contractor for Region 3 (LA, MS).
Our ultimate success, however, has always been founded on our commitment to caring management, direct
communication, ethical business practices, and unmatched safety and quality control-values all leading to total client
satisfaction (and, most importantly, grateful residents). Following are some highlights of our capabilities and recent
accomplishments and successes.
Mid-Adantic Snowstorm (2010)
• Mobilized project managers and foremen and hundreds ofpiecies of heavy equipment (wheel loaders), dump
trucks, dump plows and other support equipment for six MD and VA communities following the multiple snow
blizzards in that struck February 2010. We supported the snow cleanup and removal, logging more than 30,000
equipment- and man-hours over a few week period.
Hurricane Dolly and Ike, Texas, 2008
• Supplied flood mitigation (Hydraulic PumpslVac Trucks), power generation, emergency water, food and lodging,
building restoration services, amongst other emergency response services to multiple clients (see details herein).
• Collected, hauled, processed and disposed/recycled of over 2 million cubic yards of debris for 14 clients.
Hurricane Katrina, Mississippi, 2005-2006

Removed and processed over 21 million cubic yards of vegetative debris and wreckage, managing and operating
49 temporary debris processing sites.

Hauled over 700,000 loads of debris, using approximately 12,400 certified operational vehicles.

Disposed of over 1,900 tons of spoiled food, and significant quantities of hazardous materials.
Collected, processed, recycled and/or disposed of over 25,000 dirty and clean white goods, as well as over 3500
cubic yards of e-waste and over 75,000 cubic yards of concrete and masonry.
Removed and hauled 24,045 hazardous stumps, 182,940 leaning trees, and 332,079 trees with hanging limbs.
Backfilled 40,542 hazardous holes and 1,840 private pools, providing barrier fencing for pools.
Completed approximately 29,000 right-of-entry properties, including over 3,000 contained demolitions.
Provided emergency quarters and hygiene facilities for more than 300 government personnel, as well as
established a commissary that served more than 10,000 meals.
Provided over 50,000 gallons of emergency diesel fuel for initial operations.
Maintained less than .01 percent aflast-time injuries to total-man-hours worked, operating at high levels of
safety, quality control and integrity.
Successfully accounted for all ROWand ROE work through our information tracking systems.
Hurricane Wilma & Katrina, Florida, 2005
• Collected and processed over 5 million cubic yards of vegetative debris and C&D for multiple clients, managing
over 30 temporary debris processing sites.
• Collected and hauled over 200 attached hazardous stumps, and 3,200 unattached stumps.
•
Provided emergency power to approximately twelve clients; supplied VacTruck support to numerous clients.
•
Conducted emergency response for petroleum releases in Collier County, FL.
2004 Storm Season, Florida
•
Served as the prime contractor for twenty-three clients in the state of Florida, simultaneously. Some of our major

Disaster Response & Recovery Services. Provides response of personnel, equipment, resources, assets and an
array of emergency services to communities throughout the U.S. impacted by various disaster events, Provides
pre-event planning, preparation and training and technical assistance.
Restoration/Rebuilding Services. Provides environmental and mechanical engineering and construction
management services. Specifically, develops site and remedial action plans, conducts wetlands mitigation and
water quality analysis, designs plumbing and HV AC systems, site lighting and fire alann and security systems.
Special Environmental Services. Manages demolition and specialized environmental projects such as marine
activities, dredging, boat removal, and waterway debris removal. Hazardous material containment and mitigation,
mass decontamination, toxic material abatement, and emergency remediation fall under this division.
The integration of these divisions provides us, and ultimately our clients, with the solid foundation of personnel,
management, and expertise so vital to disaster recovery missions. As all disaster events are unique, it is essential to
respond and adapt to wide and varied circumstances. We have shown with our diverse base of operation that we can
provide thorough, comprehensive, value-added recovery services to all disaster-impacted communities. Moreover, we
have demonstrated the capability to mobilize either to a single catastrophic event or to mUltiple simultaneous events
with hundreds to thousands of crews and with myriad essential resources and specialized services. Our corporate,
managerial, technological, and operational infrastructure allows us the flexibility and adaptability to grow quickly to
meet the resource demands of potential large and varied events.
In addition to our own considerable resources, AshBritt maintains ample relationships with specialty finns experienced
in the complexity and demands of recovery missions. These partners include PA program consultants, temporary
humanitarian support and facilities suppliers, emergency power generation providers, canal and marine recovery and
removal contractors, hazardous materials response and mitigation specialist, as well as highly skilled heavy equipment
owners and operators. Even more, in light of heightened terrorist threats, AshBritt has teamed with partners that have
the capability and experience to conduct biological and viral remediation, as well as mass decontamination.

Recent Related Debris Projects: Overview
Through a number of pre-event emergency stand-by contracts in place in both Texas and Florida, AshBritt responded to
several clients as result of Hurricanes Dolly and Ike, as well as Tropical Storm Fay, in 2008. In addition to the vital
function of debris management and removal services, AshBritt provided an array of critical emergency response,
restoration and remediation services. Following are summary statistics and descriptions from these recovery efforts.

Description: Supplied 8 emergency power generators, emergency meals, lodging & hygiene and other response

dry containers, and grocery deliveries. Provided building remediation/restoration services for 17 Orange County
government buildings, including water/debris extraction, decontamination and disinfecting, drying-in, climate control,

lawful disposal. Work consisted of handling over 18,000 White Goods, of which 3,200 required Freon Extraction and

loads of debris and removed over 11,000 hazardous hanging limbs utilizing approximately 250 hauling vehicles.

Ewaste units and over 195,000 pounds of household hazardous waste. Extra diligence had to be performed during
recovery operations owing to the great number of historical structures severely damaged in the City. Overall, we
collected approx. 7,500 loads of debris utilizing 140 hauling vehicles.

Financial stability is the hub of the disaster debris business wheel. It is the element that evel)'thing revolves around. It
is of paramount importance, but often overlooked by prospective clients and grantees, for disaster affected communities
to partner with firms who not only have debris management experience. but who have the resilient foundation and
working capital to support costly, large-scale operations. Financial liquidity and deep coffers are critical to recovel)'
success; access to immediate operational funds, and in many cases longer-term credit, is the lifeblood of response and
recovel)' endeavors that propels all positive activities forward toward getting the job done. It is surely prudent then that
communities partner with firms who possess a balance of response and recovery know-how and financial stability.
Ash Britt, Inc., as the following financial overview and supporting documentation will illustrate, is financially sound and
has the capital strength to adequately accommodate the increased cash-flow demands at the inception of and throughout
any scale disaster recovery mission. We possess the financial capacity and wherewithal to assume extensive and large
expenditures for prolonged periods (historically exceeding 150 days in some instances) before receiving any available,
eligible funds for our response and recovel)' services. This capability profoundly serves our clients by allowing the
response and recovery efforts to commence and progress without unnecessary delay. The rapidity and continuity with
which we are able to perform. in tum, alleviates the client's internal administrative burdens and political pressures,
amongst other immediate hardships. In other words. following any large-scale, wide-spread disaster event. the client's
resources. infrastructure, processes, and even collective psyche may become overwhelmed. Reliable financial support
and sound management and judgment at this time are vital to curing this paralyzed state, creating a recovery framework
and bridging the gap between upheaval and normalcy
Ash Britt is a proven nation-wide disaster response and recovery partnering firm with unmatched financial resources,
human capital, technological capabilities and business references. Our historical record and our supporting financial
documentation should clearly validate these strengths. Moreover. our insurance policies and bonding capabilities at
present are unequaled in our industry, and we posses one of the most reputable records for ensuring that all of our
employees, subcontractors. consultants and independent contractors are paid expeditiously and in full. We cover in our
proposal some of the protocols and procedures to which we follow and comply to ensure that all of our personnel and
subcontractors are paid accurately and fully.
A casual examination of the disaster debris management industry and the myriad firms purporting to deliver these
services, will quickly uncover much anecdotal and real evidence of unscrupulous behavior with respects to prime
contractors (and subcontractors with tiered subs under them) not paying fully or not paying at all or excessively
delaying payments, as well as a host of other undesirable business practices. Although there is recourse for many of
these activities, clients should be made well aware that the perpetrating of these actions during any effort, at a
minimum, creates project disruptions and delays and unnecessary aggravation for clients. We simply have zero
tolerance for this way of conducting business and, as such, we and our clients have enjoyed the benefits of doing it
"right" and the upstanding reputation that follows. As one testament to our values, we have never had a Payment Bond
, called for neglect of our financial responsibilities; nor have we had a Performance Bond called for that matter.
More specifically on financing considerations, our billing terms our typically net 30 or 45 days, yet as we have alluded
to we have and are able to "float" or "'underwrite" funds as necessary to keep any project progressing and on track to
serve the best interest of our clients and the communities at-large. With our own capital reserves and our significant line
of credit, as well as the ability to draw on a deep well of resources from some of our long-standing business partners, we
are able to maintain and finance full operational capability of multiple, large, and extended projects. Our ability to
ramp-up and maintain a strong, steady workforce during the Katrina recovery mission in Louisiana and Mississippi is a
solid testament to our financial capabilities. Note, Ash Britt was able to sustain an operation that quickly skyrocketed
into the hundreds of millions. Most recently, we advanced approximately $50 million toward the recovery efforts in
coastal Texas communities owing to the destructive Hurricane Ike before we received our first payment.

Proximity & Response Statement
Ash Britt's corporate headquarters are Io.cated in Pompano Beach, Florida. Although not in the immediate proximity of
the Pasadena. Texas, as previously identified, we maintain a representative satellite office in Dickinson, Texas and we
hold pre-deployment commitments and teaming agreements for emergency debris clearance and disaster recovery
services with first-rate disaster response and recovery subcontractors and service finns across the nation-many of
whom reside in coastal Texas communities. This allows us to strategically mobilize resources wherever and whenever a
disaster may strike. This should be evident when reviewing our long list of recovery experience. Further, we have
successfully proven we are able to respond expeditiously and in full force to the region following catastrophic events.
For all intents and purposes, AshBritt is modeled as a virtual mobile workforce and operation, with the ability to
respond to any disaster within hours. For predictable events, we mobilize our own resources well in advance, safely
outside the projected impact area. This allows for an immediate convergence to the affected area and ensures that that
proper management structure is established and that emergency debris clearance operations commence effectively
without delay.
As discussed, we also maintain several state-of-the-art Mobile Command Centers (coach buses) which we may deploy
well prior to known event strikes. Further, with our myriad strategic partnerships with subcontractors in Texas,
Oklahoma, Louisiana, Missouri, Tennessee, Mississippi, Florida, Georgia, South Carolina, North Carolina, Virginia,
Ohio and Pennsylvania, as well as subcontractors in many western and other northern states who are quick to mobilize
upon notice. Although these contractors are often vital to response and recovery efforts, they lack the financial standing,
management depth and technical experience of a prime contractor, but they have proven indispensible in ensuring our
recovery projects are completed professionally and cost-effectively.
Basically, AshBritt has the experience and ability to mobilize and muster substantial numbers of personnel. equipment
and resources to distant and remote locations, while perfonning at high levels of competency under tight deadlines and
for extended periods of times. Our personnel and crews are trained and accustomed to working extended hours, seven
days per week for months on end, and typically under less than ideal working conditions.
These are a unique set of abilities and characteristics that are common to long-standing disaster response contractors;
familiarity with the modus operandi of response and recovery missions, regardless of the specific recovery roles (Le.,
management, field personnel, or subcontracting crews and equipment operators) serves greatly toward swift. safe and
effective cleanups in any community, especially those not accustomed to a high frequency of disaster events.
It is important to note with respects to emergency debris clearance that successful "'push" operations entail far more than
just having access to equipment and manpower. An established, methodical plan is crucial for the efficient, safe and
expeditious clearance of debris. AshBritt has extensive experience with the management function of this important
phase of a recovery. Drawing on this experience, we are able to ramp up recovery activities and dovetail these
functions seamlessly and effectively.

Pre-event Planning Statement
Planning for disaster response and recovery cannot be overstated, as the City is surely aware; it is paramount to the
success of any recovery mission. As a value-added service, Ash Britt will encourage Pasadena representatives to partake
in our sponsored annual pre-event planning and training. We, and ultimately the City, benefit from being able to
continue lay a solid foundation for future recovery efforts. We are also able to continue to develop, and is the case with
the City further improve, our professional relationship and rapport with key members of the current designated
emergency operations staff.
These planning and training sessions allow us to address selections and evaluations for preliminary TDSR sites and
formulation of or updates to debris collection zone maps and primary road clearance routes, as well as designation of
critical facilities. We can also review our GIS collection ·tracking system, while indoctrinating City staff andlor assigned
representative. Customization and fine-tuning of the system can also be accomplished at this time. Further, we can
research and coordinate more definitely 'Iocal subcontractor participatio'n. Special considerations such as environmental
planning and mitigation concerns, hazardous household waste and hazardous materials handling and disposition, as well
as other ancillary services that may be needed, as outlined above, can also be addressed.
A more detailed statement regarding our training program is included on the following page. AshBritt is very proactive
about our involvement in Qur client communities during our off-season. We believe the better we know our clients and
their concerns, the better we can serve them following disaster events.
Debris Mallagement Site Selection, Planning, and Testing
AshBritt strongly desires to participate in the review and selection of potential temporary debris management sites
(DMSrrDSRS) with clients whenever possible. The FEMA 325 Debris Management Guide discusses the identification
of debris management sites as such:
"The planning staffsholild consider public lallds first ill order to avoid costly land leases. Existing disposal or
recycling facilities that are in close proximity to the disaster area are ideal locations for DMS. Nearby landfill
and recycling center capacities need 10 be evaluated for site feasibility. Applicant-owned sites that will nof
require extensive repair costs, such as parks, vacant lots, or sports fields, should be considered as well. Stale~
to-state or [ cormty/city-to-collnt/cityj agreements may present possible solutions for public land lise. "
Based on these guidance and suggestions, a collaborative process of identification, review and on~site inspection of
potential OMS is mutually beneficial to AshBritt and the City. [t can preclude potential operational and liability issues
that can develop, it can ensure fast-track mobilization, response and production ramp-up in the event of a disaster, and it
can aid in a more expeditious, efficient and cost-effective recovery.
We use established operating selection criteria for determining DMS viability and practicability. The following page
contains an example of our Debris Site Evaluation Worksheet, which is a first step planning tool in collecting site data
and determining site viability. Logistical, environmental and geographical considerations, as discussed in greater detail
herein, are carefully evaluated during the assessment of all temporary debris management sites.
Members of our operations staff will meet with City representatives to discuss and evaluate pre-identified sites.
Furthennore, we will use this tool to evaluate the feasibility of additional sites, as may be required. We can assist the
City in securing additional sites if tasked or if we deem necessary owing to the extent of damage and debris volumes.
AshBritt has a remarkable track record of constructing and managing a multitude of diverse sites, both large and small,
with minimal environmental impacts.

AshBritt can assist the City in preparing preliminary area and sector maps for debris clearance zones, as well as assist
with the creation or review emergency clearance route maps. Such maps are often critical to efficient initial damage

Training Statement & References
Ash Britt staff conducts annual on-site classroom training and table-top exercises for all of our clients that wish to
participate. This training generally occurs between the months of January and June, but ad hoc sessions may be
arranged if immediate needs arise. Our sessions are generally 6 to 8 hours in length with appropriate time for relevant
discussion, questions and answers. Last year we conducted a '"Table-Top" Exercise to allow our clients to actively
participate and role play under an actual event scenario (Operation Hurricane Ashley). We intend on continuing our
table-top approach for 2010 with an expanded program, which will either be more specific or more general depending
on past client participation and expected needs.
Generally, our training is current and topical, and carefully addresses the current state of FEMA guidance and policy
with respects to the federal PubUc Assistance Program. as well as the current environment of other emergency relief
programs. We largely customize the training to meet the needs or our clients, and it is always lauded as thorough,
informative and entertaining. We are proud of our efforts in delivering this service, as many of our competitors falsely
claim to offer this valuable service. A general survey of all disaster response clients will show that AshBritt has the best

Debris Information & Documentation Tracking
AshBritt is the industry leader in employing technologies to streamline the planning, logistical and administrative
requirements of a disaster recovery. Technology, along with a savvy staff, enhances productivity and increases
efficiency. These lead to faster, more thorough cleanups and more accurate and timely information reporting. The
administrative burdens are lessened and state and federal grant reimbursements are expedited. At the forefront of our
technology resources is our proprietary Debn's Infomla/ion Management System (DIMS). After a disaster, accurate
real-time information is crucial to recovery success. DIMS facilitates communication and information exchange during
and after an event recovery by allowing us to instantly share critical project information across the internet. It also
serves as an electronic repository for all critical project documentation and, most importantly through its built-in quality
control modules; it helps ensure maximum compliance with FEMA documentation and reporting standards,
Specifically, DIMS is a web-based database application that tracks the daily, weekly, and monthly "evolution" of a
response and recovery project. [t allows us and our clients, through the DIMS Client Editioll, to track and analyze data
culled from debris load tickets, truck certifications and incident reports, amongst others, DIMS is a modular tracking
system in that it segregates and organizes data by clients, jobs and all unit and hourly services, minimizing confusion
and inaccuracies. In this manner, DIMS is able to generate detailed management reports and useful charts and graphs.
These then assist us and our clients in monitoring mission perfonnance and progress, in informing local elected officials
and the public, in ensuring accuracy to lessen project modifications and appeals, and in facilitating the invoicing
process, reconciliations and audits. Each day during a recovery, debris load tickets, as well as other important tracking
documents, are collected, organized, then scanned, keyed and stored in the system, This infonnation is published
immediately to the web and is accessible from any computer with online access, Our servers are located in multiple
locations and our backed-up under rigorous protocols to ensure zero data losses.
DIMS is user friendly and integrates well with other programs, such as Microsoft Excel and Access. From this
integration, faster processes and more advanced or specific analyses can be conducted, M9re wide-spread data sharing
is also pennitted. An example of effective integration that increases overall job productivity is the coupling of DIMS
with our suite of proprietary electronic subcontractor invoices (eSublnvs), We allow all of our subs, with the
capabilities, to use these files free of charge, It increases both their and our billing accuracy and, integrated with DIMS,
serves as a first level audit action~ greatly streamlining the administrative process throughout any project. In order to
more accurately and efficiently process and reconcile subcontractor services and transactions, DIMS has a
Subcontractor Audit System (SAS) module. This module is a final level "audit step that tracks all subcontractor
activities, including equipment, services performed, payables, damage claims, back charges, etc, The SAS serves to
ensure all subcontractors employed by AshBritt are paid accurately and closed-out efficiently. As such, it ultimately.
serves as a vital audit trail for proper project billing.
Unlike dealing with paper trails, searching load tickets and hauling vehicles is efficient and can be done with an array of
filters to specifically target infonnation. Subcontractor and contact information is also easily accessible. Our web-based
subcontractor portal is tied seamlessly to DIMS minimizing duplication of effort, Additionally, DIMS tracks property
damages and other deficiencies caused by subcontractors. This allows us to expeditiously handle and rectify such
matters, lessening the burden of resident complaints and inquiries, freeing up valuable phone lines and, in effect,
controlling public sentiment with regards to the cleanup progress and quality of service. Moreover, DIMS seamlessly
tracks all services and geographies. For instance, local roads and FHWA roads can be imported into the system to
ensure the proper documentation and reporting segregation of debris within any jurisdiction. Sections, load origins and
destinations are tracked, Also, hazardous stumps, leaning trees, hanging limbs, white goods, right-of-entries and
hazardous materials are separately tracked.

Project Invoicing & Billing Overview
With AshBritt's extensive past experience and advanced debris tracking systems, we can ensure streamlined and
accurate reporting and invoicing which adheres strictly to established FEMA guidelines and audit acceptability
standards. We can accommodate weekly or bi-weekly billing cycles that are preceded by pre-invoice data
reconciliations. This process encompasses both unit and hourly services. OUT streamlined processes, which have been
field tested over the past five years, have become our standard operating procedure and are now conducted for all
invoice submittals. As we separately track recovery service data through DIMS and through other field reporting, all
costs we invoice are segregated accordingly and clearly delineated on all invoices. All other salient information is
clearly identified on invoices, and applicable backup is attached in a clear and concise fashion. This procedure increases
both invoice clarity and accuracy. Our current goal for unit work is to submit pre-invoice reconciliation data with less
than a five percent load ticketireporting error exceptions (i.e., questionable andlor challenged loads or reporting). Our
procedures significantly expedite client processing, audits and grant reimbursements.
Given the flexibility afforded us by our real-time data processing and analysis, we are also open to any process
suggestions by our clients. Our processes are extremely adaptable and flexible, so we can accommodate any specific
billing procedures or systems. Additionally, for invoice processing, all pass-through charges if applicable will be
consolidated and summarized by like categories and submitted to the City (or contracted agent) accordingly. All
applicable backup for all invoices will be included for ease of review and to facilitate timely reimbursement. A
simplified diagram and overview of our invoicing, reporting and documentation management procedures follows.
In support of accurate accounting and reporting on a field level, we use a number of manual reports and logs, which are
subject to a tiered approval process. OUf Project Manger, in the end, is required to endorse all documents that commit
funds. Hourly Eq[tipment Logs and Time Sheets are used during the emergency debris clearance phase. These are multipart forms which are distributed to applicable parties. In addition to completed Tmck Measllrement Records and Load
Haul Tickets, which are scanned and stored in our database, manual Tnlck Measurement and Tmck Load Call logs are
maintained. Moreover, QAIQC Deficiency Reports and other safety reports and logs are kept. All reports are collected
and compiled by field supervisors and managers and routed daily to our central processing office, where our Project
Manger reviews as necessary. Ultimately. a process is established to collect all the documentation needed to validate the
location, time, type, length. and quantity of services conducted.
Per any City (or contracted agent) guidance and instruction, AshBritt will submit all project invoices with all applicable
backup and supporting documentation as required for validation of their correctness. Ash Britt will include as backup for
all billing periods hard copies of the actual debris load tickets, hard copies of all landfill weight tickets (as applicable),
hard copies of the all data in an Excel spreadsheet format, and electronic files ofthe Excel spreadsheet in an acceptable
format to the City. AshBritt recognizes that payments will not be made based off of incorrect invoices; however, if our
pre-invoice data reconciliation process is foHowed. all invoices should be fast-tracked for approval and payment. If a
submitted invoice is erroneous, AshBritt will correct all errors and submit a revised invoice for payment. AshBritt wi 11
not bill for any debris collected in areas located outside of the City, nor any ineligible debris (if deemed such). We will
never willfully bill for unknown duplicate tickets either.

Each satellite unit will be equipped to provide wireless broadband internet. The units are scalable so that additional wireless
access points can be added. Each unit will have sufficient b.mdwidth to easily support 15 concurrent internet users from the
base system. If necessary, additional units can be brought in to support a larger camp population.
Voice-over.internet protocol ("VolP") telephone and fax service will be available as an optional service with each satellite unit.
This service can handle one to eight voice lines per unit. Cell phone repeaters tor Nextt.':l and Cingular network$ are also
available as an optional item.

timely, Customer 3grees to pay all costs of collections up to ;md including court costs, reasonable attorney's fees and interest
charges at the lesser of I) 1.5% per month. or2) the maximum lawful interest rate. No relainage will be withheld from
payments.
4. Overtime Rates. Customer agrees that overtime rates will be billed by Ash Britt and paid by rustomer based upon mtitlemer
ofempJoyee notwithstanding where initial 40 hours, or any part thereof, were worked by empbyees for AshBritt on other
projects.
5. Responsib~ity for Payment Customer agrees to rnake payment to Ash Britt for services rendered hereunder in the amounts
and on the tenos specified above, regardless of whether Customer is entitles to reimbursement for such costs from CustOIt~rs
or from some other person's oreotity's insurance canier or any other source.

Voice-aver-intemet protocol ("ValP") telephone and fax service will be available as an optional service with each satellite unit.
This service can handle one to eight voice lines per unit. Cell phone repeaters for Nexiel and CinguJar networks are also
available as an optional item.

2. Price. Work peJformed hereunder shall be priced as indicated in the AshBlitt Rates. plus any applicable taxes.
A. AshBritt will invoice the customer weekly for services rendered in accomance with the AshBrilt rates. Customer agrees to
make payment to AshBritt within 15 days of invoice
B. The balance ofAshBrirt's fees and charges fbrthe performance of the Scope of Work will be paid within 30 days from the
Customer's receipt of the tinal invoice from AshBrirt
3. Invoicing and Payment. AshBrilt shall submit to Customer itemized invoice(s) setting forth the total amounts due in
accordance with the Rate Schedule for services utilized in petformnnce of the Scope of Work. lfpayments are not received
timely, Customer agrees to pay all costs of collections up to and including court costs, reasonable attorney's fees and interest
ch,uges at the lesser of I) 1.5% per month, or2) the maximum lawful interest rate, No retainage will be withheld from
payments.
4. Overtime Rates. Customer agrees that overtime rates will be billed by AshBritt and paid by rustomer based upon entitlemer
of employee norwithstlnding where initi3140 hours. orany part thereof, were worked by empbyees for AshBritt on other
projects.
5. Responsibility for Payment Customer agrees to make payment to AshBritt tor services rendered hereunder in the amounts
and on the fenns specitied above. regardless of whether Customer is entitles to reimbursement for such costs from Customers
or from some other person's orentity's insurance carrier or any other source.

Categories/Descriptions
6. Best Efforts. AshBntt and Customer acknowledge that the property which is the subject of the Work may have been
involved in a fire, flood. or other catastrophe. AshBritt will perform the Wo;rk on a "best efforts" basis. but cannot. and
therefore dot'S not. guarJnfee or warrant that any ofibe property will be operational or .tTce from defect following completion
of the Work.
7. Causes Beyond Control. If any circumstance or event which is beyond the reasonable control of Ash Britt delays the
perfonnance Of;UiY of Ash Britt's obligations under this agreement or makes any of those obligations impossible to perfotm.
Ash Britt will not have any liability for that delay or non-penOimance.
8. Consents and Pennits, Any federal. state, or local penn its orconsenl5 required for the penonnance of the Work are the
responsibility ofthe Customer; provided that. if made a part ofthe Work. Ash Britt may obtain such pennits and consents at
Customer's expense. Both AshBritt and Customer will comply with all applicable governmental regulations. statutes, laws and
ordinances.
9. Disposal. Disposal orany Hazardous Material (including specimens or samples) or any property that contains Hazardous
Malerial. removed by AshBtitt under this Agreement will be in the name of the Customer and underany appli:able generator

10. Indemnity. Each party agrees to indemnifY and hold hattnless the other party hereto and the other party's shareholders.
directors, officers. employees and agents,from and against any and all claims, demands. causes ofaclion and liabilities of any
nature. whether for damages to property, andlor the conditions 10 which theCootrnct pertains. to the extent that any such claim
demand. cause of action andJofliability is attlibutable to the breach of Contract or other fault oftheindenmifYing party.
Customer on it's behalf and on bclmlfofincluding but not fmited to Owners, Management Companies, Tenants and
Occupants indemnifiesAshBritt against loss or damage to personal property andlorcontent during the perfonnance of services
within the areas of remediation.
II. Confidenfiallnfonnation. AshBritt and Customer mutually agree to maintain in confidence and will not, directly or
indirectly disclose or use. either during or afterthe teon oflhis Agreement, any proprietary or confidential infonnation
belonging to !he other party. whether it is in writing or pennanent fonn, except to the extentnecessary to perfonn the work
until such time as said intonnation has become public knowledge.
12. No Consequential Damages. No party shall in any action or proceeding or othetWise assert any claim for consequential
damages against any other party to this reasonable attorney's fees and court costs.Controct on account ofany loss, cost,
damage or expense which such party may suffer or incur bec<luse of any act or omission ofnny other party to this Conltact
orits agents or employres in the perfonnance of a party's obligations under this Contract, or any other cause of action
(including neg6gence) arising out ofor relatedto trnnsactions in connection with this Contract. or otherwise, and each party
expressly waives any such claims.
13. Labor Considerations.
A. The labor rates stated above are per hourtbr the first 40 hours worked (or 8 hours a day in California or where mandated b)
prevailing wage requirements) in a week beginning on Monday.
B. labor rates for work perfornted over 40 houts in a week (or8 hourS a day in California or where mandated by plt:vailing
wage requirements) will becharged at one ;Uid one-third (I M1/3) times the stated houdy rates except where collective
bargaining agreements or prevailing wage requirements mandate premium ttime to be paid Saturday, Sunday and Holidays. In
such an event, one and one-third (I • 113) time the stated rates or the multipliennandated by prevailing wage requirements shal
be applicablc.
C. Travel time will be charged, at stated houriy mtes, when employee lodging is more than 50 miles from the project location
or when emergency conditions exist that result in one way travel time of60 minutes or greater. In either case, a minimum of
one hour will be chal}!:ed per individual, each way.
D. All documented costs for other applicable travel costs (airfare, rental cars. cab fare. etc.) will be reimbursed to AshBritt at
cost plus 10%
E. Per diem and lodging will be charged at a rate ofSIOO per employee. per day for all employee classifications
F. A minimum sun::harge ofS25 per hour will be added to the stated rates for any employee classification whereby their trade
is covered by a collective bargaining agleement. or for any employee subjecl to prevailing wage rates.
G. A Remediation Worker(R W) is defined as a person who utilizes a respirator to protect himselfi"herselffrom the potential
exposure to any hazardous substance. including nuisance dust.
H. Warehousemen and drivers supporting the on site work activity will be billed at the General laborer rate.
14. Equipmmf Rental Considerations.
A. Unscheduled Renwl Equipment and Consutn3b~s. For equipment lmd con.9.Jmables not listed that is rented tor the project
by Ash Britt the rate invoiced to the Customer will be the rate charged to AshBritt plus 10% + 10% Freight is excluded.
B. Unscheduled Purchased Equipment. Ifspecial equipment not listed above is purchased for the project the daily rental will
be 5% of the purchase price.
