GENERAL INFORMATION
MANUFACTURING AND MATERIALS
Seating, Casegoods and Tables
Donghia’s upholstered products are made with kiln dried hardwoods and assembled utilizing double
doweled and glued joinery. The standard method of construction includes the use of 8-way hand tied
coil springs, premium hand cut foam, polyester fiber and/or 50% feather and 50% down. All pillows are
filled with 50% feather and 50% down and all cushions incorporate a foam core with 50% feather and 50%
down unless otherwise noted. Donghia’s upholstered products comply with California Technical Bulletin
117 and all woods are responsibly harvested. The materials used to create Donghia furniture, including
but not limited to wood, stone, leather and metal, are natural and/or finished by hand and are subject to
variation in color, pattern and/or texture.
Lighting and Accessories
Hand-blown glass is subject to variations in color, pattern, and texture. No two pieces are identical and
these variations are considered acceptable. Therefore, all sales are considered a final sale and cannot
be returned for exchange or refund. Glass thickness, shape, and the surrounding environment can
change the perception of the color. Mirrored glass will age and antique over time. This oxidation is an
inherent characteristic and is not considered a flaw.
The overall height listed for chandeliers is taken from the top of the canopy to the bottom of the body.
Height can be increased by adding chain between the canopy and the body. Please reference the
produce description for the length of the chain included. Custom chain lengths are available upon
request.
The shades suggested for lighting meet the spacing requirements and proportions that best work with
each piece. A shade smaller than the suggested size may show burn marks resulting from heat
generated by the light bulbs.
Large scale mirrors are equipped with small removable wooden blocks to protect the edges during
installation. All mirrors are intended to be hung on walls. To prevent damage no mirror should be placed
on the floor or leaned against the wall.
All information on materials is standard and available options are noted within the product information.
Donghia products are hand crafted and therefore all listed dimensions are approximate. We allow for a
+ - ½” tolerance for all upholstery, lighting, and accessories, and + - ¼” tolerance for all casegoods and
tables unless otherwise noted.
Furniture, Lighting, and Accessory Authenticity
In 2010, Donghia implemented a program to brand our furniture, lighting, and accessories so clients and
future generations will know they have an authentic Donghia design. The program involves the use of
one or more of the following standard details: 1.) Donghia satin label. 2.) Donghia logo on the interior
frames. 3.) Engraved/heat-branded Donghia logo on metal, glass, and/or wood components. 4.)
Donghia ribbon on the underside of upholstered pieces. 5.) Brass D plate adhered to casegoods, tables
and the inner surface of a wood leg on upholstered items. 6.) Optional Donghia deck fabric.
Custom Quotes
Please submit a Custom Quote Request Form (CQR) to your Sales Representative for all dimensional
changes or options not reflected in this guide. Be sure to include all COM information (if
applicable/known i.e. repeats, railroad, vents, cording, welting, etc.) to ensure that the COM requirement
information is most accurate.
Please note that a simple sketch is required for all custom sectional requests. Submitting sketches with
any custom quote request is encouraged whenever possible. For any drawing requests during the
quoting process, there will be a $250 charge that is refundable if the custom order is placed.
Once a custom quote turns into an order a drawing for approval may be required. Your Sales
Representative will provide you with this drawing. There is no charge for this drawing for approval. Upon
receipt of this drawing, you must review and sign. Your order will not begin production until that
approved drawing is signed and provided to the showroom.
Custom colors and finishes are also available upon request. Please note that all custom colors and
finishes require a strike-off sample for approval at a cost of $275. This cost is also refundable if the custom
order is placed. Your Sales Representative will provide you with this sample and strike-off approval form.
Your order will not begin production until that approval form is signed and provided to the showroom.
All quotes are valid for 60 days from receipt and must be re-quoted thereafter. Custom quotes will be
returned with a custom quote number within 3-5 business days. On some more complicated requests,
lighting requests, or requests which require several components (stone, metal, shades, etc.) please allow
up to 6-10 business days. Please note that all custom pricing and custom COM requirements are per
item.
If a revision to a quote is requested, please contact your Sales Representative making sure to include the
original custom quote number along with any details and/or sketches for revisions. A new form does not
need to be filled out and submitted although a new custom quote number may be assigned with
updated pricing by the Custom Quotes department if the revision varies considerably from the original
custom request.
FURNITURE ORDER CHECK LIST
To process your Donghia Furniture order in an expedited manner, please make sure we have the
information below. Your order cannot go into production without the following:
Casegoods (Stocked and Made-To-Order):
1. 50% deposit:
a. This deposit must be supplied to your Donghia Sales Representative with a purchase order
that reflects the Donghia quotation.
i. All product options must be included with your order. These options and charges
are noted per product in this guide.
2. Ship-To Address
a. Please make sure to include city, state, zip code, and phone number. This is required to
determine if we must charge tax.
Upholstery (Made-To-Order):
1. 50% deposit:
a. This deposit must be supplied to your Donghia Sales Representative with a purchase order
that reflects the Donghia quotation.
i. All product options must be included with your order. These options and charges
are noted per product in this guide.
2. Ship-To Address
a. Please make sure to include city, state, zip code, and phone number. This is required to
determine if we must charge tax.
3. COM/COL Application Sheets:
a. This form can be found in this price guide, on the Donghia website, or through your Sales
Representative. Please fill out this form completely, include a cutting of your COM/COL,
sign, and provide to your Sales Representative.
i. Fabric Application: Clearly indicate on the COM Application Sheet any and all
specific instructions regarding fabric application, such as pattern match, direction
of stripes and patterns, correct side of the fabric, railroading, multiple COM
placements on a single piece, etc. We also require a 3” x 3” cutting or memo of
the fabric to be supplied on the COM application sheet placed face side up and
as the fabric comes off the bolt. If clear and complete instructions are not
received, there will be delays in production. COM fabrics will be cut at the
discretion of the factory unless specific instructions are given. Please supply
sketches for application beyond standard and know that upcharges for pattern
matching may be applied.
ii. Wood Finish: Upcharges apply for premium finishes, custom finishes, and metal leaf
finishes. This information should also be indicated on the COM Application Sheet.
4. Proper COM/COL identification and ship-to:
a. Please make sure to include a completed COM/COL identification form with each
COM/COL order shipping to our factories. This form can be found in this price guide or
through your Sales Representative. All COM/COL sent to the factory should be clearly
marked with the following information:
i. Corresponding Donghia furniture order number
ii. Furniture items being produced
iii. Client name
iv. Sidemark
v. Fabric item and color number
vi. Fabric item and color description
b. COMs and COLs must be shipped pre-paid to the correct factory. Donghia does not
accept responsibility for improperly marked or untagged fabrics.
c. Shipments to Donghia from outside of the USA must be shipped DDP (Delivery Duty Paid) to
the correct factory. Donghia will not pay any import costs.
d. In addition to shipping costs, there will be a $30 fee for each fabric shipped to the
incorrect factory that must be re-routed to the correct factory.
e. The FOB point for your order can be found on your Donghia furniture order
confirmation/notification.

IMPORTANT:
It is not until Donghia receives your 50% deposit, a completed COM/COL Application Sheet, and the
factory receives 100% useable COM/COL that production begins on your Donghia furniture order. After
production begins you will be given the order’s estimated completion date (ECD).
Whenever possible, please make sure to provide the specific installation date or date range that the
order is needed by. Donghia will try to meet this date, but cannot guarantee this if the date desired is
sooner than the standard lead time ECD.
You will receive a final invoice via mail/e-mail approximately 2-4 weeks prior to the actual completion of
your furniture order. Once your order is complete, you will be notified by your Client Service
Representative. Your order must be paid in full prior to shipping.
UPHOLSTERY DETAILS
FURNITURE SAMPLING
Wood samples are representative of the wood finish supplied. Wood is a natural material and varies in
grain, pattern, and stain acceptance. Exposure to light, heat, and other environmental conditions can
affect its color and finish over time.
Metal and metal leaf samples are representative of the metal finish supplied. Metal is a natural material
and varies in color, and patina. Exposure to use, cleaning agents, and environmental conditions can
affect its color and finish over time.
Glass samples are representative of glass material supplied. Colors may vary slightly, and glass pieces
may contain small imperfections.
Stone samples are representative of the stone material supplied. Stone is a natural material and can
include variations in color and veining as well as imperfections. Exposure to use and cleaning agents can
affect its finish over time.
Sorghum samples are representative of the sorghum material supplied. Natural variations in the color and
thickness of the material can affect the overall look. Exposure to use and cleaning agents can affect the
finish over time.
Leather samples are representative of the leather supplied. Leather is a natural material & varies in color,
grain, & presence of natural imperfections. Exposure to light, heat & other environmental conditions can
affect its color over time. The stamp pattern for the Anziano chair leather may also vary depending on
the natural properties of the leather.

Please note the following charges will be applied when using the following COM/COL:
• Standard COM: No Charge
• Specialty COM: 10% upcharge
o Examples include raffia, vinyl, un-backed ultra suede, or real/faux fur.
• Leather (COL): 10% upcharge
• Donghia House Brand COL: 3% upcharge
Also, please note that when COL is used, fabric for decks and cushion bottoms will be supplied by
Donghia. Leather cushions are not reversible. Leather is a natural product, imperfections such as wrinkles,
scars, etc. are considered normal and acceptable. Donghia is not responsible for placement or
appearance of these markings.
Seaming details may vary from those on showroom samples with certain narrow or patterned fabrics.
These changes are made at the discretion of the factory as required. Donghia specifically disclaims
responsibility for the tailoring qualities of COM fabrics, particularly those which are transparent, stretch
easily or are loosely woven. Unless otherwise tagged, the inside of the bolt is assumed to be the face side
of the fabric. Donghia reserves the right to reject unsuitable or unworkable COMs if they have not been
cleared with the Corporate Headquarters in advance. In as much as fabric mills do not warranty their
products, we cannot make any guarantees of fabric clean ability, fade resistance, or durability. Due to
the variations of dye lots of fabrics from the mills, we cannot assume responsibility for tone or shade
differences. Also, no assurance can be given regarding the matching of fabric shading or frame
alignment of sectional pieces, unless the pieces that will be used together are ordered at the same time.
Donghia is not responsible for flaws, miss-weaves, etc in other suppliers COMs.
COM - YARDAGE GUIDE
All COM yardage requirements are based on 54” wide plain or textured goods that require no matching.
For stripes that require matching add 10% to yardage requirements. COL requirements are based on
clean, undamaged 50 square foot hides. Additional COL may be required if we receive smaller, flawed
or half hides. All yardage requirements are approximate. Donghia is not responsible for under or over
quoted COMs.

PACKAGING
Packaging is at the discretion of Donghia unless the client is using their own shipping carrier, although a
packaging waiver maybe necessary. For example, elliptical, cylindrical, and rectangular shades cannot
be packaged together with drum or cone shades. Therefore, separate packing charges will be applied.
Please refer to the following main sections of the 2015-2016 Donghia Furniture, Lighting, and Accessory
Price Guide or the Donghia web-site for packaging costs for made-to-order and custom furniture pieces.
FREIGHT
Donghia Bestway (DBW):
Stock:
Donghia’s preferred carrier option for stocked furniture, lighting, and accessories is DBW. All charges for
packing and freight must be paid up front per charges indicated by Donghia. Clients who choose their
own carrier other than Donghia Bestway Saver must pay merchandise total (including sales tax where
applicable) as well as packing and handling charges prior to pick-up.
Please note that a $35.00 handling fee will be applied per order for orders shipping via Client’s Own
Trucker (COT).
Made-To-Order:
Donghia’s preferred carrier option for made-to-order and custom furniture is DBW. Donghia will provide
freight options and quotes for Donghia Furniture orders prior to order completion. DBW shipping quotes
will be based on furniture freight movement from Factory to Receiving Warehouse within the USA.
Packaging is at the discretion of Donghia.
All shipments are made FOB point of origin as indicated on the Donghia order confirmation and on a
dock-to-dock basis. Donghia Bestway does not handle residential deliveries. Donghia does not accept
any responsibility or liability where on-site conditions and limitation prevent final delivery of items. In all
cases, it is the responsibility of the customer to determine if the size of the completed furniture can be
accepted through entry doors, elevators, and/or stairways for final delivery.
If a client wishes to arrange their own shipping via Client's Own Trucker (COT), they may do so directly
with their own carrier/freight forwarder.
Please note that a $75.00 handling fee will be applied per order for orders shipping via Client’s Own
Trucker (COT).
TERMS OF SALES: FURNITURE & ACCESSORIES
Conditions of Sale
All furniture and accessory orders require an initial payment of at least fifty (50%) percent to begin
production, with the balance (including delivery, packing, crating, shipping, in transit insurance and other
related charges or other taxes) to be paid before delivery unless other arrangements have been agreed
to, in writing, by Donghia, Inc. (defined throughout these Terms of Sale as “Donghia”)
ALL SALES ARE FINAL. Accepted orders may not be cancelled by Purchaser and accepted merchandise
may not be returned. Should Donghia make an exception to this rule and agree to accept the return of
goods a 50% handling charge will be levied. No returns or cancellations will be accepted on ‘made-toorder’ pieces. Costs of shipping will be payable by Purchaser. Merchandise returns without a return
authorization number pre-assigned by Donghia, will not be accepted and will be returned to the shipper
freight collect.
All monies paid on account of this order shall be credited to the account of the named Purchaser.
Donghia’s acceptance of payment from anyone other than Purchaser shall be as an accommodation
only and shall not create a vendor-vendee relationship express or implied with a payee other than the
Purchaser.
The acceptance of Purchaser’s order is subject to all of the terms and conditions hereof, which terms and
conditions supersede Purchaser’s order form, if any, and constitute the complete and exclusive statement
of the entire agreement between Purchaser and Donghia. No course of prior dealings between the
parties and no trade usage shall be relevant to supplement or explain any term herein. This writing shall
be binding as to the merchandise specified, either (a) when signed and returned by Purchaser; (b) when
retained by Purchaser for five days (5) without objection; (c) when Purchaser submits an e-mail or other
document accepting or referencing this writing or Donghia’s Sales Order; (d) when Purchaser has
accepted delivery of any part of the merchandise or has furnished to Donghia specifications or
assortments, delivery dates, shipping instructions or instructions to build and hold; or (e) when Purchaser
has otherwise confirmed acceptance, expressly or impliedly.
This Agreement is not binding on Donghia until accepted and approved by an authorized representative
of Donghia. If any part of the terms and conditions stated herein are held void or unenforceable, such
part will be treated as severable, leaving valid the remainder of the terms and conditions.
This agreement shall be governed by the laws of the State of New York, and cannot be changed, except
by a further writing signed by the party against whom such change is sought to be enforced. Purchaser
consents to the exclusive jurisdiction of the federal and state courts located within the county of New
York, State of New York in connection with any controversy or claim arising out of or relating to this
Agreement.
Credit Terms
Open terms are available upon request and review. Each shipment made is considered a separate sale.
Donghia shall have the right to charge the Purchaser interest computed at the lesser of one percent (1%)
per month, or the highest rate permitted by law from the date payment is due. Purchaser will be liable for
all reasonable costs, expenses and fees, including attorney’s fees, incurred by Donghia in collecting
monies due or to become due hereunder.
Ordering Information
Donghia products are hand crafted and therefore all listed dimensions are approximate. We allow for a
+/- ½” tolerance for all upholstery, lighting, and accessories, and +/- ¼” tolerance for all casegoods and
tables unless otherwise noted.
Purchase orders must be submitted to Donghia in writing and must provide complete information,
including billing and shipping addresses and phone numbers. Orders will not be accepted or put into
production until the necessary information is received. This includes: 1) Item name and number. 2)
Dimensions, if not standard: overall length or width, depth and height. 3) COM: Identify supplier,
description, style number, color and yardage. Special COM instructions regarding pattern, direction of
stripes, right side of material, etc must be included. Customers should provide a cutting of the COM with
orders to facilitate identification of their material. 4) All other specification as required. All custom orders
must be marked CUSTOM, and include exact information as to changes to be made.
Orders will be processed as indicated on Donghia’s order confirmation. Donghia accepts no responsibility
for COMs shipped to locations other than that given on our order confirmation and shipping tag. All
yardage requirements are approximate. Donghia is not responsible for under or over quoted COMs. If
there is any discrepancy, Donghia must be notified by the Purchaser within 10 days from the order
confirmation date. Order confirmation cannot be modified except in writing to Donghia. After the order
confirmation Donghia may accept, at their discretion, reasonable changes to orders with the following
conditions: 1) Requests must be submitted in writing and received in time to be implemented. 2)
Additional charges may be applied for materials, labor and administrative costs.
Prices
Donghia reserves the right to change prices without notice prior to order confirmation. Custom quotations
are honored for a period of 60 days from issuance.
Shipping
All shipments are made F.O.B. point of origin. Delivery arrangements are the responsibility of Purchaser
and complete shipping method and route instructions must be forwarded to Donghia. If not received,
Donghia’s preferred freight option is Donghia Bestway (DBW). DBW shipping quotes are based on furniture
freight movement from the F.O.B. point of origin to a Receiving Warehouse within the USA. If Purchaser
arranges for delivery of the merchandise, the carrier shall be deemed the agent of Purchaser and a $75
service charge will be added to the order. Donghia shall not be responsible, in any event, for any
damage caused to the merchandise during shipment, or in storage. Purchaser should report, in writing,
such damage directly to the carrier. All claims for freight overcharge or damage to goods while in transit
must be settled with the carrier. In all cases, it is the responsibility of the customer to determine if the size of
the completed furniture is suitable for acceptance and installation at the location of final delivery.
Storage
Purchaser will receive notification from Donghia as to the date merchandise will be available for
shipment. If payment is not made within 30 days from the date of product completion, Donghia reserves
the right to transfer the merchandise to storage. Customer bears the risk of loss or damage and all costs
incurred by such transfer and storage. Postponement of shipment beyond 30 days of availability will result
in storage charges per month equal to 2% of the price for such merchandise.
Abandoned Orders
If the Purchaser has not paid billed storage fees, or taken possession of the goods, for six months from the
date they were notified the goods were available to ship, then Donghia may consider the order
abandoned and as such cancelled by the Purchaser. For custom and made-to-order goods, Donghia
will charge a 50% handling fee against any deposits received and refund the difference, if any. For instock goods, Donghia will charge a 25% handling fee against any deposits received and refund the
difference, if any.
Fire Code Requirements
All foam cores and resilient materials comply with California TB 117. Special requirements to meet specific
Fire Code Regulations can be accommodated. An additional charge for content variation will be
applicable. Please consult your area representative for price quotes.
Force Majeure
Donghia is not liable for any delay or failure to deliver or perform due to strike, lock-outs or other labor
difficulties, accidents, fires, acts of God, or other cause of like or unlike nature beyond our control.
Waiver of Consequential Damages
In no event shall Donghia be liable for any consequential damages or shall Donghia’s liability, for any
reason, exceed the amount actually paid by Purchaser to Donghia for the subject merchandise.
Claims
Donghia’s merchandise will substantially conform to the description on the confirmed order, except that
such merchandise may vary slightly in finish, color match, weave, texture or pattern from description or
sample; described sizes are approximate only. All claims against Donghia for damage, apparent defects,
shortages and errors, must be made within 10 days after receipt of the merchandise. No claim shall be
made in any event if the merchandise has been cut, marred, treated, or otherwise altered. Failure to
make any claim against Donghia within such 10 day period shall constitute acceptance of the
merchandise and a waiver of said damage, apparent defects, shortages, errors or other claims.
Warranty
Donghia furniture and accessories are warranted against all defects in materials and workmanship for
one (1) year from date of delivery. This warranty does not extend to COM fabrics or other COM materials.
ALL OTHER WARRANTIES, EITHER EXPRESS OR IMPLIED, ARE EXPRESSLY EXCLUDED, INCLUDING THE
WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
During warranty period Donghia will repair, or at our option, replace defective merchandise free of
charge. This warranty does not extend to damage resulting from shipping, accident, alteration, misuse,
tampering, negligence, abuse, or ordinary wear and tear. Donghia will repair, or at its option, replace
such nonconforming or defective merchandise or part thereof free of charge. Donghia is not responsible
for damages relating to C.O.M. (customer’s own material), C.O.L. (customer’s own leather) or finishes
resulting from shipping, accident, misuse, negligence, alterations, staining, ordinary wear and tear, natural
fading, or discoloration, oxidation, climate, humidity, prolonged exposure to sunlight or salt air or unusual
conditions. Wood, stone, iron and other metal finishes vary in tone, color, character and texture;
variations are inherent in such products and finishes and are anticipated.
