fiberglass pieces(supported by a steel frame) are easily replaceable and provide an enhanced aesthetic
appeal to the bus with color options available. Additionally, a weight savings is realized compared to
buses with traditional style bumpers. The molded bumpers(front and rear) may exhibit damage when
impacted with a flat perpendicular barrier at any speed.

New Flyer requests approval to provide an REI (Radio Engineering Inc) Public Address system consisting of one
microphone, one exterior speaker, six interior speakers and one amplifier.
The microphone is a black gooseneck microphone and is installed in the upper, forward left corner of the driver. The
switch is located in the floor which allows a hands free operation.
The exterior speaker is located between the entrance door and the first curbside passenger window. It is protected
from the elements by a rectangular metallic baffle.
The six interior speakers are integrated into the light panel housing and distribute sound evenly inside the coach (two
in the front, two in the middle, and two in the back).
A single channel amplifier is located above the driver’s window. The proposed amplifier comes with a black
gooseneck microphone and a switch, which meets all ADA requirements.

as follows: the firewall is a steel panel on the engine compartment side plus various insulation materials
and the interior panel. The steel panel is fireproof according to the white book definition (melting point
greater than 2000 F {1093C}) However, docket 90 requires that the average interior surface temperature
not rise more than 250F (121C) at the end of the test. The portion of the firewall with the least thermal
insulation is the kick panel below the rear cross seat. It consists of steel, 0.5 inch (13mm) plywood, and
flooring rubber. After 22 minutes, the interior temperature was exceeded per the test report.

of loss, damage, or destruction of or to such materials. The CONTRACTOR may retain a copy of all material
produced under this Agreement for its use in its general business activities.

Proprietary Rights/Riahts in Data
The term "subject data" used in this clause means recorded information, whether or not copyrighted, that is
delivered or specified to be delivered under the Contract resulting from this solicitation.
Included are the proprietary rights of:


Technical data including manuals or instruction materials, computer or
microprocessor software;
Patented materials, equipment, devise or processes; and
License requirements
The SRTA shall protect proprietary information provided by the Contractor to the fullest extent of the law.
The contractor shall grant a royalty-free, perpetual, non-exclusive license to allow the SRTA to utilize such
information in order to maintain the vehicles.
The SRTA reserves a royalty-free, non-exclusive and irrevocable license to reproduce, publish, or otherwise
use, and to authorize others to use, the following subject data for its purposes:

Any subject data required to be developed and first produced in the performance
of the Contract and specifically paid for as such under the Contract whether or not
a copyright has been obtained:

discharge the same. This indemnification shall survive termination or expiration of this Agreement.

charges of attorneys and all other incurred costs and expenses. If any judgment is rendered against the SRTA or any of the other
individuals enumerated above in any such action, CONTRACTOR shall, at its expense, satisfy and discharge the same. Thisindemnification shall survive termination or expiration of this Agreement.
The obligations of the Contractor under the above paragraph shall not extend to circumstances where the injury, death or damages are
caused solely by the negligent acts, errors or omissions of the Agency, its officer, employees, agents or consultants, including, without
limitations, negligence in: (1) the preparation of the Contract documents, or (2) the giving of directions or instructions with respect to
the requirements of the Contract by written order. The obligations of the Contractor shall not extend to circumstances where the injury,
death or damages are caused, in whole or in part, by the negligence of any third-party operator, not including an assignee or
Subcontractor of the Contractor, subject to the right of contribution. In cast of joint or concurrent negligence of the parties giving rise
to a claim or loss against either one or both, each shall have full right of contribution from the other.

owing from the SRTA "Including profit" for all services performed and all expenses incurred up to the day
written notice of termination is given, plus any costs reasonably and necessarily incurred by
CONTRACTOR to effect such or termination. If the Agreement is terminated for default, the SRTA shall
only pay CONTRACTOR the contract price for goods delivered and accepted in accordance with the
requirements set forth in this contract.
SRTA Response:
If the Agreement is terminated for any reason other than a default by CONTRACTOR, the SRTA shall pay
to CONTRACTOR in accordance with the provisions of Sections 16 and 17 all sums actually due and
owing from the SRTA "Including a prorated portion of the profit as agreed upon in the prospective
contract" for all services performed and all expenses incurred up to the day written notice of termination
is given, plus any costs reasonably and necessarily incurred by CONTRACTOR to effect such or
termination. If the Agreement is terminated for default, the SRTA shall only pay CONTRACTOR the
contract price for goods delivered and accepted in accordance with the requirements set forth in this
contract.
