SETTLEMENT AGREEMENT REGARDING IFCO SYSTEMS, N.A., INC.
The United States Attorney's Office for the Northern District of New York ("USAO
NDNY"), and IFCO Systems, N.A., Inc., its subsidiaries, divisions, and affiliates (hereinafter
referred to as "IFCO"), through Pallet Companies, Inc., hereby enter into this agreement in
settlement ofIFCO'scorporate criminal liability for conduct associated with the hiring and
employment of illegal alien workers at IFCO pallet plants prior to April 19, 2006.
WHEREAS, on April 19, 2006, Department of Homeland Security (DHS), Immigration
and Customs Enforcement (ICE) agents, in concert with other federal and state authorities,
conducted a national worksite enforcement action at over forty IFCO pallet plants in twenty-six
states, and detained 1,182 illegal aliens working at the plants at that one time; and
WHEREAS, the USAO NDNY is prosecuting various managers and employees of IFCO
for criminal offenses associated with the employment of thousands of illegal alien workers at
IFCO pallet plants throughout the United States prior to April 19,2006, and several IFCO
managers and employees have entered pleas of guilty to such criminal conduct; and
WHEREAS, IFCO accepts responsibility for the past illegal conduct of its managers and
employees associated with the employment of illegal alien workers at IFCO pallet plants, and
seeks to cooperate with the USAO NDNY and other federal agencies in the ongoing investigation
and prosecution of IFCO employees and the enforcement of federal criminal laws; and
WHEREAS, the USAO NDNY and IFCO seek to prevent and deter the employment of
illegal alien workers at IFCO's pallet plants, and associated criminal conduct, and seek a
continuation of the positive compliance efforts IFCO initiated after the worksite enforcement
action at IFCO plants on April 19, 2006;

ACCORDINGLY, the USAO NDNY and IFCO, by its President and undersigned
attorneys, pursuant to authority granted by its Board of Directors, enter into this Settlement
Agreement in lieu of prosecution to memorialize and reflect the aforementioned goals and
conuuitments. In furtherance ofthese goals and commitments, the USAO NDNY and IFCO
agree as follows:
STATEMENT OF FACTS
I.
Since in or about February 2005, the USAO NDNY, ICE, the Internal Revenue
Service (IRS), the Social Security Administration, Office of the Inspector General, Office of
Investigations (SSA-OIG), the Department of Labor, Employment Standards Administration,
Wage and Hour Division ("Wage and Hour"), the New York State Police, and other investigative
entities, have been conducting a criminal investigation of allegations that IFCO managers and
employees hired and employed unauthorized alien laborers at IFCO pallet facilities. The
investigation documented that several IFCO managers and employees harbored, transported, and
encouraged and induced to remain in the United States, alien pallet workers, with knowledge
and/or reckless disregard of the fact that the laborers were illegally present in the United States.
In addition to immigration and document fraud crimes associated with the hiring and
employment of these illegal alien laborers at IFCO, investigative entities developed evidence of
violations of other federal and state laws and regulations, including those governing tax, social
security, and labor.

On April 19, 2006, ICE agents, in concert with other federal and state authorities,
conducted a national worksite enforcement action at over forty IFCO plants in twenty-six states.
These investigative entities detained 1,182 illegal aliens working at IFCO company"owned plants

at that one time. An analysis of the payroll information IFCO submitted to the IRS and SSA, and
the hiring pattems and practices at IFCO, suggests that during the time period 2003 through April
2006, as many as 6,000 illegal aliens worked at IFCO pallet plants. The investigation developed
evidence that some current and former IFCO managers and employees (both at the plant and
corporate levels) had knowledge of the illegal and unauthorized status of pallet workers and/or
recklessly disregarded their illegal status. The investigation established that certain IFCO
managers and employees hired and employed illegal aliens; transported, harbored, and
encouraged and induced to remain in the United States, illegal alien pallet workers; and/or
conspired with others or aided and abetted others in cormection with these criminal acts. In at
least one instance, the conduct ofIFCO managers included providing funds for aliens to illegally
enter the United States for the purpose of working at IFCO plants and for illegal alien workers to
purchase fraudulent documents to satisfy employment eligibility requirements.

IFCO received repeated notice from the SSA and others, dating back to at least the
year 2000, ofthe irregularities in the social security numbers used for employment purposes by
many of its pallet workers. IFCO, its managers and employees, failed to take significant
measures to verify the social security numbers of these workers, and in 2004 and 2005, failed to
take any effort whatever to address the use of invalid social security numbers by numerous pallet
employees. The investigation developed evidence that certain IFCO employees and managers
aided and abetted criminal violations of social security and tax laws by its illegal alien workers,
and conspired to interfere with the proper functions of the SSA and the IRS, resulting in the
submission of thousands of invalid W-2 Wage and Tax Statements to SSA and the IRS.
Investigative entities further concluded that at thirty ofIFCO's pallet plants, under the Fair Labor

Standards Act, back wages were due to piece wage pallet workers - the vast majority of whom
were illegal aliens.
4.
Fnrther evidence of the criminal conduct developed by the investigative entities in
regard to IFCO' s employment of illegal aliens, as well as the specific criminal conduct admitted
by nine IFCO managers who have entered guilty pleas to various charges related to the
employment of illegal aliens at IFCO plants, is reflected in: (a) a search warrant affidavit issued
in April 2006 by the United States District Court for the Northern District of New York; (b) the
factual basis for each of the plea agreements executed and sworn to before the United States
District Court for the Northern District of New York by those managers and employees who have
pleaded guilty; and (c) the "superseding indictment" returned by a federal grand jury in the
Northern District ofNew York on February 28, 2008. These pleadings are incorporated herein
and are available from the Clerk of the District Court, Northern District of New York.

The USAO NDNY maintains that it would be able to prove that IFCO is guilty of
the unlawful immigration and employment-related conduct detailed above, under theories of
vicarious liability and otherwise, contrary to federal criminal laws prohibiting 1) the hiring,
employment, transportation, harboring, and encouraging and inducing to remain in the United
States, of illegal aliens; 2) document and identity fraud; 3) impeding the functions of the SSA
and the IRS; 4) violations of the Fair Labor Standards Act; 5) a conspiracy to commit offenses
against the United States; and 6) aiding and abetting offenses against the United States, in
violation of8 U.S.C. §§1324(a) and 1324a; 18 U.S.C. §§ 2, 371,1028,1546; 26 U.S.C. § 7212;
29 U.S.C. §§ 215(a)(2), 216(a); and 42 U.S.C. §408(a), and would prevail in forfeiture actions
related to Title 8 violations.

ACCEPTANCE OF RESPONSIBILITY
6.
IFCO acknowledges and accepts responsibility for the unlawful conduct of its
managers and employees described in the Statement of Facts above. IFCO does not condone
criminal conduct and has taken steps to prevent such conduct from occurring in the future.
7.
IFCO agrees to remediate the unlawful conduct described above by entering into
this Agreement and by, among other things: (a) continuing the proactive and remedial actions
that it has taken to date; (b) continuing its commitment to full cooperation with the USAO
NDNY, ICE, IRS, SSA, Wage and Hour, New York State Police and any other govermnent
agency as designated by the USAO NDNY (collectively, the "Investigative Entities"); and (c)
settling with Wage and Hour for Fair Labor Standards Act violations and civil monetary
penalties.
COOPERATION
8.
Inunediately following the ICE enforcement action on April 19, 2006, and
continuing to the date hereof, and at the direction of the management and Board of Directors of
IFCO and its parent, IFCO Systems, N.V. ("IFCO N.V."), IFCO conducted, through its
independent outside corporate compliance counsel, Baker & McKenzie, LLP, a review ofIFCO's
hiring practices and any illegal hiring conduct. Since April 2006, through its independent outside
corporate compliance counsel, IFCO has brought numerous relevant facts to the attention of the
USAO NDNY and Investigative Entities, and has provided them with investigative assistance
and voluminous discovery materials responsive to their requests. IFCO acknowledges that its
prior, ongoing, and future cooperation are important factors in the decision of the USAO NDNY
to enter into this Agreement.

9.
IFCO agrees to continue to cooperate fully and actively with the USAO NDNY
and the Investigative Entities regarding any matter about which IFCO has knowledge that is
related to the continuing investigation and prosecution of unlawful immigration and
employment-related conduct. IFCO agrees that its cooperation shall include, but is not limited
to, the following, subject to any applicable privileges held by IFCO:
(a) Completely mid truthfully disclosing all information in its possession that is relevant
to the inquiries of the Investigative Entities;
(b) Assembling, organizing and providing, in a responsive and prompt manner, all
documents, records, or other materials in IFCO's possession, custody, or control, as may be
requested by the Investigative Entities;
(c) Providing any documents, records, information, or testimony requested by the USAO
NDNY;
(d) Voluntarily providing any information and documents that come to IFCO's attention
that may be relevant to the investigation and prosecution of any unlawful immigration and
employment-related conduct;
(e) Using its best efforts to make available its present and former employees to provide
information and/or testimony as requested by any ofthe Investigative Entities, including without
limitation, sworn testimony before a Grand Jury or in court proceedings, as well as interviews
with law enforcement authorities. Cooperation under this paragraph shall include identification
of witnesses who, to IFCO's knowledge, may have material infonnation regarding any unlawful
immigration and employment-related conduct;

(f) Providing testimony and other information deemed necessary by any of the
Investigative Entities or a court to establish the evidentiary foundation necessary to admit into
evidence documents in any criminal or other proceeding, and using its best efforts to establish the
original location, authenticity, and other bases for admission into evidence of those documents or
records;
(g) With respect to any information, testimony, document, record or other tangible
material provided by IFCO to the USAO NDNY or a grand jury, IFCO consents to any and all
disclosures of such materials to any other govemmental agency designated by the USAO NDNY,
as the USAO NDNY, in its sole discretion, deems appropriate. With respect to any such
materials that constitute "matters occurring before the grand jury" within the meaning of Rule
6(e) of the Federal Rules of Criminal Procedure, IFCO further consents to (a) any order sought
by the USAO NDNY permitting such disclosures; and (b) the USAO NDNY's ex parte or in
camera application for such orders;
(h) IFCO's obligation to cooperate pursuant to this paragraph is not intended to apply if a
prosecution by the USAO NDNY against IFCO is commenced as a result of a breach of this
Agreement.
MONETARY FORFEITURE AND PAYMENT
10.
As a result of the conduct ofIFCO's managers and employees, as set forth in the
Statement of Facts, IFCO agrees to settle and does settle any and all civil and criminal claims
assessable by the USAO NDNY and the Investigative Entities based upon the unlawful
immigration and employment-related conduct described above by forfeiture and monetary
payment of the sum of$ 20,697.317.51. This sum shall be paid as follows:

$ 18,132,000.00 for civil or administrative forfeiture, including in rem arrest, seizure and
forfeiture, to be deposited into the Department ofthe Treasury Forfeiture Fund for law
enforcement purposes as determined by the Department of the Treasury in accordance with Title
31, United States Code, Section 9703; and
$ 2,565,317.51 monetary payment for violations of the Fair Labor Standards Act (back
wages owed) and civil monetary penalties in accordance with the Stipulation of Compliance
appended hereto as Exhibit A. Said amount shall be paid on or before January 15, 2009.
11.
IFCO agrees to waive all right, title, and interest to the funds to be forfeited; to
waive any and all filing requirements and notice requirements and statutes of limitation
established by law, including but not limited to those of the Civil Asset Forfeiture Refonn Act of
2000 ("CAFRA"), or the Constitution; not to file a claim or otherwise contest any forfeiture
proceeding; and to cooperate fully with the USAO NDNY, ICE, and Wage and Hour, in any civil
or administrative actions taken to secure the forfeiture funds, back wages, and civil monetary
penalties.
12.
The forfeiture payments shall be made in three installments to be paid as follows:
on or before January 1, 2010 - $6,132,000
on or before January 1,2011- $6,000,000
on or before January 1, 2012 - $6,000,000
IFCO represents that said payments represent the proceeds of the offenses enumerated in
the Statement of Facts above. IFCO understands that, upon receipt of said payments, the United
States shall institute proceedings against said payments and seek forfeiture of same. IFCO agrees
not to contest forfeiture of same, nor assist any third party in contesting same, thus allowing the

government to obtain an Uncontested Judgment of Forfeiture. IFCO agrees to waive all filing
and notice requirements, as well as all statutes of limitation, with respect to all payments and all
forfeiture proceedings. IFCO has considered the monetary provisions in the instant agreement
and agrees that it has no statutory or constitutional defenses to forfeiture. IFCO agrees that the
monetary payments are not grossly disproportional to the subject offenses and further agrees that
the monetary payments do not violate the Excessive Fines or Double Jeopardy Clauses of the
Constitution.
Any violation ofIFCO's financial commitment reflected in this paragraph will constitute
a material breach of this Agreement and subject IFCO to criminal prosecution pursuant to the
provisions below.
13.
IFCO is wholly owned by IFCO Systems, N.V. ("IFCO N.V."), an international
provider of distribution logistics services, including reusable packaging, management, and pallet
management services. The commitments undertaken by IFt;:O in this Agreement, including the
cooperation commitments and the financial obligations it has undertaken, have been made with
the full knowledge and approval of the Board of Directors ofIFCO N.V. IFCO N.V. hereby
guarantees payment of the monetary forfeiture and payment due from IFCO under this
Agreement. IFCO agrees that if, during the period this Agreement is in effect, it sells or merges
all or substantially all of its business operations as they exist on the date of this Agreement to or
into a single purchaser or group of affiliated purchasers, it shall include in any contract for sale or
merger a provision binding the purchaser/successor to the obligations described in this
Agreement. IFCO shall still remain liable for the terms of this Agreement in any event.

COMPLIANCE
14.
Following the ICE worksite enforcement action at IFCO pallet plants on April 19,
2006, IFCO, its Board of Directors and current senior management (as well as those of its parent,
IFCO N.V.) took numerous proactive and remedial actions to redress the unlawful immigration
and employment-related conduct. IFCO agrees that it will establish within 30 days of this
Agreement (unless where a time period is otherwise noted) and will maintain for a minimum
period of 36 months from the date of this Agreement, the following remedial measures (many of
which IFCO already has instituted and maintains):
Compliance Program
(a) The adoption and maintenance of a comprehensive, risk-based Compliance Program
consistent with the guidelines for such programs set out by the United States Sentencing
Commission;
(b) The designation of a full-time Compliance Officer, who meets with the approval of
the USAO NDNY who will ensure IFCO's compliance under this section of the Agreement;
(c) The establishment of procedures to ensure the regular participation and involvement
ofIFCO's Board of Directors and senior management in the supervision and operation of the
Compliance Program;
(d) The establishment and maintenance of an employee hotline, managed through an
outside service, and communication to all IFCO employees of the existence of the hotline and the
ability to inform IFCO's Compliance Officer of any suspected violation of law, including the
hiring and employment of persons unauthorized to work in the United States;

(e) Annual employee certifications with the terms of the Compliance Manual and Code of
Conduct implemented as part of the Compliance Program;
Remedial Actions Regarding Hiring, SSN, and 1-9 Verifications
(f) Use of the Department of Homeland Security's "E-VerifY" program for all hiring;
(g) Use of the Social Security Administration's Social Security Number Verification
Service (SSNVS) to conduct a batch run of the social security numbers of all current employees
within 30 days of this Agreement, resolving any negative results on or before April 30, 2009.
Thereafter, the company shall use SSNVS to conduct quarterly reviews of its new hires, resulting
in corrective reports to the Social Security Administration and the 1ntemal Revenue Service, as
necessary, on or before July 31, October 31 and January 31 of each year;
(h) Use, when necessary, of the Spanish-language instructions for completing the Form 19 (Employee Eligibility Verification Form), available on http://www.uscis.gov/i-9.ensuring.in
accordance with law, that the English Form 1-9 is completed by all applicants;
(i) Within 60 days ofthe execution of this Agreement, establish with the assistance of
IFCO's corporate compliance counsel, Baker & McKenzie, LLP, an intemal training program,
with annual updates, to instruct employees on how to: properly and legally use "E-VerifY" and
complete the Form 1-9; detect fraudulent use of documents in the Form 1-9 process; and execute
the Form 1-9 with safeguards against unlawful discrimination. 1FCO shall thereafter permit the 19 and "E-VerifY" processes to be conducted only by individuals who have received the training
described in this paragraph, and include a secondary review as part of each employee's
verification to minimize the potential for a single individual to subvert the process;

G) Annual 1-9 audits by an extemal auditing firm, delivering a signed copy of such audits,
under penalties of perjury, to ICE Office of Investigations (or) RAC Albany, within 30 days of
the completion of such audits;
Remedial Actions Regarding SSA Mismatch Notifications
(k) The establishment and maintenance of a protocol, with the assistance ofIFCO's
corporate compliance counsel, Baker & McKenzie, LLP, to respond to "no-match" letters
received from the SSA by individual IFCO pallet plants and those received by IFCO's corporate
entities;
(I) Annual audits by an extemal auditing fiml of compliance with the protocol established
to respond to SSA "no-match" letters, delivering a signed copy of such audits, under penalties of
perjury, to ICE-or RAC Albany, within 30 days of the completion of such audits;
Remedial Actions Regarding Third Parties
(m) Require contractors and subcontractors that IFCO uses to obtain labor services to
submit a swom affidavit, signed under penalty of perjury, attesting to whether the
contractor/subcontractor uses or does not use DRS's E-Verify program to verify the employment
eligibility of its workers and whether or not the contractor/subcontractor has received a letter
from the SSA informing such contractor/subcontractor that the social security numbers and
names submitted on Form W-2s for their current employees did not agree with the records of
SSA, and inform contractors/subcontractors that IFCO is required to deliver a copy of such
affidavit to ICE-or RAC Albany, in connection with IFCO's compliance efforts under this
Agreement. IFCO shall deliver to ICE within 7 days of the execution of a contract, these swom
affidavit(s); and

(n) Annual communications to IFCO pallet division vendors and customers condemning
unlawful employment and immigration practices and stressing IFCO's commitment to
cooperating with the United States and the Investigative Entities under the tenns of this
Agreement.
REPORTING OBLIGATIONS
15.
Within 30 days of this Agreement, IFCO shall establish a self-reporting procedure
for reporting to ICE-or RAC Albany, within 72 hours, the discovery or allegations of criminal
violations offederal immigration laws or regulations relating to IFCO or its personnel. The
United States will not seek to criminally prosecute IFCO for any acts or conduct disclosed to ICE
pursuant to this Agreement ifIFCO voluntarily, truthfully, completely and timely discloses all
infonnation and knowledge that IFCO has with regard to such discoveries or allegations of
criminal violations of immigration laws and regulations.
16.
IFCO will cause its outside corporate compliance counsel, Baker & McKenzie,
LLP, to submit semi-annually to the USAO NDNY certification that it has reviewed IFCO's
compliance activities as set forth in this Agreement, to advise whether IFCO lias been in
substantial compliance with the commitments made throughout this Agreement, and to advise the
USAO NDNY of any material deviations by IFCO from the obligations set forth herein.
17.
The USAO NDNY and the Investigative Entities shall have the authority to take
reasonable steps, as necessary, to be fully infoffiled about 1FCO's compliance activities under
this Agreement. IFCO shall grant the Investigative Entities access to and the right to make
copies of any and all books, records, accounts, correspondence, files and any other documents or
electronic records, including e-mai1s, ofIFCO, its Board of Directors, agents, officers, and

employees, regarding IFCO's compliance with this Agreement (with the exception solely of
attorney-client and work-product privileged materials). The Investigative Entities shall maintain
the confidentiality of any non-public material, sharing the same with only the USAO NDNY or
other Investigative Entities. IFCO, its Board of Directors, agents, officers, and employees, shall
have an affirmative dUty to cooperate fully with the Investigative Entities to assist in the
execution of any oversight and auditing duties, including informing the USAO NDNY or ICE of
any information that may relate to these oversight and audiring duties or lead to information that
relates to the compliance or violation of any portion of this Agreement.
18.
Any non-compliance with these RepOliing Obligations and those requirements set
forth in the Compliance section of this Agreement shall constitute a material breach of this
Agreement and subject IFCO to criminal prosecution as described below.
NON-PROSECUTION
19.
In consideration ofIFCO's (a) acceptance of responsibility as acknowledged
herein; (b) cooperation to date and agreement to continue to cooperate with the USAO NDNY
and Investigative Entities; (c) agreement to pay the monetary forfeiture and payment set forth in
paragraph 10 above; (d) implementation of the remedial measures and compliance efforts as set
forth in paragraph 14 above; (e) agreement to self-report discoveries or allegations of violations
of immigration laws and regulations; and (f) agreement otherwise to comply with all ofthe tenus
of this Agreement, the USAO NDNY agrees that except as provided in paragraphs 20-23 below,
it will not prosecute IFCO for the conduct which is described in the Statement of Facts above, for
so long as this Agreement remains in effect.

BREACH OF THIS AGREEMENT
20.
IFCO understands and agrees that should the USAO NDNY, in its sole discretion,
determine that IFCO has, after the date of execution of this Agreement: (a) given false,
incomplete or misleading information under this Agreement; (b) otherwise violated any
provisions of the Agreement; or (c) committed, or attempted to commit, any crime, IFCO shall
thereafter be subject to prosecution for any federal criminal violation of which the USAO NDNY
has knowledge, including but not limited to the criminal violations associated with the unlawful
immigration and employment-related conduct described above. IFCO agrees that any such
prosecutions that are not time-barred by the applicable statute of limitations on the date c:Jf this
Agreement may be commenced against IFCO within four years of the date of this Agreement.
With respect to any such prosecution commenced within four years of the date of this
Agreement, IFCO expressly waives its rights to make a claim premised on the statute of
limitations, or any constitutional, statutory, or other claim concerning pre-indictment delay.
Moreover, IFCO further understands and agrees that, in connection with any such prosecution,
(a) all statements made by or on behalfofIFCO to any of the Investigative Entities, including the
acknowledgment and acceptance of responsibility set forth in this Agreement, and any testimony
given by IFCO employees before a grand jury or elsewhere, whether before or after the date of
this Agreement, and any leads derived from such statements or testimony, shall be admissible in
evidence in any criminal proceeding brought by the USAO NDNY against IFCO; and (b) IFCO
shall waive any right to assert, in any criminal proceeding brought by the USAO NDNY against
IFCO, any claim under the United States Constitution, Rule ll(f) of the Federal Rules of
Criminal Procedure, Rule 410 of the Federal Rules of Evidence, or any other federal rule or

provision, that statements made by or on behalf of IFCO before or after the date of this
Agreement or any leads derived there from, should be suppressed or otherwise excluded from
evidence. IFCO hereby affirms that such waivers m:e knowing and voluntary, and in express
reliance on the advice oflFCO's counsel.
21.
In the event of a breach of this Agreement, lFCO agrees that any monies paid to
date \U1der the terms of this Agreement shall be forfeited.
22.
IFCO agrees that the decision whether conduct and/or statements of any
individual will be imputed to IFCO for the purposes of detennining whether IFCO has violated
any provision of this Agreement shall be in the sole discretion of the USAO NDNY, provided,
however, that the statements of any former officer, director or employee of IFCO shall not be
attributed to IFCO for the purposes paragraphs 20-22. Should the USAO NDNY determine that
IFCO has committed a knowing breach of any provision of this Agreement, the USAO NDNY
will provide written notice to IFCO addressed to its Outside Counsel for Corporate Compliance,
Robert Knuepfer, Esq., Baker & McKenzie, LLP, One Prudential Plaza, 130 East Raudolph
Drive, Chicago, IL 60601, or to any successor that IFCO may designate, and will provide IFCO
with a two-week period from the date of receipt of such notice in which to make a presentation to
the USAO NDNY to demonstrate that no breach has occurred or, to the extent relevant, that the
breach was unknowing or was cured.
23.
IFCO agrees that it shall not, through its present or future attorneys, Board of
Directors, agents, officers, employees, and parent or subsidiary companies, make any public
statement, in litigation or otherwise, contradicting its acceptance of responsibility under this
Agreement. Any such contradictory statement, by any of the identified pmies, shall constitute a

breach of this Agreement and IFCO thereafter shall be subject to prosecution as set forth in
paragraphs 20-23 of this Agreement. The decision as to whether any such contradictory
statement will be imputed to IFCO for the purpose of determining whether IFCO has breached
this Agreement shall be at the sole discretion of the USAO NDNY. Upon notification by the
USAO NDNY of any such contradictory statement, IFCO may avoid a breach of this Agreement
by publicly repudiating such statement within 48 hours after notification. IFCO consents to the
public release by the USAO NDNY of any such repudiation. This provision does not preclude
IFCO from raising defenses and/or asserting affirmative claims in any civil proceedings brought
by private parties as long as doing so does not contradict its acceptance of responsibility under
this Agreement. This paragraph is not intended to apply to any statement made by any current or
former IFCO officers, directors or employees who have been charged with a crime or other
wrongdoing by the United States or any agency thereof.
LIMITS OF THIS AGREEMENT
24.
It is understood that this Agreement is binding upon the USAO NDNY and
specifically does not bind the IRS with respect to any possible civil tax liabilities or the Tax
Division of the United States Department of Justice. It is further understood that this Agreement
does not bind any state or local law enforcement agencies, any licensing authorities, or any
regulatory authorities. However, the USAO NDNY agrees to bring the Agreement, IFCO's
cooperation, remedial actions, and proactive measures to the attention of other federal agencies,
state, or local law enforcement agencies, and any licensing or regulatory authorities if IFCO so
requests.

It is the intent of the parties to this Agreement that it does not confer or provide
any benefits, privileges or rights to any individual or any entity other than the parties hereto, and
that nothing in the Agreement shall be construed as acknowledging that the Agreement, including
the Statement of Facts and the evidence underlying the Agreement, shall be admissible in any
proceeding other than a proceeding brought by the USAO NDNY. Nothing in this Agreement
shall be construed as a wavier of any attorney-client or work-product privileges.
PUBLIC DISCLOSURE
26.
IFCO agrees that this Agreement, including the Exhibit attached hereto, may be
released to the public.
INTEGRATION CLAUSE
27.
No promises, agreements or conditions have been entered into other than those set
forth in this Agreement, and none will be entered into unless memorialized in writing and signed
by all parties. This Agreement supersedes any prior promises, agreements or conditions between
the parties.

EXHIBIT A
STIPULATION OF COMPLIANCE
IFCO Systems North America, Inc., without admitting it has violated any provision of the
Fair Labor Standards Actof 1938, has agreed to the following terms:
IFCO, its officers, agents, servants, employees and all persons in active concert or
participation with them be and hereby are permanently enjoined and restrained from violating the
provisions of sections 7 and 15(a)(2) ofthe Fair Labor Standards Act ofl938, as amended, 29 U.S.C.
§§ 201, et seq. (hereinafter the "Act"), in the following manner:
IFCO shall not, contrary to sections 7 and 15(a)(2) of the Act, 29 U.S.C. §§ 207 and
215(a)(2), employ any employee in commerce or in the production ofgoods for commerce, or in an
enterprise engaged in COmmerce or in the production ofgoods for commerce, within the meaning of .
the Act, who does not meet the exemptions or exceptions set forth under the Act or its regulations,
for workweeks longer than forty (40) hours, unless the employee receives compensation for his or
her employment in excess of forty. (40) hours at a rate not less than one and one-half times the
regular rate at which he or she is employed.
IFCO is further enjoined and restrained from withholding overtime compensation in the total
amount of $1,602,267.51. In addition, IFCO has agreed to pay civil money penalties pursuant to 29
U.S.C. § 216(e) and 29 C.F.R. Part 578 in the amount of$963,050.00.
From the proceeds of said payments, the Secretary· of Labor, Employment Standards
. Administration, Wage and Hour Division ("Wage and Hour") shall make appropriate distribution to
the employees named on the Exhibit I attached hereto or to their estate if necessary, in the respective
amounts due said employees, less income tax and social security deductions. in the event that any of
said money cannot be distributed and paid over by Wage and Hour within the period of three (3)
years after payment in full pursuant to this Stipulation of Compliance because·of inability to locate
the proper persons or b~eallse oftheir re fusal to accept such sums, the moneyshall be deposited with
the Treusurer of the Unilcd States.

in E."hibit I :ilIaclted hereto to bring an action under Section 16(b}ofthe Fair Labor Standards Act,
29 U.S. C. § 216(b), shall be restored, that the execution oftllis Stipulation ofCompliance shall not
