[hereinafter "Contractor"]

State of Washington
[hereinafter "Participating State"]
Participating Addendum #T1o-MST-297
THIS AMENDMENT is by and between the State of WaShington, acting by and through its
Department Of Enterprise Services (Participating Entity), and Hewlett Packard Company (Contractor).
WHEREAS, the Lead State has a Contract with the Contractor identified as No. 827164 effective
September 1, 2009, through August 31, 2012, and subsequently amended through August 31, 2014
to provide direct-from-manufacturer personal computer equipment and related devices, software and
services; and
WHEREAS, the terms of the Contract specifically state that the contract may be amended per
agreement by both parties.
NOW, THEREFORE, it is agree by the parties to amendment the Contract as follows:
1. Changes: The purpose of this Amendment is as follows:
a.
Change to Section 7, Servicing Subcontractors as follows:
7.1. Contractor has two distinct Servicing Subcontractor Programs:the ResellerAgent Program;and,
the Fulfillment SubcontractorProgramthat are available to authorized Purchasing Entities to select
from under this ParticipatingState Contract.
7.1.1. Reseller Agent Program:
Under the ResellerAgent Programthe PurchaseOrder ("Order")is made out to Hewlett-Packard
Company ("HP). HP fulfills and ships the Order to the Purchasing Entity and invoices the Purchasing
Entity directly. The ResellerAgents provides pre and post sales support. Pre and post sales support
includes, but is not limited to, providing advice on specifications;quotes; assist in escalation of order(s);
and returns. The authorized Reseller Agent(s) for receipt of Orders from Participating Entities under
this Contract are listed on the HP landing page at www.hp.comlbuylwashlngton.
Orders and Payment is issued by the Purchasing Entity direct to HP under the Reseller Agent
Program. The Reseller Agent HP Authorization Number must be listed in all quotes and related

Order activities for sales and tracking purposes. Orders must include the Participating State
Contract Number #T1G-MST-297and/or Master Price Agreement Number: 827164. HP Order
Information, including the HP Remittance Address, is available in the Information Center located
at the HP website www.hp.comlbuv/washington.
7.1.2. Fulfillment Subcontractor Program:
Under this Fulfillment Subcontractor Program the Purchase Order ("Order") is made out to the named
Fulfillment Subcontractor. The Fulfillment Subcontractor receives the Order{s) and invoices the
Purchasing Entity directly, in addition to handling all Order tracking and escalations and offering pre
and post sales support. The authorized Fulfillment Subcontractor(s) for receipt of Orders from
Participating Entities under this Contract are listed on the HP landing page at
www.hp.comlbuylwashinaton.
Orders and Payment is issued by the Purchasing Entity direct to the named Fulfillment
Subcontractor under the Fulfillment Subcontractor Program. Orders must include the
Participating State Contract Number #T10-MST-297and/or Master Price Agreement Number:
827164.
b.
This Contract is extended through August 31 ,2014.
Terms and conditions inconsistent with, contrary or in addition to the terms and conditions of this
Addendum and the Price Agreement, together with its exhibits, shall not be added to or incorporated
into this Addendum or the Price Agreement and its exhibits, by any subsequent purchase order or
otherwise, and any such attempts to add or incorporate such terms and conditions are hereby
rejected. The terms and conditions of this Addendum and the Price Agreement and its exhibits shall
prevail and govern in the case of any such inconsistent or additional terms. This Addendum applies
only in the jurisdiction of the Participating State or Participating Entity which has executed this
Addendum.
IN WITNESS WHEREOF, the parties have executed this Addendum as of the date of execution by
Contractor below.
