Important: Please read the Entry Terms below (“Entry Terms”) before entering “bindass Dream Start KMMC Edition” (the "Program") to be conducted by Genx Entertainment Limited (“Genx”) in conjunction with KM Music Conservatory Private Limited (“KMMC”). The Entry Terms are in addition to the Global Terms of Use and the India Supplemental Terms to the Global Terms of Use, Privacy Policy and the India Addendum to the Privacy Policy (collectively, “TOUs” which are available on www.disney.in). In the event of any conflict between the Entry Terms and the TOUs, the Entry Terms below shall prevail. ENTRY TERMS 1. Eligibility. Entry to the Program is open only to Indian citizens who are at least 18 (eighteen) years of age (as on January 1, 2015) (“Participants”). Participants may participate in the Program only through a single entry during the Registration Period (defined below) in the manner as set out in paragraphs 2, 3 and 4 below. Directors, officers and employees of Genx and KMMC, participating sponsor(s) of the Program or any of their respective affiliate companies, subsidiaries, agents, professional advisors, advertising and promotional agencies, associate vendors and the immediate families of each are not eligible to enter the Program. 2. Registration Mechanism. Participants may register by logging on to the website www.bindass.com (“Website”), accessing the links provided and providing all details as required by Genx and KMMC. Upon completion, each Participant will receive confirmation of their registration on the email address provided by them. 3. Registration Period. The registration shall be open only from April 12, 2015 to May 12, 2015 “Registration Period”). All entries received after the Registration Period shall be disqualified by KMMC. 4. Participation. Participation in the Program will consist of 2 (two) phases and will be conducted in the following manner: A. In Phase I, Participants are required to complete the registration process, including the submission of all responses to the online test designed by KMMC. All responses must be submitted by the Participants during the registration and in the manner prescribed by KMMC (Phase I). A maximum number of Participants, as determined by KMMC (not exceeding 1,000), will be selected based on the responses received (“Shortlisted Participants”). Only Participants who successfully complete Phase I as per the requirements of the Program shall be eligible for subsequent selection to Phase II of the Program. B. Shortlisted Participants will be required to attend an on-ground audition at such venue(s) as may be determined by Genx and KMMC (at their absolute discretion) and intimated to the Participants on the email address / contact number provided by the Participants during registration. As part of the on-ground audition, Shortlisted Participants will be required to perform a piece of music (live) of a maximum duration of 5 (five) minutes before a panel of judges nominated by KMMC. (“Phase II”). C. The performances of the Shortlisted Participants shall be evaluated by KMMC based on criteria determined by KMMC in consultation with Genx. Based on the results of Phase II, a maximum of 20 (twenty) Participants (“Finalists”) shall be selected to attend a 3 (three) week course to be conducted by KMMC. 5. Course Details. The Finalists shall be given an opportunity to attend a course in Hindustani / western classical music and music technology to be conducted for a period of 3 (three) weeks from June 15, 2015 to July 03, 2015 at the KMMC campus in Chennai (“Course”). 1 6. The judges from / appointed by KMMC may determine the quality and validity of all the entries in their sole and absolute discretion. The decision of the judges will be final and binding and no correspondence will be entertained about the Program, the Course and / or the judges’ decision(s). The names of the Finalists may be posted on the Website and / or Genx’s social media platforms. For the avoidance of doubt, it is hereby clarified that the selection of the Finalists for the Program to attend the Course does not offer or guarantee a seat or place in any other course or discipline offered by KMMC. 7. Notification. Finalists shall be notified by post, email and / or by telephone and / or in any other manner as decided by Genx in its sole and absolute discretion and the Finalists will be required to follow the instructions contained in the notification to confirm their attendance of the Course. Genx accepts no responsibility for any variation in the nature, duration or other aspects of the Course and / or the Program conducted at the KMMC campus. 8. Confirmation. In the event that any Finalists do not confirm their attendance of the Course and / or remain unreachable or unavailable for 3 (three) days from the date of notification by Genx, Genx and KMMC have the sole and absolute discretion to select an alternative Participant for the Course. As a pre-condition to attendance of the Course, Finalists shall be required to execute and deliver to Genx and / or KMMC adequate releases and any other documentation in such manner as may be required by Genx and / or KMMC. 9. Travel, Boarding and Lodging. Expenses incurred by Participants in the course of participation including but not limited to travel, boarding and lodging costs, if applicable, shall be solely borne by the Participants. Genx shall not bear any costs, expenses, claims or be responsible in any manner whatsoever in respect of such costs, expenses or claims. Genx shall pay the tuition fees for the Course attended by the Finalists. It is hereby clarified that all other expenses such as travel (including to and from the KMMC campus); lodging, boarding, conveyance, laundry, telephone bills and other sundry and incidental expenses shall be solely borne by the Finalists during the Course. Upon completion of the Course, Finalists shall be given a certificate of completion of the Course, issued by KMMC. No correspondence shall be entertained about facilities provided at KMMC and / or any decision made by Genx in this regard. 10. Stipend. A stipend of Rs.15,000/- (Rupees Fifteen Thousand only) will be provided to the Finalists upon successful completion of the Course towards any lodging and boarding expenses they may have incurred during the Course. 11. General Release. By entering the Program, each Participant agrees to indemnify Genx, KMMC and participating sponsors any of their respective parent companies, subsidiaries, affiliates, directors, officers, employees and agencies (collectively, the “Indemnified Parties”) from any liability whatsoever, and waive any and all causes of action, related to any claims, costs, injuries, losses, or damages of any kind arising out of or in connection with the Program and the Course (including, without limitation, claims, costs, injuries, losses and damages related to personal medical, mental and physical injuries, death, damage to or destruction of property, rights of publicity or privacy, defamation or portrayal in a false light, whether intentional or unintentional), whether under a theory of contract, tort (including negligence), warranty or other theory. Genx shall not be liable to the Participants for any failure of performance hereunder by Genx and KMMC which is due to a so-called act of God, accident, fire, strike or other official labour dispute, union problem, riot or civil commotion, failure of technical facilities not within the reasonable control of or any other act being deemed an event of force majeure. 12. Miscellaneous. These Entry Terms will be governed, construed and interpreted under the laws of India. Participants agree to be bound by these Entry Terms and by the decisions of Genx and of KMMC on any aspect of the Program which are final and binding in all respects. Genx reserves the right to change these Entry Terms at any time, in its sole discretion, and to suspend or cancel the 2 Program or any Participant’s entry in the Program. Participants who violate these Entry Terms, tamper with the operation of the Program or engage in any conduct that is detrimental or unfair to Genx, the Program or any other Participant (in each case as determined by Genx in its sole and absolute discretion) are subject to disqualification from entry into the Course. Genx reserves the right to lock out persons whose eligibility is in question or who have been disqualified or are otherwise ineligible to enter the Program and/or the Course. For additional details on the Program, Participants may log on to www.bindass.com. 13. Governing Law and Dispute Resolution. These Entry Terms and any disputes arising therefrom are subject to the laws of India, and are subject to the exclusive jurisdiction of the courts of Mumbai. 14.
