Definitions: DHAN BIO NATURALS Throughout the documents such as and including Literatures, Terms and conditions of appointment, Business Manuals, Policies &Procedures, Rules and regulations;Company means, Dhan Bio Naturals and ID means Independent Distributor whether an Individual, Firm or any other legal entity entered in to a contract with Dhan Bio Naturals to function as Independent Distributor. ID includes Masculine and Feminine genders whatever form applicable. General Policies: 1. Every person who wish to become an ID shall apply in the prescribed form providing complete information as required and as indicated in the application form. 2. Every Applicant who wish to apply to become an ID should have attained the contractible age of 18 on the date of application. Like wise any entity such as Partnership or any other legal entity eligible to contract should have valid registration of the entity as per law. 3. Every ID (person / Entity) shall provide PAN (Permanent Account Number) allotted by Income-Tax Department to the company while applying for ID. 4. Husband and Wife of a family are considered to be one for the purpose of ID and they shall have only one registration with the Company as ID. 5. If any other member of the family who is legally eligible to contract, wish to take up ID under the same line of any other family member who has already took ID, can do so at three levels down of the preceding ID from the same family. 6. Any party to the entity who is an ID cannot take up another ID personally or in their spouse name and any such violation shall result in termination of both ID. Procedures: 1. Filled in application for ID shall have to reach the registered office of the company with all valid proofs to become eligible for approval by the company as ID (subject to meeting eligibility conditions and correctness of documentary proof. ) 2. Every applicant, on successful completion of registration of the application by the company shall be allotted a code and a welcome letter to be sent by the company and become an authorised ID of the company. 3. All the ID of the company are required to understand, familiarize themselves with the Policies, Procedures, Terms and Conditions and Rules and regulations of the company. Terms and conditions of ID ( Independent Distributor) 1. Every ID who wish to promote the business of the company shall understand, and familiarize himself with product features, product literatures and at all times shall market the products by explaining the features as defined by the company in the product manual. No ID shall overstate, misrepresent any of the product /services of the company at any time. 2. Every ID’s rank and title achivements are for recognizing their business volume and awarding them respective declared financial or other facilities only. They are all the time company’s ID only. There is no other special appointments in the company other than ID. Any such special appointments and benefits would be specifically accorded through letter of intimation. 3. ID should market products of the company strictly at retail prices only. Uniform pricing mechanism as planed by the company must be adhered by the ID and ID should not sell products at subsidized/discounted price under any circumstances. 4. Packaged products of the company are to be sold as such. ID ‘s are forbidden from altering the package, repack or alter any packaging information of the goods and products. 5. Resale and stock of products of the company: A. Every ID may buy any of the products of the company either for his personal use or for resale. 6. Training and meetings: A.Company may organize training program mes (free Or paid) to impart knowledge about the products of the company and every distributor must attend all such program mes and make themselves capable of representing the products of the company properly. B.Company may organize training program mes such as sales training, product training and leadership training and any other training programs as required in order to equip the distributors with necessary tools and techniques. Every Distributor must attend all such training programs to keep them in line with company’s business promotion plan. C.Every distributor shall offer product and business training to their down line distributors as per company’s business manual and offer best services by co-ordinating the efforts of the company. 7. Representation and limitations: A. Every distributor shall represent himself as Independent distributor of the company only. B. Under any circumstances, Distributor shall not represent himself as an employee of the company and should not use logo, trademark and any other identity of the company in whatsoever the form. Distributor is not the employee or agent of the company. Any such representation shall be viewed seriously by the company and disciplinary action to be initiated and may result in termination of the Distributorship. C.Distributor shall have no rights to offer or make representation on behalf of the company for whatsoever reason. The company shall not be responsible in any manner to the distributor and or third party for any disputes, and or claims of whatsoever nature as a consequence of and or negligence of Independent Distributor’s non compliance with the policy , procedures and terms and conditions of agreement. D.Every Distributor shall indemnify the company against any loss incurred by the company or any legal liability arising out of unauthorized claims, representations or statements made by him. E. Company reserves its right to reject any application for Independent Distributorship without assigning any reason. 8. Termination of Distributorship: An Independent Distributorship shall be terminated if; A. The distributor is found misrepresenting the products or business plans of the company B. Cross sponsor a distributor ( if a Distributor apply for and take another Distributorship under a different team for promotion of business of the company) C. Found involved in actions to hinder , injure, obstruct, destabilize the sale of products of the company or in any way involved in jeopardizing the image of the ccompany and or obstructing smooth functioning of the company. 9. Distributorship validity and heir ship: A. Distributorship is onetime and valid for life unless terminated. B.Any change in constitution of entity of Distributorship shall be communicated to the company and due permission sought from the company. C.If a distributor dies, the legal heir of such a distributor can take up distributorship after legally transferring the distributorship as per the terms and conditions of transfer of Distributorship. D.If there is a change in constitution of distributorship the same has to be communicated to the company with pertinent documents and permission to be accorded from the company. E.An independent distributorship of the company is not assignable, it is not transferable under normal circumstances and in case of death of ID , it can be transferred subject to clause 9 c above. 10. Resignation and application for fresh distributorship. B. Product has to be indented either from the company or through its authorized stock points only. A. A distributor can resign/cancel the distributorship by intimation to the company in writing about his intention to do so. C. ID s are prohibited from buying bulk stocks. However they can buy products anticipating their regular requirements for re sale, but they need not to stock for more than their 30 days sales requirements. B. A distributor who was actively doing business under a different team and resigned his distributorship for any reason, is forbidden from taking distributorship under a different sponsor for a period of one year. D. Any legal and regulatory requirements such as statutory registrations, statutory tax payments for dealing with the products of the company are at the sole responsibility of the ID. E. Every product of the company has to be stocked and handled by the distributor as per the storage instructions and or handling instruction given so as to keep the quality of the product intact at all times. 11. Rights and privileges of the company . Company have the right to amend its policies, procedures and business practices time to time to sustain the growth and maintain well being of the company and may alter /withdraw or altogether introduce new products services and business plans by altering it partially or changing it altogether.
