SPRING 2015 I CAN DO THAT Activity Challenge Contest Associates of Kroger - Official Rules NO PURCHASE OR PAYMENT IS NECESSARY TO ENTER OR WIN 1. TIMING. The Kroger Co Family of Stores Associate Spring 2015 I Can Do That Walking Challenge Promotion (the “Promotion”) is being sponsored exclusively for associates of The Kroger Co family of stores (collectively “Kroger”). Pre-registration for the Promotion will take place from 9:00am Eastern Standard Time (“EST”) on December 29, 2014 through 8:59 am EST on January 18, 2015 (“Pre-Registration Period”). The activities for the Challenge shall start at 9:00am EST on January 19, 2015 and ends at 8:00 pm EST on March 27, 2015 ("Promotion Period"). 2. SPONSORS. Kroger Co. Family of Stores, 1014 Vine Street, Cincinnati, OH 45202. 3. ADMINISTRATOR. General Mills Inc., Number One General Mills Blvd., Minneapolis, MN 55426 4. ELIGIBILITY. Challenge is open to active associates of the Kroger Co. Family of Stores who are legal residents of the 50 United States and District of Columbia who are the age of majority in their state of residence (18, except in AL and NE: 19, and MS: 21). Employees of General Mills Sales, Inc., Administrator, and their respective parents, subsidiaries, affiliates, promotion and advertising agencies, and members of their immediate family (defined as spouse and parent, children and siblings and their respective spouses, regardless of where they reside) and persons living in the same household, whether or not related, of such employees, are not eligible to enter or win. Void outside the eligible states and where prohibited by law. The Challenge is subject to all applicable federal, state and local laws. 5. HOW TO PARTICIPATE. During Pre-Registration Period you can register online at www.ICanDoThatWalkingChallenge.com (the “Site”) or via the Kroger toolbox link www.GreatPeople.me (the “ToolBox”) and follow the directions provided to complete the registration. The Site and ToolBox will allow you to chart your progress as you proceed through the Challenge until 8:00 pm EST on March 27, 2015 when the Challenge ends. The Site and ToolBox will stay active until 8:00 pm EST on April 3, 2015 (“grace period”) when all logging and entries must be submitted (“Entry”) to be considered for a prize and the Site and the Promotion portion of Toolbox will be taken down. Any activities that you engage in after 8:00 pm EST on March 27, 2015 will not be eligible for inclusion as part of your Entry. 6. HOW TO ENTER. During the Challenge Period, create an original essay of 300 words or less [in English] that tells how a healthy change improved your life in some manner (the “Essay”). . Survey may take up to approx. 10 minutes to complete and must be completed personally in full, in good faith, to be eligible for entry. Essay should include one or more of the following topics: a.) Why a trip to the University of Colorado Wellness Resort will help you reach your personal health goals and who you would take as your guest and why. b.) How this specific “minutes of activity” challenge motivated you to start or continue to make better lifestyle choices and how will you continue to serve as a champion of wellness for future challenges. c.) Who, why, or what motivates you to continue a healthy lifestyle. What is your reason/driving force to stay on a healthy path that may help inspire others? d.) What Kroger resources (pharmacy coaching, dietitians, Weight Watchers, Anthem Coaching, Simple Truth products, etc.) did you use to achieve your goals? Post your Essay on ICanDoThatWalkingChallenge.com (the “Contest Site”) and follow the directions provided to complete the entry form and to submit your Essay (collectively, with entry form, “Entry”). All Entries must be received by 8:00pmEST on April 3, 2015 (“grace period”) to be considered. Entries FINAL RealHealth Story Spring 2015 Challenge 1 generated by script, macro or other automated means will be grounds for Sponsor to disqualify the Entrant and render all his/her Entries void. Entries submitted in person, email, or mail will not be accepted. Limit one (1) Entry per person, per email address. Entries received from any person or email address in excess of the limitation will be void. All Entries become the sole property of the Sponsor division and will not be returned. 7. ENTRY/SUBMISSION REQUIREMENTS. All Entries must be in English language and no more than 300 words. Entry must also meet the following requirements to be eligible: a. The Entry may not contain any content that is lewd, obscene, sexually explicit, pornographic, disparaging, defamatory, libelous, obscene, or that otherwise contains inappropriate content or objectionable material as determined by Sponsors in its sole and unfettered discretion. b. The Entry must be your original work, created solely by you, and must not infringe the copyright, trademark, privacy, publicity, or other intellectual rights of any person or entity. c. If any persons appear in the Entry, you are responsible for obtaining, prior to sending the Entry, any and all releases and consents necessary to permit the exhibition and use of the Entry by Sponsors as set forth in these Official Rules. If any person appearing in any Entry is under the age of majority in their state, country or province of residence, the signature of a parent or legal guardian is required on each release. d. The Entry must not contain any personally identifiable information of any person other than you. Should you include personally identifiable information about yourself in your Entry, you acknowledge and agree that such information will be disclosed publicly and you are solely responsible for any consequences thereof. e. You may not be, nor may you work with parties in conjunction with your Submission, who: 1) are represented under contract (e.g., WGA, talent agent or manager) that would limit or impair Sponsors’ ability to display the Submission in any media form; 2) are under any other contractual relationship, including but not limited to guild and/or union memberships, that may prohibit you from participating fully in this Contest, or from allowing Sponsors to use royalty-free, the Submissions worldwide in all media in perpetuity. f. The Entry must not contain any commercial content or logos. g. The Entry may not have been previously published and may not have won previous awards. h. The Entry may not contain any material or elements that are not owned by you and/or which are subject to the rights of third parties. By submitting your Entry, you agree that your Entry conforms to these Official Rules and that Sponsors, in its sole discretion, may disqualify your Entry for any reason at any time, including if it determines, in its sole discretion, that your Entry fails to conform to these Official Rules in any way or otherwise contains unacceptable content as determined by Sponsors, in its sole discretion. In addition, by submitting an Entry, you hereby grant permission for the Entry to be posted on ICanDoThatWalkChallenge.com or other websites. You agree that Released Parties (as defined below) are not responsible for any unauthorized use of Entries by third parties. Released Parties do not guarantee the posting of any Entry. You agree that you will not use the Entry for any other purpose, including, without limitation, posting the Entry to any online social networks, without the express consent of Sponsors in each instance. If division prizes are offered, all eligible Entries received by Sponsors will be judged by a panel of qualified judges by the division on a weighted scale of 1 to 10 (10 being the highest) based on the following criteria: (i) Why a trip to the University of Colorado Wellness Resort will help you reach your personal health goals and who you would take as your guest and why. (25%), (ii) How this specific “minutes of activity” challenge motivated you to start or continue to make better lifestyle choices and how will you continue to serve as a champion of wellness for future challenges. (25%), (iii) Who, why, or what motivates you to continue a healthy lifestyle. What is your reason/driving force to stay on a healthy path that may help inspire others? (25%) and (iv) How Kroger health resources helped you improve your health (25%). The Entry with the highest score will be deemed the potential winner for that division. In the event of a tie, the Entry among the tied entrants with the highest score in the “How Kroger health resources helped you improve your health” category above will be declared the winner. Prize awards are subject to verification of eligibility and compliance with these Official Rules. Each division will provide division prizes and contest rules on www.greatpeople.me. 9. WINNER NOTIFICATION. If division prizes are offered, Judges’ and Sponsors’ decisions are final and binding on all matters relating to this Contest. Potential winners will be notified by telephone, mail and/or email and may be required to complete an Affidavit of Eligibility, Liability and Publicity Release (unless prohibited by law) and any other documents required by Sponsors, which must be returned within five (5) days of date appearing on prize notification. Return of prize or prize notification as undeliverable, failure to sign and return requested documentation within the specified time period, the inability of Sponsors to contact a potential winner within a reasonable time period or noncompliance with these Official Rules by any potential winner will result in disqualification and, at Sponsors’ sole discretion, the prize may be awarded to a runner-up. If any potential winner is an eligible minor in his/her jurisdiction of residence, Sponsors reserves the right to award the prize in the name of his/her parent or legal guardian who will be responsible for fulfilling all requirements imposed on winners set forth herein. 10. GRAND PRIZE: a 2 night/3 day trip for winner and one (1) adult guest (must be 18 or older) to the University of Colorado, Denver Anschutz Health & Wellness Center (anticipated June 25-28, 2015). Trip consists of: round-trip, coach air transportation for winner and one (1) adult guest from a major U.S. commercial airport near winner’s residence to a commercial airport near Denver, CO; two (2) nights lodging (Deluxe accommodations, double occupancy, room and tax only); ground transportation to/from hotel in Denver; Welcome Reception; breakfast; lunch; dinner; choice of one resort activity for winner and their guest (i.e. spa treatment). Approximate Retail Value (ARV): $5,000. ARV of Grand Prize may vary, depending on the point of departure. Any difference in stated ARV and actual value will not be awarded as cash, or otherwise. Total ARV of all Grand Prizes: $50,000. Grand Prize trip must be taken on dates and times specified by Sponsor which are subject to availability as determined by Sponsor, anticipated to be June 25-28, 2015. If the Grand Prize winners and guests cannot travel together on the same itinerary and on the dates specified by Sponsor, the prize will be forfeited in its entirety. All travel arrangements must be made through a travel agent or entity selected by Sponsor. The Grand Prize winners will be responsible for all meals, ground transportation (if not expressly included herein), excursions, gratuities, beverages, telephone calls and any other incidental costs and expenses not specifically identified as being included herein. Specific air carrier(s) and other trip specifics detailed above are at the sole discretion of Sponsor (or its designee(s)). All travel is subject to availability. Blackout dates and other restrictions may apply. Travel must originate and end at the same major U.S. gateway airport. Grand Prize winners and guests will be required to provide valid US or state government issued photo ID as required by travel authorities at time of travel, and to obtain and maintain all insurance (including health, liability and any other insurance). Winners acknowledge and agree that neither the Sponsor nor Challenge entities are FINAL RealHealth Story Spring 2015 Challenge 3 providers/carriers of transportation, or insurance providers. No changes will be made to travel details once any element(s) of the travel arrangements have been booked. Prize conditions may be added or modified by Sponsor. Challenge entities are not responsible for any changes of any element of any Grand Prize trip including but not limited to any expenses incurred as a consequence of missed flights, flight charges, cancellation or delays. Sponsor will not replace any lost or stolen tickets, travel vouchers or certificates. Travel is subject to capacity controls, availability, and certain other restrictions, which may include a Saturday night stay, all of which are subject to change. Any unclaimed and/or unused element of any Grand Prize Trip will remain the property of Sponsor. The Prize restrictions/conditions stated herein are not all-inclusive and the Trip may be subject to additional restrictions/conditions, which may be stated in the Affidavit and/or other documents. Limit one (1) Grand Prize per Participant. a. 10 – 2nd place runner ups will win $300 toward for bike or fitness equipment purchase ($300 value). Approximate Retail Value (“ARV”): US$300 Total approximate retail value (“ARV”) of all 2nd place prizes: $3000. b. 100 – 3rd place runner ups will win a $100 Wellness 365 by Spafinder Gift Card – local fitness/wellness provider network. Total approximate retail value (“ARV”) of all 3rd place prizes: $10,000. 11. Weekly Prizes: Participants may participate in the Challenge and may be eligible for a Weekly Prize by completing Registration and entering total minutes of activity (meaning heart rate was increased to break a sweat) for the week. Participants who abuse any aspect of the Contest or website, or act in an unsportsmanlike manner or report inflated or unrealistic activity levels or who are in violation of these Official Rules, as solely determined by Sponsors, will be disqualified and all associated Entries will be void. Although encouraged, Participants are not required to submit an Essay in connection with eligibility to compete for a Weekly Prize. Entering minutes of activity for the week will automatically enter you into the applicable Weekly Prize drawing. Limit one (1) weekly entry per Participant per week. Weekly Prizes a.) Each week 100 individual associates will be selected in a random drawing of all minutes of activity entered for the week to win a 1 hour massage gift card from Massage Envy (value of massage depends on massage location but is estimated to be $80). Total approximate retail value (“ARV”) of all Weekly Individual Prizes: $80,000. b.) Each week 20 teams or up to 100 individual associates who are part of a team of 5 will win a $25 Kroger gift card by random drawing of all minutes of activity entered for the week. In total 1000 winners for a total ARV of all Weekly Team Prizes: $25,000. c.) Mini Challenge prizes of one iPad mini™ 16 GB per week or a total of 9 iPad minis will be awarded from random mini challenge submissions from the link on the challenge website. Approximate Retail Value (“ARV”): US$399 Total approximate retail value (“ARV”) of all mini challenge prizes: $3591. A random drawing from among all eligible entries received during a Weekly Entry Period will be conducted by Sponsor on or within five (5) working days of the end of the applicable Weekly Entry Period to select potential Weekly Prize winners per Week. FINAL RealHealth Story Spring 2015 Challenge 4 Limit one (1) Weekly prize per Participant during the entire Challenge. Odds of winning a Weekly Prize depend on the number of eligible entries received for the applicable Weekly Entry Period. Total ARV of all Prizes: $105,000. PRIZE LIMITATIONS/RESTRICTIONS. Any difference between stated value and actual value will not be awarded. 12. GENERAL CONDITIONS. By participating, each entrant agrees: (a) to abide by these Official Rules and decisions of Sponsors and judges, which shall be final and binding in all respects relating to this Contest; (b) to release, discharge and hold harmless Sponsors, and their respective parents, affiliates, subsidiaries, and advertising and promotion agencies, and the respective officers, directors, shareholders, employees, agents and representatives of the forgoing (collectively, “Released Parties”) from any and all injuries, liability, losses and damages of any kind to persons, including death, or property resulting, in whole or in part, directly or indirectly, from entrant’s participation in the Contest or any Contest-related activity or the acceptance, possession, use or misuse of any awarded prize including any travel/activity related thereto; and (c) to the use of his/her name, voice, performance, photograph/video, image and/or likeness for programming, advertising, publicity and promotional purposes in any and all media, now or hereafter known, worldwide and on the Internet, and in perpetuity by Sponsors and its designees, without compensation (unless prohibited by law) or additional consents from entrant or any third party and without prior notice, approval or inspection, and to execute specific consent to such use if asked to do so. Entrant agrees not to release any publicity or other materials on their own or through someone else regarding their participation in the Contest without the prior consent of the Sponsors, which it may withhold in its sole discretion. 13. OWNERSHIP/USE OF ALL ENTRIES. By submitting an Entry, each entrant hereby grants to Sponsors, and to its licensees, successors and assigns, and any person or entity acting on its behalf, the irrevocable right and license to use, publish, exploit, modify, edit, transmit and distribute the Entry, including, without limitation, the names and likenesses of any persons or locations embodied therein, in any and all media now known or hereafter devised, worldwide, in perpetuity for purposes without compensation, permission or notification to entrant or any third party. 14. OWNERSHIP OF THE WINNING ENTRY. By accepting a prize, the winner agrees that his/her Entry will be deemed a Work Made For Hire under the Copyright laws of the United States, but if it cannot be so deemed, then the winner irrevocably assigns and transfers to Sponsors all of his/her right, title and interest in and to his/her Entry, including all but not limited to all copyright and trademark rights which he or she may have, in the United States and worldwide, therein, for consideration, the receipt and sufficiency of which is hereby acknowledged. Winner hereby waives in favor of Sponsors, all rights of “Droit Moral” or “Moral Rights of Authors” or any similar rights or principles of law that winner may now or later have to their Entry. Sponsors reserve the right to alter, change or modify the winning Entry, in its sole discretion. Upon request of Sponsors, winner shall execute and deliver such additional instruments of assignment, as may be solely deemed by Sponsors, reasonably necessary to establish the ownership of record of the right, title and interest in and to the Entry and of the copyrights transferred and “Moral Rights of Authors” waived under these Official Rules. Should Sponsors fail to request the said assignment as stated, that shall not be deemed a waiver of Sponsors’ rights and Sponsors may at a later time request the assignment. 15. GOVERNING LAW/JURISDICTION. The Contest and these Official Rules are governed by and shall be construed in accordance with the substantive laws of the State of Minnesota (as distinguished from the choice of law rules) and the United States of America applicable to contracts made and performed entirely in Minnesota and where the relevant contacts are with such state. Except where prohibited, as a condition of participating in this Contest, each Participant agrees that any and all disputes, claims and causes of action arising out of or connected with this Contest, the Prizes awarded, or the determination of the Official Winner shall be resolved individually, without resort to any form of FINAL RealHealth Story Spring 2015 Challenge 5 class action. Participant further agrees that in any cause of action, the Released Parties entire liability will be limited to the cost of entering and participating in the Contest, and in no event shall the Released Parties be liable for attorneys' fees and/or experts' fees and costs. Participant waives the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, or indirect damages and Participant further waives all rights to have damages multiplied or increased. 16. USE OF INFORMATION. By entering the Contest, Participant agrees that Participant’s Entry and any other personally identifiable information collected or used in connection with the Contest may be used by Sponsors in accordance with its Privacy Policy. 17. MISCELLANEOUS. Released Parties are not responsible for lost, late, incomplete, damaged, inaccurate, stolen, delayed, misdirected, undelivered, or garbled Entries; or for lost, interrupted or unavailable network, server, Internet Service Provider (ISP), website, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Contest, including, without limitation, errors or difficulties which may occur in connection with the administration of the Contest, the processing or judging of Entries, the announcement of the prize, the incorrect uploading of the Essay in any Contest-related materials. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Contest. Released Parties are not responsible for injury or damage to any person's computer related to or resulting from participating in this Contest or downloading materials from or use of the website. Persons who tamper with or abuse any aspect of the Contest or website, who act in an unsportsmanlike or disruptive manner or who are in violation of these Official Rules, as solely determined by Sponsors, will be disqualified and all associated Entries will be void. Should any portion of the Contest be, in Sponsors’ sole opinion, compromised by virus, worms, bugs, non-authorized human intervention or other causes which, in the sole opinion of the Sponsors, corrupt or impair the administration, security, fairness or proper play, or submission of Entries, Sponsors reserves the right at its sole discretion to suspend, modify or terminate the Contest and, if terminated, at its discretion, select the potential winner from all eligible, non-suspect Entries received prior to action taken using the judging procedure outlined above. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE THE WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSORS RESERVES THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES (INCLUDING ATTORNEYS’ FEES) FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION. 18. REQUEST FOR WINNERS’ LIST. A list of winners will be available after 5/25/15.
