The Programme offers expert guidance advice and grants for the preparation and implementation of a Valorization Plan for proprietary or patentable assets resulting for research and the creation of a Commercialization Plan. The economic support includes 6.000 for the participant (for living expenses) and up to 50.000 for the implementation of approved Valorization Plans. Besides this, the Programme includes the support of mentors; contact with businesses, entrepreneurs and investors; and specialist assessment and training in different areas. 1.2. Grants for participation: explanation and agreements for the participant This grant is for supporting the participant’s dedication and is subject to the signing of the Participation Agreement (a document signed between the Receiver, the Participant and the Organiser). The amount is 6.000 for living expenses and it will be made in two instalments: - 50% on signing the Participation Agreement. - 50% half way through the Programme, conditional upon attendance to a minimum of 80% of activities and the presentation of deliverables (Progress Report and Valorization Plan). 1.3. Grants for the Valorization Plan: explanation and agreements for the Receiver This grant goes to the Receiver for the implementation of the approved Valorization Plan and is subject to the approval of the Valorization Plan, to the signing of the Valorization Agreement (a document signing between the Receiver, the Participant and the Organizer) and the existence of a patent or utility model request. The amount is up to 50.000 and the Presentation of a final report will be required. Payments are made in various instalments (the payment plan will be defined in the Valorization Agreement). 1.4. Does the receipt of the grants imply the cession or transfer of rights over the product? Industrial or intellectual rights of property belong to the beneficiaries. Regardless, receipt of grant for valorization implies economic rights over the future creation of a company or over agreements os future licenses that will be reinvested in future editions and beneficiaries of the programme, and which will be included in the Valorization Agreement: In the case of the future creation of a company: - 1% of shares/holdings for the “la Caixa” Banking Foundation or for a Criteria Group company expert in the monitoring and control of financial investments and fund management. impulse FAQ 4 - Royalties: 0.5% of net annual sales, until the total amount contributed by “la Caixa” Banking Foundation according to the corresponding Valorization Agreement is met (a maximum of 50 000 Euros). In the case of agreements of future licences: - Royalties: 1% upfront fee + 0.5% of net annual sales, until the total amount contributed by “la Caixa” Banking Foundation according to the corresponding Valorization Agreement is met (a maximum of 50 000 Euros). 1.5. Can participate in the program if we do not have a patent or utility model application filed when applying to the Programme? Yes. In this case the patent or utility model application will have to be filed, before signing the Valorization Agreement and receiving the Grant for the Valorization Plan. The costs for the patent or utility model application can be included in the Valorization Plan costs. 1.6. Can we receive the Grant for the Valorization Plan if we do not have a patent or utility model application filed when applying to the Programme? No. The payment of this grant is conditioned by the approval of the Valorization Plan, signing of the Valorization Agreement, and the existence of a patent or utility model application. For projects that still have not filed the patent or utility model application at the time of presentation of the application, the costs for the patent or utility model application can be included in the Valorization Plan and made during the Programme. 1.7. What happens if the Valorization Agreement is not signed? In this case the Participant can remain on the Programme, but will lose rights to the grant for Valorization. 1.8. What commitment does the Programme require from the Participant? Exclusive or almost exclusive dedication to the Valorization and Commercialization Plans and the programme is required, as well a minimun 80% assitance to the programme activities. Participants may not be involved in more than one application. 1.9. Can different people attend Programme activities? The Participant of the Project has to be who attends the Programme activities. However, a lot of activities, events and sessions of the Programme will be also open to members of the team or the Receiver (research and transfer centres, technology centres, universities and university foundations, hospitals and hospital foundations,...) . impulse FAQ 5 1.10. What deliverables the Participant shall prepare and present during the Programme? The main deliverables are: 1. Progress Report A. Development status of Valorization Plan. 7th week (25% of Programme completed). 2. Valorization Plan. 12th week (50% of Programme completed). 3. Progress Report B. Development status of Marketing/business Plan. 19th week (60% of Programme completed). 4. Commercialization Plan. 24th week (100% of Programme completed). 5. Progress Report C. Execution status of Valorization Plan. Only for the projects with Valorization Agreement signed. 6. Final report. At the end of the execution of Valorization Plan. Only for the projects with Valorization 1.11. Agreement signed. What happens if the Participant doesn’t attend the activities or if he/she doesn’t present the deliverables on time? Grants for participation are conditioned upon attendance to a minimum of 80% of activities and the presentation of deliverables (Progress Report and Valorization Plan). In case of not attending activities to the level required or not presenting the deliverables on time, the Receiver can lose the right to the grant for future payments. Furthermore, the organiser may request the repayment of the amounts already provided. 1.12. Does a final report need to be submitted? Only the projects with Valorization Agreement signed will have to present a final report. That report has to include: • The results of the Valorization Plan • Economic Justification, with an expense account and invoices. If the expenses justified in final report are lower than the grant provided, the difference will be reimbursed to the organiser. impulse FAQ 6 2 Eligibility criteria 2.1. Who can present a Project? Non-profit legal entities whose main activities are research in areas of Life, Medical and Health Sciences, owner of protected or protectable assets resulting from the research and subject of a Valorization Plan. Specifically, universities and university foundations, research and transfer centres, technology centres, hospitals and hospital foundations and non-profit organistions whose main activity is research, registered in Spain. 2.2. What kinds of projects are accepted? Within the area of Life, Medical and Health Sciences, projects from the following fields will be considered: • Life Sciences: Biomathematics, Cell biology, Human biology, Biochemistry and Molecular biology, Human physiology, Genetics, Immunology, Microbiology and Neurosciences. • Medical and Health Sciences: Clinical sciences, Epidemiology, Forensic medicine, Occupational medicine, Internal medicine, Nutritional sciences, Pathology, Pharmacodynamics, Pharmacology, Preventive medicine, Psychiatry, Public health, Surgery and Toxicology. 2.3. Can Established Companies present a Project? No, established companies are explicitly excluded of this Programme. 2.4. What is the difference between Receiver and Participant? Receiver is any non-profit legal entity based in Spain which principal activity is research and is the owner of the protected or protectable asset. Specifically, universities and university foundations, research and transfer centres, technology centres, hospitals and hospital foundations and non-profit organizations, etc. The Receiver will be awarded with a grant for the project and will manage it according to the conditions established in the rules. Participant is a physical person who leads the Valorization Project, transfer or foundation of a new company, and who may or may not be the researcher or leader of the research project to date. The Participant must be connected to the Receiver either by statute or employment. The Participant must be exclusively or almost exclusively dedicated to the Valorization and transfer project. 2.5. Can one Receiver present different projects? Yes, one centre could develop different projects. Each application has to be associated to one protected or protectable asset resulting from the research and subject of the Valorization Plan. 2.6. Can one Participant leader different projects? No, because it is required exclusive or almost exclusive dedication to the Project. impulse FAQ 7 3 Presentation of the Project 3.1. When and how present the Project? The period for presentation of the applications is from 12 May to 12 June 2015 at 12 a.m. The organisers reserve the right to change the closing date. Applications must be presented by completing an online application form available on www.CaixaImpulse.com and providing the required documentation. 3.2. What language should present the project and documentation? Both, online applications and documentation must be submitted in English. 3.3. Our Project has two or more leaders/ researchers, how can I put that situation on the application? You have to choose only one leader for represent the research team. 3.4. What Documents are mandatory and which aren’t? Mandatory: • Patent or utility model application (mandatory if has been) • Project leader’s CV (maximum 1 page) • Certification of data validation (available on the application) • Certificate from the Spanish Tax Agency vouching that the applicant centre has fulfilled its obligations with regard to taxation, valid at the moment of presentation of the project. • Social Security certificate, in force on the date of presentation of the project. Attach pdf or jpg. Certificate from the Spanish Social Security vouching that the applicant centre has fulfilled its obligations with regard to employment, valid at the moment of presentation of the project. 3.5. Optional documentation: • The most significant related documents and studies (maximum 1 page) • Letters of support or recommendation • 5 most important scientific publications (recommendable) • Prototypes (maximum 1 page) • Valorization Plan (if available) • Project team members’ CVs (mandatory if they exist) (maximum 1 page) Why do I have to include a Valorization Plan in my application if the first part of the Programme is focused in define one? It is necessary for the selection process, because this is a way to show us • The focus of the valorization actions you intend to develop, • The relevance of this actions for the valorization of the asset, • The objectives • What has been done and what has to be done for for the valorization of the asset. Results obtained impulse FAQ 8 • How useful/critical is the participation in the Programme for the valorization and transfer of the asset We will not necessary select the best Valorizations Plans for the Programme, but having a good focus will give you points. impulse FAQ 9 4 Selection Process and Access to the Programme 4.1. Who makes up the Panel of Experts? Panel of Experts is integrated by specialist in the area of science, business and investment. 4.2. Can I do the interview by phone, Skype, etc. if I can’t do it in person? No, it is necessary to do the interviews in person to be part of in the selection process. 4.3. Who has to sign the Participation Agreement? This document has to be signed between the Receiver, the Participant and the Organiser. impulse FAQ 10 5 Web Application and documentation 5.1. General Information 5.1.1. All browsers are supported? Yes, but we recommend using: Internet Explorer v8 5.1.2. What should be the documents format submitted? We accept any format but the weight must be minor than 20MB. 5.1.3. How can I recover my username or password? On the Web homepage you can use the Forgotten your password? You only need to introduce the Mozilla Firefox NIF/NIE of the person managing passwords and the email address that you put when you request authorisation. We will send you an email telling you your username and the new password. impulse FAQ 11 5.1.4. What happens if my Entity is already registered? If your entity is registered in our web Application, you have to use your username and password to complete your application. If you don’t remember your credentials you can request for a new password and we will send you an email with your username and password. If you don’t know your user name or who registered before by e-mail, press Request authorisation button, fill on your entity details, and press the option: Authorise (to obtain username and password). If there are many delegations, subsections, departments or centers in your entity, please select New delegation. 5.1.5. Can we have more than a person managing passwords in my Entity? Each Entity can have only one authorization and one Entity Supervisor who has his/her own username and password. When you request authorization, you have to complete and upload the Accreditation Document whit his/her personal data. In spite of this, when the Entity has the authorization, it is possible to create more Project users. To do it, you have to go to Users section and press New User button: impulse FAQ 12 Then, you have to complete all the data requested: 5.1.6. Can I modify the email address that I used when I requested authorisation? Yes, use your username and password to access to web application and go to Entities/ person tab; and press Edit button; then you can modify the email address. 5.2.Authorisation 5.2.1. What that means the Document is incorrect? The error The Document is incorrect means that the entity CIF or the NIF of the designated Project manager are invalid. 5.2.2. Correct formats for that numbers are: • CIF: Letter + 8 digits (without blanks or hyphens). For example: G12345678 • NIF: 8 digits + letter (without blanks or hyphens). For example: 12345678Z • NIE: Letter + 7 digits + letter (without blanks or hyphens). For example: X1234567A I can’t download the Accreditation document. Can I attach other document? No, if you have any difficulty to download the document maybe is because the security level of the browser that you are using. If you have another browser on your computer, please, try to download it from there. impulse FAQ 13 In case that you follow unable to download it; please contact to us by calling to 902 22 30 40 or send us an email. 5.2.3. What do I have to put in Username field? When you request authorization we ask you to choose a username. You need that username and password to enter to the web Application. The following error means that the username that you are introducing is been using for another entity. You only need to choose a different one. 5.2.4. Why is my authorization rejected? All the documentation requested for the authorization are reviewed for its validation. If we detect any incorrect document, the entity will receive an email explaining the error. Further, inside the Web Application on Entities/ person, Documentation putting the pointer above the rejected document you can see the explanation. impulse FAQ 14 5.3. Project Presentation 5.3.1. I already have my username and password. How can I start the project presentation? Enter with your username and password, and in start page we show you the open calls that we have. Press Request button to start to complete the Project. The first thing that you have to do is write de Project Title and read and agree the conditions that we mention. impulse FAQ 15 5.3.2. Accreditation page This page shows how the Accreditation process is developing. In the example above, the message explains that the documentation is being reviewed, although it is shown with the green icon. It is possible that, once that documentation is reviewed, we back to display the tap as incomplete. That will mean that there is some document that has not been validated and you need to review and upload it again. 5.3.3. Details of the entity page impulse FAQ 16 That tap is composed by 3 categories: • General Information: information related to your entity that you have to enter. All fields shown with an asterisk must be complete. Remember that you have to press Edit button, to the right of the screen to fill out the fields. After all you need to Save Changes on the button below. • Presentation of the entity: information related to your entity that you have to enter. All fields shown with an asterisk must be complete. Remember that you have to press Edit button, to the right of the screen to fill out the fields. After all you need to Save Changes on the button below. • Members of the board or the board of directors: here you have to enter Complete Name, NIF or NIE, position, telephone and email address of every member of the board or the board of directors in your entity. You have to press New member button to introduce each member. That tap is composed by 3 categories: 5.3.4. Details of the application and project documentation page That tap is composed by 3 categories: • General data: you have to complete different data related to the Project like Start and End date, classification of the Application, classification of the applicant institution, etc. The Amount part is autocomplete when the Budget section is filled. All fields shown with an asterisk must be complete. Remember that you have to press Edit button, to the right of the screen to fill out the fields. After all you need to Save Changes on the button below. impulse FAQ 17 • Project leader and team: you have to complete different data related to the team and the project leader. All fields shown with an asterisk must be complete. Remember that you have to press Edit button, to the right of the screen to fill out the fields. After all you need to Save Changes on the button below. • Aims and activities: you have to complete different data related to the objectives and actions of your Project. All fields shown with an asterisk must be complete. Remember that you have to press Edit button, to the right of the screen to fill out the fields. After all you need to Save Changes on the button below. • Results and indicators: you have to complete different data related to the expected results and the beneficiaries of your Project. All fields shown with an asterisk must be complete. Remember that you have to press Edit button, to the right of the screen to fill out the fields. After all you need to Save Changes on the button below. • Partnership: you have to explain and identify the different agents involved on your project. All fields shown with an asterisk must be complete. Remember that you have to press Edit button, to the right of the screen to fill out the fields. After all you need to Save Changes on the button below. • Budget: to fill the Budget table, you have to press the icon to the right of the concept that you want to complete. impulse FAQ 18 You must fill the fields will be enabled at the bottom of the screen. After all you need to Save Changes on the button below; and you can repeat this action in every concept that you want. Besides, you can delete the data of one concept pressing the bin icon. That action will delete the data inside the field but not the concept in the table. All fields shown with an asterisk must be complete. impulse FAQ 19 After the Budget Table you can give more information about the concepts but it is not mandatory. • Documentation: you have to upload all the Project documentation on this page. All documents shown with an asterisk must be complete. • Contacts: here you have to enter Complete Name, telephone and email address of the Project Leader and the Applicant Centres Legal representative. They can be the same person or not, you have to indicate that clicking the correct situation of the person. You have to press New contact button to introduce each one. impulse FAQ 20 5.3.5. I have all pages completed and all documentation upload but I can’t process the application. What can I do? You have to review every section; everyone has to have the Green icon; that means that the section is correctly completed. If some part is incomplete, you have to press What’s missing? And it will show you the incomplete fields. Once you have all sections completed, Process button will be enabled and you can send your Project. 5.4.Documentation 5.4.1. I can’t upload more than a document in each field of Documentation. If the file you want to upload has more than a sheet, you have to create a single file. If you upload it sheet by sheet, it only appears to us the last one. You can compress the file in a .zip, .rar, .pdf document. We accept any format but the weight must be minor than 20MB. 5.4.2. How can I delete an incorrect document that I upload? If that document is mandatory, you can change it for another, but you can’t delete it: impulse FAQ 21 But, if the document is optional, you can change it or delete it: impulse FAQ 22
