With foundation of Holding “KazAgro” in 2006 stable functioning and dynamically developing system of support of AIC (Agro-industrial complex) subjects is created in Kazakhstan agriculture. “KazAgro” in 2012 – is branching network consisting of 69 regional branches and representative offices in all region of the republic, 160 village information consultation offices, about 1,7 thousand workers. Effectiveness of government assets management is confirmed with reception of stable credit ratings of companies, affiliated with holding. In accordance with assignments of President, activity of “KazAgro” is focused on stimulation of increase of labor productivity in AIC through industrialization and diversification, participation in ensuring food security of the country by means of development and regulation of the domestic food market, assistance to development and realization of an export potential AIC, improvement of quality of corporate management and transparency of activity of holding. For realization of objectives on AIC development in 2012 holding allocated 171,5 billion tenge. Thus only 19% of this volume made budgetary funds, the main source of financing are own means of holding and attracted loans. "KazAgro" is the largest creditor of agrarian sector – 46% of the credits in branch are given out by holding. In total group of companies of National holding KazAgro financed 270 projects with amount 202,1 billion tenge, from which in 2012 67 projects are put into operation with total cost of 32,3 billion tenge. 2,3 thousand permanent workplaces are formed with construction and start of new agricultural enterprises in country agrosector. -4- -5- Today "KazAgro" carries out support of AIC subjects on a wide range of the directions – from regulation of the domestic food market and financing of sowing and harvest works before crediting of investment projects and support of small and medium business in the village. 2012 was difficult both for our agricultural producers, and for "KazAgro". The weather conditions connected with a long drought became a difficult factor for agrosector of the republic. In these conditions of KazAgro took additional and timely measures for support of AIC, among which - prolongations of obligations of agricultural producers on the credits, financing of spring field works under agricultural production co-operative guarantees, leasing of grain-harvesting equipment on favorable terms within the program “Urojai-2012”, restructuring of debts of farms and agroformations. New tasks which we set for ourselves, as a whole are directed on expansion of availability of financial resources for agricultural producers of the republic. The holding intends to optimize as much as possible credit process, to improve qualities of service, by introduction of system of service of villagers by the one stop principle and to work on a problem of availability of the credit. Besides, already now together with public organizations and the interested departments the question of ensuring broader access of agrobusiness to trade and logistic system has been resolving. Chairman of JSC National Management Holding KazAgro Joint-stock company "National Management Holding KazAgro (further – Holding) is incorporated with 100 percent participation of country in authorized capital according to the decree of the President of the Republic of Kazakhstan dd. December 11, 2006 No. 220 and the resolution of the Government of the Republic of Kazakhstan dd. December 23, 2006 No. 1247 for stimulation of effective development of agro-industrial sector and increase of its competitiveness in the domestic and foreign markets. Functions of the Sole shareholder of Holding are carried out by the Ministry of Agriculture of the Republic of Kazakhstan. According to the list approved by the Government of the Republic of Kazakhstan, the following joint-stock companies (further - Companies) are included in the group of companies of Holding: - JSC «National Company «Food Contract Corporation» - 100 % shares; - JSC «Agrarian credit corporation» - 100 % shares; - JSC «KazAgroFinance» - 100 % shares; - JSC «Fund of financial support of agriculture» - 100 % shares; - JSC «KazAgroProduct» - 100 % shares; - JSC «KazAgroGarant» - 99,09 % shares; - JSC «Kazagromarketing» - 100 % shares. The group of companies of Holding is presented in all regions of the republic by 21 regional representations, 47 branches, besides it has 3 foreign representations (2 in the Russian Federation and 1 in the People's Republic of China). October 31, 2011 No. 1236, and approved by the resolution of the Government of the Republic of Kazakhstan dd. January 31, 2011 No. 52. Mission of Holding is realization of state policy on stimulation of industrial development of agrarian and industrial complex (AIC) on the principles of productivity, transparency and effective corporate management of holding structures. In 2012 the Holding rose by the 40th place in the Rating of Kazakhstan largest companies ("Expert 200-Kazakhstan") in the volume of realization of production. Perspective of Holding By 2020 the Holding will become leading management company in the field of realization of state policy on increase of efficiency of branches of AIC of the Republic of Kazakhstan. Being the financial operator of the major strategic projects of development of agriculture, the Holding will provide available, target and effective use of the state and attracted resources, carrying out further development of production, information and service infrastructure of agrarian and industrial complex. For stabilization of a situation JSC “NC “Prodkorporation” at the request of the Government directed grain to the flour-grinding enterprises for prevention of a rise in prices on bakery and pasta (macaroni). thou 1500 1236 Achievement of volumes of transfer of sand tons grain through grain terminals of Holding by 2015 - 1800 thousand tons, by 2020 - 3650 thousand tons The following reasons had impact on achievement of indicator in 1236 thousand tons of transfer of grain on terminals of JSC “NC “Prodkorporation”: 1) Strengthening of the international sanctions concerning Iran which is the large importer of grain; 2) Rise in prices for the grain imported to Azerbaijan by the sea, led to that the Azerbaijani buyers preferred to get grain in border regions of the country, for example st. Samur – border of Russia and Azerbaijan. December 23, 2006 No. 1247, relationship between Holding and affiliated JSC are determined by Holding functions on management of affiliated JSC and according to the legislation of the Republic of Kazakhstan. Thus influence of Holding on activity of affiliated JSC is limited to a framework of corporate management through implementation of functions of the Sole shareholder and representation in Boards of directors of affiliated JSC within the approved corporate procedures. In 2012 the System of the electronic document flow which task is automation of business processes incoming and outgoing mail was used. Also development strategy of information technologies of Holding and group of companies for 2013-2017 was developed. % -22- 5 5 Indicator is achieved. In 2013 introduction of the Unified corporate portal of Holding and group of companies and the pilot project "System of Collecting and Processing of the credit application" is planned. -23- Quality management system improvement in Holding Within quality management system development (further QMS) of Holding in 2012 optimization of normative documents of Holding on management of QMS of Holding is carried out, method on identification, analysis and elimination of discrepancies with practical tools on work with discrepancies is developed. In all structural divisions of Holding internal audit on compliance of activity of Holding to requirements of ST of RK ISO 9001-2009 (further – internal audit of QMS) was carried out. Following the results of internal audit of QMS the Plan on entering of corrections into business processes was developed and realized. Also, for confirmation of compliance of activity of Holding to requirements of the standard of management, in December, 2012 inspection audit on compliance to requirements of ST of RK ISO 9001-2009 was carried out. -24- Risks FX Interest risk and early repayment risk For decrease in currency risk on the credits and loans, KazAgro: Sets limits on positions in foreign currency on the basis of KFN recommendations; Monitors positions on a daily basis The company compares the prices of their credits and financial leasing with the cost of their financing; Regular monitoring of cost of loans, responses and revision of conditions of their financing and reduction of prices of the percentage assets; Early repayment risk is considered low as the credits and financial leasing are provided by Group, as a rule, on rates lower than market -25- Staff development Total staff number of JSC “NMH “KazAgro” is approved by the decision of Board of directors of Holding dd. August 31, 2012 No. 8 and makes 92 units. In Holding Personnel and Social policy are approved according to which measures for support and protection of the qualified personnel potential are taken. For providing a due skill level of workers Holding organizes their training. According to the Rules of training and professional development of employees of JSC “National Management Holding “KazAgro”, approved by the decision of Board of directors of JSC “Holding “KazAgro”, 59 people (64,1% of the total staff) passed training in 2012 in various seminars, trainings and courses directed on improvement of knowledge and skills. All members of labor staff of Holding are participants of system of voluntary medical insurance. For healthy lifestyle the staff of Holding in spare time visits gyms for game in soccer and volleyball. The team of Holding took prize places in held sports tournaments and was the owner of a cup of the Minister of Agriculture of the Republic of Kazakhstan on mini-soccer. -26- AIC financing structure Financial results - assets cost - 548 140 mln. tenge; - capital - 297 565 mln. tenge, including authorized capital 254 022,9 mln. tenge; - consolidated net revenue - 2 284 mln. tenge; - dividend received from affiliated organizations – 544 mln. tenge; - to payment of dividends it is allocated - 146 780 thousand tenge; - by Holding group of companies for 2012 it is paid taxes in the budget (except for indirect taxes) for the amount - 2 114 mln. tenge. Efficiency of state assets management (consolidated information, mln.tenge) -29- Social responsibility All activities of Holding for realization of state policy in AIC are carried out on the principles of social responsibility before business. Crediting of small and medium business in villages is carried out on the lowest interest rates from 4 to 9,5% per annum (depending on financing sources), thus country doesn't incur costs of subsidizing from interest rates. The average rate of remuneration on the credits of Holding made 7%, and on banks of the second level - 12%. Thus, conditionally the volume of social responsibility of Holding in 2012 reached 13,9 billion tenge. Thereby the share of a joint credit portfolio of Holding made 46% of the total amount of crediting of AIC or 277 billion tenge. Financing volumes In total on carrying out spring field works at the expense of all sources 89,7 billion tenge are allocated. Results Sowing works on the area of 4 million hectares or 18,2% from total sowing area are performed. For stabilization of price of bread and flour 457 thousand tons of grain for the amount of 12,8 billion tenge are allocated to the grain processing organizations of regions, and also 86,7 thousand tons of grain for the amount of 2,4 billion tenge are allocated for support of food supply of poultry-farming and pigbreeding farms. Realization of project «Development of export potential of meat КРС for 2011-2015» Program «Sybaga» The holding financed purchase by farmers of 59,4 thousand heads (141% to the plan). Creation of network of farms –reproducers At the expense of funds of Holding 12,8 thousand heads of breeding cattle (106,8% to the plan) are delivered. Creation of network of feedlots The network for 17 500 places of feeding at the expense of own funds of initiators is created. Support programs of small and medium business subjects Share of small and medium business (SMB) in total volume of crediting Regulation of grain market For ensuring food security, mobilization needs of the Republic and operative regulation of a situation in the grain market, in the state resources of JSC “NC “Food corporation” 170,7 thousand tons of grain are bought for the amount 6,7 billion tenge. Due to the drought and in order to avoid bankruptcy of SHTP decisions on prolongation of loans for the amount of 25,8 billion tenge, from them 21,2 billion tenge given out at the expense of funds of the budgetary credit are made. Thus the Holding fulfilled all obligations to the Republican budget. -32- 97% or 131,2 billion tenge (+20% to the level of 2011) It is credited: - 140 CC for the amount of 15,6 billion tenge; Crediting of village - 10 SelPK for the amount of 791,6 million credit companies, tenge (207 agricultural producers and 378 village consumer personal subsidiary farms); - 9 SHTP for the amount of 67,2 cooperatives, million tenge – for development of nonagricultural non agricultural business in village business (development of network of village outlets, networks of public catering, processing of fish, village tourism and motorway service) -33- Realization of investment program Crediting of the enterprises of processing of agricultural raw material 14 projects for the amount of 2 030 million tenge are financed on: - to meat processing; - to production of vegetable oil; - to processing of fruit and vegetable production; - to processing of grain and production of bakery products; - to production of pasta (macaroni products). Microcredit for village population 3718 microcredits for the amount of 3143,8 million tenge are given out. Program “Eginzhay” for financing of spring field works of small agricultural producers - it is credited of 222 ACP for total amount of 529,4 million tenge. In total 11775 people are provided with work. Leasing of agricultural machinery Information marketing support of AIC 3048 units of equipment for the amount of 30,2 billion tenge of agricultural machinery (893 units of tractors, 695 units of combines, 125 units of seeders) 55 units of sowing complexes, 1280 units of other agricultural and special machinery are acquired. Program “Urozhay-2012” for providing small and average ACP with grainharvesting equipment of domestic and Russian production for harvesting 2012 is developed and realized - contracts for granting in leasing of 442 units of combines are concluded. 418,1 thousand information and consulting services are rendered; 43 business plans are developed. -34- JSC “National Management Holding “KazAgro” is the main financial operator on industrial innovatively development of agroindustrial complex at the expense of National fund. The investment projects financed by Holding, are directed on increase of labor productivity and are realized with application of modern production technologies and agricultural products processing on the basis of the high-performance equipment of leading producers from Germany, Holland, Israel, Russia. On their basis it is planned to make training and replication of experience of introduction of new technologies. As of 31.12.2012 130 investment projects with total cost of 97,6 billion tenge were approved, also 65 projects for 16,9 billion tenge were financed in 2012. Following the results of 2012 31 investment projects, for the amount of 17 billion tenge, with creation of 1485 workplaces are put into operation: Greenhouses 4 projects with capacity up to 8,3 thousand tons of fruit and vegetable production per year, of 13 hectares, 235 workplaces. Dairy farms 5 projects with capacity up to 33 thousand tons of dairy products per year, 179 workplaces. Feedlots Vegetable stores 1 project with capacity of 5 thousand heads of cattle, 23 workplaces. 6 projects with total amount of storages of 30,5 thousand tons of vegetables, 81 workplaces -35- Production of fruit and vegetable 3 projects with total area of 749 products with hectares, 72 workplaces. application of technology of a drop irrigation Feed production development 8 projects with capacity up to 59 thousand tons, 82 workplaces. Construction of poultry farm 2 projects with capacity up to 22 thousand tons of poultry meat, 760 workplaces. Reproducers 1 project with capacity of 2 thousand heads of cattle, 25 workplaces. Grain stores 1 project with capacity of storage up to 14 thousand tons, 28 workplaces. -36- International cooperation In 2012 in foreign markets loans for total amount of 9 421,5 million tenge are attracted by Holding group of companies. The main financial institutions regarding attraction were: "Landes Bank Berlin", "Deere Credit", JSC City Bank Kazakhstan and Islamic Development bank. In 2012 it was bought 1871 pieces of equipment and the equipment for agriculture of foreign production for the purpose of further transfer to leasing for total amount of 25,9 billion tenge, and also purchase of cattle in number of 8059 heads for total amount of 4734,5 million tenge (suppliers – the USA, Canada, Australia, Russia, Austria, Denmark, the Czech Republic, Estonia) is financed.
