Burger King Worldwide is a Delaware corporation that franchises and operates fast food hamburger restaurants,
principally under the Burger King® brand (also referred to as the “Brand”). Since the company’s founding as a single
restaurant in Miami, Florida in 1954, they have grown to become the world´s second largest fast food hamburger
restaurant, or FFHR, chain as measured by the total number of restaurants. As of November 2013, the Burger King system
consisted of more than 13,000 restaurants in over 91 countries and territories.
Their restaurants feature flame-grilled hamburgers, chicken and other specialty sandwiches, french fries, soft drinks and
other affordably-priced food items. The Original WHOPPER®, introduced in 1957, is one of the best-known hamburger
sandwiches in the world and remains a perennial favorite. During their more than 50 years of operating history, they
have developed a scalable and cost-efficient quick service hamburger restaurant model that offers customers fast food at
affordable prices.
They generate revenues from two sources: (1) retail sales at Company restaurants; and (2) franchise revenues, consisting
primarily of royalties based on a percentage of sales reported by franchise restaurants and franchise fees paid by
franchisees as well as property income derived from properties they lease or sublease to their franchisees. Approximately
99% of current restaurants are franchised and they have a higher percentage of franchise restaurants to Company
restaurants than their major competitors in the FFHR category. They believe that their high percentage of franchise
restaurants provides them with a strategic advantage because the capital required to grow and maintain the Burger
King® system is funded primarily by franchisees.

Tom Garrett is a seasoned Quick Service Restaurant operator with over 30 years’ experience having served as both CEO
of Arby’s Restaurant Group and President of RTM Restaurant Group. Garrett has deep experience as a consolidator,
acquiring and turning around under-performing franchisees. In 2012, Garrett entered the Burger King system by forming
GPS Hospitality, LLC to acquire 42 company-owned Burger King restaurants in Atlanta, Georgia, establishing a strong
platform for growth. The turnaround in Atlanta is well underway with significant improvements in guest satisfaction,
margins and overall operations.
Scott Jasinski is Chief Financial Officer of GPS Hospitality, LLC. In this role, he is responsible for the Company’s fiscal
leadership of financial reporting and analysis. Jasinski will direct, monitor, coordinate, interpret and administer all
functional activities and policies related to treasury and finance, accounting, budgeting, and financial analysis.
Brian Arnold is Vice President of Development for GPS Hospitality, LLC. Arnold is responsible for leading the
development functions for the Company, which includes directing, monitoring, coordinating, and administering all
functional activities and policies related to new unit construction, existing unit remodeling, capital expenditures, and the
financial forecasting and closeout of all development-related activity.

The City of Morgantown is the County seat of Monongalia County located along the
Monongahela River and close to the Pennsylvania border in the north central part of
West Virginia. Morgantown was rated “No. 1 Small City in America” by BizJournals.
com. Business Insider named Morgantown the ninth best college town in America.
Within easy traveling distance of Washington, D.C., to the east, Pittsburgh, Pa., to the
north, and Cleveland and Columbus, Ohio, to the northwest. Other recent rankings:
Kiplinger.com included Morgantown in their 10 great places to live list; one of “Best
Sports Cities” by Sporting News; 5th “Best Small Metro” by Forbes; 12th overall
“Hottest Small City” by Inc.; one of “50 Smartest Places to Live” by Kiplinger’s; and the
second-ranking “Best College Town for Jobs” by Forbes.
Morgantown, a city of distinction, offers “mountains of opportunity” for business
development and expansion. This is one of the major growth areas in the State. Morgantown continues to grow and develop in many areas

Morgantown and Monongalia County have consistently seen some of the lowest
unemployment rates in the state. Some of the major employers in the area
include the National Institute of Occupational Safety and Health (NIOSH), Mylan
Pharmaceuticals, West Virginia University. A constant boost to the downtown is the fact that the Historic Downtown
Morgantown borders the main campus of West Virginia University with an average
30,000 students and 5,000 employees. Along with the University, there are over 2,500
downtown employees in local businesses and City & County public offices, creating
an average count of 3,000 pedestrians per day. West Virginia University (WVU) has divisional campuses in Charleston, Keyser, Martinsburg, and
Montgomery. The WVU System spans the state, including 518 buildings on 15,880 acres (main campus 430 buildings/1,456 acres). Eleven main
campus buildings are on the National Register of Historic Places, and WVU operates eight experimental farms and four forests throughout the
state, in addition to WVU Jackson’s Mill State 4-H Camp and Lifelong Learning Center near Weston.
Downtown Morgantown is a mixture of small retail businesses, professional services, restaurants, and residential units. Most buildings have
been in place since the turn-of-the-century. As the City grew, the historic downtown remained the focal point of the City and County. Downtown
Morgantown includes : 100 retailers, 35 restaurants, cafes, clubs, and taverns, 100 professional businesses, an 88-room Historic Hotel, the Historic
Metropolitan Theatre, over 1,675 public parking places, and an award winning Main Street Organization.
Market Profile
The Morgantown Market Place is a multi-functional, solar-paneled pavilion in
downtown Morgantown. During the week, it is known as Lot A by the Morgantown
Parking Authority, providing residents with permit parking during the day and
metered parking at night. On Saturday mornings, the Market Place becomes literally
that when the Morgantown Farmers Market rings its bell at 8:30 a.m. to signal the
start of the weekly market. Funding for the Morgantown Market Place was secured
by Main Street Morgantown. Along with the City, it sought Federal Grants as well
as Governor’s Community Participation Grants from the State Government, and
fundraised, offering donor plaques on a donor wall, featured at the forefront of the
Market Place Pavilion. It continues to raise money for an outdoor Culinary Station,
which will feature programming at each Farmers Market, showcasing what can be
done with the variety and array of produce, goods, and services that local farms,
craftsmen, and business owners offer the greater Morgantown Area.
The Morgantown Mall is the premier shopping destination in Morgantown, West Virginia. The shopping, dining, and entertainment venue is home
to Carmike Cinemas, Elder-Beerman, JCPenney, Sears, Belk, American Eagle Outfitters, Victoria’s Secret, Hollister and other popular retailers. The
mall is within easy traveling distance of Washington, D.C. and Pittsburgh, Pennsylvania, as well as Cleveland and Columbus, Ohio.
