requirement under UK Approved codes of Practice for Control of Asbestos Regulations (CAW) and Control of Substances Hazardous to Health Regulations (COSHH). Face fit testing of tight fitting facepieces should be carried out to try to eliminate the possibility of misfitting masks being issued to personnel, thereby compromising protection. Scott Safety recommends the use of available ambient particle counting technology (e.g. PortacountTM) and adapters are now available for all masks. Contact our Customer Service Department for details of independent companies recommended by us for this testing. These improvements include improving its stability on the face, better fit performance and improving its fit on a wider range of head sizes. Preliminary and General Recommended Use 1. 21. The Customer shall ensure that the goods supplied under this contract shall only be used in accordance with the warning fitted to the goods and with instruction manuals supplied by the Company in relation thereto. 22. The Customer shall ensure that any goods supplied by the Customer for ultimate use by non-English speaking consumers shall only be supplied with both the warning fitted to the goods and with the instruction manuals translated into the language which will be understood by any such user. 2. The Terms and Conditions contained herein shall govern all contracts of the sale of goods by Scott Health & Safety Ltd (hereinafter called “the Company”). Unless otherwise agreed in writing by the Company these conditions shall override any terms or conditions stipulated, incorporated or referred to by the intending buyer (herein called “the Customer”) in his order or negotiations. No additional item nor any cancellation, variation or waiver of any Term or Condition stated herein shall be binding upon the Company unless confirmed in writing under the hand of a Director or the Secretary of the Company. 3. No person save an authorised official of the Company has authority to negotiate or give any commitment on behalf of the Company or to make or give any warranty, representation or undertaking as to the availability, description, price, quality or performance of any goods supplied by the Company which would or might (but for this Condition) involve the Company in any legal liability whatsoever. 4. Particulars in any Quotation submitted by the Company and any specifications, illustrations, drawings or other information made available to the Customer shall have no contractual effect. Such particulars and information are supplied for general guidance only and should not be relied on by the Customer who should ascertain that any goods to be supplied by the Company accord in every way with his requirements. 5. Verbal purchase orders will not be accepted. Orders must be faxed, mailed, or sent via email. Minimum Order Value 6. The minimum order value is £500/€700 ex Skelmersdale. Carriage charges applicable for non ex works deliveries will be confirmed with each order. Orders received below minimum order value will attract a handling fee confirmed at the time of the order. Orders below minimum will incur a handling charge of £35 (€60 ex UK). Delivery Times 7. All delivery times stated in any Quotations are estimates only and are based upon conditions ruling at the date of such Quotation. All times so stated or specified in any contract are for delivery ex-works. While reasonable efforts are made by the Company to deliver within any time specified in any contract the Company shall be under no liability whatsoever for any loss suffered by the Customer whether directly or indirectly as a result of any delay in delivery whatsoever. 8. In the event of delivery of goods or any part thereof being delayed hindered or prevented by the reason of the consequence of any strike, lock-out, combination of workmen or other labour dispute, scarcity of materials or labour, failure of plant, machinery, fire, accident or Act of God or the intervention of Governments, war, riots, epidemics or adverse weather conditions or any cause whatsoever beyond the control of the Company the Customer shall, notwithstanding any delay, accept the goods on delivery by the Company. Provided that if such delay, hindrances or prevention as aforesaid shall exceed 14 days the Company shall be at liberty to cancel any Order or part thereof and any contract shall insofar as it relates to goods the subject of such cancellations aforesaid become of no effect. Price 9.1 All prices included in any Quotation and all prices agreed in any contract are based on costs ruling at the date of such quotation or contact respectively. In the event of any increase in such costs between such dates and delivery of the goods (even if such delivery be delayed) and in particular in the event of any increase in the costs of labour, materials or overheads (including costs resulting from the imposition or increase of any tax, levy or duty) or other costs whatsoever where the increase is beyond the control of the Company the Company shall be entitled to increase any such price amount as is reasonable having regard to such increase in costs. Save where expressly agreed to the contrary in any Trade Agreement entered into by the Company, any such increase as aforesaid may be applied with Notice to the Customer. Patents and Trade Marks 23. The Company shall subject to Clause 24 and 25 hereof indemnify the Customer against any claim made against the Customer by reason that the goods sold by the Company to the Customer infringes any United Kingdom patent or registered design subsisting at the date of such sale by the Company provided that written notice is given by the Customer to the Company immediately any such claim is made and no admission is made by the Customer in respect of any alleged infringement. 24. In relation to such claims as is referred to in Clause 23 hereof the Customer shall permit the Company to undertake sole conduct of any defence thereto and any negotiations for a settlement thereof. 25. Clause 23 shall have no application any claim in respect of an infringement or alleged infringement which has arisen by reason of compliance by the Company with any design or instruction furnished by the Customer and where any claim which arises as aforesaid is pursued against the Company the Customer shall indemnify the Company against such claim and any cost or expenses incurred by reason thereof. 26. The Customer will not alter remove or in any way tamper with any of the trade marks or trade names on any of the products supplied. Insolvency of the Customer 27. If the Customer makes any voluntary arrangement with its creditors or becomes subject to an administration order or being an individual becomes bankrupt or (being a company) goes into liquidation (otherwise than for the purpose of amalgamation or reconstruction); or if an encumbrancer takes possession or a receiver is appointed of any property or assets of the Customer; or the Customer ceases or threatens to cease to carry on business; or the Company reasonably apprehends that any of the events mentioned above are about to occur then (without prejudice to any other right or remedy available to the Company) the Company may cancel the contract or suspend further deliveries under the contraction without any liability to the Customer and if the products have been delivered but not paid for the price shall become immediately due and payable notwithstanding any previous agreement to the contrary. Export Houses 28. All invoices for goods supplied to export houses will be subject to the standard rate of Value Added Tax. General and Governing Law 29.1 Any notice shall be in writing to the address of the relevant party on the Acceptance of Order form or such other addresses as notified for the purpose. 29.2 No waiver by the Company of any breach of the contract by the Customer shall be considered as a waiver of any subsequent breach of the same or any other provision. 29.3 If any provision of the Terms is held by any competent authority to be invalid or unenforceable in whole or in part the validity of the other provisions of the Terms and the remainder of the provision in question shall not be affected thereby. 29.4 All contracts for the sale of goods entered into by the Company shall be subject to English law and to the exclusive jurisdiction of the English Courts to which jurisdiction the parties agree to submit from Scott Health & Safety Ltd. 9.2 Unless otherwise specified all prices will be in either GBP or Euro 10. Unless otherwise specified all prices stated in any Quotation or agreement in any contract do not include the costs of packing and carriage or Value Added Tax (where applicable). All contracts entered into are subject to INCOTERMS 2010. Warranty 30. The products manufactured at our factories in Skelmersdale carry a warranty of 12 months (unless stated otherwise) for parts, labour and return to site. The warranty period runs from the date of purchase by the end user. 11. Arrangements for carriage by any reasonable means at the Company’s option will be made by the Company as agents for the Customer and delivery to any carrier pursuant to any arrangement so made shall constitute delivery to the Customer. 11.1 Single Order Add-Ons: Unlimited for 5 days after the order is entered at Scott, provided the minimum order requirements are met and original order is in open status. To qualify for add-ons, the original purchase order number must be identified on the add-on order. After 5 days all orders will be treated as new and must meet minimum order requirements. Original order ship date must be affected by add-ons. These products are warranted to be free from defects in materials and workmanship at the time of delivery. Scott will be under no liability for any defect arising from wilful damage, negligence, abnormal working conditions, failure to follow the original manufacturers instructions, misuse or unauthorised alteration or repair. Evidence of purchase date will need to be provided for any claims arising during the warranty period. All warranty claims must be directed through Scott Customer Services and in accordance with our sales return procedure. Carriers Returned Goods Export and Import Controls; Use Restrictions 12. All returns must be authorised by Scott prior to shipment by distributor. 31. Scott will issue a Sales / Service / Repair / Decontamination Return Note, which must be included with the shipment. Scott Safety will not accept returned goods unless accompanied by this (fully completed) form, attached to the outside of the returned goods. All material must be identified with Scott part number. Material being returned must be clearly identified with Sales return number referenced on each carton. Material being returned to Scott must be shipped freight prepaid. Material returned collect will be refused unless prior approval has been secured. Scott will refuse receipt of any shipment without a Sales return form. These shipments will be returned to the distributor freight collect. The customer covenants and agrees that all of its activities under or pursuant to this Agreement shall comply with all applicable laws, rules and regulations. Specifically, but without limitation, the customer shall be responsible for obtaining all licenses, permits and approvals which are necessary or advisable for its sale or distribution of the product and for the performance of its duties hereunder. The customer may not export or re-export the products, any underlying information or technology, or any direct product of the foregoing except in full compliance with the export controls administered by the U.S., the UK and other countries and any applicable import and use restrictions. For technology and source code, such transfers include those made to foreign national in the United States. 31.1 The prior written approval of the Department of State must be obtained before U.S. Munitions List & Dual Use List articles exported from the U.S. under licence or other approval may be re sold, diverted transferred, transhipped, reshipped, re-exported to, or used in any country, or by any end user other than that described on the licence or other approval as the country of ultimate destination or the ultimate end user. 12.1 Errant Order & Inventory Returns: 31.2 Material being returned from distributor stock may be returned with an SR form from your Sales Administrator. Credit will be issued upon inspection of material received in new, re-sellable condition. A 15% restocking charge will be applied. UK Military List and Dual Use articles must not be re transferred without the prior written approval of Scott Health & Safety Ltd UK due to possible extraterritoriality responsibilities in which case 31.1 would apply. 32. 12.2 Order Cancellation: A cancellation charge of 15% net per item will be charged for orders cancelled after they have been entered at Scott. None of the foregoing items may be transferred or otherwise exported or re-exported without U.S. Government permission to anyone on the U.S. Treasury Department’s list of Specially Designated Nationals or the U.S. Commerce Department’s Denied Persons List, Entity List, or General Order No.3 (in Supp. 1 to EAR Part 736), or to Cuba, Iran, North Korea, Sudan, Syria, as the same list of U.S. embargoed countries may be revised from time to time, or for use with chemical or biological weapons, sensitive nuclear end-uses, or missiles to deliver them. The customer represents and warrants that it is not located in, under control of, or a national or resident of any such country or on any such list. 33. The customer agrees to indemnify and hold harmless Scott Health and Safety against any claim, demand, action, proceeding, judgment, penalty, fine, loss, liability, cost or expense (including reasonable attorneys fees) suffered or incurred by Scott Health and Safety and arising out of or relating to any violation by the customer or any of its customers of any export control laws or regulations, including, without limitation and if applicable, U.S. laws and regulations, in connection with the the product or any direct product thereof. 34. The customer understands that the foregoing obligations are legal requirements and agrees that they shall survive any term or termination of this agreement. Liability 13. The Company shall not be liable to the Customer:- (i) for shortages in quantity delivered or damage to the goods in transit unless the customer notifies the Company and the carrier of any claim for short delivery or damage to goods within seven days of receipt of the goods. (ii) for loss of goods or any part thereof in transit (where the goods are carried by the Company’s own transport or by a carrier on behalf of the Company) unless the Customer shall notify the Company and the carrier (if any) immediately upon the expiry of seven days from the date of despatch of the goods. (iii) for defects in the goods caused by fair wear and tear, abnormal conditions of storage, or use or any act neglect or default of the Customer or any third party. (iv) for other defects in the goods unless notified to the Company within six months of delivery of the goods by the Company (or where the defect would not be apparent on reasonable inspection within 12 months of delivery). 14. Subject only as otherwise herein provided all conditions, warranties and representations, express or implied, (and whether by statutes, common law or otherwise) in relation to the goods are hereby excluded and the Company shall be under no liability to the Customer for any loss, damage or injury, direct or indirect resulting from defective material, faulty workmanship or otherwise howsoever arising and whether or not caused by the negligence of the Company its employees or agents save that the Company shall accept liability for death or personal injury caused by the negligence of the Company. 15. The Company’s prices are determined on the basis of the limits of the liability set out in Clauses 13 and 14. The Customer may by written notice to the Company request the Company to agree a higher limit of liability provided insurance cover can be obtained therefor. The Company shall effect insurance up to such limit and the Customer shall pay upon demand the amount of any and all premiums. The Customer shall disclose such information as the insurer shall require. In no case shall the Customer be entitled to recover from the Company more than the amount received from the insurer. Indemnity 16. The Customer shall indemnify the Company against any and all liabilities, claims and costs (including reasonable legal fees) incurred by the Company as a direct or indirect result of the wilful or negligent act or omission or misrepresentation of the Customer in connection with the goods or breach by the Customer of its obligations hereunder. Compliance Provisions 35.1 All of the compliance provisions set forth below shall apply to this agreement and any related schedule. 35.2 No Improper Means of Obtaining Business. Seller and Buyer intend that no payments or transfers of value shall be made which have the purpose or effect of public or commercial bribery, acceptance of or acquiescence in extortion or kickbacks, or other unlawful or improper means of obtaining business. 35.3 No Bribes; Anti-Boycott Laws. Buyer will not, directly or indirectly, pay, offer, authorize or promise any monies or anything of value (such as gifts, contributions, travel, or entertainment) to any person or organization, including any employee of Buyer’s or Seller’s customers, or any Government Official (which includes any employee or official of any governmental authority, government owned or controlled entity, public international organization or political party; or any candidate for political office) for the purpose of improperly influencing their acts or decisions. Buyer will take appropriate actions to ensure that any person representing or acting under its instruction or control (“Buyer’s Agents”) will also comply with this section. The Buyer will not request Customer to take any action which is prohibited or penalised under any U.S. anti-boycott law or regulation, and any such apparent request will be deemed null and void. Nothing in this agreement or in any such apparent request will be construed to require or to constitute an agreement by Customer to take action which is prohibited or penalised under any U.S. anti-boycott law or regulation. 35.4 No Kickbacks. No part of the payment of any amounts payable under this agreement will be distri-buted to Seller, its affiliates or customers, or any of its employees or their family members. 35.5 No Conflicts. Except as disclosed in writing to Seller (in a questionnaire response or otherwise), Buyer represents that it does not have any reason to believe that there are any potential conflicts of interest regarding its relationship with Seller, such as family members who could potentially benefit from the commercial relationship established by this agreement; and neither Buyer, nor any of Buyer’s Agents, are or have any family members who are Government Officials in a position to influence your commercial relationship with Seller. 35.6 Accurate Books and Records. Buyer will maintain complete and accurate books and records in accordance with generally accepted accounting principles in Buyer’s jurisdiction, consistently applied, properly and accurately recording all payments made by Buyer or Buyer’s Agents in performance of this agreement or related to it, and any commission, compensation, reimbursement, or other payment made by or on behalf of Seller to Buyer or Buyer’s Agents. Buyer will maintain a system of internal accounting controls reasonably designed to ensure that it maintains no off-the-book accounts and that its assets are used only in accordance with its management directives. 35.7 Notification. Buyer will notify Seller promptly if (a) Buyer or any of Buyer’s Agents have reason to be-lieve that a breach of this section has occurred or is likely to occur; or (b) if any conflicts of interest arise after the signing of this agreement, including if any of Buyer’s Agents or their family members become a government official or political party candidate in a position to influence Buyer’s commercial relationship with Seller. Buyer will send all such notices to Tycopolicy@ Tyco.com or to such other location as Seller may designate in writing. 35.8 Compliance Certification. Buyer will, when and as may be requested by Seller from time to time, provide to Seller a written certification in form and substance satisfactory to Seller that Buyer is in compliance with this section. 35.9 No Payments for Improper Activities. Seller will not be required under any circumstances to take any action or make any payments that Seller believes, in good faith, would cause it or its affiliated companies to be in violation of any Anti-Corruption Laws (Anti-Corruption Laws include, collectively, the United States Foreign Corrupt Practices Act, laws under the OECD Anti-Bribery Convention and local anti-corruption laws). If Seller at any time believes, in good faith, that a breach of any of the representations and warranties in this section has occurred or may occur, Seller may withhold any commission, compensation, reimbursement, or other payment until such time as Seller has received confirmation to its reasonable satisfaction that no breach has occurred or will occur. Seller shall not be liable to Buyer for any claim, losses, or damages whatsoever related to Seller’s decision to withhold any commission, compensation, reimbursement, or other payment under this provision. 35.10 Audit Rights. If Seller at any time believes, in good faith, that Buyer has breached the warranties, representations or agreements in this section, then Seller will have the right to audit Buyer‘s books and records related to this agreement in order to verify Buyer’s compliance with the provisions of this section. The audit will be performed by individuals selected by Seller. However, upon request by Buyer, Seller will select in its sole discretion an independent third party to conduct an audit in order to certify to Seller that no breach has occurred or will occur. Buyer will fully cooperate in any audit conducted by or on behalf of Seller. 35.11 Termination Rights. Any breach of the warranties, representations or agreements in this section will constitute grounds for immediate termination of this agreement and any Order for cause by Seller and no commission, compensation, reimbursement or other payment will be due to Buyer. Buyer will indemnify and hold Seller harmless against any actions, legal claims, demands, proceedings, losses, damages, costs, expenses and other liabilities of whatever nature resulting from Buyer’s breach of the representations, warranties and agreements contained in the section. 35.12 Data Privacy Consent. Buyer consents to the collection, processing and international transfer of data and information related to the business relationship between it and Seller, including the transfer of personally identifiable data (for example names, email addresses, telephone numbers) to and between Seller and its affiliates wherever they may be located throughout the world, for the purposes of allowing Seller and its affiliates to evaluate Buyer’s experience and qualifications and implement any business. Buyer has the right to: (a) request access to this data; (b) rectify or cancel any inaccurate or expired data; and (c) object to any processing that does not conform to these purposes. Buyer may exercise its rights by writing to Seller at Tycopolicy@Tyco.com or to such other location as Seller may designate. Payment and Risk 17.1 All payments shall be made net cash within 30 days of the date of the invoice, subject to suitable credit references, unless otherwise agreed in writing by the Company. Time for payment shall be of the essence. 17.2 If the Customer fails to pay any sum on the due date then without prejudice to any other right or remedy available to the Company, the Company may cancel the contract; suspend further deliveries; appropriate any payment made by the Customers to such of the products as the Company think fit (notwithstanding any appropriation by the Customer); and charge interest from Scott Health & Safety Ltd (before and after Judgement) on the amount unpaid at the rate of 4% above Barclays Bank plc’s base rate from time to time calculated on a daily basis until payment in full. 17.3 The Customer shall have no right to set-off, statutory or otherwise. 17.4 The Company reserves the right at any time to demand security for payment before delivering any order. 17.5 The goods shall be at the Customer’s risk as from delivery to the Customer or the carrier. Retention of Title 18.1 In spite of delivery having been made property in the goods shall not pass from the Company until: 18.1.1 the Customer shall have paid the price plus Value Added Tax in full and 18.1.2 no other sums whatever shall be due from the Customer to the Company. 18.2 Until property in the goods passes to the Customer in accordance with Clause 18.1 the Customer shall hold the goods and each of them on a fiduciary basis as bailee for the Company. The Customer shall store the goods (at no cost to the Company) separately from all other goods in its possession and marked in such a way that they are clearly identified as the Company’s property. 18.3 Notwithstanding that the goods (or any of them) remain the property of the Company the Customer may sell or use the goods in the ordinary course of the Customer’s business at full market value for the account of the Company. Any such sale or dealing shall be a sale or use of the Company’s property by the Customer on the Customer’s own behalf and the Customer shall deal as principal when making such sales or dealings. Until property in the goods passes from the Company the entire proceeds of sale or otherwise of the goods shall be held in trust for the Company and shall not be mixed with other money or paid into any overdrawn bank account and shall be at all material times identified as the Company’s money. 18.4 The Company shall be entitled to recover the price (plus Value Added Tax) notwithstanding that property in any of the goods has not passed from the Company. 18.5 Until such time as property in the goods passes from the Company the Customer shall upon request deliver up such of the goods as have not ceased to be in existence or resold to the Company. If the Customer fails to do so the Company may enter upon any premises owned occupied or controlled by the Customer where the goods are situated and repossess the goods. On the making of such a request the rights of the Customer under clauses 11 and 18.3 shall cease. 18.6 The Customer shall not pledge or in any way charge by way of security for any indebtedness any of the goods which are the property of the Company. Without prejudice to the other rights of the Company, if the Customer does so all sums whatever owing by the Customer to the Company shall forthwith become due and payable. 18.7 The Customer shall insure and keep insured the goods to the full price against “all risks” to the reasonable satisfaction of the Company until the date that property in the goods passes from the Company, and shall whenever requested by the Company produce a copy of the policy of insurance. Without prejudice to the other rights of the Company. If the Customer fails to do so all sums whatever owing by the Customer to the Company shall forthwith become due and payable. 18.8 The Customer shall promptly deliver the prescribed particulars of this contract to the Registrar in accordance with the Companies Act 1985 Part XII as amended without prejudice to the other rights of the Company. If the Customer fails to do so all sums whatever owing by the Customer to the Company shall forthwith become due and payable. Guarantee 19. In the event of goods or parts thereof supplied by the Company not complying with the express terms of the contract or proving defective in materials or manufacture or design within 6 months after delivery the Company will, at its option, repair or replace the goods or the defective part or parts thereof free of charge to the Customer or will refund all payments made by the Customer. 20. Where goods are returned to the Company pursuant to any claim under the afore going Clause but it is found that no liability exists there under the Customer shall pay to the Company the reasonable costs of investigating the claim. International Trade Compliance 36.1 The parties agree that they will not sell, re-export or transfer any products or technical information or services supplied under this agreement to Iran, North Korea, Syria, Cuba and Sudan, including any entities or persons in those countries, either directly or indirectly (“Seller’s Position”). The parties agree that they will not sell, re-export or transfer any products or technical information or services supplied under this agreement to any other countries except in full compliance with all applicable governmental requirements, including but not limited to applicable economic sanctions and constraints administered by the U.S. Treasury Department and applicable export control measures administered by the U.S. Department of Commerce and U.S. Department of State, any other U.S. government agencies, and measures administered by the European Union or the government agencies of any other countries. 36.2 Any violation by the parties of the applicable laws or regulations of the U.S. or any other government, or where Customer breaches Seller’s Position notwithstanding whether or not this is contrary to any aforementioned applicable laws or regulations, shall be deemed a material breach of this agreement and sufficient basis for Seller to reject any or all orders or to terminate this agreement. Compliance with applicable legal requirements and Seller’s Position is a prerequisite for performance under this agreement, and if there is a failure to comply with such legal requirements, the parties agree that they are incapable of meeting its obligations under this agreement. Seller reserves the right to refuse to enter into or perform any order, and to cancel any order, placed under this agreement if Seller in its sole discretion determines that the entry into such order or the performance of the transaction to which such order relates could violate any applicable law or regulation of the United States, or any other governments and/or Seller’s Position.
