InformationonAAAandhowarbitrationisinitiatedcanbefoundatwww.adr.orgorbycalling800-778-7879.ForClaims betweenYouandRokuof$75,000orless,youwillberesponsiblefortheinitialarbitrationfilingfee,uptotheamountofthe initialfilingfeeifyouweretoinitiatealawsuitagainstRokubasedonsuchClaimsincourt.IfthearbitratorfindssuchClaimsto benon-frivolous,Rokuwillpayanydifferenceinsuchfilingfeesplusthearbitratorfees.ForClaimsbetweenYouandRokuin excessof$75,000,ifyouareabletodemonstratethatthecostsofarbitrationwillbeprohibitiveascomparedtothecostsof litigation,Rokuwillpayasmuchofyouractualfilingfeesandthearbitratorfeesforthearbitrationasthearbitratordeems necessarytopreventthearbitrationfrombeingcost-prohibitiveascomparedtothecostoflitigation. 4. ThisagreementtoarbitratedoesnotapplytoanyClaim(a)inwhichapartyisattemptingtoprotectitsintellectualproperty rights(suchasitspatent,copyright,trademark,tradesecret,ormoralrights,butnotincludingitsprivacyorpublicityrights),or (b)thatmaybebroughtinsmall-claimscourt. Iftheagreementtoarbitrateinthisprovisionisfoundtobeinvalid,unenforceableorinapplicabletoagivenClaimbetween YouandRoku,thenanyandallproceedingstoresolvesuchClaimmustbebroughtexclusivelyinafederalcourtofcompetent jurisdictionintheNorthernDistrictofCaliforniaorinastatecourtinSantaClaraCounty,California.Youherebyirrevocably consenttotheexclusivejurisdictionandvenueofsuchcourts. 6. 30-DayRighttoOptOut:Youhavetherighttooptoutofthisagreementtoarbitratebysendingawrittennoticeofyour decisiontooptouttothefollowingaddress:LegalDepartment,Roku,Inc.,150WinchesterCircle,LosGatos,CA95032,USA; providedthat,suchnoticemustbepostmarkedonorbeforethe30thdayafterthefirsttooccurofthefollowingeventsifyou donotalreadyhaveaRokuAccount:(a)thedateofpurchaseofYourTelevision,or(b)thedateyoucreateyourRokuAccount. IfyouhaveanexistingRokuAccount,alldevicesyouchoosetolinktoyourRokuAccount,andallservicesprovidedbyRoku whichareaccessedusingthesedevices,willbesubjecttothisagreementtoarbitrate.Yournoticeshouldincludeyourfull name,yourcurrentpostaladdress,telephonenumberandemailaddress,theproductnameandserialnumberforYour Television,andacopyoftheoriginalproofofpurchaseforyourTelevision.Ifyoutimelysendanoticeincompliancewiththis paragraph6,theagreementtoarbitratewillnotapplytoeitheryouorRoku.Ifyoudonottimelysendthisnotice,thenyou agreetobeboundbythisagreementtoarbitrate. 7. NotwithstandinganyprovisioninthisAgreementtothecontrary,youagreethat,ifRokuseekstodeleteormateriallymodify theagreementtoarbitratedescribedherein,anysuchdeletionormodificationwillnotapplytoanyindividualClaimofwhich youhavenotifiedRokupriortosuchmodification.
