WheneveryouaddaTVinputtile,it’saddedatthetopofyourHomescreen.Wheneveryouaddanew

YoucaneasilyrearrangetheorderofthetilesontheHomescreentosuityourviewingpreferences.For

Televisionisstrictlyprohibitedandwemaypreventorrestrictyoufromcopyingorre-distributinganyelementsoftheSoftwareorContent
usingdigitalrightsmanagementorothertechnologies.TheTelevisionandtheSoftwareareforuseonlyinthosecountrieswherethe
manufacturerofyourTelevisionhasauthorizeditssale.IfyouareusingtheTelevisionandtheSoftwareoutsideofthesecountries,therights

TheSoftwareisproprietarytoRokuoritsthirdpartylicensorsandmaybeusedonlywiththeTelevision.SubjecttothisEULAand,where
appropriate,theapplicablethirdpartylicenses,youhaveanon-exclusive,non-transferablelicensetoruntheSoftwareandanyupdated
versionsprovidedtoyoubyRoku,onlyinandasincorporatedintheTelevision.Thisisalicenseandnotasale.Youmaynot(a)copy,assign,
sublicense,lease,sellorrenttheSoftware,(b)distributeorotherwisetransfertheSoftwareexceptasincorporatedintheTelevision,provided

Choice of Law; Dispute Resolution

IfyouareaconsumerandaresidentinanycountryintheEuropeanEconomicAreawherethesaleoftheTelevisionisexpressly
authorizedbyitsmanufacturer,thisEULAdoesnotapplytoyou.
B.
Inallothercases,includingifyouarearesidentoftheUnitedStates(anditspossessionsandterritories)orCanada,youagreethat
thisEULAshallbegovernedbythelawsoftheStateofCaliforniawithoutregardtoanyconflictoflawsprinciplesthatmayprovide
theapplicationofthelawofanotherjurisdiction;and:

YouandRokuagreetobeboundbytheproceduressetforthbelowtoresolveanyandallclaimsbetweenyouandRokuarising
outoforrelatingtoanyaspectofthisEULA,whetherbasedincontract,tort,statute,fraud,misrepresentationoranyother
legaltheory,includingbutnotlimitedto,claimsbetweenyouandRokurelatedtotheTelevisionandtheSoftware.Eachsuch
claimisreferredtoindividuallyas“Claim”andcollectivelyas“Claims”.

CLAIMSBETWEENYOUANDROKUSHALLBEFINALLYSETTLEDBYBINDINGARBITRATION.Thearbitrationshalltakeplacein
SantaClaraCounty,CaliforniaandshallbeadministeredbytheAmericanArbitrationAssociation(“AAA”)pursuanttothe
AAA’sthen-currentrules,including(ifapplicable)theAAA’sSupplementaryProceduresforConsumer-RelatedDisputes.Please
beawarethereisnojudgeorjuryinarbitration.Arbitrationproceduresaresimplerandmorelimitedthantherulesapplicable

arbitratetheClaims.ThisarbitrationprovisionissubjecttotheFederalArbitrationAct.Thearbitrator’sawardshallbebinding
onyouandRoku,andmaybeenteredinanycourtofcompetentjurisdiction.

InformationonAAAandhowarbitrationisinitiatedcanbefoundatwww.adr.orgorbycalling800-778-7879.ForClaims
betweenYouandRokuof$75,000orless,youwillberesponsiblefortheinitialarbitrationfilingfee,uptotheamountofthe
initialfilingfeeifyouweretoinitiatealawsuitagainstRokubasedonsuchClaimsincourt.IfthearbitratorfindssuchClaimsto
benon-frivolous,Rokuwillpayanydifferenceinsuchfilingfeesplusthearbitratorfees.ForClaimsbetweenYouandRokuin
excessof$75,000,ifyouareabletodemonstratethatthecostsofarbitrationwillbeprohibitiveascomparedtothecostsof
litigation,Rokuwillpayasmuchofyouractualfilingfeesandthearbitratorfeesforthearbitrationasthearbitratordeems
necessarytopreventthearbitrationfrombeingcost-prohibitiveascomparedtothecostoflitigation.

ThisagreementtoarbitratedoesnotapplytoanyClaim(a)inwhichapartyisattemptingtoprotectitsintellectualproperty
rights(suchasitspatent,copyright,trademark,tradesecret,ormoralrights,butnotincludingitsprivacyorpublicityrights),or
(b)thatmaybebroughtinsmall-claimscourt.

Iftheagreementtoarbitrateinthisprovisionisfoundtobeinvalid,unenforceableorinapplicabletoagivenClaimbetween
YouandRoku,thenanyandallproceedingstoresolvesuchClaimmustbebroughtexclusivelyinafederalcourtofcompetent
jurisdictionintheNorthernDistrictofCaliforniaorinastatecourtinSantaClaraCounty,California.Youherebyirrevocably
consenttotheexclusivejurisdictionandvenueofsuchcourts.

30-DayRighttoOptOut:Youhavetherighttooptoutofthisagreementtoarbitratebysendingawrittennoticeofyour
decisiontooptouttothefollowingaddress:LegalDepartment,Roku,Inc.,150WinchesterCircle,LosGatos,CA95032,USA;
providedthat,suchnoticemustbepostmarkedonorbeforethe30thdayafterthefirsttooccurofthefollowingeventsifyou
donotalreadyhaveaRokuAccount:(a)thedateofpurchaseofYourTelevision,or(b)thedateyoucreateyourRokuAccount.
IfyouhaveanexistingRokuAccount,alldevicesyouchoosetolinktoyourRokuAccount,andallservicesprovidedbyRoku
whichareaccessedusingthesedevices,willbesubjecttothisagreementtoarbitrate.Yournoticeshouldincludeyourfull
name,yourcurrentpostaladdress,telephonenumberandemailaddress,theproductnameandserialnumberforYour
Television,andacopyoftheoriginalproofofpurchaseforyourTelevision.Ifyoutimelysendanoticeincompliancewiththis
paragraph6,theagreementtoarbitratewillnotapplytoeitheryouorRoku.Ifyoudonottimelysendthisnotice,thenyou
agreetobeboundbythisagreementtoarbitrate.

NotwithstandinganyprovisioninthisAgreementtothecontrary,youagreethat,ifRokuseekstodeleteormateriallymodify
theagreementtoarbitratedescribedherein,anysuchdeletionormodificationwillnotapplytoanyindividualClaimofwhich
youhavenotifiedRokupriortosuchmodification.
Miscellaneous
RokumaytransferitsrightsandobligationsunderthisEULAtoanotherorganization.Youmayonlytransferyourrightsoryourobligations
underthisEULAtoanotherpersonifRokuagreesinwriting.ThisEULAisbetweenyouandRoku.Nootherpersonshallhaveanyrightsto
enforcetheseterms.EachoftheparagraphsofthisEULAoperatesseparately.Ifanycourtorrelevantauthoritydecidesthatanyofthemare
unlawful,theremainingparagraphswillremaininfullforceandeffect.IfRokufailstoinsistthatyouperformanyofyourobligationsunderthis
EULA,orifRokudoesnotenforceitsrightsagainstyou,orifRokudelaysindoingso,thatwillnotmeanthatRokuhaswaiveditsrightsagainst
you,orthatyoudonothavetocomplywiththoseobligations.IfRokudoeswaiveadefaultbyyou,Rokuwillonlydosoinwriting,butthatwill
notmeanthatRokuwillautomaticallywaiveanylaterdefaultbyyou.
