Aleut APRIL 2014 • VOL 43 • ISSUE 1 ALEUTIAN C O R P O R AT I O N CURRENT President’s Report by Thomas Mack It’s springtime again and that means many things for the Aleut Corporation and its shareholders. Starting with more daylight, warmer temperatures and the beginning of a new fiscal year that started on April 1, to name a few. The Board held their annual planning session and two-day Board meeting at the end of February. During those meetings, they approved a Shareholder Dividend of $7.00/ share payable in July and a $500 Elder benefit payable in November. The 2014 Annual Meeting theme “Building Relations” was also approved. You’ll read more about the October 16-18, 2014 Annual Meeting events on our website and July - Shareholder Dividend of $7.00/share in future issues of the November - $500 Elder Benefit Aleutian Current. The planning session culminated with a Shareholder Informational Meeting. Over 40 people attended and were able to talk with management and the Board. Shareholder Tavia Hayes won a roundtrip ticket to Anchorage to attend the Annual Meeting. Enjoy the pictures further on in this issue. You can learn more about Silvia in this issue. 1 PRESIDENT’S REPORT 2 CEO REPORT 3 CHAIR REPORT 4 SAN FRANCISCO SHAREHOLDER MEETING 7 SHAREHOLDER CALENDAR 7 TAF UPDATE As part of our ongoing coordination with the Village Corporations, Angela Bourdukofsky, Shareholder Relations Manager, and Silvia Leon Guerrero, Shareholder Records Technician, will host a Village Corporation Shareholder Records Workshop in Anchorage. Additionally, they are formulating a Shareholder Handbook, which will be published late this year and mailed to each shareholder. The Shareholder Department is also working on an updated web page and an interactive shareholder portal. At the end of April, I will hold my annual Village Corporation President’s Roundtable session. Village representatives are updated on corporate news and report what is going on in their communities. Village Corporation Board members are always invited to attend the roundtable. Then in May and June it’ll be time for my annual Village Visits followed by the Summer Culture Camps held throughout the region and in Anchorage. Anne Underdown Looking out at the snow, it seems too early to be thinking about summer plans, but I know better than to complain about snow and cold weather to the thousands of shareholders who live in the Lower 48. Many of you experienced a colder winter than normal. I wish everyone a Happy Easter and a warm and sunny Spring! 2 Developing Adak as a Cargo Transshipping Hub CEO’s Report by Dave Gillespie Aang Aang! There is a lot going on at the Aleut Corporation this time of year! As Thomas mentioned in his report, the Board held its annual planning session at the end of February. A $7.00 per share dividend was declared, an increase of 17% over last year. All of Fiscal Year 2015’s business plans and budgets were reviewed and approved. (Our fiscal year runs from April-March; so Fiscal Year 2015 is just starting.) With all that has been going on, it has occurred to me I haven’t recently updated you on: What’s New at Adak? We discuss Adak frequently, so I will spare you most of the history lesson. The Aleut Corporation acquired much of what was once the Naval Air Station Adak back in 2004. In addition to the structures and facilities on the island, the company acquired significant federal and state tax benefits that serve to reduce or eliminate the income taxes the company would otherwise have to pay. This cash can be used for other things, like shareholder dividends! While there are countless small efforts always underway on the island, I’m going to focus this month on one major effort. As the polar ice cap continues to melt, the Northern Passage will be open more of the year allowing vessels to carry freight between Asia and Europe. “Transshipping” is the process used to unload Asian container freight from multiple conventional vessels to be reloaded on “ice-class” vessels for shipping over the Northern Passage. The containers are then reloaded onto conventional vessels again for passage to their final destinations in Europe or the east coast of the U.S. Adak’s unique location along current shipping routes makes it an ideal place for a transshipping hub. In addition, Adak’s ice-free port, jet-capable airport and other infrastructure provide a leg-up as we compete for this business. A Rising Tide Lifts All Boats As Adak develops into a thriving shipping hub, the whole community will benefit. Increased business activity will lead to increased tax revenue for the City of Adak. The shipping industry will require small local businesses to provide services like electricians for maintenance, housing for employees, vehicles for local transportation. New and expanded utility infrastructure will help drive down the cost of energy. In short, the shipping business can be an exciting new economic engine that will support the Adak community for many years to come. Investing for the Long Haul Our vision for Adak will not develop overnight or next year. We are laying the groundwork for development on a grand scale, and it will take time. TAC team, led by Director of Business and Resource Development Janet Reiser and President of Aleut Enterprise Rudy Tsukada are currently doing the preliminary study work that will establish the basic planning assumptions as we go forward. We are seeking answers to questions like, “How many containers do we need to store?” and “How many cranes do we need and how big should they be?” and “How deep does the water need to be dockside?” As we answer these questions, we will be able to develop the specific budgets and work plans to make the vision a reality. For Generations to Come The Arctic is undergoing profound changes. Those changes will create lasting opportunities for companies with foresight that plan ahead and commit to executing the plan. The Aleut Corporation is working to capitalize on those opportunities for you, our shareholders, your children and your children’s children. 3 Chair Report by Dick Jacobsen As we greet spring and look forward to summer activities, your Board of Directors has been busy on your behalf. The Aleut Corporation Board of Directors, staff and subsidiaries had a successful planning session and meeting in San Francisco. The management team and subsidiaries provided a lot of good information and ideas. The Board had an opportunity to have their questions answered and give directions to the subsidiaries. The Board meeting held after the planning session was very productive. Board actions are listed below. One of the items approved is a $7/share dividend payable in July. The informational shareholder meeting that was held after was very good with positive input from many of the shareholders in attendance. There was a good turnout, and our members from the area were happy to have us visit. Board Actions • Directed management to publish an article in the Aleutian Current on the history of the existing Incentive Policy 205.14. • Approved to continue hosting the Aleut Corporation Annual Meeting in Anchorage. • Approved the 2014 Nomination Packet. • Approved the issuance of a $2M note to AMS. • Accepted revisions to Policy 203.6 – Board Committees. • Adopted Policy 205.22 Social Media. • Approved a 50% Equity 50% Fixed Income Permanent Fund portfolio deployed. • Approved a Shareholder Dividend of $7.00 a share, payable in July. • Approved an Elder’s Benefit of $500, payable in November. • Appointed Board member Debi Schmit as TAC’s representative on the Full Metal Mineral’s board. • Approved the 2014 Annual Meeting theme as “Building Relations.” • Approved the 2014 Annual Meeting Rules and 2014 Shareholder Calendar. • Authorized management to settle the AFM bankruptcy matter up to $630,000 and that TAC would provide the funds for the settlement as a capital contribution. • Approved the incentive goals for 2014, as presented by management. • Approved a donation of $10,000 to the Alaska Native Heritage Center. • Approved a donation of $5,000 to be used on a project plan for St. Paul Island’s Unangam Tunuu revitalization effort. • Approved the assignment of the UngaPopov Agreement to Red Star Gold, contingent on payment of the outstanding balance of $135,000. The Aleut Corporation Board of Directors consists of nine members. Three seats are up for re-election at the 2014 annual meeting. In order to hold a position on the Board you must be a voting Aleut Corporation shareholder and at least 18 years of age. Each elected director’s term of office is three years. To run for one of the director seats, please call the corporate office or stop by to request a nominee packet. They will also be available on the corporate website at www.aleutcorp.com. The packet requires ten (10) Aleut Corporation shareholders’ signatures as part of the nominating petition. Candidates are not allowed to use the Aleut Corporation logo for any of their campaign material. Silvia comes to us from past positions with TDX Corporation and APIA. Born in Anchorage, Silvia lived on St. Paul Island during her early childhood and then moved throughout Alaska with her military family. She moved back to St. Paul Island when she was a teen and lived there until 2008. Silvia studied public relations and emerging media and plans to start her master’s degree next year. She is married to Ben Leon Guerrero and they have two children, a 12-year-old son and a 10-year-old daughter. The staff at the Foundation has been busy getting the 2014 Spring Scholarships out and gearing up for both the 2014 Summer and 2014-2015 Scholarship applications. I provided a presentation on The Aleut Foundation programs at the Aleut Corporation Shareholder Informational Meeting in San Francisco. There were questions about the cultural programs that are held in Anchorage continued on page 8... Culture camps are an exciting way for our younger generation to learn more about our culture and heritage from our Elders—from Aleut history and language to arts and crafts and Aleut dances. The culture camps are a wonderful way to preserve and carry on our Aleut heritage, culture, and traditions. At the meeting, I met Sandy Henney, mother of Tyler and Zach Henney, and Steven Jackson, father of Samuel and Eleanor Jackson. There were other former TAF scholarship recipients who were in attendance as well. It is so nice to meet those who the Foundation helped with education and training. Sandy Henney with Cynthia Lind Students on tour of Alaska Pacific University Future Leaders Summit The Aleut Foundation was asked by the Afognak Native Corporation to again participate in the Future Leaders Summit that they have provided for the past five years. The summit helps prepare high school students for post-secondary education as well as job readiness, while focusing on Aleut culture and heritage. We had four students who attended the summit earlier this year. Returning students were Hunter Clark from Washington, Anthony Lekanof and Coral Jackson from Mt. Edgecumbe and Anesia Kudrin from Akutan. The students went to the Wells Fargo Anchorage corporate offices where they toured the museum and received advice about finances while attending school. They also studied the Alaska Native Claims Settlement Act and Alaska Native Corporations. Next year they will learn about tribes and non-profit organizations. This is a great program for high school students to learn more about the resources available to them for scholarships while learning about job preparedness, networking, and sharing experiences. This celebration will include a baidarka race and George Dyson, author of Baidarka: The Kayak, will speak about baidarka building.
