property of RHYS.
Buyer agrees not to use all or any part of the Evaluation Material for any purpose that could be detrimental to RHYS, or Seller, and further
agree not to disclose or distribute the Evaluation Material to third parties or to agents, advisors, and other representatives of Buyer,
without the prior consent of RHYS. Buyer further agrees that it will advise those parties to whom the Evaluation Material is disclosed
of the requirement for confidentiality required by this Agreement. Buyer acknowledges that any violation of the foregoing obligation of
confidentiality could cause RHYS and/or Seller to suffer material and substantial damage and that RHYS and/or Seller may take any and all
actions reasonable and necessary to protect their interests.
The undersigned is acting in the capacity of buyer or finder or any similar capacity in connection with the proposed transaction contemplated
hereby, he/she is employed by the Principal and, therefore, neither the Seller nor RHYS shall have any liability to the undersigned for,
and the undersigned hereby waives any claim against Seller and RHYS with respect to, any broker’s commission, finders fee or any other
compensation with respect thereto.
Buyer further acknowledges that neither RHYS nor Seller makes any representations or warranties as to the accuracy or completeness of
the Evaluation Material and neither its or their officers, shareholders, or directors, shall have any liability to Buyer resulting from the use of
the Evaluation Material.
