Our shows provide hands on product demonstrations from dozens of vendors. We offer professional educational lectures on a wide variety of industry related topics. There will be a panning zone loaded with hundreds of dollars of real gold for attendees to keep, as they learn hands on panning techniques from experienced gold prospectors. Each show day will feature a closing raffle giving away over $10,000 in prizes! The individual signing this contract warrants that they are duly authorized to execute this agreement on behalf of the above names Exhibitor. This contract super cedes any oral or written representation by Gold Prospectors Association of America, Event Management, or the Exhibitor. Event Management and the Exhibitor agree that for the purposes of litigation arising out of this contract, all legal actions will be commenced and maintained in the County of Riverside, State of California. Gold Prospectors Association of America and/or Event Management reserved the right to approve or deny Exhibitor Reservations. If accepted into the Gold & Treasure Show(s), the Exhibitor agrees to abide by the terms and guidelines outlined on the reverse side of this application which are incorporated into this contract. All Booth Rentals, Extra Tables, Electrical, & Extra Badges must be paid in full upon execution of this contract prior to Show Operation. Booth space is on a first come, first paid in full basis. No Exceptions. No contracts or payments for the current show will be accepted at that show without prior authorization from Event Manager. No booths will be reserved without an executed contract and payment in full. I / We have read and acknowledged both sides of this contract and agree to comply with all of its terms and conditions. Box 891509 – Temecula, CA 92589 – Phone: 800-551-9707 Email: goldshows@goldprospectors.org Fax: 951-699-4062 GENERAL SHOW INFORMATION If the Gold Prospectors Association of America, aka Event Management, shall for any reason which is not arbitrary or capricious consider it inadvisable to hold a GPAA Gold & Treasure Show at the time or place herein provided, Event Management shall reserve the right to change the date and/or location within the same city, county or state and the same shall be held by giving Exhibitors reasonable and advance notice thereof. Event Management shall provide security in and around the show premises at night, but shall not limit the Exhibitors responsibility to protect small and/or valuable items by taking special precautions. Exhibitor agrees to hold Event Management blameless for any and all liability directly or indirectly by the Exhibitor for any loss or damage to exhibit or products. Every effort shall be made by Event Management to assign individual Exhibitors their preferred location, but floor plans are subject to modification if Event Management deems it necessary for the overall good of the Show, or if the floor plans are different than expected. A copy of this Exhibit Space Contract must be on file with the Event Management. If an Exhibitor dismantles their Exhibit or vacates their space prior to the advertised closing time, any and all of Event Managements responsibilities to the Exhibitor immediately cease. Cancellations requesting a refund of monies paid must be received by Event Management in writing within 7 business days of scheduled Show Set up Date. Event Management reserves the right to refuse entry or service to any Exhibitor. I have read and acknowledge the listed Terms & Guidelines listed under “General Show Information.” INITIALS: INSURANCE & LIABILITY Insurance, if desired, must be obtained by each Exhibitor at their own expense. Event Management assumes no risk, and by accepting this agreement, Exhibitor expressly releases Event Management, convention center, fairgrounds or other host location management and the city in which the Show is held from any and all liability arising from damage, injury or loss to persons or property which may arise from the use and occupation of said exhibit space by the Exhibitor further agrees to indemnify, hold harmless and save Event Management, convention center, fairgrounds or other location management and the city in which the show is held from any loss or damage. Event Management assumes no responsibility whatsoever for any property or goods placed in the show and is hereby expressed and released and discharged from any and all liability, from any loss, injury or damage to persons or property that may be sustained while on the Show grounds. I have read and acknowledge the listed Terms & Guidelines listed under “Insurance & Liability.” INITIALS: ADVERTISING & PROMOTIONS Event Management reserves the right to reschedule broadcast media and other advertising when necessary to enhance the success and effectiveness of any GPAA Gold & Treasure Show. I have read and acknowledge the listed Terms & Guidelines listed under “Advertising & Promotions.” INITIALS: PAYMENT TERMS Exhibitor agrees to pay Event Management the full amount for booth rental and amenities (via cash, check, money order or credit card) as set forth in this contract. All phone orders will be promptly confirmed by sending a copy of the contract to the Exhibitor for their review, signature and submission to Event Management accompanied by a receipt for the full amount of fees for booth rental and amenities reserved. Exhibitor must return fully executed contract to GPAA Event Management no later than fifteen (15) business days prior to published Show Date. No booths will be reserved or assigned until payment in full is made. All attorneys and/or other costs incurred in enforcing this contract will be payable to the prevailing party by the losing party. I have read and acknowledge the listed Terms & Guidelines listed under “Payment Terms.” INITIALS: USE OF EXHIBIT SPACE The exhibit space contracted for under the terms of their contract is to be used solely by and for the Exhibitor whose name appears on this contract. Exhibitor further agrees that they will not sublet or assign any portion of the exhibit space allotted to them under the terms of this contract without the express written consent of Event Management. In the event that an Exhibitor fails to occupy their rented space or to have their exhibit completed and in one place ONE FULL HOUR PRIOR TO SHOW OPENING, they shall forfeit all rights to said space, forfeit any monies already paid toward booth rental and amenities. The aisles, passageways and overhead space remains strictly under the control of Event Management. No signs, decorations, banners or special exhibits will be permitted in the aforementioned spaces which might obstruct the view, occasion injury or disadvantageously affect the display of other Exhibitors. No interference with the light or space of another Exhibitor will be permitted. ALL TABLES MUST HAVE SOME TYPE OF TABLE COVERING. Exhibitors and employees must conduct themselves in a dignified manner and maintain a clean, professional display at all times. Exhibitors must staff their exhibit space during show hours and must make every effort to secure their own displays against potential theft and/or pilferage. Show security is provided only after show hours. EXHIBITORS MUST PROVIDE THEIR OWN ELECTRICAL EXTENSION CORDS, DOLLIES, HAND TRUCKS, TAPE, MARKERS, CORDS OR ANY OTHER SUPPLIES NEEDED FOR THE PURPOSE OF THE SHOW. EXHIBITORS MUST NOT DISMANTLE OR BREAKDOWN DISPLAYS PRIOR TO SHOW CLOSING TIMES. If Event Management must be used to enforce this provision, Exhibitors may forfeit eligibility to participate in future GPAA Gold & Treasure Shows, may forfeit any monies paid toward upcoming shows, and may be responsible for any fees incurred for breach of contract with the facility. Exhibitors are responsible for obtaining all local, county and state licenses required to sell and/or display merchandise. Exhibitors are responsible for completion of all tax forms required by the various facilities counties and states and remittance of taxes due. Event Management will provide appropriate back and side drapes for rental spaces. Exhibitors are responsible for all lighting, power utilities, water, phone or other special services. Electrical and other services are usually available at a slight additional cost and payable upon completion of contract. I have read and acknowledge the listed Terms & Guidelines listed under “Use of Exhibit Space.” INITIALS: RAFFLES & DRAWINGS Exhibitors may hold one (1) drawing or raffle only if no money is exchanged for tickets and everyone is eligible to receive a ticket, or if they hold an acceptable non-profit status with the IRS that allows them to conduct a raffle or a drawing. All Exhibitors must present Event Management with drawing or raffle information no later than 5pm on Friday prior to the show.
