The meeting was called to order at 8:00 am by Bruce Herron.
CASA Story
Dilys introduced CASA Peer Coordinator, Maithé Harispe, who shared 2 stories
that illustrated the importance of early childhood intervention and the impact on
advocacy of our new Early Childhood specialty training program.
Staff Recognition
On behalf of the Board, Dilys recognized CASA Senior Program Coordinator and
Early Childhood Lead, Lauri Halderman for her extraordinary steps in creating
more focus around our Early Childhood Program. Senior Program Coordinator,
Dana Johnson was also recognized her leadership in managing the recent LA
Times media coverage. Dana is also leading an ongoing conversation with
DCFS on implementing improved bereavement support for medically fragile
children and those in need of end of life services.
Consent Agenda: Approval of the Minutes

Upon a duly made and seconded motion, the April 2, 2012 board meeting
minutes were approved.
Consent Agenda: Approval of Employee Handbook
There was a general discussion on proposed changes to the Employee
Handbook. Questions included whether our benefits have been compared to
other nonprofit organization of similar size (yes), how benefits at 30 days
compare with other organizations (yes), and the need to clarify employee
complaint procedure beyond the ED. There was also discussion on the need for
a personnel committee, an issue the governance committee agreed to explore.
Upon a duly made and seconded motion, the Employee Handbook was
unanimously approved with the recommended clarifications. The final version
will come back to the Executive Committee incorporating suggested
improvements and any further input from final legal review.
Finance Committee, Ralph Walter
Treasurer Ralph Walter reported that;
1. CASA/LA for the first time in recent history has a 6-month reserve in the bank,
$1.0 million.
2. Total revenues raised met the FY2012 $2MM budget, $700,000 in
government funds, and $1.3MM from private funds -- $300,000 above
forecast and up $450,000 over year prior.
3. Expenses continued at a rate slower than planned.
4. Kurt is in the process of bidding out the audit in search if lower costs.
5. Given plans for a Spring 2013 Gala, there was discussion about moving the
fiscal year.
Governance Committee, Mike Pappas
Board chair Bruce Herron gave a special thanks to Paul and Tama Deitch for
hosting Friday’s Board Recognition Dinner and to all members who are
completing their 2 terms of board service; Steve Bloom, Cathy Cobb, Jacquie
Dolan, Sue Marshall, Mike Pappas, Joanne Solov, and Pat Trendacosta.
Committee Chair Mike Pappas presented Board Resolution proposing a one-time
1-year extension of terms for President and President-Elect.
Upon a duly made motion from the Governance Committee the Board Resolution
was unanimously approved.

Mike presented the FY2013 slate of officers for the election of Ralph Walters as
Treasurer and Jean Youngquist as Secretary, for one-year terms in FY2013.
Upon a duly made motion from the Governance Committee the FY2013 slate of
officers was unanimously approved.
Board chair Bruce Herron invited all to review draft committee lists and submit
revisions, stating that all meetings are open and everyone is welcome to attend.

Jim discussed Spring 2013 Gala event, highlighting aspirational revenue
goal of $1MM, the need to raise awareness and launch the new CASA by
asking philanthropists to reallocate rather than grow their budgets. This is
a defining moment, a rallying point to tell our story of success and lock-in
supporters.
Bill discussed selecting the right honorees for the Gala Event. Ideally, well
respected corporate leaders in industries important to Los Angeles.

Thanks for Mother’s Day efforts – over $90k raised
Anissa discussed her upcoming October 6th recruitment event in the
African American community. Her goal is to have 100-125 attendees and
10-15 volunteer recruits.

Dilys presented highlights of the FY2013 plan and budget:
• Serving 800 children
• Growing volunteer ranks to 500
• Raising $2.5MM, $1MM from foundations and $1.5 from individual gifts, to
cover operational budget of $2.4MM
• Propelled by an organization driven plan (bubble-up)
• With individual and collective ownership of goals, plans, and results
•
A vigorous discussion ensued about such an aspirational budget and the level of
risk involved in planning to a $2.5MM level needing to be raised almost
exclusively from private dollars, unprecedented in the organization’s past. It was
pointed out that anything less than the planned operating budget level would
require cutting back the operation and abandoning a service growth strategy. All
revenue generation since March 2010 has simply addressed the replacement of

previous government funding levels, pursuing service level improvements within
that to benchmark optimal performance.
Upon a duly made and seconded motion, the board unanimously approved the
budget for FY2013. It was agreed that a thorough cash flow analysis would be
brought to the Finance Committee and reported back to the full board.

Ben Gipson is an of counsel in DLA Piper’s Los Angeles office who focuses his practice on
labor and employment law.
Mr. Gipson represents and counsels employers in all areas of employment law, including state
and federal wage and hour, discrimination and harassment matters, employee coaching and
performance documentation, non-discrimination and harassment, leaves of absence, traditional
labor matters, executive compensation and separation and reductions in force (RIFs). Mr.
Gipson conducts trainings and audits on all aspects of employment law, and assists his clients
in revising handbooks and other policies to prevent future litigation.
Mr. Gipson defends employers in wage and hour class actions, WARN class actions, sexual
harassment, wrongful termination, discrimination, breach of employment contract, unlawful
business practices, state and federal whistleblowing, traditional labor disputes and other
employment-related cases. He has also achieved summary judgment and other motion practice
victories at the trial and appellate levels, as well as low settlements in cases with challenging
facts.
Examples of Mr. Gipson’s litigation experience include:
Appearing before the California Supreme Court on the state's leading expense reimbursement
case
Defeating class certification in a complex case involving on-the-road truck drivers
Bringing innovative motions to preclude class certification prior to motion practice by
plaintiffs
Mr. Gipson also defends employers in proceedings before the Department of Fair Employment
and Housing, the Equal Opportunity Employment Commission, the California Labor
Commissioner, the US Department of Labor, the Occupational Safety and Health
Administration and state and federal courts, as well as investigating alleged violations of
violations of labor and employment laws, whistleblower laws, and other complaints raised by
employees.
Mr. Gipson has been named a Super Lawyers Rising Star in the area of employment law.

HOW TO SOLICIT CONTRIBUTIONS FOR THE GALA
CASA Los Angeles is excited to host the 2013 Gala and raise funds to provide
program support to foster children in Los Angeles County. But we can’t do it alone.
Support from individuals, businesses, and the community are essential to ensuring
the 2013 Gala is a success. We need your help to meet our goal!
FIRST STEP
1. Develop a prospect list. – DEADLINE: JULY 30TH – return to Charissa or Anna
How do you do that? Think about all the people you know, or who you think CASA

connected directly to the person/company think about who you know that could
make an introduction.
Examples of types of individuals and companies to include on your list:
Vendors associated with your business or company, colleagues, family, neighbors, spouse
or significant others family and friends, partners in your company, associates, members of
clubs or associations you belong to, etc.
2. Identify the level of support you think is appropriate
There are multiple levels of support available for the Gala. Identify the level you
think is best for the ask for CASA. We want to be sure that they have the capacity
and interest to give at that level. Make sure you are asking for enough, but not too
much of a stretch. If you need help researching prospects for background on
charities they support (and at what level) please let us know and we can help assist.
Levels available include:
Underwriter Package at $100,000
Recognition as Underwriter Benefactor in all aspects of evening including three most preferred
tables of ten; inside back cover in tribute journal.

3. Decide best approach to make contact and request
You will need to identify which means of communication (visit/meeting, phone call,
email, letter in the mail, invitation, etc.) will be the most effective means to
approach and ask for a contribution.
Sponsorship requests would require a visit or a phone call.
Ticket purchasers can be sent the materials from CASA (Save the Date, Invitation)
but would be more likely to support if they had a personal note from you included in
the invitation and saw your name on the outside of the envelope.

Buddy List and Role of The Buddy
Every board member will be paired with a “buddy” on the fundraising committee to
help them stay on track with their asks. The buddy system will provide you with
support and follow up. Your buddy can assist with any questions you might have, or
help with filling out the prospect data form.

THE PROCESS FOR SECURING INDIVIDUAL GIFTS
While all types of development activities are important to fulfilling CASA’s mission, including
foundation and corporate support and special event, non-profits that can successfully rely on
events, direct mail, or grants are the exception, not the rule. For most small and mid-sized nonprofits, individual fundraising provides a major portion of development revenues.
WHERE TO START
The mission MUST come first. While individual fundraising relies on many factors –board
contacts, donors’ networks, staff’s fundraising abilities, and the quality of marketing materials –
none matters more than the mission. We must not lose sight of this core value. Ultimately,
people will give because of CASA’s critical mission than any other single reason.
Our case for support is compelling, credible and urgent. We have a deadline, a critical need and
a plan that thinks of CASA’s development efforts as a set of concentric circles. Our existing
donors are in the center; we must respect them, go back to them, cultivate them, secure their
gifts. Our donors’ contacts are in the next circle – CASA’s Board and staff will work together to
develop relationships there, ask for funding, and then ask these new donors to introduce us to
their friends … we will keep working outward.
