Overview
The Jordan Company is a private investment firm that specializes in buying and building businesses in partnership with
management. Our transactions provide liquidity for owners, raise capital for corporate growth and create significant equity opportunities for key management. We are long-term investors who seek to build value over time.
TJC was founded in 1982 and today is managed by John W. Jordan II, Jonathan F. Boucher, A. Richard Caputo, Jr.,
Adam E. Max, Thomas H. Quinn and David W. Zalaznick. The senior team has been making investments together for
over two decades, creating one of the most experienced and stable investment teams in the private equity business.
The partners of The Jordan Company and its affiliates have successfully completed over 90 investments. TJC has
approximately $6 billion of capital under management and targets middle market companies with enterprise values
between $100 million and $2.0 billion.
In 1988, we formed the Operations Management Group (“OMG”) to work with and add value to portfolio companies by
assisting with strategy, organization, human resources, cost reduction initiatives, and market expansion and acquisitions.

TJCʼs superior investment performance can be attributed, in part, to our hands-on operating support, which focuses on
strategies to enhance internal growth and to identify and execute on acquisition opportunities. In 1988, TJC established
an operations management group (“OMG”) with the primary objective of creating additional value by assisting the management teams at its portfolio companies. Where appropriate, we use a hands-on operating strategy to transform small or
regional businesses into large, integrated enterprises through a combination of internal growth and strategic acquisitions.

TJC brings an operational focus to portfolio companies and add-on acquisitions through the Operational Management
Group (“OMG”). The OMG's primary objective is to create value by assisting the management teams of portfolio companies in identifying and executing expansion and cost reduction plans. The OMG is comprised of a team of seasoned
operations executives with global experience in all areas of business operations. Primary intervention with our operating partners varies on a case-by-case basis. Often, the OMG is involved in monitoring portfolio company performance,
evaluating and supporting upgrades in management resources, cost-reduction programs and market expansion.
TJC has extensive experience in establishing and acquiring operations in Europe, Asia, and Latin America, with particular expertise in China and Eastern Europe. We have facilities, seasoned executives, and professional relationships in
the major centers of international commerce. Our international resources are available for the benefit of all our portfolio investments. TJC, through its OMG, established manufacturing resources in China in 1995. Since then, the OMG
has been instrumental in a number of acquisitions, joint ventures and startups in China.

Jonathan F. Boucher
Mr. Boucher joined The Jordan Company in 1983. Mr. Boucher has led the firmʼs investments in Sensus, Ltd., ICMS
Holdings, Inc., Reinhold Industries, Inc. and Zest Anchors, Inc., as well as other investments in a variety of industries.
He has served on the board of directors of several TJC portfolio companies, currently including ICMS Holdings, Inc.,
Sensus, Ltd. and Zest Anchors, Inc. Previously, Mr. Boucher was a senior lender at Manufacturer Hanover Trust
Company. Mr. Boucher holds a B.A. degree in Economics from Williams College.

A. Richard Caputo, Jr.
Mr. Caputo joined The Jordan Company in 1990. Mr. Caputo has led the firmʼs investments in Universal Technical
Institute, Inc., Safety Insurance Group, Inc., TAL International Group, Inc., The Techs Holdings, Inc., Harvey Gulf
International Marine, Inc., as well as others in a variety of industries. He has served on the board of directors of several TJC portfolio companies, currently including Olympus Re Holdings, Ltd., TAL International Group, Inc., Safety
Insurance Group, Inc., Kinetek, Inc., and Universal Technical Institute, Inc. Previously, Mr. Caputo was with the High
Yield Corporate Finance group of Prudential-Bache Capital Funding. Mr. Caputo is a member of the board of directors
of the National Rowing Foundation and the Brown University Athletics Advisory Board. He received a B.A. in
Mathematical Economics from Brown University.

Adam E. Max
Mr. Max joined The Jordan Company in 1986. Mr. Max has led the firmʼs investments in Wound Care Holdings, LLC,
Harrington Holdings, Inc. and Production Resource Group, Inc. as well as others in a variety of industries. Mr. Max has
served on the board of directors of several TJC portfolio companies, currently including Wound Care Holdings, LLC,
Harrington Holdings, Inc. and Production Resource Group. He is a Trustee of the Brooklyn Academy of Music and Prep
for Prep. Mr. Max is also a Trustee of the Collegiate School in New York City and currently chairs the schoolʼs Investment
Committee. He received a B.A. in English and History from Brown University.

John W. Jordan II
Mr. Jordan founded The Jordan Company in 1982 and is the Chairman of the firm. Prior to founding TJC, he spent nine
years with Carl Marks & Co., Inc. He has served on the board of directors of several TJC portfolio companies, currently including Sensus, Ltd., TAL International Group, Inc., TJCC Holdings, LLC, TTS, LLC and Wound Care Solutions,
LLC. Mr. Jordan is a Trustee of the University of Notre Dame and serves as Chairman of the Investment and Finance
Committee. He also serves on the boards of the Lyric Opera and Art Institute of Chicago, as well as many other community boards. Mr. Jordan received an A.B. in Business Administration from the University of Notre Dame and attended Columbia Universityʼs Graduate School of Business.

Mr. Quinn joined The Jordan Company 1988. Mr. Quinn established the Operations Management Group in 1988 and
continues to lead the U.S. and China OMG teams as well as leading the firmʼs investments in IMM Holdings, Ltd. and
Omnimedia Group, Inc. He has served on the board of directors of several TJC portfolio companies, currently including

Anchors, Inc. Previously, Mr. Quinn was a Group Vice President for Baxter International, Inc. Mr. Quinn holds an A.B.

Mr. Zalaznick co-founded The Jordan Company in 1982. Prior to founding TJC, Mr. Zalaznick was a partner in the Carl
Marks Leveraged Buyout Group. He serves on the boards of directors of several TJC portfolio companies including
Cequel Communications, LLC, Sensus, Ltd., TAL International Group, Inc., TJCC Holdings, LLC and Wound Care
Solutions, LLC. Mr. Zalaznick is also Chairman of Jordan/Zalaznick Advisers, the investment adviser to JZ Equity
Partners PLC, a publicly traded closed-end fund. He is a Trustee and Vice Chairman of the Board of Cornell University
and serves as Chairman of the Finance Committee and as a member of the Private Equity Committee. He also serves
on the Board of Overseers for Columbia Business School. Mr. Zalaznick holds a B.A. in Economics from Cornell

Mr. Linnen joined The Jordan Company in 1993. For the first ten years at TJC, Mr. Linnen focused on sourcing, originating, evaluating, negotiating and leading the execution of acquisition transactions. Since 2003, he has focused all of
his time on sourcing, originating and evaluating transactions on behalf of TJC. He currently serves on the board of directors for Worldwide Clinical Trials, Inc. Mr. Linnen is Chairman Emeritus of the La Lumiere School Board of Trustees and

Ms. Custar joined The Jordan Company in 2007. Ms. Custar oversees all of TJCʼs marketing, investor relations and public relations activities as well as fundraising efforts. Previously, Ms. Custar was the Director of Investor Relations at First

Mark Emery
Mr. Emery joined TJC in 2008 as President of the U.S. Operations Management Group. Prior to TJC, he was President
and Chief Executive Officer of Northstar Aerospace Inc., a publicly held company (NAS) and prior to Northstar, Mr.
Emery served as President and Chief Executive Officer of Indalex Aluminum Solutions Group. He is an experienced
international executive who has held senior level positions with several companies located in the United Kingdom,
including as President of Caradon Terrain Ltd., President of Hubbard Group, and President of Maraux CVC Ltd. He
began his career at McKinsey & Company. Mr. Emery earned a B.S. degree in Civil Engineering from Bristol University,
and an MBA from the University of Chicago.

Lisa M. Ondrula
Ms. Ondrula has been with a TJC affiliate since 1994 and currently serves as the Senior Vice President and CFO. She
has had various financial roles with emphasis on financial reporting and analysis, debt offerings, acquisitions and diverstitures. Ms. Ondrulaʼs current responsibilities also include overseeing the financial reporting for the company's China
operations. Ms. Ondrula assists portfolio companies in setting up treasurial functions and accounting systems and controls. Previously, she worked at Ernst & Young, LLP. Ms. Ondrula has a B.S. in Accounting from Miami University and
is a CPA.

Andrew W. Rice
Mr. Rice joined a TJC affiliate in 1989 and has held numerous strategy, international business development and investment positions. He currently serves as Senior Vice President of International Business for a TJC affiliate. Mr. Rice has
participated in over 30 joint ventures in China, India, Malaysia, Russia, the Czech Republic, Spain, England, Israel,
Mexico and Brazil for the Company. Mr. Rice is actively involved with TJCʼs North America companies in coordinating
North American development activities in China. Mr. Rice holds a B.S. in Industrial Engineering and an M.S. in
Engineering Administration, both from New Mexico State University.

TJC, through the OMG, commenced its China initiative in 1994 and established manufacturing resources in China in
1995. We now own or have joint ventures in numerous manufacturing companies in China that produce such items as
plastic injection molded products, aluminum die castings, electric motors and controls, and coal mining equipment
among other products. TJC has established an operations office in Beijing and a Mergers and Acquisition office in
Shanghai, each with a full executive staff. TJC is actively involved in sourcing acquisitions and startup ventures, including stand-alone equity investments in China.
