One of the ways we will do this is through our quarterly newsletter. This year, in keeping with Board’s increased emphasis on improving communication, we are very interested in adding new features to the newsletter and would like your feedback. Beth Patterson, Chair bpdog@aol.com Election Results Greg Sheperd and Randy Williams were elected to the Board of Directors at the annual meeting. Mr. Sheperd is president of Meridian Financial Services, Inc., a provider of receivables management services to developers, property management companies and homeowner association groups within the resort industry. He has been a part of the Foxwood Hills Board of Directors since his appointment in June 2009. He was re-elected as treasurer at the Board’s Annual Meeting the following the Annual Meeting of the Members on March 17. Mr. Williams is new to the Board. In his comments about his candidacy he said, “I am very interested in seeing the community grow and continue to become a great place to live as well as a good investment. I believe we all have the same interest and goals and I am excited about serving the community of Foxwood Hills. I believe that I can work with everyone and use my management skill to serve Foxwood Hills and move the community forward.” We congratulate Greg Sheperd on his re-election and welcome Randy Williams to the Board. The POA wishes to acknowledge the other candidates: Mari Nelson, Dennis Reid and Dickie Richardson, and thank them for their interest in serving as a director. For more information about other votes and happenings at the recent annual meeting see the summary later in this newsletter. 1 More about the $75.00 Restaurant User Fee be opened by the POA Receptionist for the purpose of determining whether the contents represent a message to the Board of Directors, and depending on the facts and circumstances outlined in the communication, will be distributed to the Board or an individual director, as appropriate. The POA Receptionist will make sufficient copies of the contents to send to each director who is a member of the Board. Your Annual Meeting mailing included an invoice for your annual POA Assessment and a bill for a $75.00 Restaurant User Fee implemented to raise funds for the POA’s start-up of the restaurant operation for its own account. This $75.00 fee can be used to purchase $100.00 of food and beverages once the restaurant opens after its renovations. Because some members do not live close enough to take advantage of our good food, the POA is offering to help in making arrangements for the sale, at purchase value, of your certificate to other members. We have included with the newsletter the form that you should provide to the POA to participate in this resale program. You can use this form to register to sell or to let us know you want to purchase additional certificates. In order for the POA to arrange to sell your certificate you must have paid the $75.00 User Fee. The POA will list your request for sale on the Association’s website. Members who are interested in buying additional certificates should contact the seller directly. When your certificate is sold, the seller should let the POA office know so the certificate can be transferred. You own at a large community. There is lots of land, miles of roads, numerous amenities and many moving pieces. If something goes wrong, you have the right to an apology and an honest explanation. The explanation and apology should be made in a reasonable amount of time. Members should bring any concern to the attention of our General Manager (GM). The office also has Member Comment forms available for written comments. Your Association is committed to address and resolve issues in a professional manner. If the GM doesn’t address issues to your satisfaction, you are encouraged to report your concern to the Board of Directors at POAPresident@foxwoodhills.net. All communications received as described above will 2 Summary of the Annual Meeting of the Members held March 17, 2012 In Tom Kennedy’s manager’s report he welcomed all Members and expressed his gratitude for their concern for the POA. He recognized and thanked the POA staff. He encouraged Members to patronize the restaurant. He thanked the Budget Committee members for their assistance and input in the budget development process. He encouraged Members to find out about the many POA activities and to become an active participant. The POA’s Annual Meeting was called to order at the Fellowship Hall of the Mount Pleasant Baptist Church by its president, Beth Patterson. She led Members in the Pledge of Allegiance. The Reverend Ray Nix offered an Invocation. She called for a moment of silence to honor the POA employee Wayne Gilling who had recently lost his battle with cancer. POA Treasurer Mr. Sheperd thanked and named his Budget Committee members, the Board members and department heads that had assisted in development of this year’s budget. He stated the budget for 2012/2013 is based on an Assessment level equal to the current year. He said next year’s budget totals $1,256,599 of income, operating expenses of $932,539, a contribution to the road reserve of $225,291 and to the capital replacements reserve of $62,581, which produces an excess of $36,188. She introduced the other members of the POA’s Board of Directors, who were all in attendance including vice president Greg Lohman, secretary Jim Dickens, treasurer Greg Sheperd, Buddy Carlton, Gene Neville and Tim Ramsey. She also introduced POA general manager Tom Kennedy, POA Counsel Sam Albergotti, and management company representative Dale Goodman. The Recording Secretary Mr. Dickens certified that eight percent (8.0%) of the POA’s ownership was represented in person or by proxy and that a quorum was present. Ms. Patterson stated the annual meeting would include an election of two (2) members of the Board of Directors and votes would be taken on other matters. The minutes of the 2011 Annual Meeting of Members were approved. Deborah Williams gave the report for the Architectural Control Committee and Sandy Hill gave the report for the Beautification Committee. Mr. Lohman, Chair of the Roads Committee stated the POA is committed to improving their roads. He noted the POA spent $150,000 in the ten years prior to 2010 and has spent $600,000 since. He said the POA did not accomplish as much re-paving last summer because that money was required for patching after the harsh winter. He said after this mild winter he expects to be able to get to more paving. He said the plan for the 2012/2013 year should be available at the next Board meeting and will be posted on the POA website. Mr. Lohman invited members who have an interest to join the committee. Foxwood Hills Members Pat Neville and Mike Schaffer served as Inspectors of the Election. Joe Upchurch, who served as Chair of the Nominating Committee for the election of Directors, introduced the candidates for the Board of Directors Mari Nelson, Dennis Reid, Richard Richardson, Greg Sheperd and Randy Williams. Mr. Dickens gave the report for the Advisory Committee. He reviewed its function as a vessel to get information to the Board. He encouraged Members to attend the Advisory meetings which are held two weeks in advance of each Board Meeting. In her president’s remarks Ms. Patterson highlighted a few of the POA’s accomplishments which have occurred since the last annual meeting. She shared that the Board held a planning meeting at the beginning of the fiscal year when they developed a vision and a mission statement – with the vision being “Foxwood Hills, a Great Place to Live” and the mission, “to Pat Neville, Catherine Wylie, Lynn Arterburn, Janis McHaffey 3 Foxwood Hills is very complicated, primarily based on the deficiencies in the governing documents of the subdivision and the manner in which the subdivision was developed. Dealing with these problems has been difficult but we believe it is very important that these issues be addressed deliberately and with sufficient attention to permit the best possible outcome for the development. She applauded the Bylaws Committee for their time, commitment and the significant strides they’ve made in revamping our current Bylaws. She said the Board and the committee would continue their work together through the remaining issues to come up with a comprehensive set of Bylaws that can endorsed by all. Board of Directors She confirmed the POA would be getting a fire station. The building site has been plotted, a contractor has been selected, the design has been reviewed and the deed transfer is being drawn up for our signature. Construction should start in the next couple of weeks. While this accomplishment was due to the efforts of many, she recognized Eddie Rembert who worked hand-in-hand with the fire department and was instrumental in getting our own fire station here in Foxwood Hills. provide effective and fiscally responsible services in a manner that promotes a high standard of community life.” The Board also defined priorities and strategic directions. These ideas were presented to the Advisory Committee on May 7, 2011. This information is on the POA website. Ms. Patterson said POA efforts this past year revolved around 4 priorities - roads, covenants and restrictions, maintenance and upgrade of amenities, and communication. Ms. Patterson said two years ago the POA started working hand in hand with Goodmanagement. She said they are experts in association management and they serve as an extension of POA staff. She reported the Board had voted unanimously to continue the relationship for another year. This year they will devote a substantial amount of time assisting us to implement a structure for operating the restaurant that is most appropriate for the POA and they will manage the expanded accounting functions required in the POA’s operation of the restaurant. Goodmanagement will also be helping us through a very significant accounting transition later this year. She discussed the change that will be taking place in the operation of the restaurant which for many years has been leased to local operators. After much debate, and with input from many POA members and all the members of the Board, it was concluded that the best approach was for the POA to bring the restaurant operation in house. This will help to ensure the POA will have a restaurant offering excellent food and service at a moderate price. Because there is no money in the POA budget to start up a restaurant the Board voted to impose a user fee of $75 which will be redeemable for up to $100 worth of goods in the restaurant and/or lounge. It is the Board’s intention that this be a one-time fee. She said renovations of the lounge and restaurant are now in progress and will be completed by the time the pool opens. Ms. Patterson said during her six years on the Board she believed the Board, our employees and our many volunteers have been able to make many positive changes for making Foxwood Hills a great place to live. She said she felt privileged to have had the opportunity to serve Foxwood Hills. She said over the past six years a number of critical challenges occurred that had to be dealt with. And in most cases, satisfactory solutions were found that have resulted in implementing internal controls; revising accounting procedures; taking action on delinquent assessments She stated the Board was hopeful that members would have the opportunity to have a comprehensive set of revisions to the current Bylaws in time for the annual meeting; however, the POA attorney found over 60 areas that were considered not “defensible” in the proposals. As many of you know, the situation at 4 and back taxes; revising the Employee Handbook; overhauling our financial systems and doing business very differently. These changes have certainly helped to strengthen our POA. She said she leaves the Board feeling more optimistic about the future of Foxwood Hills. She encouraged the Board to continue with the efforts to revise the Bylaws and to improve communications with the membership. She thanked all members for their friendship and support. She recognized Greg Sheperd who was at the end of his term on the Board. She said Greg has brought a breadth of superior experience and has been instrumental and a partner in providing invaluable input in everything the Board has done. She said Greg has been the “go-to” guy helping the Board understand the overall financial picture of the POA. She said thanks to Greg’s expertise, the POA is moving closer to our mission of providing effective and fiscally responsible services in a manner that promotes a high standard of community life. She said Greg has always demonstrated a deep commitment to our work and has repeatedly played a key role in our success. Ms. Patterson then opened the floor for Member comments and questions. Their input included: • A variety of opinions were expressed, both positive and negative related to the Board’s move to operate the restaurant, and the related Board decisions imposing a $75 Restaurant User Fee on each property owner, renovating both restaurant and lounge areas, and the new rule restricting outside food and beverages into the pool area. • An inquiry was made about the member who was offering to serve as a liaison between members and the Board. • A member asked for additional information about the Board’s decision to close one of the two comfort stations at Kinston. Ms. Patterson next recognized her fellow Board members and POA staff for their efforts over the past year. Ms. Patterson then recognized POA volunteers and called on those most involved to come forward and receive a gift from the POA. Those volunteers included: Carol and Art Abazzia, Dave Alpers, Lynn Arterburn, Carol Cali, Buddy Carlton, Mark Cebulski, Cindy Colbeth, Jim Dickens, Chad Duncan, Leia Duncan, Wanda Fore, Doris and Richard Hickok, Sandy Hill, Bob Jones, Helen Kelly, Bev and Bob • A request that TESI be required to do a better job of maintaining their property. • A member asked about the POA’s bad debt accounts and what is done to pursue those. • A member encouraged the POA to offer a wider variety of activities. • A member who does not own a computer asked for suggestions to keep up with POA news. • Members expressed their appreciation for the time and efforts of the Board. At the conclusion of the Member comments Ms. Patterson announced that Greg Sheperd and Randy Williams had been elected to serve on the Board of Directors of the Association until after the 2015 annual meeting of the members. Our New Officers Following the Annual Meeting, the Board elected officers for the coming fiscal year. Greg Lohman, President Jim Dickens, Vice President Greg Sheperd, Treasurer Gene Neville, Secretary The proposed 2012/2013 Budget was approved by a vote of 175 in favor and 44 against. The Motion allowing the Association to defer taxes on revenues in excess of expenditures was approved by the members by a vote of 187 in favor and 34 against. President’s Corner As it was noted at our Annual Meeting, these are exciting times. We are starting a new year at Foxwood Hills with a lot going on. We are determined to continue to promote Foxwood Hills: A Great Place to Live. I am very privileged to be leading the board and neighborhood this year. With the dedicated staff we have I know we will continue to excel in all areas. Ms. Patterson requested that the Secretary enter the Certificate of Election and Voting into the minutes and that a copy of the certificate be posted by the Association. She congratulated the elected directors and thanked the other candidates for their interest and participation. Ms. Patterson adjourned the 34th annual 6 This year the board will focus in a couple areas: the completion of the remodeling of the clubhouse and opening of the restaurant. Everything at this time is on track for the remodeling to be completed before Memorial Day weekend with the restaurant being open for the holiday, then a grand opening in early June. The chef/restaurant manager has been hired and staff positions are being filled. If you need a place to host a special event you can reserve the POA’s community room for $75.00. Our staff is available for catering or can serve your group in the lower level event room. They will offer a variety of catering services and can develop a menu that fits your needs from appetizers to a full banquet on or off premises. Tom Kennedy, General Manager We will also be focused on bringing all covenants and restrictions together for Foxwood Hills. This is important for our neighborhood to function cohesively. The office is taking the time to pull original and current deeds for lots in FWH. This is a very slow and tedious job, but will save us thousands of dollars in attorney fees by doing it ourselves. I want to say thank you to all personnel involved in this process, I know it is tough but your work is greatly appreciated. 36% of Homeowners Have Paid Dues Thanks to all of the property owners who have paid their annual dues. As of April 1, 36% of Association member accounts are current. Collection Process: Fees due April 1 First Notice: 2nd week in May Second notice: 2nd week in June Notice to member of being sent to collections and lien: 2nd week in July Final Notice: 1st week in January Sent to Attorney for foreclosure: 4th week in March The roads are being evaluated as I write this and a plan for this year should be in place by the May board meeting. These areas plus many others will keep us busy this year. I want to thank all of you for your help and support as we go forward. About Mother’s Day – Remember your Mom on May 13 Greg Lohman, POA President Mother’s Day is intended to be a day to celebrate motherhood. Many churches and families in the United States recognize the second Sunday in May to honor mothers. General Manager’s Update Restaurant News – Welcome our Chef Many years ago, England observed a day to honor mothers in mid-Lent that was called Mothering Sunday. In the United Kingdom, Mothers’ Day is celebrated in March. We are pleased to announce that Chef Gary Veronee has accepted our offer to lead our food and beverage team. Chef Veronee has over 20 years of experience in the business, having spent most of those years working in South Carolina. He worked in several positions at The Cliffs Community: Chef at Keowee Springs, Sous Chef at Keowee Vineyards, and Chef at Keowee Towne Market. He also cheffed at Kiawah Island Club for three years. The first known suggestion of Mother’s Day in the United States was in 1872 by Julia Ward Howe. She suggested that people observe the day on June 2 as a day dedicated to peace. Others around the country campaigned for a Mother’s Day including Mary Towles Sasseen, Frank E. Hering, and Anna Jarvis. In 1908, Anna Jarvis of West Virginia began a campaign for a nationwide observance of Mother’s Day. She chose the second Sunday in May and started the custom of wearing a carnation. If a person wears a colored carnation, their mother is living. A white carnation signifies that their mother has passed away. Over the next couple of weeks, our staff, led by Chef Veronee, will be working on menus for the restaurant, lounge, and pool. We encourage and welcome any suggestions you may have. Committee would like to know too. Send the latest news about your neighbors to bpdog@aol.com! POA Website Fireworks are a wonderful way to celebrate holidays. But they must be used carefully. Choose an open area away from spectators, homes and buildings and dry vegetation. Use a garden hose to wet down the area before firing. As each device burns out, soak it using a hose or bucket of water. Place all used items in a covered, fireproof container and leave it outside and away from homes and buildings. “Fireworks are beautiful and add fun and excitement to holiday celebrations. But you must be fireworks smart when you use them!” say Bob Jones, POA’s Chief of Security. Be Fireworks Smart Before, During and After Your Fireworks Display Please visit the POA’s Foxwood Hills website. The site contains a Foxwood Hills POA Member Section for members in good standing only. Your login name is your Foxwood Hills account number and last name. There is no space between the number and the last name. If you have more than one account, use the lowest number. The Password is “Foxwood” and you’re strongly encouraged to change it immediately. You can do that in the Update Member Profile area once you login. The website provides the POA the capability to deliver newsletters and other information that will be of interest to our Members via email. Volunteers Needed Are you interested in planning and organizing the POA’s end-of-summer event and the annual Winterfest slated for December 1st? Be the POA’s next chair of events! We’re looking for someone who will chair the Social Committee. This entails overseeing, coordinating and managing activities and events for the POA. There are two subcommittees to the Social Committee: 1) events; and 2) activities. The activities subcommittee is co-chaired by Sandy Hill and Carol Abazzia. Your Proposed Building Projects Thinking about exterior improvements? Once the warmer days are here, are you looking to take advantage of them with a little work in the yard? It’s the perfect time to be outdoors, and maybe you are starting to plan a summer home improvement project. Please remember to submit your project to the ACC. The Highlights of Summer Happenings at and around Foxwood Hills Please direct questions about submitting architectural plans for your property to Tom Kennedy or Deborah Williams, ACC Chair, to ensure your project meets architectural specifications outlined in the Association Covenants and Bylaws. Foxwood Hills has so much going on this summer it is difficult to keep up with – unless you have signed up at our new website to receive our reminders by email. The ACC meets the 1st and 3rd Friday of each month. Fun things we’ll do more than once: - Coffee Social – every Wednesday from 9:00 a.m. to 10:00 a.m. Neighborhood Spotlight - THE POOL season will run May 19 until September 8. The hours of operation are everyday from 11:00 a.m. until 8:00 p.m. You must show your current member card and identification to Do you know a couple celebrating their 25th or 50th wedding anniversary? Is your neighbor’s daughter expecting her first baby? The Communications 8 use the pool. - Attend Bible Study at 10:00 a.m. on May 15, June 19, and July 17. - Come play BUNCO on May 21, June 25, July 30, and August 27 from 7:00 p.m. to 9:00 p.m. Bunco is a social dice game involving 100% luck and no skill (there are no decisions to be made), scoring and a simple set of rules, so easy to learn. Lots of laughter is included! - Greeting Card Workshops - Be creative and come make your own greeting cards! It’s really simple – join in on the fun at 10:00 a.m. on May 10, June 7, July 5. Bring your lunch! - Greeting Card Classes – Come learn how to make your own greeting cards in an instructor-led environment from 7-9 pm on May 30, June 27, and July 25 (a $10.00 fee applies). BINGO is Back – come play on June 9 and July 28 at 7:00 p.m. All events are held at the Huntsman Clubhouse. Each dollar you raise will help save lives. How far will you go to make a difference in the fight against cancer? Your reasons for walking in the Relay for Life are as unique and special as the story that motivates you. This is your opportunity to not only honor cancer survivors and remember people we have lost, but also to raise funds and awareness to help save lives.
