Orders received from different clients are only pooled for the purposes of applying and calculating discounts if AS&S has received either (a) an up-to-date confirmation from the fiscal authorities in charge that the clients form a single business entity for the purposes of fiscal assessment,
or (b) an up-to-date confirmation from a certified public accountant to that effect, and if the relationship between the clients constitutes an entity pursuant to article 290, section 1, paragraph

THE RATES SCHEME OF „DAS ERSTE“
From doing business with us, you will already be familiar with ARD as a network of regional affiliates. We would like to pass on to you the benefits of this structure. For this reason, ARD allows
you, as a single client, to split your national advertising campaign by region – under the same
terms and conditions as a nationwide commercial. This means that you may submit different motifs within the advertising volume booked, allowing you to localize your communication and adapt it to the structure of your sales network.
Please note that rates are calculated disproportionately, based on the total running time of the spot.
For spots running 19 seconds or longer, rates are calculated on a linear base.
However, it is necessary for all motifs booked for the same time slot to be identical in length. This
also applies if a single client opts to advertise different products within a national booking. Please take this into consideration in your instructions.

For select formats or broadcasts, we reserve the right to apply surcharges for placements at the

You can place your order and book your time slots centrally with AS&S. Upon receipt of your order, AS&S will acknowledge receipt and send you a schedule. You will also receive the invoice and
the time table for the upcoming broadcast month. This time table will allow you to indicate products or motifs (from the same client) by region, as well as details of royalty payments.
You will receive broadcast confirmations from the regional ARD advertising subsidiaries for their
respective region.

TIE-IN ADVERTISING
Failure to settle an invoice in due time will entitle AS&S to withhold execution of the order pending
receipt of payment or to withdraw from the remaining part of the contract without prejudice. In
such case, the client shall not be entitled to compensation of any kind. The client shall be held liable
for all resulting damages.
Cf. General Terms and Conditions, article 8.
AGENCY FEES
The agency commission amounts to 15 percent. This commission will be paid provided that the
advertising agency was in charge of handling the order.
TERMS OF PAYMENT
a) For business partners in an active business relationship, advertisements are usually invoiced on the
fifth day of the month preceding the broadcast. Invoices are payable within 25 days of the invoice
date, net and without deductions. A discount of 2% is granted for payments received within 10 days
of the invoice date. The same conditions apply accordingly for invoices dated after the fifth day of the
broadcast month.

Technical Requirements
The video tapes have to be produced and manufactured in accordance with the “Technical Guidelines
for the Production of Television Programs” (published by the Institut für Rundfunktechnik [IRT]) and
supplied with record cards that allow an unambiguous identification. Upon prior arrangement

b) First-time clients located outside of Germany are required to make an advance payment prior
to the first broadcast. Payments must be received no later than three working days preceding the
first broadcast. All bookings are customarily invoiced in the month preceding the broadcast. Provided that the requirement for advance payment stipulated above is fulfilled, invoices are due within
25 days of the invoice date, net and without deductions. A discount of 2% is granted for payments
received within 10 days of the invoice date
c) No discounts are granted for sponsoring. Exceptions may be arranged on an individual basis.
For nonnegotiable checks, the day of receipt by AS&S constitutes the day of payment, and for bank

GENERAL TERMS AND CONDITIONS

Orders from advertising agencies are only accepted if the advertiser is identified by name. If
the advertising agency involved gives its approval, it may be replaced, upon agreement with
AS&S, by another advertising agency in the course of order processing.
5 Written form
All contracts concerning the acceptance of a placed order must be set down in writing or
must be confirmed electronically. The same shall apply to supplementary agreements and
amendments.
1 Conclusion of contract
The advertising companies which have joined forces to create the ARD advertising consortium
(referred to hereinafter as “ARD-Werbung”), represented by the company ARD-Werbung
SALES & SERVICES GmbH (AS&S) as named in the price list and commissioned to perform
the tasks specified below, undertake to handle orders for television advertising within the
available broadcasting times and to be broadcast in the timeframe envisaged for this by the
ARD broadcasting companies BR, HR, MDR, NDR, RBB, RB, SWR, SFB, SR, WDR on the television
channels operated by them. WDR’s “first” television channel (“Das Erste”) is also broadcast
via the ASTRA 1B satellite. AS&S shall execute such orders in the name and behalf of the
ARD advertising companies and pledges to execute confirmed orders duly and correctly in
accordance with the conditions stated herein below. AS&S shall represent each advertising
company individually and not jointly.
6 Right to refuse orders
AS&S reserves the right to refuse orders. Even if an order has been accepted with legal effect,
AS&S reserves the right to refuse broadcasting material on account of its origins, contents
or technical form, particularly if the contents of a spot violate legal provisions or conflict
with the interests of the broadcasting company. Such decisions are based on a uniform set
of principles. The customer shall be informed immediately of any such decision and of the
reasons for refusal.
7 Prices, discounts, invoicing
7.1 AS&S invoices the prices as set out in its valid price list, and grants the discounts, agency
commission fees and deductions stated in this list. Deductions are granted in the invoice on
the basis of the gross order value (excluding VAT) agreed upon for the contract year in which
the advertisements are placed. These are calculated retroactively, at the latest at the end of
the contract year, according to the actual transacted gross sales. For the purpose of price
calculation, the run time of film copies is calculated on the basis of their actual length. The
length of an advertisement is calculated on the basis of the first and last discernible audio
or video signal. If an advertisement exceeds the time unit specified in the price list, the price
of the next higher time unit shall be applied. Sponsoring and “Best Seconds” are not included
in the total sales volume used for calculating discounts. On the contrary, the prices for these
types of advertisement are agreed upon individually.
7.2 All agreed conditions (incl. price reductions, early payment and volume discounts etc.)
apply directly to the customer placing the order.
7.3 Unless another currency is explicitly specified, all prices stated shall refer to the net
amount in Euros, plus VAT as valid at the time of performance.
7.4 AS&S reserves the right to make surcharges for first spots in cases involving special
formats or broadcasts (both during the early evening program and in sports environments).
The customer shall receive advance written notification of such surcharges.
2 Conformity to legal requirements
Advertising placements must conform to current legislation and treaties on establish¬ment
of the ARD’s regional broadcasting companies BR, NDR, HR, MDR, RBB, SFB, SR, SWR, WDR
as well as to the German Interstate broadcasting treaty [Rundfunkstaatsvertrag] and the
recognized codes of practice of the German Advertising Association (ZAW) and the German
advertising standards board [Deutsches Werberat]. Advertisements for political purposes of
any kind whatsoever, as well as for religious and philosophical views and beliefs are excluded.
This also applies for the use of corresponding statements in the advertisement.
According to the valid version of the German Interstate broadcasting treaty
[Rundfunkstaatsvertrag] (§7 Clause 8 StV): “Television advertisements may not feature
individuals who regularly present news or current affairs programs”.
3 Single orders
Only single orders in which the advertiser is clearly named are accepted for a product or
service to be advertised.
4Involvement of advertising agencies
If an advertising agency places an order, it does so in its own name and on its own behalf.

7.5 In order to achieve a harmonious transition from the program element to the advertisement
and vice versa, the supplier is entitled to fade the advertising spot in and/or out over approx. 1
% of its total length.
Such transfer of rights also includes the right of AS&S to make a recording for any person who
can plausibly give written proof of an encroachment of his rights and to deliver such recording
to him. AS&S is not obliged to check the legitimacy of use of the broadcasting material. AS&S
shall also be entitled to make a recording for third-party customers for the purpose of listening
to/viewing the entire advertising block in which the advertising spot of the customer may be
contained/included in part or as a whole along with the advertising spot of the third-party
customer. In connection with delivery of the recording to third-party customers, AS&S shall
point out that no use beyond that of the aforesaid purpose
is permitted.
Should any claims be made against AS&S by a third party owing to the use of the broadcasting
material made available to them, in particular video or audio recording media, the customer
shall indemnify AS&S against any damage or costs incurred in this connection.
8 Joint advertising
Joint advertising is subject to approval by AS&S in all cases.
9 Contract year
Orders are processed within one calendar year. The contract year is the calendar year.
10 Responsibility for content
The customer is responsible for the contents of the audio and video material submitted to
AS&S. He is liable for its legitimacy and indemnifies AS&S from any claims by third parties.
12 Submission of broadcasting material
12.1The customer shall undertake to submit the material for the respective broadcast to AS&S
at the latest by the acceptance date stated in the price list or by a specially agreed acceptance
date, but at least 10 working days before the broadcast is due. If broadcasting material is
not supplied on time, or is supplied in a form which is not technically acceptable, or if such
material is refused pursuant to Clause 6 of these General terms and conditions and cannot
be broadcast for any of these reasons, the customer shall still be obliged to pay for the agreed
broadcasting time.
In such case, however, AS&S is obliged to offer the customer a substitute date and time, if
this is possible. If a spot has been refused for reasons which are the fault of the broadcasting
company and/or the marketing company, the customer is entitled to withdraw from the
contract. In the case of loss of or damage to the broadcasting material sent to AS&S, the
liability of AS&S is limited to replacement costs for making a new copy.
12.2The customer is obliged to provide AS&S with the details required for settlement with
the GEMA, in particular the producer, composer, title and duration of the music used, together
with the placement schedule. Before or at the time of submission of the placement schedule,
the customer has to explicitly declare whether industrial records or tapes have been used
to produce the broadcasting material. In this case the customer is obliged, in addition to
aforesaid details, to provide the name of the label, the label code, as well as the title and
number of the audio recording medium. If no such declaration is submitted the customer
affirms that no industrial audio recording media have been used in creating the broadcasting
material.
11 Rights of use
The customer guarantees that AS&S will only be sent broadcasting material for advertisement
placement, in particular audio and video material, for which he, the customer, has acquired
and paid for copyright and performance protection rights required for utilization on television;
this shall also apply if industrial recording media (industrial records and tapes) have been used
to create the broadcasting material. Excepted from this are the broadcasting rights and the
duplication rights for music works included in the GEMA repertoire required for production of
the broadcasting tape, such duplication rights having been acquired and paid for by the ARD
advertising companies by way of contracts with the GEMA.
The customer transfers to AS&S the rights of use of the broadcasting material sent by him, the
customer, such rights applying in time, place and content to the extent required for executing
the order. This also includes the right to transfer such rights of use to the broadcasting
company or companies or to a third party commissioned to handle the broadcast. The rights
of use shall in all cases be transferred without limitation in terms of place and shall entitle
the broadcaster to broadcast the material using all known technical processes and in all
known forms of television. Such rights shall also include the right to simultaneous unchanged
exploitation in all kinds of online media, including the Internet, i. e. the right to broadcast the
spot in such a way that it is broadcast to a number of potential users by way of analog, digital
or other storage and data transmission technologies via electromagnetic waves through all
kinds of transmission networks or by wireless transmission so that these are able to receive
and reproduce the spot parallel to all other forms of television via online media (e. g. Internet),
irrelevant of what receiver device is being used (Simulcast).

13 Adherence to broadcasting times
Agreed broadcasting times are adhered to wherever possible; however AS&S does not
normally ensure that the advertisement will be broadcast at a specific time, in a specific
order in conjunction with a specific framework program or that the so-called exclusion of
competition will be observed. Sub-clause 7.4 is not affected by this.
16 References in other forms of advertisement
Reference to an advertisement placed with AS&S may only be made in other advertising
media if it is made quite clear that the said advertisement is not part of the general television
program but is a placement in the commercial advertising block. No formulations which
associate advertisements with the broadcasting companies showing them are permitted.
14 Rescheduling of advertisement broadcast
14.1If an advertisement cannot be broadcast at the envisaged time due to program changes, or
if it is cancelled due to a technical fault or operational interruption for other reasons, it will be
rescheduled to be broadcast earlier or later. Before the advertisement can be rescheduled, the
customer must give his approval, unless the time by which it is being rescheduled is negligible.
Rescheduling of a spot is negligible if it remains within the same editorial environment and
the new broadcasting time is no more than 15 minutes earlier or later than the originally
scheduled time of broadcast. If it was not possible to obtain the required approval or if this
was not subsequently given, the customer can demand substitute broadcast at comparable
conditions, if the availability of slots permits this. If this option is not possible, the customer
can claim for reduction of the price due to bad or reduced performance. Any further claims are
excluded.
14.2AS&S is obliged to reimburse the fee if the advertisement has not been broadcast due to
interruption of all transmission channels belonging to the “First Program” (Erstes Programm),
except if broadcasting of the advertisement would have been rescheduled for earlier or later. If
only some of the transmission channels are interrupted, AS&S shall reimburse a proportionate
share of the fee if more than 10% of registered TV receivers were not able to receive the
broadcast. The customer can make no further claims beyond this, especially if there has been
an interruption in broadcasts by satellite.
The input of suitable regional TV signals into the German cable network is the responsibility
of the respective network operators. In this respect, AS&S and/or the advertising companies
represented by AS&S accept
no liability.
17 Force majeure, customer’s withdrawal from the contract
17.1 In the event of force majeure, either of the contracting parties may withdraw from the
contract with immediate effect, unless AS&S has already delivered the service. AS&S is then
obliged to reimburse the customer’s fees for the cancelled advertisement placement(s). The
customer has no right to further claims. Force majeure includes, in particular, civil unrest, fire,
power failure, storm damage, strikes, lock-out, damage due to construction work and similar
events beyond the control of AS&S.
17.2In all other cases, the customer must send a written withdrawal request which must be
received by AS&S at least 6 weeks before the first of the broadcasts which are to be cancelled is
due. If the customer fails to meet this deadline, AS&S can refuse acceptance of the withdrawal
if it is not able to sell the contractually agreed broadcasting times to other customers.
17.3Withdrawal pursuant to 17.2 is not possible in the case of fixed orders (e. g. booking of
“Best Minute”).
18 Credit notes
If the customer is entitled to reimbursement, AS&S shall issue a corresponding credit note to
the customer, and this shall be deducted from the next invoice.
19 Customer’s liability
If the customer, the advertiser or his vicarious agent violates a contractual obligation, the
customer shall indemnify AS&S and the company broadcasting the advertisement against
any third party claims. This also applies to the costs of reasonable legal defence.
20 Price changes
Changes to prices in ongoing contracts do not come into force until at least one month after
notification has been sent to the customer. In such event, the customer can withdraw from
the contract at the time the change comes into force. He must notify AS&S of this withdrawal
immediately, at the latest within 10 days of the change being announced.
15 Rescheduling due to the identity of persons
AS&S reserves the right to reschedule the broadcasting of an advertising spot to another day,
if possible at an equivalent time of day, if the advertisement features persons well known on
TV and who are due to appear on the program of “Das Erste” on the day the advertisement
broadcast was originally planned. Clause 14 Subclause 1 Sentence 2 shall not apply here.

in the course of cooperation, and pledge not to use such information for their own or other
purposes, but only as far as is necessary for duly and properly performing the tasks within the
bounds of this contract.
All information and documents of a party are confidential if they are marked in writing as
being confidential, or are obviously confidential by their very nature, in particular company
and business secrets.
23.2Publications of any kind whatsoever which are connected to this cooperation are subject
to prior approval of the other party. AS&S is entitled, however, to use the name of the customer,
his brand and logo and information on the order for reference purposes, provided that the
aforesaid secrecy obligations are fulfilled.
21 Offset of claims, right of retention
21.1The customer may only offset his claims against counterclaims if such claims are
undisputed or legally enforceable.
21.2Any claims of the customer to right of retention shall be excluded if the counterclaims are
from another contractual relationship. If the counterclaims result from the same contractual
relationship, claims to right of retention are only permissible if such counterclaims are
undisputed or legally enforceable
22Warranty rights/liability on the part of AS&S and/or the advertising companies
it represents
In the case of bad or reduced performance on the part of AS&S due to circumstances beyond
the control of AS&S, the customer’s warranty rights are limited at his discretion either to
a replacement broadcast at an equivalent time or a reduction of the price in proportion to
the extent of the bad or reduced performance. Reduced performance is acknowledged, for
example, if more than 10% of the technical coverage as documented in the IVW (German
Circulation Control Board) audit was not achieved, or the broadcast was of inferior quality.
The customer’s warranty rights lapse after 12 months. Any further claims by the customer, in
particular for compensation instead of delivery and claims for replacement of any other direct
or indirect damage – including ancillary or consequential damage, on whatever legal grounds
– are excluded. This shall not apply if
a) AS&S has maliciously concealed a legal defect or defect of quality or has given a guarantee
for the absence of such defects or for the quality of performance;
b) the damage is due to intent or gross negligence on the part of AS&S, one of its legal
representatives or vicarious agents or to negligent breach of any essential contractual
obligations on the part of AS&S or one of the aforesaid persons;
c) culpable breach of obligation on the part of AS&S, its legal representatives or vicarious
agents has led to bodily injury or damage to health;
d) liability is established pursuant to the German Product Liability Act, [Produkthaftungsgesetz]
.
In the case of simple negligence, AS&S’ liability is limited in amount to foreseeable damage
typical of the contract concerned.
24 Final provisions
24.1lf individual provisions of these general terms and conditions should be invalid, the
validity of the remaining provisions shall not be effected.
24.2
Place of performance and jurisdiction is Frankfurt am Main.
24.3
The laws of the Federal Republic of Germany shall apply.
