Important Cooperative Matter As we approach our 29th year, we have reached another milestone. In 2008, CROPP membership voted and passed an Article’s change to increase authorized Class E from 500,000 shares ($25 million) to 1.5 million shares ($75 million). By the end of 2015, Class E could reach $70 million. With continued reinvested dividends and current farmer and employee investment alone, we expect to exceed $75 million in 2016. We are running out of capacity! Your Board of Directors and Management Team are proposing the following: • Increase Class E Preferred Stock capacity from 1.5 million shares ($75 million) to 3 million shares ($150 million) • Be prepared for Class B over base transfers to Class E • Be prepared for additional capital financing flexibility It is important to emphasize that your Board of Directors and Management will decide how much of the additional $75 million authorized will be offered for a given time period. At any time, the Board may stop, or slow down Class E Preferred Stock with a Board motion. Farmer-Owner Driven Major CROPP Cooperative decisions continue to be member/owner driven. Only Member owners (Class A Common Stockholders) and Member Class B Stockholders will vote on the increase to available (authorized) Class E shares. With their very limited voting rights, Class E shareholders will not vote on this proposed increase to Class E shares. In early December 2015, all members (Class A Shareholders) will receive one Common Stock voting ballot. If a member has Class B Preferred Stock, they will also receive one Preferred Stock voting ballot. Vote!
