AN ORDINANCE Relating to the Registration of Firms. BE it ordained by the Governor - General of the Commonwealth of Australia, acting with the advice of the Federal Executive Council, in pursuance of the powers conferred by the Northern Territot y Acceptance Act 1910-1919 and the Northern Territory (Administration) Act 1910, as follows :--Short title. 1. This Ordinance may be cited as the Registration of Firms Ordinance 1923. Definitions. - 2. In this Ordinance, unless the contrary intention appears" Foreign firm " means any firm which is registered in any country not being part of the British Empire ; " Registration " includes the filing or lodging of any document, or the taking of any step, which is required to be filed, lodged ór taken before a firm can trade or carry on business in the Territory ; " The Registrar " means the officer in whom is vested, in pursuance of this Ordinance, the powers and functions of the Registrar under the Registration of Firms Act. " The Registration of Firms Act " means the Registration of Firms Act 1899, of the State of South Australia. Application of State Act' 3. Subject to this Ordinance the Registration of Firms Act shall continue to apply in the Northern Territory. Powers and functions of Registrar under Act vested in Registrar of Companies. 4. For the purposes of this Ordinance the Registrar of Companies of the Northern Territory shall have and may exercise all the powers and functions of the Registrar under the Registration of Firms Act in relation to the Northern Territory. stration of firms the members of which are not all British subjects. If any persoh. or firm, without the consent in writing of the gale of 101146 Administrator, transfers or disposes of the assets (other than stock .in er ó tetee trade) of any firm registered in the Territory to ñF +ie (a) any person or body of persons ; or (b) the nominee or representative of any person or body of persons, ordinarily residing or carrying on business outside of the British Empire, such person or firm, as the case may be, shall be guilty of an offence. Penalty : One hundred pounds or imprisonment for six months. 8.(1.) The Administrator may, in his absolute discrétion, consent Discretion of to any application under this Ordinance or refuse to consent to it. i nd $ wti, applications. (2.) The Administrator may attach to any consent such conditions as he thinks fit. (3.) 'An' ny person who fails to comply with any of the conditions attached to the consent of the Administrator shall be guilty of an offence. Penalty : One hundred pounds or imprisonment for six months. (4.) The consent of the Administrator to any application made under this Ordinance shall not be made use of by any firm, or by any person on its behalf, in furtherance of the objects of the firm, and any public notification of the fact of such. consent skáll include a statement in the following terms :--- " The fact that the Administrator has consented to (here insert the nature of the consent granted) is not to be taken. in any way as a guarantee of the actual or probable financial stability or success öf the firm." . 9. Before the consent of the Administrator is given to any appli- consent of cation made° under. this Ordinance there shall be furnished to him in úówá taiiñ á& writing particulars of the proposal and such further information as he requires. . 1 0.(l.) Whenever a registered firm is dissolved, . whether by Notice of mutual consent or by operation of law or otherwise, or ceases to carry liZiuti.on of on business under its registered firm name without changing its firm cf. name, the late or surviving members or the members of the firm, as só8vna the case may be, shall within fourteen days thereafter send by post No' 27, s. 9' or deliver to the Registrar a notice, attested before a Justice of the Peace, or a Commissioner for Taking Affidavits or a Commissioner for Declarations, in accordance with Form A in the Schedule. Penalty : Twenty pounds. (2.) Every such notice shall be accompanied by the prescribed fee. (3.) The late or surviving members or the members of thé rrgi.stered firm, as the case may be, shall be jointly and severally responsible for furnishing the notice and for the payment of the prescribed fee. (4.) Upon the receipt of the notice the Registrar shall cancel the registration of the firm. 11. --(1.) Every officer having duties connected with applications °mew made under this Ordinance shall, before entering upon his duties, od se ßÿn make before a Justice of the Peace, or a Commissioner for taking Affidavits, or a Commissioner for Declarations, a Declaration of Secrecy in accordance with Form B in the Schedule. (2.) For the purposes of this section the disclosure-of information by a parson called by the Crown as a witness in any proceedings instituted by the Crown shall be deemed to be made in the course of his duty. 12. Any person, who makes to the Administrator or to any officer False having-'duties connected with applications under this Ordinance, any statements. statement, whether verbal or in writing, which is untrue in any particulär, shall be guilty of an offence. Where any business name under which the business of a misleading business names' firm or individual is carried on contains the word " British " or any Cf. 6 and 7 Geo. V., oh, . 58, other word which, in. the opinion of the Administrator, is calculated s. 14 (1). to lead to the belief that the business is under the ownership or control of British subjects, and the Administrator is satisfied that the nationality of the persons by whom the business is wholly or mainly owned or controlled is at any time such that the name is misleading, the Administrator shall refuse to consent to the registration of such business name or, as the case may- be, cause such business name to be removed from the register, but any person aggrieved by a decision of the Administrator under this provision may appeal to the Minister whose decision shall be final. Delegition by Administrator. . 14.(l.) The Administrator may by writing under bis hand delegate all or any of his powers and functions under this Ordinance (except this power of delegation) so that the delegated powers and functions may be exercised by the delegate as fully and effectually as by the Administrator. (2.) Every delegation under this section shall be revocable at will, and no delegation shall preAnt the exercise of any power by the Administrator. Regulations. 1 5.(1.) The Administrator may make regulations not inconsistent with this Ordinance prescribing all matters or things which are required or permitted to be prescribed or which are necessary or convenient to be prescribed for carryingout or giving effect to this Ordinance, including the fees (if Jiny) to be paid under this Ordinance. (t.) All such regulatiOns shall be notified in the Gazette of the Northern Territory and shall thereupon have the force of law., (3.) The Minister may. by notice in the Gazette disallow any regulation and thereupon such regulation shall cease to have effect. THE SCHEDULE. Form A. THE NORTHERN TERRITORY OF AUSTRALIA. IN pursuance of section 8 of the Customs Tariff (Industries Preservation) Act 1921 71922, I, Arthur Stanislaus Rodgers, Minister of State for Trade and Customs, hereby notify that, after inquiry and report by the Tariff Board, I am satisfied that the exchange value of the currency of Germany, being the country of origin or export of the undermentioned goods, has depreciated, and that by reason of such depreciation those goods have been or are being sold to an importer in Australia at prices which will be detrimental to an Australian industry, and that in my opinion die provisions of section 8 of the said Act' should apply to those goods :Paper Feeding and Folding Machines, combined or separate, originated or (T. & C. 23JC.J40.) exported from Germany. - This notice may be cited as " Industries Preservation Act Notice No. 40," and shall have effect as on and from . the 15th November, 1922.
