Now, this album has to be called Neon,’” recalls Jay Sean, who is back on track with his 4th album after 2011’s infamous Freeze Time legal issues. “Freeze Time was an album that I was writing on at first, and then, unfortunately, I had a lawsuit with people who had gotten involved in it. They stopped my album from coming out, and my music from being played on the radio for a year and a half," he says, expressing the ramifications of the legal process and its effect on the project. The two singles that capture the depth of Neon, per Jay Sean: Where You Are and Mars (feat. Rick Ross). “To me, this record is a work of art," he concedes. "When I finally put it out to the world, I have to be able to hold my head up high and be proud of it." On another gratifying note, Sean recently signed The Janoskians - whom he refers to as “a comedy crew from Australia” - to his company, Camouflage Entertainment. “They just sold out a world tour within like half an hour, so they are gonna be huge,” he predicts confidently. Makes More Noise This acclaimed artist always keeps us on our toes with rhythmic beats and rambunctious visuals. In 2000, the Sri Lankan born, London bred Mathangi “Maya” Arulpragasam was encouraged, by electro-clash icon Peaches, to make music on a Roland MC-505 Groovebox. Maya pulled lyrics from journals she had written during a 4 month trip to the Caribbean island of St Vincent. In 2005, she released Arular, selling 130,000 copies in the U.S. and reaching mainstream charts in Europe and the U.K. It was considered as much a political statement as a musical one. In 2007, Kala was released. Once again, it received unanimous international critical praise. It topped multiple “Best of the Year” lists in publications around the world, which cite its deft mixture of politics, social consciousness, and inimitable genre-blending. In 2008, the single “Paper Planes” brought Maya worldwide mainstream acclaim and was nominated for a Grammy for Record of the Year in 2009. The song was also featured in the film Slumdog Millionaire, in addition to M.I.A. contributing vocals to the Oscar nominated track from the film, “O… Saya.” 2010 saw the release of, /\/\/\Y/\, which received early praise from the media with Rolling Stone commenting, “M.I.A’s latest is as challenging and awesomely out-there as the title of her album /\/\/\Y/\.” /\/\/\Y/\ went Top 10 on the Billboard 200 album chart and #1 on the Dance/Electronic chart. On Dec. 31, 2010, she put out the acclaimed mixtape VICKILEEKX. In 2012 M.I.A. released the song “Bad Girls” which is featured on the recently released soundtrack to the movie “Bling Ring” and will also be included on her fourth studio album Matangi due for release in the fall 2013. The video for “Bad Girls” was nominated for both a Grammy and MTV Video Music Award. Now, as M.I.A. readies Matangi for release, new track “Bring The Noize” was released worldwide on June 18th. “Bring The Noize” was produced by Switch and Surkin. Taylor Finally, a sea change in the ability of entrepreneurs to access vast amounts of untapped investment capital. On July 10, 2013, the SEC published the final rules for the Jumpstart Our Businesses Startups Act (the “JOBS Act”), which was formally signed into law April of 2012. The new rules go into effect September 23, 2013. The purpose for the JOBS Act was to spur job creation by making it easier for start-up entities to access investment capital. The legislation revamps the 1933 and 1934 Securities Act requirements which placed restrictions on advertising newly issued and traded securities. The new SEC rules remove the ban on the advertising of private offerings to the general public. Entrepreneurs and start-up entities will now have access to more modern means of soliciting investment opportunities and advertising to a broader swath of potential investors. The new rules allow for the raising of capital through advertising to the general population. Specifically, the new Rule 506(c) of Reg D provides that the prohibition against general solicitations and advertising shall not apply to offers and sales of securities under Rule 506 so long as: The terms of Rules 501 (Definitions), 502(a) (Integration of Offering) and 502(d) (Limitations on Resale) are satisfied; All purchasers of the securities are accredited investors; and The issuer takes reasonable steps to verify that the purchasers are accredited. “Accredited Investor” is defined in Rule 501(in addition to banks and financial and other institutions) as an individual having earned $200,000 in the two recent consecutive years ($300,000 for married couples) or having a net worth of $1 million. One caveat under the JOBS Act is that the entrepreneur must reasonably attempt to verify that an investor is an Accredited Investor. There are certain non-exclusive provisions for determining whether a natural person is an Accredited Investor. 48 360 MAGAZINE The entrepreneur may: Review copies of IRS forms reporting income for the past two years along with obtaining a written representation from the investor that he or she has a reasonable expectation to reach the Accredited Investor income level for the current year; Review recent financial documents showing that the investor meets the Accredited Investor net worth requirement, along with obtaining a written representation from the investor that all liabilities have been disclosed; Obtain a written confirmation from a registered broker-dealer or investment adviser, licensed attorney or CPA that such person has determined, using reasonable steps within the last three months, that the investor is an accredited investor; or According to a recent article in Forbes magazine, there are over 8 million households in the United States with a total net worth of $1 million. All of these households are now fair game for the advertising of new offerings in existing or start-up enterprises. The new rules would also require that the company issuing securities first provide a copy of all solicitation materials to the SEC pursuant to Rule 506(c). The JOBS Act goal is to decrease the cost of capital formation. This change opens the floodgates for investment capital into new and existing businesses, with the hope of spurring job creation. It changes the existing model which has been in place for approximately 80 years. The relaxed rules are a double-edged sword. Along with such open advertising comes the potential for fraud and misleading schemes for which existing securities laws will remain applicable and transgressions prosecuted. However, the new SEC rules could spur a new American era of funded innovation, even as large financial institutions continue to sit on capital due to the uncertain economic environment. Stay tuned … as this is arguably one of the boldest and most innovative moves by U.S. regulators in recent years. For any investor who previously invested in an offering as an Accredited Investor prior to September 23, 2013, obtain a certification by such person that he or she qualifies as an Accredited Investor at the time of the new sale. 360 MAGAZINE 49 Making Your Health and Fitness a Top Business Priority Tony Little Most successful people have accomplished their goals through strong discipline -- with hard work, focus and achievement becoming a way of life. But a busy lifestyle usually has a price, giving these same individuals less time to take care of their health and fitness…unless they make it a priority. It’s ironic, but the busier and more stressed out you are, the more you need to make absolutely sure you maintain a steady workout regimen, and watch what you eat and drink. The temptations to fall off the fitness wagon are strong, but if you take the same approach to living a healthy lifestyle as you do with your business or profession, you’ll be one step ahead. My number one recommendation is to schedule your workout in the morning. I realize it may not be easy to wake up early, but if you do, there’s a huge payoff. You’ll find that you have infinitely more energy throughout the day and your creativity levels will be higher if you exercise before you get into work. Once you get into the office, it’s extremely difficult to leave, even if you’re the boss. Actually make that especially if you’re the boss! Even if you try to schedule your workout until after hours, you run the risk of running into any of a million things that will prevent you from leaving work. A project that forces you to stay late, a marathon conference call or a dinner meeting -- they can all delay you until it’s too late. Despite my reputation for healthful living and eating properly, I appreciate going to a restaurant and having a nice plate of pasta bolognese or a glass of wine as much as the next guy. However, I know I can’t afford to do this everyday or I’ll have hell to pay. I am a big believer in what I call the “temple theory.” For five days out of the week, my body is a temple and I treat it accordingly, being very careful with what I eat and drink. Then, for two days, my body is an amusement center, and I’ll allow myself to indulge in which I want. It’s a system that works extremely well because it keeps your body healthy, while still letting you enjoy life. Even if you’re actually able to schedule your workout in the evening, its quality will be inferior because you’ll be tired. In addition, it may negatively affect your sleep by forcing your energy level up at the wrong time. Keep in mind that there’s a big difference between getting up early for your workout and sacrificing sleep. While a lot of type “A” personalities seem to get by with only a few hours of sleep a night, it’ll eventually come back and bite you in the end. Your body needs to recharge, especially after a busy day. Getting lots of rest will keep you energized during the day, while helping you to look and feel younger. Socializing is one of the major complicating facts of life of the business world. Everybody seems to want to get together for lunch or dinner, or go out for drinks in the evening. Most of us find it enjoyable, but it can wreck havoc on your daily routine…and your body. 50 360 MAGAZINE 360 MAGAZINE 51 Good health and fitness can be a huge challenge to anybody, but even more so for busy professionals. The best advice I can offer is to approach your health with the same attitude as your career, prioritizing the things that you know will lead to success. You probably didn’t achieve business success overnight, so you probably already know that meticulous planning and execution is always a winning formula. Still, I understand the pressures of having a martini glass thrust in my hand, while some business associate is telling me to “Go on, have a drink!” Or having the dessert tray, which has every one of my favorites, waved in front of my face. I feel the same personal temptations that you do, but what stops me from giving in is being aware that I have to approach my diet with the same discipline as I do my business. When it comes to peer pressure, actually, that part is pretty easy. I’ve found that most people really respect others who are in control of their lives and their personal choices, while maintaining a positive attitude. While that inebriated business associate may be teasing you about your drinking nothing but mineral water, trust me, he’s really envious that he isn’t in control of his life as you are. There are a lot of distractions out there threatening to derail you from your various goals in life. But if you make your own wellness a priority, you’ll be able to enjoy your hard-earned business victories that much more. And if the timing is right, you can celebrate and indulge yourself with a glass of a premium wine, along with your favorite meal and dessert! tonylittle.com Make wise choices in what you eat. Try to avoid refined carbs and sugars, which are lacking in nutrients, and can disrupt your metabolism, while leading to unwanted weight gain. I try to maintain a balance of 40% protein, 40% complex carbohydrates and 20% fat, so that means a lot of appetizing foods like chicken, fish, bison meat with fresh fruits and vegetables, sweet potatoes and baked potatoes. Honestly, healthful eating doesn’t mean it has to be boring or tasteless! Also, be sure to drink lots of water. And I mean LOTS, not just during your meals. Coffee and tea are okay in the mornings, but it becomes a problem later in the day, because it will affect your sleep. Water is basically the fountain of youth, so I’m drinking constantly throughout the day to keep well hydrated. RJ Mitte co-stars on the Emmy-winning AMC drama, Breaking Bad, as the son of the cancer-stricken high school science teacher turned drug manufacturer played by Bryan Cranston. Just as his character on the show, Walter White Jr, has cerebral palsy so does Mitte, although Mitte’s is a milder form of the disability. RJ starred as Tim in the fantasy thriller feature film House of Last Things which screened at the Paris Film Festival. RJ appears in the documentary film “CineAbility.” It is a detailed look at the evolution of disability in entertainment and features a who’s who of Hollywood: RJ, Ben Affleck, Jamie Foxx, Gary Sinise and David Milch, among others. He recently had a guest-starring role on the CBS hit Vegas. Mitte is involved with several organizations that raise awareness of equality and diversity. He is the Youth Spokesperson for the National Disability Institute’s Real Economic Impact Tour, which works to improve the financial situation of low-income persons with disabilities. He is a spokesperson for “I AM PWD,” a tri-union campaign (SAG, AFTRA & Actors’ Equity) which advocates for actors with disabilities, and for “Beyond Diversity -- the future is now.” As a guest speaker at high schools, colleges and universities around the country, Mitte openly talks about the ways he has overcome obstacles and how he has achieved his goals. The latter legend also took him on the rest of his “High Flying Birds” tour dates, in Europe, America and beyond. Born in Nottingham and raised on a steady diet of The Beatles, Bob Dylan, Jimi Hendrix and the brothers Gallagher, Jake Bugg started picking up his uncle’s acoustic guitar at the age of 12, and having learnt other people’s songs, started experimenting with his own. It didn’t take long for him to start coming up with worthwhile stuff. In fact, one of the best songs on his self-titled debut album, “Someplace” dates back to this time. He was in “a couple of bands,” but it quickly became apparent to him and those around him that this was to be a solo thing. “I always wanted to do things on my own, really,” he says, “and because it took off kind of quick, that’s how it ended up, thankfully.” Bugg’s first brush with recognition came at age 17 when a local DJ began spinning one of the cuts he uploaded to BBC Introducing, a radio program showcasing unsigned, self signed and other emerging musical talent. Shortly after, he was invited to play Glastonbury where he supported Lana Del Ray, Example and Michael Kiwanuka. Soon enough, Bugg inked a deal with Mercury Records. His first single “Trouble Town” was dropped in early 2012, while his eponymous debut album Jake Bugg came out in October of the same year (and featured production work from former Snow Patrol collaborator Iain Archer). “A lot of them are about my life before, and about not giving a shit about… numerous things,” he says, “I’m not very good at explaining those sorts of things, but they’re all from personal experiences. I try not to think about it too much when I’m writing, because I think it’s better to just let it flow.” This is key to what Jake Bugg and his songs are all about: from the rough and ready, abrasive guitars on “Lightning Bolt” to the wise-beyond-his-years observations of “Seen It All.” To put it extremely simply, Jake Bugg is the most exciting new natural soulful singer and songwriter in the UK. Lifted aromatics of fresh strawberry, watermelon and rose water pave the way for a vibrant, crisp palate of tart cherries and crushed stones coupled with a lengthy, high-toned finish. Watts Up Rosé is a blend of old-vine Tempranillo and Garnacha, hailing from the famed wine-producing region of Rioja (but labeled as a Vino di Tavola due to regulations). The wine’s grapes are pressed and left on the skins for up to 48 hours to add color and complexity. The juice is then drained off the skins where natural fermentation occurs over the next 20 days at cool temperatures.
