There’s always a pause to relax and refresh. But I’m here to tell you that while our “Big Three” events of the Denver Auto Show, Charity Preview Party and Innovative Dealer Summit (IDS) are over there’s still much to look forward to this year at the Colorado Automobile Dealers Association. First a recap: the Denver Auto Show was another big success. Although we’re still looking at all the numbers, we can tell you that it was the fifth largest show in its 115th history, in terms of attendance. Six of the largest we’ve put on have been six of the most recent nine, since 2008 – that’s a very positive trend line and it reflects the traffic we’ve seen in our showrooms this year, too. There were more than 500 cars on display in a half-million – that’s 500,000! – square feet of space, an amount we’ve only covered in two previous years (2011, 2012). Fletcher Flower CADA Chair The Charity Preview Party, “Motown Meets Mile High,” was also a big success, drawing the highest overall gross revenue and the highest sponsorship dollars. It also had the highest registered attendance. All of this means that we are pretty confident, that we will be able to make the largest donations we’ve ever made to our recipient charities – National Jewish Health, the Denver Post Community Foundation and the CADA-sponsored Clear the Air Foundation and to scholarship support for young people wanting to go into our industry. Many thanks to our presenting sponsor, UMB Bank, and all the other organizations that stepped up to make this possible. Also thanks to our committee, led by Donnie Chrismer. On a side note, we really got a kick out of one comment from Kevin Hanigan, executive director of the Idaho Automobile Dealers Association, who came for the auto show, Charity Preview Party and the IDS, who said he’s “already planning on coming back next year, bringing Kathy our assistant, and most likely my 17-year-old son who is very jealous of me being at the auto show (& meeting John Elway). As you know, John and Paige Elway were honorary chairs of the party.” Kevin’s comment is a great segue into noting the success of the Innovative Dealer Summit, our eighth annual get-together to learn about the latest trends in digital marketing, customer relations, and many other aspects of our rapidly changing industry. Kevin’s counterparts from the Nevada Franchised Auto Dealers Association and the Montana Auto Dealers Association also attended and offered rave reviews. We’re going over the comments we received and the surveys returned by many of the attendees, as we do every year, to refine what we offer and make it the most valuable two days it can be for dealers and their top managers. It’s already clear that our keynote speaker, Mark Scharenbroich, was a huge hit with his “Nice Bike – Making Meaningful Connections” presentation. Some of the comments included, “Awesome,” “One of the best keynotes I’ve ever heard,” and, “LOVED Mark!” Among some of the other positive comments we got from attendees: • “Diversity of speakers” • “The wealth of information” • “I learned a lot from the breakout sessions. Great speakers!” • “Keep it going and interesting because you cannot get this exposure without paying a high cost.” • “Every year it gets better.” • “I can always judge the quality of a conference based on the amount of notes I take and I haven’t taken that many notes in several years!” 2 Colorado Automobile Dealers Association April 2016 Several of the speakers and vendors gave us positive feedback, too. Jake Pleban from Hireology said, “You put on one heck of a conference!” And from Rick McLey, CEO of Drive360, “I have to say that IDS was absolutely with no doubt the best return for the dollar as a vendor show I have ever attended. You are making this better every year and you can count me in as a major sponsor every year going forward.” We also got some good advice from the survey including one comment that was repeated several times: “Get more dealers to attend! If you missed this year’s IDS, you missed a great opportunity to learn from our speakers and also from one another. Think about putting IDS on your calendar for next year. It really is an event from which every one of our members could benefit.” Looking to the future: There’s a busy calendar of events for CADA members. Coming up the evening of May 12, our friends from UMB Bank will present a Dealer Outlook Briefing featuring UMB’s chief economist as well as the top economist from NADA. That will be at CADA headquarters in Denver. The CADA Member Golf Event is scheduled for August 29 at the U.S. Air Force Academy in Colorado Springs. For the fourth year, CADA’s Project DC will take the Board meeting on the road to our nation’s capital in conjunction with the NADA Washington Conference. Regional meetings will take place in late September and throughout October. And you’ll want to make sure to attend “The 102” Annual Meeting on November 18 at a location yet to be chosen. Colorado Automobile Dealers Association 3 President’s Page The dichotomy and background of the recent rule change regarding damage disclosure process BACKGROUND - When Colorado governor John Hickenlooper took office he charged each department with reviewing all internal rules and regulations with an eye toward decreasing or eliminating any unneeded, unnecessary or ill-advised rules. Frankly, as much as the executive order was well intended, not many rules nor regulations have been eliminated. Tim Jackson CADA President The Colorado Department of Revenue’s (DOR) Auto Industry Division (AID) set on a course to review all auto industry regulations. Overall the rule promulgation process may seem to be simple and uncomplicated, but in fact, it is not. For each rule and regulation that the Department hones in on takes literally months to fully vet, dissect, review draft language, hear from interested parties, and advance to an effective conclusion. RULEMAKING - The process of reviewing an update of the damage disclosure rule began back in June 2015 so it literally took almost a yearlong effort to arrive at a final rule. Was it a good conclusion? Given the fact that AID was already effectively enforcing to the standard of this new rule to have that documented and fully vetted with input from the dealer body and others, is overall, on balance a good thing. The process began with meetings of key interested parties including: • Plaintiff attorneys • Consumer advocates • Used car dealer advocates (CIADA) • New car dealer advocates (CADA) • Powersports dealer advocates (PDAC) • DOR Auto Industry Division staff • Colorado Attorney General office • Prior Motor Vehicle Dealer Board members Dealers in Colorado will no longer be hit unsuspectingly by enforcement actions due to lack of guidance or clarity within the rules when it comes to vehicle disclosure processes. The underlying statute has an extremely vague terminology that courts have already interpreted more broadly than this rule. Colorado dealers encourage the Division to enforce rules and regulations as intended and with proper guidance in advance. We seek the Auto Industry Division to enforce the rules as written and to be clear about the way they are being enforced. One of the key challenges dealers face, when it comes to damage disclosure, is whether or not the dealer knew or had any way of knowing about previous damage or other conditions. The dealer can only disclose what the dealership knows about the past history of the vehicle. That part is clear. The part that has not been clear is whether the dealer should have known about specific damage or conditions that weren’t properly disclosed. We are in the advent of significant growth of vehicle history reports, such as Carfax and AutoCheck, that help 4 Colorado Automobile Dealers Association April 2016 President’s Page consumers find out about damage they would’ve otherwise not ever been made aware of. It becomes imperative upon the dealer to disclose that to consumers at time of sale. Yet many times those third party history reports show prior damage months or even years after it occurs. So, often the question becomes what did the dealer know and when did he/she know it. The dealer can only know what the dealer can know at the time of the trade and sale. Our specific victory in the rule promulgation process was the outright exclusion of completed mechanical repairs, along with other routine service and maintenance. At least one time recently, the Division opened an investigation on a complaint filed when an engine failed on a newly purchased, yet older vehicle. It is not the belief of CADA staff or member dealers that mechanical damage and/or prior repairs and maintenance would fall under the disclosure process on used vehicles. Yet with that not clearly written into the regulation or elsewhere, this remains uncertain, adding that exclusion was a big win for Colorado dealers with regard to mechanical repairs. CADA worked hard to achieve clarity on this issue. Best practices Dealerships that have been adversely affected by the lack of clarity of the former rule and unanticipated process investigations, through their entrepreneurial spirit and ingenuity have already developed effective damage disclosure processes in order to reduce costs and risks. Specifically, some dealers have incorporated a belt and suspenders approach to avoid liability regarding damage disclosure. Here is the process the pro-active, risk-reducing, compliant-conscious dealer has developed to avoid allegations, threats and claims of undisclosed prior damage: • Pull Carfax or AutoCheck and NMVITIS reports when taking car in on trade (preferably in the trade in inspection and evaluation process) • Interview previous owner again AFTER deal is closed - Ask: “Is there anything else we need to know about?” • Pull new CarFax, AutoCheck NMVITIS, and Recall reports at time used car is sold and delivery being taken. • Have the consumer/buyer sign each report or a form that refers to the attached report • Ensure both the consumer and the dealership sign the damage disclosure, form or report (the dealership signature is now required). • Include and retain all documentation in deal jackets While the requirement of the dealership signing the damage disclosure form is new, it essentially represents a good business practice that confirms that the disclosure was a mutually agreed and disclosed process. While the damage disclosure process is onerous when done according to policy and best practices, dealers will save thousands of dollars by reducing liability and protecting the dealer position, staying above the fray, and ensuring affirmative defense, if/when allegations of a non-disclosed prior condition. NADA CHAIRMAN JEFF CARLSON OUTLINES PRIORITIES FOR 2016 LAS VEGAS (April 2, 2016) – In his first speech as 2016 chairman of the National Automobile Dealers Association, Jeff Carlson pledged to build on the momentum NADA established in 2015 and lead the organization into its next 100 years of successful advocacy on behalf of America’s franchised new-car and -truck dealers. In remarks at the 2016 NADA Convention & Expo in Las Vegas, Carlson highlighted several of NADA’s priorities: right-sizing NADA to carry out its primary mission of advocacy, promoting the value of the dealer franchise network for consumers and helping dealers stay true to their mission by providing their customers with affordable mobility. April 2016 “We have right-sized the association and are ready to enter into the next century. A century where we will advocate for all dealers, all of the time, everywhere, just as we have for the past 99 years,” said Carlson, president of Glenwood Springs Ford and Glenwood Springs Subaru in Glenwood Springs, Colo., and co-owner of Summit Ford in Silverthorne, Colo. “We will do that in the legislative and regulatory arenas. We will do that with our manufacturers.” Carlson, who represents Colorado’s new-car dealers on NADA’s board of directors, added that NADA will continue to build in its successful advocacy efforts on key issues, such as preserving the ability of dealers to discount credit and make credit affordable and accessible, and being advocates for dealers and consumers alike when it comes to ill-advised government policy and manufacturer issues. “The CFPB is overreaching into our business model, which will reduce consumer access to the most competitive credit market on the planet,” he said. “It’s no secret that the dealer franchise system has been attacked unfairly and relentlessly. But, the best defense is a good offense. We’ve made sure to identify those in Washington who understand and respect our business.” And concerning vehicle recalls, Carlson added that NADA is working to make sure Washington understands that new-car dealers also want the driving public to stay safe. “We need 100% of the dealers to perform 100% of the recalls 100% of the time,” he said. “And we will because it’s the right thing to do.” Carlson said the automotive industry is evolving at a rapid pace, but core values have remained unchanged. “Everything we do is with intent, passion, commitment and love. A lifestyle where dealers can and do make a difference in the lives of others,” Carlson said. “There’s a common core in the best of us: and it’s not how good we are at selling cars. It’s trust, honor, friendship and love. “Most of all, we’re connected in an industry – and with a product – that generates emotion and equates to freedom,” he said. “That’s the way the auto industry and the American dream have aligned for millions of Americans over our last 99 years.” The 2016 NADA convention ran from March 31 to April 3 at the Las Vegas Convention Center. More than 25,000 new-car and -truck dealers and their managers, as well as dealers from over 30 countries, auto industry executives and exhibitor staff will attend. Colorado Automobile Dealers Association 7 Regulatory and Legal Update CHANGES TO GROUP1 (A PITNEY BOWES CO.) TAX LOOKUP DATABASE Now www.Geotax.com Group1/Pitney Bowes announced recent changes to their tax lookup database. Pitney Bowes had acquired Group1 a number of years ago, this conversion rolled the Colorado-specific solution into their national system. Additionally, they switched to a new third party provider for the rate information. Several problems were reported with use tax rates missing in some key counties and jurisdictions that have now been reported to be resolved. Other changes and issues reported: • Along with the new look and feel they added single line address entry with type-ahead capabilities. Now as you begin entering an address you will see address options appear as you are typing. • Also new to this site; a login and password is no longer needed to access to the site. • There is now a feature to select general tax rates or automotive rates; some jurisdiction rates are only applicable to certain product/industry categories. • The prior URL, www.taxcog1.com was set to forward to the new site, but many web-page bookmarks did not forward correctly. • The database does indicate a per day limit on lookups of 50 per day. The limit is per IP address / computer, so can be exceeded by using a different computer. CADA will explore other options to this limit for dealers. DAMAGE / VEHICLE DISCLOSURE - REVISED RULE EFFECTIVE APRIL 14 2016 A revised damage disclosure rule went into effect April 14, 2016. Numerous communications and alerts were distributed in the past couple of weeks to dealerships, and a webinar was conducted. A recording is available for any unable to attend. The revised rule outlines generally what was the enforcement position of the Auto Industry Division and reflects the way key terms have been interpreted by Colorado courts. There has been much confusion in recent years within the industry surrounding disclosure obligations—the prior rule provided little direction. I-9 FORM EXPIRED, BUT DON’T LET THAT BOTHER YOU MSEC Hot Topics, March 28, 2016 The current Form I-9 is expired on March 31, 2016. U.S. Citizenship and Immigration Services (USCIS) proposed various changes to the current Form I-9 in November 2015 for public comments. Although the expiration date of the current I-9 is fast approaching, USCIS has not released a new version. Employers should continue using the current form until the new one is published. Unfortunately, there is no anticipated release date. In 2013, when USCIS published the new form, employers were given a grace period to transition to the new form, which is likely to be given this time. REMINDER OF COLORADO EMPLOYMENT VERIFICATION LAW In addition to federal I-9 requirements, a reminder that Colorado has an employment verification law requiring employers to also complete a state-form. UNITED STATES SUPREME COURT REJECTS ALLIANCE’S ATTACK ON MOTOR VEHICLE FRANCHISE LAWS Email alert, 3/8/2016, Bass Sox Mercer On March 7, 2016, the United States Supreme Court ended the Alliance of Automobile Manufacturer’s multi-year effort to undo Connecticut’s warranty reimbursement provisions when it rejected the Alliance’s last-ditch appeal to have the Connecticut law declared unconstitutional. The Supreme Court’s rejection of the Alliance’s appeal brings to an end the Alliance’s three-plus year quest to attack the State’s franchise laws. The Supreme Court’s decision also affirms the Second Circuit Court of Appeals’ rejection of the Alliance’s Constitutional claims as well as the District Court of Connecticut’s rejection of those claims. In all, the Alliance’s Constitutional claims were rejected a total of five consecutive times during the course of this litigation. Richard Sox and Jason Allen of Bass Sox Mercer represented the Connecticut Automobile Retailer’s Association at every step in this litigation, and argued the case before the District and Appellate Courts. The Supreme Court’s decision is a huge victory for not only Connecticut franchised automobile dealers but dealers around the United States as well. The Alliance’s attack, if successful, would have not only applied to the Connecticut franchise laws, but could have been used to attack motor vehicle franchise laws in every state.
