EXECUTIVE SUMMARY
GRAND VIDERE ENTERPRISES, L.L.C.
Grand Videre Enterprises, LLC (GVE,LLC) was formed in 1999 to develop 265 acres of land located in the Town of
Janesville, Wisconsin into an upscale condominium of individual family homes. This land was specifically chosen
because of its rich topography with hills, valleys, various ecological areas, deciduous and pine forests and location
separate from, but close to major shopping, medical facilities and easy proximity (90 minutes) to Chicago's O"Hare
airport, Madison, WI, with its University and Medical School (30 minutes) Rockford ( with its Medical School), and
Milwaukee. Sixty-five acres of heavily wooded forest, two small lakes, and a pond, all full of fish, were set aside in
perpetuity as private common areas. Miles of natural trails were created.
The company is wholly owned by its two Class A voting members, Bruce Golden and Annette C. Craven-Golden. It is
also licensed by the State of Wisconsin as a real estate entity (brokerage) with Christine Fisher, a licensed real
estate broker as vice-president and Class B non-voting member with signatory rights. The company holds
membership in the National Association of Home Builders, the Wisconsin State Home Builders Association, and the
South Central Wisconsin Home Builders Association. Bank references include the local Johnson Bank of Janesville,
WI. [Larry Squires, President and Richard Olsen, Senior Vice-President (Phone 608 743-1500)] and the J P Morgan
Private Bank nationally.
Extensive surveying, land planning, detailed engineering, borings, and many perk tests by soil scientists were
undertaken to take full advantage of the land and maximize the desirability of the proposed roads and each home
site. This resulted in 98 lots from almost an acre to over five acres. Each lot (fee simple title) owns a fractional
interest in the common areas hence is termed a Unit. This project was named: Grand Videre Estates, a
Condominium.
The various State including the Department of Natural Resources, County (Rock), and local governments were
intimately involved at all stages. All zoning was achieved and governments approved the plan that included 2 ½
miles of wide roads (ceded to the County), burying of the infrastructure including natural gas, electric, and fiber
optics, the privacy of the Nature Area, and the construction of an owner's-only club house/health facility known as
Club Grand. The County Health Department refused our engineering studies for central well and sewage that had
been approved by the State, requiring instead individual wells and septic systems.
Grand Videre Estates has been developed as a diversified, elegant, high-tech neighborhood whose social fabric very
much involves Club Grand owned and operated by the owners through their Condominium Association. While all
age groups are welcome, it caters to the Baby Boomer and well-to-do empty nester. The community offers a range
of concierge and other services provided by its own part-time staff including lawn care, snow removal, minor
repairs, care for a home when the owners are not on premises, etc., all on a not-for-profit basis. The yearly fees for
the maintenance of the common areas including 24/7 use of high-tech Club Grand with its indoor heated lap pool,
exercise and party facilities are very low. They are based on the value of the land, not the house and the land. All
of the infrastructure and Club Grand are completed except for another lift of asphalt for the roads. The Township
has requested that we delay this lift because of the current heavy construction equipment (Approximate cost
$125,000). All homes are construction with bundled cable including fiber optics.
GVE, LLC is a partner with AT & T. Grand Videre Estates is a "Smartmoves Project" that brings the advantages of
optical fiber to the home. AT& T is the supplier of all communications/interactive TV, Internet, VOIP, etc. services.
GVE, LLC receives a commission on the AT& T services sold to the new owners of its projects. Taxes (about 1.6% of
market value) and building costs are lower in this area than seen in Madison and far lower than Chicago. School
buses pick up children at their driveway. Garbage is collected by the Township as part of its taxes. About 50% of
our current owners are from greater Chicagoland and the remainder are from greater Janesville. Approximate 20
units are currently sold and/or built on.
The City of Janesville is a wealthy community of about 60,000 with a wide regional draw. It has a long history of
unusually stable clean industry such as one of the most productive of the General Motors assembly plants in its
world-wide system, Lab Safety Corporation who distributes globally, Brent Manufacturing Corporation (Office
Partitions-global), Lear Seating, massive John Deere distribution facilities, and a host of other major and more minor
corporations. It is a 24 hour community with a large private endowment for its public library, a fully functional
performing arts center attracting stars such as Donny Osmond, multiple banks including Chase, M & I, Associated,
and many others, and many law firms. It serves as a regional shopping and medical center with all manner of bigbox and smaller stores in multiple self contained and mall areas, significant family and speciality medicine including
neurosurgery, plastic/reconstructive surgery, open heart, extensive oncology center, and the like. These are all
minutes from Grand Videre Estates. We are just a few minutes from the Country Club, a magnificent public golf
course and Lake Koshkenong, one of the largest lakes in Wisconsin for large boating. Madison with its fine
university, medical school, shopping, and entertainment venues is 35 minutes away.
The assets of GVE, LLC include a Sales Center, a particularly nice, furnished 7500 sq. ft. walk-out home on 1.2
acres with Lake Overlook (recently appraised at $700,000), a five-level "Upside-down tree house" on a hill with
about 9500 sq. ft. under roof including a 55 foot indoor lap pool, elevator, professional kitchen, home theaters,
furnishings, and a wide range of views (just appraised at $1,650,000). This also has a 2400 sq. ft. out building.
The third is a medical office building located on Unit 10. Additionally, GVE, LLC owns a one-ton crew-cab diesel
GMC truck with commercial plow, a diesel 4 WD 25 HP Deere tractor with various accessories such as a post hole
digger, front-end loader, mowers, snow blower, etc., a new ¾ ton HD crew-cab V8 4 WD GMC truck, electrical
generator, and a wide variety of smaller equipment and building materials.
It is our intent to divest all of the assets of GVE, LLC, preferably to a single investor with a rapid time-frame. The
reason for this is that another of our companies is currently being acquired by and merged with a multi-million
dollar conglomerate. Annette Craven-Golden will be developing and managing a combined department in her field
of computers for automation and I will be given a seat on the Board of Directors with other significant
responsibilities taking the company into a new direction, requiring extensive travel. This is an exciting, potentially
lucrative opportunity to which we both very much want to devote all of our time. We are no longer capable of being
involved with GVE, LLC or commuting to Wisconsin.

CONFIDENTIALITY AND NON-DISCLOSURE AGREEMENT

In consideration of Grand Videre Enterprises, LLC and its related entities (collectively, the "Company") providing
_________________________________________ (Purchaser) with certain confidential information
("information") to assist in evaluating a possible business transaction with the Company, Purchaser agrees to treat
such Information confidentially and to comply with the other terms if this letter set out below:
1. The Information shall not be disclosed in whole or in part to any person other than Purchaser and
representatives (including Purchaser's legal and financial advisers) who need to know the Information for the
purpose of evaluating the possible transactions (it being understood that such representatives shall be informed
by Purchaser of the confidential nature of the Information and shall be required by Purchaser to treat the
information confidentially and otherwise in accordance with the terms set out in this letter). Should Purchaser
desire to disclose the Information to a third party, Purchaser shall first identify such third party to Company and
release the Information only with the written consent of Company and after having such third party sign a
confidentiality agreement in substantially the same form as this Agreement and delivering an executed copy
thereof to Company within one business day of the signing thereof.
2. Purchaser shall not disclose and Purchaser shall direct his employees and representatives not to disclose to
anyone either the fact that discussions or negotiations are taking place concerning a possible transaction
between Purchaser and the Company or any of the terms, conditions or other facts with respect to any such
possible transaction, including the status thereof.
3. In the event that no transaction is concluded between Purchaser and the Company, Purchaser shall immediately
upon the request of the Company or its agent return to the Company all documents, letters and other written
information that may have been supplied to Purchaser pursuant to the terms of this letter together with all
duplicates thereof and all notes or extracts made by Purchaser that contain such information.
4. Purchaser shall keep the Information secret and confidential for a period of three (3) years from the above date
and Purchaser shall not use for its benefit the Information (including but not limited to using the Information to
solicit the customers of the Company) for a period of three (3) years from the above date.
5.
In the event that Purchaser or anyone to whom Purchaser transmits the Information pursuant to this agreement
becomes legally compelled to disclose any of the Information, Purchaser shall advise Company as soon as
possible, so that the Company may seek a protective order or other appropriate remedy and/or waive
compliance with the provisions of this Agreement.
6.
The Information shall be deemed trade secrets as defined by the involved states Uniform Trade Secrets Acts
(the "Act") and disclosure or use of the Information by Purchaser in violation of the terms of this Agreement
shall be a violation of the Act, and the Company shall have all rights and remedies against Purchaser allowed by
the Act. The rights and remedies of the Company under the Act are in addition to all rights and remedies under
this Agreement.
7.
For the purpose of this Agreement, Purchaser shall mean and include any wholly or partially owed subsidiary
corporations and businesses of Purchaser and their shareholders, directors, officers, employees, agents and
affiliates (as that term is defined in the Federal Securities law) and all businesses and corporations owned by
them in whole or in part and all the aforesaid shall be bound by the terms of this Agreement as if they were
original signatories thereto.
8.
Purchaser hereby agrees and acknowledges that this Agreement may be enforced in any court of original
jurisdiction.
9.
Purchaser acknowledges that a breach of any of its agreements set forth herein shall have a materially adverse
affect upon the Company and that damages arising from said breach may be difficult to ascertain.
Consequently, Purchaser agrees, in addition to and without limiting any other remedy or right that the Company
may have, the Company shall have the right to an immediate injunction without bond enjoining such breach.
10. This Agreement is entered into by the parties, will be binding upon, and shall inure to the benefit of the parties
and their successors and assigns.
If Purchaser is in agreement with the foregoing, please sign one copy of this letter, which will constitute our sole
agreement with respect to the subject matter of this letter.

The average age of Janesville's population has
increased from 25.3 years in 1970 to 32.7
years in 1990, to 35.3 in 2000. This reflects
the aging of the "baby boom" generation that
was born between 1945 and 1960. In 2000,
the baby boom generation was aged
between 40 - 54 years and accounted for
28.9% of the total population. With the
advances of medicine and the concentration
of elderly care facilities in urban areas, the
average age of Janesville's population will
continue to increase. This trend will be reinforced by the normal aging of the baby
boom generation which will begin to reach
the 65 and older age in the year 2005.
POPULATION
The City of Janesville is Wisconsin's 10th largest city with a Year 2000 population of 60,200 persons. Since 1960, the City's population has grown
71.2% with rapid growth in the 1960's and 1970's, stable populations in
the 1980's, and steady growth in the 1990's.

Janesville is the County Seat of Rock County, Wisconsin. Janesville is growing
faster than Rock County with the City population now representing over
39.5% of the County population of 152,307 persons. As the City has grown,
it has annexed territory from the surrounding four townships and doubled
in size since 1960.
Janesville also serves as a regional retail trade center stretching north to Edgerton, east to Elkhorn, south to Beloit, and west to
Broadhead. The trade area population is estimated at 208,330 persons, based on 2000 Census figures.
