COMPLIANCE TO STATUTES SUBLET CLAUSE AND CHANGE IN USE 10. Lesseeshallnotkansfernorassignthislease,andshallnotsublet,license,perrnitor sufferanyuseoftheleasedpremisesoranypartthereof,orleasespaceinanybuilding cons% ctedon saidland,provideradioequipmentfortheuseofothers. (a:) Lesseeshallnotcauseorpermitanychangeofanyequipmentinstlledby LesseeinsuchPremises,includingpoweroutputsorchangesintheuseofthe frequenciesdescribedinExhibitGA''exceptuponmakingawrittenrequestto Stateforeachsuchtransactionand obtainingofState'spriorwritten consent thereto.ShouldLesseerequireachangeinequipment,poweroutputsor changesin frequencies,afterthebeginningdateofthislease,a11costsassociated withtheState'sengineelingreviewsrequiredto accommodateLessee's changes,willbeinvoicedby State,andwillbedueandpayablebyLesseeupon invoicing. (a. ) Anygrantherei ncontai nedissubjecttoa11validandexistingcontracts,leases, licenses,easements,encumbrancesandclaimsoftitlewhichmayaffectsaid propert y.nisleaseissubjecttoa11existingeasementsandrightsofway.State furtherreservestherighttograntadditionalpublicutilityeasementsasmaybe necessaryandLesseeherebyconsentstothegrantingofanysucheasement. HOLD-OVER AND LEASE RENEWAL 15. Anyholdingoveraftertheexpiration ofthesaidterm ofthislease,withtheconsentof theState,expressedorimplied,shallbedeemedatenancyonlyfrom monthtomonth, andshallot herwisebesubjecttoallthetermsandconditionsoftheexpi redlease, exceptforrents.TheLesseehasbeenleasedthistelecommtmicationsvaultspace tmderareciprocalrentalrateand thereforehasbeenchargedaless-then-marketrate. Duringhold-over,Lesseeshallforfeititsreciprocalstattzsandshallbecharged the commercialvaultspacerentof$600,payablemonthly,inadvance. StateoffersandLesseeacceptsnoassttrancethattheleasedpremisesorany othercomparablespaceorfacilitiesatthesitedescribedhereinwillbemade availabletoLesseebeyond theterm statedaboveorassaidterm isreducedas providedherein. 6 FIRE AND CASUALW DAMAGES 16. SàtewillnotkeepimprovementswhichareconstructedorinstalledbyLesseeunder theprovisionsofthisleaseinsuredagainstfireorcasualty,andLesseewillmakeno claim ofanynatureagainstStatebyreasonofanydamagetothebusinessorproperty ofLesseeintheeventofdamageordestructionbyftreorothercause,alisingother thanfrom oroutofnegligenceorw11111misconductofagentsoremployeesofthe StateofCaliforniainthecourseoftheiremployment. HAZARDOUS WASTE 17. Lesseeagreesthatitwillcomply witha11laws,eitherFederal,State,orlocal,existing duringtheterm ofthisleasepertainingtotheuse,storage,transportation,anddisposal ofanyhazardoussubstanceasthatterm isdefmedinsuchapplicablelaw.lntheevent Stateoranyofitsaffiliates,successors,principal#,employees,oragentsshouldincur anyliability,cost,orexpense,includingattorney'sfeesandcosts,asaresultofthe Lessee'sillegalorallegedillegaluse,storage,tansportation,oidisposalofany hazardoussubstance,includinganypetroleum derivative,theLesseeshallindemnify, defend,andholdharmlessanyoftheseindividualsagainstsuchliability. (a.) WheretheLesseeisfoundtobei nbreachofthisprovisionduetot heissuance ofagovernmentorderdirectingtheLesseetoceaseanddesistanyillegalaction inconnectionwithahazardoussubstance,ortoremediateacontaminated conditioncausedbytheLesseeoranypersonactingtmderLessee'sdirect controlandauthority,Lesseeshallberesponsiblefora11costsandexpensesof complyingwithsuchorder,includinganyand a11expensesimposedonor incurredbyStatein connectionwith orinresponseto such goventmentorder. ( ' b. ) lntheeventagovernmentorderisissuednamingtheLesseeortheLeskee incursanyliability,duringoraftertheterm ofthelease,incormectionwith contaminationwhichpre-existed,theLessee'sobligationsandoccupancyunder thisleaseorwhichwerenotcausedbytheLessee,Stateshallholdharmless, indemnify,anddefendtheLesseeinconnectiontherewithandshallbesolely responsibleasbe> eenLesseeandStatefora11effortsandexpensestherefore. IMPROVEMEM 'S AND MODIFICATIONS 18. Lesseeshallatitssolecostand expense,havetherightfrom timetotimeduringits tenancyoftheleasedpremisesto: (a. ) lmprovetheleasedpremisesi namarmerconsistentwit hthepurposesoftllis agreementassetforthinParagraph2hereof,includingbutnotlimitedtothe installation,operation,maintenance,orremovalofsaidcommtmication equipment,providedthatanysuchimprovementorequipmentshallbe constnzctedorinstalledin suchmannerasnottoimpairvisibility from any other improvementlocatedonorneartheleasedpremiseslmderconkoloftheStateor anyoneclaimingunderit,andprovided furtherthatplansforthecons% ction orenlargementofanyimprovementshallbesubmittedtoStatein advanceof suchconstructi onorenlargement,andshallbesubjecttowri tt enapprovalby State.Statewillnotunreasonablywithholdsuch approval,andsuchapproval shallnotconstituteapprovalofanyradioorelectronicequipmentinstalled orto beinstalledby Lessee,and shallnotrelieveLesseeoftheobligationof complyingwithany anda11termsand conditionsofthisagreemént;Lesseeshall notifytheStatet hirt y(30)dayspriortotheactuali nstll ation. DISPOSITION OF LESSEE'S IMPROVEMENTS 19. Dulingtheterm ofthisLease,a11wires,equipment,andotherpersonalproperty placedin,upon,ortmdertheleasedPremisesbyLesseeshallremain theproperty of LesseeandshallberemovedbyLessee,atitssolecostandexpensewi tlli nsixty(60) daysafterterminationofLessee'stenancy. ShouldLesseefàiltoremovesaidequipmentandpersonalpropertywitlu'n sixty (60)daysafterexpirati onorterminationoft helease,Statemaydosoattherisk ofLessee.UponwrittendemandbyState,Lesseeshallpaya11costand expenseoftheremovalofLessee'spersonalpropertyandequipment. Lesseemay,however,withwrittenconsentofSute,abandoninplaceany and a11ofLessee'sequipmentandpersonalproperty,whereupon,asabandoned, titletosaidimprovementsshallvestinState. CONDITION OF IMPROVEMENTS 20.LesseeshallnotcallonSttetomakeanyrepairsorimprovementsontheleased premisesandLesseeshallkeepthesamein goodorderandcondition atitsown expense. ACCESS ROAD 21.
