I want to start off by thanking all who attended the September 15
Luncheon at the Townhouse Restaurant. Approximately 50 members and
15 guests showed up to hear William H. Fenstermakers informative talk.
We are not sure who or what provided the magic, but we could not have
asked for a better first luncheon.
We hope the same success will be shown at the Gulf Coast Land Institutes Icebreaker, and Reception/Legends Night on October 18 & 19. Similar time and preparation is going into these events and all we ask is that
you show up and enjoy yourself. Its one of the many benefits that LAPL
provides for its members, so please come out and enjoy yourself with the
LAPL members and guests.
In closing, I just wanted to thank all of you who voted for me. You
never know how many friends you have until your nominated for First
Vice President. On a more serious note, the LAPL wants to hear from you
weather you have a comment, complaint, or compliment. The numbers
on the front of the bulletin are there for your convenience, please don’t

Davis Gulf Coast, Inc. (“Davis”) owned 100% of the working interest in certain mineral
leases in the Shuteston Field in St. Landry Parish, Louisiana. On March 1, 2001, Davis,
Anderson Exploration Co., Inc. (“Anderson”), Three Sisters Trust (“Three Sisters”) and Austral Oil
& Exploration, Inc. (“Austral”) entered into a Participation Agreement wherein Davis agreed
to transfer a 50% working interest in the leases to Anderson and Three Sisters, and named
Austral as Operator with no working interest. Under the Agreement, Anderson and Three
Sisters agreed to set a turnkey cost for drilling the test well. Davis agreed to pay 50% of
the cost, which share was $499,313.50, and deposited the funds into an escrow account.
Anderson and Three Sisters agreed to bear the remainder of the costs through delivery of
the log.
Operations on the test well began on May 3, 2001 and drilling ended on June 30, 2001.
On July 2, 2001, Davis authorized Cameron State Bank to release sums from the escrow account
to Anderson and Three Sisters. After receiving the well log, Davis elected to participate in
completion of the well. Anderson billed Davis for one-half (1/2) of the completion costs of
$181,768.98, but Davis did not pay these costs.
Several service providers filed liens against the well totaling $678,354.80 as of April
25, 2002. On May 10, 2002, Austral, Operator of the well, put Davis in default and provided
a deadline for cure or imposition of the penalty provided in the Joint Operating Agreement.
On May 15, 2002, Davis made demand on Anderson, Three Sisters and Austral for surrender
of operating rights to the well and for an accounting of Davis’ funds. Davis paid $678,354.80
to clear all of the liens on the test well. According to Anderson, prior to the dispute with
Davis, Anderson, Three Sisters and Austral contributed a total of $626,920.78 to drilling of the
test well. According to Davis, the well produced more than 3.4 million dollars in net revenue
between September, 2003 and April, 2005.
On July 3, 2002, Davis sent a letter to Anderson, Three Sisters and Austral which
stated, in part, “[T]his letter will serve as a proposed agreement intended to resolve the
issues raised in our prior demand letter …” On July 9, 2002, Anderson responded to the July
3 letter stating: “[T]he terms of the letter are conditionally acceptable …” but “a provision
for the payment by Davis Gulf Coast, Inc. of its currently outstanding balance will need to
be added to the agreement.” On July 11, 2002, a letter was sent by counsel for Davis to
Anderson, Three Sisters and Austral which states: “[P]lease consider this as an amendment
to the July 3, 2002 letter …” and provides for certain payments by Davis. The letter further
states “[I]f this meets with your understanding of our revised agreement, please execute
and return the attached copy of this letter to the undersigned.” Davis’ July 2, 2002 and July
11, 2002 letters were both signed “ACCEPTED AND AGREED” by representatives of Anderson,
Three Sisters and Austral.

Paragraph 8 of the July 3, 2002 letter agreement stated:
Subject to the provisions of the next succeeding paragraph, if all such liens
and privileges are erased of record on or before September 15, 2002, evidence
of such furnished to Davis, and Davis is able to independently verify such
release, Anderson and Three Sisters shall be deemed to have earned the
interest provided for in the Participation Agreement.
It is undisputed that Anderson did not perform its obligation under the letter
agreements.
Davis asserted that the July, 2002 letter agreements constituted a novation of the
2001 Participation Agreement. “Novation is the extinguishment of an existing obligation
by the substitution of a new one.” La. Civ. Code Art. 1879. Novation will not occur where
there is a modification of an obligation unaccompanied by the intent to extinguish the
original obligation. “The execution of a new writing, the issuance or renewal of a negotiable
instrument, or the giving of new securities for the performance of an existing obligation are
examples of such a modification.” La. Civ. Code Art. 1881. Upon review, the Third Circuit
found as follows:
The plain language of the letters indicates that they constitute an agreement
and were accepted by all the parties... The terms of the agreement, which we
have found to be a novation, substitute a new performance in return for which
Anderson may earn its interest in the leases and in the well… It is undisputed
that Anderson did not perform its obligation under the letter agreements.
Therefore, it did not earn the 25% working interest it now claims.
This case illustrates the scrutiny which should be accorded letter agreements
addressing issues which arise during the course of operations. Although Anderson, et al,
spent significant sums of money on the well which produced more than $3.4 million in net
revenue in less than two years, they did not earn their working interest by failing to have
the liens released of record by September 15, 2002.
ACT 446 OF THE 2006 REGULAR SESSION
Act 446 of the 2006 Regular Session amended Article 11 of the Mineral Code, which
sets forth the rule of correlative rights between surface and mineral owners, by adding
sections B.(1) and (2) as follows:

A reservation of mineral rights in an instrument transferring ownership
of land must include mention of surface rights in the exercise of the
mineral rights reserved, if not otherwise expressly provided by the parties.
(Emphasis added.)
In the absence of particular provisions in the instrument regulating the
extent, location and nature of the rights of the mineral owner to conduct
operations on the property, the requirements of this Subsection are
satisfied by inclusion of the following language in the reservation of
mineral rights: “The transferor (Seller) shall exercise the mineral rights
herein reserved with reasonable regard to the rights of the landowner,
and shall use only so much of the land, including the surface, as is
reasonably necessary to conduct his operations. Such exercise of
mineral rights shall be subject to the provisions of Articles 11 and 22 of
the Louisiana Mineral Code. The transferee (Buyer) recognizes that by
virtue of the mineral reservation herein made, the mineral owner shall
have the right to use so much of the land, including the surface, as is
reasonably necessary to explore for, mine and produce the minerals.
This provision has obviously not been interpreted by a Louisiana Court to date, but it
appears that failure to include a provision regarding surface use with a reservation of mineral
rights may result in the mineral servitude owner being denied the right to use the surface.
However, the statute could be interpreted as nullifying a mineral reservation for failure to
include the statutorily mandated verbiage. Please note the revisions to the statute may only
be applied to mineral reservations occurring after its effective date of August 15, 2006.

The American Association of Professional Landmen invites you to attend the AAPL Gulf Coast
Land Institute October 19-20, 2006, to be held in Lafayette, Louisiana at the Best Western Hotel
Acadiana, 1801 W. Pinhook Road, Lafayette, LA.
This popular event consists of one and a half days of excellent and topical presentations plus a
welcoming icebreaker Wednesday evening at Joey’s hosted by the AAPL, Lafayette Association
of Professional Landmen, and others, an AAPL/LAPL hosted reception on Thursday following
the presentations, an optional Prayer Breakfast on Friday morning and an optional lunch and
presentation on Friday co-sponsored by AAPL & LAPL. This year’s institute is hosted by the
Lafayette Association of Professional Landmen and is chaired by Keith Hebert.
Topics and presentations planned for this year include an update on recent Louisiana legislation,
discussion of recent legislation relating to legacy lawsuits, discussion of site restoration obligations after the Corbell and Castex cases, Business Ethics 101, History of Louisiana surveying,
Production handling agreements, Drilling contracts and what you don’t know can hurt you, a
