Message from the Chairman
İhsan Doğramacı founded Bilkent
Holding and its companies to provide
support to organizations that operate
in the areas of education, healthcare,
and the arts.
Bilkent Holding enterprises strive to
serve customers in the best possible
way. A percentage of total revenue
is used to support further growth of
the companies while a larger portion
of turnover is allocated to education,
science and the arts every year.

Administration at Bilkent

Baysal is also the Vice President
of Bilkent University.
As a result, we continue to work to achieve
more and go further in all of our business
areas and to invest in young people, who will
move our country forward into the future with
their new, powerful ideas, with the resources

Message from the CEO
Thanks to its solid financial
structure and balanced growth
strategy, Bilkent Holding’s
future outlook is bright.
Although 2014 was not an
easy year for our country’s
economy, those companies with
prudent long term strategies
and that focused on improving
their core businesses posted
strong results during this
period. Bilkent Holding and its
companies also reported many
successes in 2014.
While providing employment
for nearly 20,000 people, our
companies allocate a significant
amount of resources to higher
education in Turkey every
year; spearhead technological
innovations; and set a good
example with their robust
financial structures that require
minimal foreign resources to
conduct operations.
In 2014, we increased our asset
size by 14.5% while our gross
profit for the period was up 7%.
We also bolstered our growth
strategy with new and ongoing
investments totaling more than
US$ 100 million.
We continue with efforts to
ensure that our companies,
which operate in a wide
range of industries including
construction, retail,
manufacturing, services,
software, and printing, are
managed in line with strong
corporate governance
principles. Although not legally
required, Bilkent Holding’s
management structure is
based on the principles of
accountability and transparency.
In addition, the Holding ensures
that all companies under its
roof undergo independent
audits and publicly discloses
its credit ratings, maintaining a
unique market position in this
regard.
2015 and the following years
will not be easy, especially due
to expected developments in
the world economy and their
inevitable consequences for our
country. We must be prepared
to deal with these impacts with
both a solid financial structure
and a well-trained workforce.
Thanks to its excellence in
these and other key areas,
Bilkent Holding’s future outlook

Abdullah Atalar (1)
CEO
Prof. Dr. Abdullah Atalar was
appointed to his current position
at Bilkent Holding in 2004. Since
that time, he has served as Vice
Chairman of the Board of Directors
and Executive Board Member.
Prof. Dr. Atalar also figures among
Bilkent University’s first lecturers.
Between 1993 and 2010, he served
as the Provost (Chief Academic
Officer) of Bilkent University, and
since 2010, he has held the position
of President of the University. In
addition to his duties at Bilkent
University, Prof. Dr. Atalar is
also the Chairman of all Bilkent
Schools under the İhsan Doğramacı
Foundation.

After graduating from Ankara High
School of Science in 1970, Abdullah
Atalar was admitted to Middle
East Technical University with the
highest entrance exam score. After
obtaining a Bachelor’s degree from
METU in Electrical and Electronics
Engineering, he went on to earn
Master’s and Doctorate degrees
at Stanford University. In 1994, he
won the TÜBİTAK Science Award.
To date, his scientific papers have
received more than 1,500 citations.
Prof. Dr. Atalar holds 10 patents in
the US, six in Europe, and five in
Japan.

Ali Haydar Kurtdarcan graduated
from Middle East Technical
University, Department of Civil
Engineering in 1973. He joined
Tepe Construction in 1987 as
Deputy General Manager. To date,
Mr. Kurtdarcan has served as
Chairman, Board Member and
Representative at several Bilkent
Holding Companies and Affiliates.
Önder Sezgi (3)
Currently, he is the CFO of Bilkent
Holding and continues to serve as
Board Member at various Bilkent
Holding companies.
Önder Sezgi graduated from Ankara
University, Department of Political
Science in 1988. Before joining
Bilkent Holding in 1998, he served
as Financial Analyst for the Tax
Inspection Board at the Ministry
of Finance. Mr. Sezgi is a Certified
Public Accountant and Independent
Auditor. He has undertaken various
tasks and responsibilities for the Tax
Inspection Board, TUSİAD (Turkish
Industry and Business Association),
YASED (International Investors
Association of Turkey), Certified
Public Accountants Foundation,
and TÜRMOB (Union of Chambers
of Certified Public Accountants of
Turkey).
Orhan Koral (4)
Vice Chairman of the Board
of Directors of Bilintur, Sports
International, Dilek Construction,
Bilsigorta; Board Member at Tepe
Home, Tepe Real Estate, Tepe
Prefabrik, Tepe Service, Bilenerji,
Bilen Bilkent and Bitu.
Orhan Koral graduated from
Istanbul Technical University,
Department of Civil Engineering
in 1982 and earned an MBA from
Istanbul University a year later. He
joined Tepe Construction in 1985 as
a Civil Engineer and later worked as
Final Accounts Manager, Projects
Group Manager, and Deputy General
Manager at the same company.
Between 2001 and 2006, he served
as Budget and Finance Coordinator
at Tepe Construction and as Deputy
General Manager from 2006 to 2009.
Mr. Koral currently serves as Vice
Chairman of the Board of Directors
at Bilintur, Sports International,
Dilek Construction, Bilsigorta; and
as Board Member at Tepe Home,
Tepe Real Estate, Tepe Prefabrik,
Tepe Service, Bilenerji, Bilen Bilkent
and Bitu.
Levent Güler (5)
Vice Chairman of the Board of

Occupational Health and Safety;

Levent Güler graduated from TED
Ankara College in 1985 and from
Middle East Technical University,
Department of Civil Engineering
in 1989. He then obtained an MBA
from İhsan Doğramacı Bilkent
University. Mr. Güler joined Tepe
Group in 1989 as Field Engineer
and worked as Field Manager and
Construction Supervisor on various
construction projects. Between
1998 and 2002, he served as
Advisor to the Board of Directors
at TAV Investment Construction
and Operations Management at
Atatürk Airport. From 2002 to 2003,
he served as Domestic Projects
Coordinator at Tepe Construction.
Since 2003, Mr. Güler has served
as General Manager and Executive
Board Member at Tepe Defense and
Security Systems, Tepe Service and
Management, and Tepe Security.

operationalized new factories
in 2014. In addition, Tepe
Home Furniture renovated its
stores and warehouses, while
renovations were carried out
at Kadıköy Natilius and Bilkent
Center Shopping Centers, both
of which are operated by Tepe
Real Estate.
The investment projects,
initiated and/or finalized in 2014
by Bilkent Holding companies
amounted to US$ 105 million.
Of this total investment amount,
US$ 30 million was spent by
Tepe Betopan, US$ 10 million by
Tepe Prefabrik, US$ 10 million
by Sports International,
US$ 10 million by Tepe Home,
US$ 20 million by Tepe Real
Estate, US$ 15 million by Tepe
Construction, and US$ 10
million by Bilintur.

TO THE BOARD OF DIRECTORS OF BİLKENT HOLDİNG A.Ş.
Report on the Consolidated Financial Statements
We have audited the accompanying consolidated statement of financial position of Bilkent Holding A.Ş. (the “Company”) and its
subsidiaries (together will be referred as the “Group”) as at 31 December 2014, and the consolidated statement of profit or loss,
consolidated statement of other comprehensive income, consolidated statement of changes in equity and consolidated statement of cash
flows for the year then ended, and a summary of significant accounting policies and other explanatory information.
Management’s Responsibility for the Consolidated Financial Statements
Management is responsible for the preparation and fair presentation of these consolidated financial statements in accordance with
Turkish Accounting Standards (“TAS”), and for such internal control as management determines is necessary to enable the preparation of
consolidated financial statements that are free from material misstatement, whether due to fraud or error.
Auditor’s Responsibility
Our responsibility is to express an opinion on these consolidated financial statements based on our audit. We conducted our audit in
accordance with Turkish Auditing Standards published by Public Oversight Accounting and Auditing Standards Authority (“POA”). Those
standards require that we comply with ethical requirements and plan and perform the audit to obtain reasonable assurance about whether
the consolidated financial statements are free from material misstatement.
An audit involves performing procedures to obtain audit evidence about the amounts and disclosures in the consolidated financial
statements. The procedures selected depend on the auditor’s judgment, including the assessment of the risks of material misstatement
of the consolidated financial statements, whether due to fraud or error. In making those risk assessments, the auditor considers
internal control relevant to the entity’s preparation and fair presentation of the consolidated financial statements in order to design audit
procedures that are appropriate in the circumstances, but not for the purpose of expressing an opinion on the effectiveness of the entity’s
internal control. An audit also includes evaluating the appropriateness of accounting policies used and the reasonableness of accounting
estimates made by management, as well as evaluating the overall presentation of the consolidated financial statements.
We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our audit opinion.

Opinion
In our opinion, the consolidated financial statements present fairly, in all material respects, the financial position of Bilkent Holding A.Ş.
and its subsidiaries as at 31 December 2014, and of its financial performance and its cash flows for the year then ended in accordance with
Turkish Accounting Standards.
Report on Other Legal and Regulatory Requirements
In accordance with Article 402 of Turkish Commercial Code No. 6102 (“TCC”), nothing has come to our attention that may cause us to
believe that the Company’s set of accounts and financial statements prepared for the period 1 January-31 December 2014 does not comply
with TCC and the provisions of the Company’s of association in relation to financial reporting.
In accordance with paragraph four of the Article 402 of TCC, the Board of Directors provided us all the required information and
documentation with respect to our audit.

textured “Yalıpan” and stone
textured “Taşonit” to its product

these panels were used on
the exterior walls of villa-style
houses; however, they are now
widely used and sought after
as new technical application

Currently, these panels are
mostly used in apartment
buildings, high-rises, shopping
centers and hotels. Seeing
that these exterior panels and
siding systems drew a lot of
interest and strong demand
in the market, in 2011, Tepe
Betopan designed and began
manufacturing its Monolin®,
Frapan® and Fugalin®
products, which have decorative
line patterns. In early 2012,

Tuğlapan®, which has a
checkered brick pattern, and
Tuğpan®, which has a cut stone
pattern.

In the last four years, Tepe
Betopan’s specialized dealers
have covered a surface area of

meters with the Company’s
products in several construction
projects such as houses, office

In the last two years, Tepe
Betopan began exporting its
exterior building products such
as Yalıpan® and Taşonit® to

Fiber Cement Plant in Temelli
The Betopan plant in Bilkent,
Ankara, where Betopan®,

production capacity of 67,500 m3.
As of the second quarter of
2014, the Company started
the production of fiber cement
boards with a capacity of
42,000 m3 at its new plant
located in ASO (Ankara
Chamber of Industry) Second
Organized Industrial Zone. As
a result, the total production
capacity of cement bonded
particleboards and fiber cement
boards increased to 110,000 m3.
At its R&D department,

subsidiary of Istanbul
Metropolitan Municipality until
June 16, 2011. On this date,
TASS Denizcilik ve Ulaştırma
Hizmetleri A.Ş. (TASS), a joint
venture company of Akfen
Having started its operations
with only two sea buses in
1987, İDO has become a leading
marine transportation company
not only in Turkey, but also
on a global scale, after being
acquired by TASS Denizcilik
ve Ulaştırma Hizmetleri A.Ş.
(TASS). Today, the Company
provides transportation services
with a large fleet consisting of
24 sea buses, 19 conventional
ferries, 1 passenger motor
and 9 fast ferries, which run
between 35 piers. İDO revamped
the technical infrastructure of
its piers, and the Company’s
sea vessels run on 17 lines,
making an average of 520 trips
daily. Currently, İDO operates
four intercity fast ferry lines,
and two conventional ferry lines
(one local and one intercity). The
Company plans to introduce fast
and high-quality transportation
alternatives in the near future in
order to reduce the burden on
roads in Marmara Region; and
to create high added value for
the Turkish economy.

122 million passengers and 12
million vehicles, İDO continues

Key Developments in 2014:
• On June 16, 2014, passenger
boats began to run between
Kartal and Yalova.
• Pursuant to the Board of
Directors decision to reduce
the number of sea buses in
the fleet, the sea bus service
between Yenikapı and Yalova
was cancelled. In addition,
due to high demand, extra
fast ferry services were
launched on the YenikapıYalova route in 2014.
• It was decided to start an
extra service (at 23:55) on the
Pendik-Yalova route between
November 20, 2014 and
December 31, 2014.
• Regarding the Istanbul
(Kadıköy-Yenikapı) – Armutlu
T.K – Armutlu – Bursa
(Güzelyalı) sea bus route,
it was decided to cancel
ticket sales on the BostancıYenikapı-Armutlu T.K.Armutlu route starting from
January 1, 2014 and to set
ticket prices for the KadıköyYenikapı-Armutlu T.K.Armutlu-Bursa (Güzelyalı)
route. With the start of the
2014 summer schedule on
June 16, 2014, Kumla was
designated as the port of
arrival in Bursa.
• On January 2, 2014, the
sea bus service on the
Kabataş-Kadıköy-Bursa
(İDOBÜS) route was cancelled
indefinitely. Due to high
demand from passengers
and after the launch of
Marmaray’s Taksim-Yenikapı
connection, sea bus service
started on the KadıköyYenikapı-Bursa route with
additional voyages on January
10, 2014 and with scheduled
voyages on February 17, 2014.
• On June 14, 2014, PeakNormal fare rates on the
Sirkeci-Harem route were
replaced by a single rate.
• A round-trip discount
promotional campaign (up
to 33%) was launched on
February 24, 2014 (not valid
on Fridays, Saturdays and
Sundays). On March 22, 2014,
it was decided to include
Fridays, Saturdays and
Sundays in the round-trip
campaign.
• İDO management evaluated
the year 2014 in terms of
“Achieving High Levels of
Customer Satisfaction.”
Evaluation results show that
the number of passengers
and vehicles increased thanks
to the ticket promotional
campaign, which was applied
on all schedules throughout
the year.
• During the spring 2014
season, İDO applied a
33% ticket discount on
conventional ferries that
run between Eskihisar and
Topçular, the busiest route in
terms of vehicle transport.
Ticket promotions continued
during school and national
holidays, the busiest periods
of the year.
• For the first time, İDO
launched a night service
(23:55) on the Istanbul
Pendik-Yalova route, enabling
late-night transportation
between these two cities.
• İDO’s headquarters in
Yenikapı Istanbul became
more prominent as this area
began to take on a bigger
role within Istanbul’s transit
network. New transport
options such as Marmaray
and metro rendered this area
more attractive.

• In 2014, İDO undertook
a number of effective

without Barriers” efforts,
the company made some
modifications to improve
access to its terminals and
vessels; ensured that relevant
personnel took sign language
training; and continued other

the barrier-free SMS service

award from the Turkish
National Federation of the
Deaf.
• İDO continues efforts to start
up Ro-Pax services on its
property in Ambarlı in order to

Structure of Bilkent Holding
Bilkent Holding maintains open and
transparent communication with all of its
stakeholders.
Corporate governance,
which can be described as
“an interactive approach to
management”, is a long-running
process that involves a number
of stages. Studies on the
implementation of this concept
have produced some important
findings about the steps that
companies need to take in
order to achieve their strategic
goals as well as continuous
improvement. Having adopted
the corporate governance
approach, Bilkent Holding
operates according to a plan,
in light of the findings it has
obtained during the process.
In accordance with the key
principles of corporate
governance, Bilkent Holding
aims to build trust with its
stakeholders, and therefore
adopts these four key
principles - “transparency,
fairness, responsibility
and accountability” – as
part of its strategic vision.
Instead of a centralized

the Holding encourages

Starting from 2005, the Holding
entered a restructuring
process in order to align its
organizational structure with

has also started the process
of forming board committees,

functions within the Holding.
These committees will be
responsible for overseeing the
healthy functioning of internal
audit and control mechanisms;
ensuring continuous corporate
improvement; assessing any
developments that may have
an impact on the Holding’s
market cap in a timely manner
and sharing these with the
existing and potential investors;
and evaluating all risks and
opportunities regarding the
future of the Holding.
All business processes and
transactions of Bilkent Holding
and its subsidiaries with their
stakeholders (customers,
suppliers, contractors,
intermediary companies, dealers
and etc.) can be monitored
instantly with statistical data.
The Holding uses a modern
CRM system, which is composed
of professional tracking and
monitoring systems. Bilkent
Holding regularly reviews
customer complaints and
satisfaction levels through the
Key Performance Indicators,
which are identified jointly by all
Holding companies.
In addition, the Holding
effectively utilizes the ERP
(Enterprise Resource Planning)
software in order to monitor the
internal reporting process and
its effects on costs.
Bilkent Holding organizes
periodic training programs
in order to ensure that
the corporate governance
approach is embraced by all
companies under its umbrella
and to teach the internal audit
system and the methods
used. In the coming period,
the Holding will review the
articles of association of
each company, and ensure
that general assemblies
and boards of directors
function more efficiently and
effectively. Moreover, the
official documents of each
company will be aligned with
the requirements of corporate
governance.
Openness and Transparency
Bilkent Holding maintains
open and transparent
communication with all of its
stakeholders. In accordance
with the transparency principle
of corporate governance,
the Holding provides all the
information requested by
creditors or banks for their
financial analyses.
All activities of Bilkent Holding
and its subsidiaries are included
in their individual annual
reports in a thorough and
transparent manner. In addition,
the Holding informs the public
about its activities and projects
via visual and print media,
whenever necessary.
Bilkent Holding is currently
in the preliminary stage of
implementing the corporate
governance principles. Once
this stage is completed, the
Holding will start to draw up

The Internal Audit Department,

management and early warning

legal risks. While financial
risks are given priority in risk
management, the Holding is

defines the scope of internal
