Arbitron is reworking minimum reporting standards as Cumulus dips its toe in PPM. A week after PPM
data became currency in Houston, Cumulus signs a short-term deal for two of its three stations. Market manager
Pat Fant tells Inside Radio that like the rest of the industry they “continue to evaluate the new technology” and
“sometimes a little flexibility is worth a small premium.” The 13-month retroactive agreement covers CHR
KRBE and “Rock 103.7” KIOL until next April. Unaffected is “ESPN Radio 97.5” KFNC, which has not met the
current minimum reporting standards for the PPM ratings reports. Fant “There are a number of stations that
disappeared.” He counts eleven stations that showed up in the diary which suddenly went missing under PPM.
There’s no official confirmation, but Fant’s been told Arbitron is now looking at changing the rules which say a
station needs a weekly cume rating of at least 0.495 and a weekly AQH rating of a 0.05 to be included. Fant says
Arbitron should “peel back the covers and show what the rest of the players are doing.”
Inside the Cumulus deal — the board rejected Lew Dickey’s first go-private plan. Last Friday Dickey and
Merrill Lynch presented an offer to pay $10.65 a share to take the company private. That was a 27% premium
on the share price. But the board wasn’t impressed. Dickey and his backers spent the weekend reworking the
numbers and on Sunday they presented a sweetened “best and final” offer. $11.75 a share – a 40% premium.
That did the trick and the board agreed to the deal. An offer letter says Merrill Lynch is putting in $1.2 billion in
cash while Dickey is reinvesting a “significant portion” of his equity ownership. A joint letter signed by both Lew
Dickey and Merrill Lynch to the board says “Lew is not currently interested in selling his stake in the company
to any other party.” But it also says Dickey would leave if the company were sold without his participation. The
entire Dickey family’s stake in the newly-private company is valued at more than $60 million. Merrill Lynch kicks
in $290 million. The rest is debt. Among the things this partnership says they have going for them is the ability
to complete the deal “in an expedited manner with a high degree of closing certainty.” If all goes as planned, the
deal is set to close in early 2008.
Next step for Cumulus — figure out which stations need to be spun-off. The go-private deal will result in
new owners in control of the company, and that means Cumulus’ grandfathered clusters will need to be broken
up. Under the terms of the deal it has one month to disclose a list of all markets where it’ll need to spin-off
stations to meet FCC ownership limits. That list could include Mobile; Fayetteville, AR;
Youngstown and Columbus-Starkville, MS where Cumulus has sizable clusters.
Kevin Martin wants a more thorough license renewal process. The FCC
chairman tells a House oversight committee he is proposing a “whole new set
of categories” that would force stations to disclose more of what they’re doing,

but wouldn’t require minimum levels of local news and programming. Martin’s proposal has been sitting on his
fellow commissioners’ desks for months, but so far it hasn’t moved forward. Commissioner Michael Copps says the
FCC also needs to disclose more. He says “We have to disclose what our expectations are for their activities, and
that’s where we’ve miserably failed.” Copps wants a more thorough process that “doesn’t slam dunk” renewals, but
looks to see that a licensee is providing service to the community. He says the current system “no longer provides
broadcasters an incentive to do the right thing.” Several House members also suggest the FCC help push diversity
by requiring broadcasters to spin-off stations to women and minority-led groups. Commissioner Jonathan Adelstein
says minority ownership is at “abhorrently low levels” with only 3% of broadcast licenses held by minorities. He says
“Allowing further consolidation of the media only takes these licenses further out of reach.” Copps agrees “The
world has changed from the Commission’s misguided media ownership proceeding — we can aim higher now.”
Remnant ads’ impact on lowest unit rate has been “percolating for awhile.” Bid4Spots CEO Dave Newmark
met with FCC chair Kevin Martin’s office last week in his third visit to the FCC over the past two years. Newmark
traveled to Washington to discuss a just-launched proceeding that looks at whether remnant inventory sold by
Google, SWMX and Bid4Spots should be taken into consideration when computing a station’s lowest unit rate. If
the FCC says it should, Newmark says “Broadcasters would stay away from us during those windows, and that
doesn’t help the politicians at all.” That’s because they would not be able to buy remnant airtime on stations — at
potentially lower rates. Newmark says the uncertainty about whether they could attract political ads has put on
hold his game plan for reaching out to candidates. The FCC is looking at the issue after 41 state broadcaster
associations requested a ruling “to remove the uncertainty” that stations face. The FCC is taking comments through
August 6 with reply comments due August 21. (MB Docket No. 07-137)
XM chief Hugh Panero steps down early. Panero was to have left once the merger with Sirius was completed,
but XM says he’ll leave in August instead. The company says XM president and COO Nate Davis will serve as
interim CEO. The two companies have picked Mel Karmazin as a CEO for the combined service.
Marketing pros say XM and Sirius’ a la carte menu could be a branding mistake. The proposed move to offer
cheaper subscription service options might actually hurt the satellite companies in the long run. So says branding
expert Rob Frankel, who tells Inside Radio that once you start lowering prices, you begin “lowering the perceived
values” of the products. “You can spin that any way you want. [But] there’s just no getting around it.” The satellite
plan would cost as little as $6.99 a month for 50 channels. Additional channels would be 25 cents each. Frankel
says many consumers haven’t signed on yet, because they don’t “perceive” satellite radio worth the price. He says
by cutting the price XM and Sirius are “legitimizing” those thoughts. Frankel says lowering prices could signify more
struggles for satellite radio overall. He thinks it may help to actually increase prices. He suggests a hypothetical
scenario, which would raise the basic rate but offer listeners a “lifetime low-rate” before a specific date. Then they
would create “some sort of stimulus.” He says that could also help “maintain their brand value.”
Emmis gets mixed ratings results in Los Angeles. The just-released Spring book shows rhythmic CHR “Power
106” KPWR holding steady with a 3.7 share — good for sixth place. But despite a multi-million dollar advertising
campaign “Movin” KMVN only climbed to 28-th up 0.9-1.2. One consultant says their cume grew by 200,000 and

if they spent $2 million that would mean each new listener cost $10. In Chicago — Cubs baseball helped Tribune’s

Silence golden for activists as the FCC hints it’ll expand LPFM. During a trip to Capitol Hill, the five FCC
commissioners were pressed on whether they disagree with a report saying LPFM can be expanded to the thirdadjacent channel without causing interference. None spoke up. Rep. Mike Doyle (D-PA) says “the silence is
deafening.” Doyle’s sponsoring a bill to do away with the prohibition, saying LPFM is “critical” during emergencies
and for community and religious groups. Earlier during questioning from Rep. Fred Upton (R-MI), FCC chair Kevin
Martin said he expects the FCC to rule on Sam Zell’s Tribune buyout and its requests for waivers sometime in the
fourth quarter. Martin says “While very complicated, and obviously it raises a lot of controversial issues, I would
hope to try to keep that same kind of timeframe that we try to do on other complicated and contentious reviews.”
AFTRA looks to align with the AFL-CIO. As unions in all sectors have seen their power evaporating, many have
turned toward working together more closely to consolidate their efforts. But AFTRA’s two previous attempts to
merge with SAG have failed. So now it’s on to “Plan B.” AFTRA has been indirectly affiliated with the AFL-CIO
through its membership in the Associated Actors and Artists of America. But with a 91% vote in favor, AFTRA
delegates say the union should take steps to obtain a direct national charter. But newly-elected national president
Robert Reardon says “With our own seat at the table of labor, AFTRA can begin to explore the many opportunities
for strategic alliances with other media unions.” AFTRA says the union has “turned round a slide in membership”
and it now has 2,300 members — including a number of new cardholders in satellite radio.
Traffic.com parent Navteq under pressure to merge. That’s because its European rival Tele Atlas has just been
bought by car navigation maker TomTom for $2.77 billion. Analysts say that puts pressure on fellow manufacturer
Garmin to make Navteq an offer it can’t refuse. Last November Navteq bought Traffic.com for $177 million — in a
deal that brought together traffic data and content with a devise manufacturer.
It’s Christmas in July in St. Louis. Listeners won’t have to wait until November to hear holiday tunes. CBS
Radio’s “Soft Rock 102.5” KEZK will change its regular programming and play Christmas music today to raise funds
and solicit food donations for the St. Louis Area Foodbank. KEZK PD Mark Edwards said that “a day of Christmas
music will help remind our listeners that, at least for the Foodbank, hunger knows no season.”
